3-HR Pennsylvania Understanding Leases Course

The Philadelphia Chapter of the American Society of Appraisers will sponsor a three-hour Pennsylvania Continuing Education class -- Understanding Leases on Wednesday, November 28, 2018 from 9:00 am to noon at Andy’s Diner, 2224 Lincoln Highway (Rte 1) Trevose, PA 19053 (215-638-1444)

The instructor will be Robert J. Luciani, ASA, IFA, a PA Certified Real Estate Appraiser & Assessor. Mr. Luciani is Deputy Assessor in the Office of Property Assessment for the City of Philadelphia. Chapter Members are familiar with him from the courses he teaches as an AQB (Appraiser Qualifications Board) Certified USPAP Instructor.

From farmland to factories, from malls to warehouses, from hotels to offices, from stores to apartments, more than 60% of Pennsylvania real estate is leased, not owned outright. This course reviews basic lease law, both common law and Pennsylvania statutes.

Appraisers will learn how the terms and provisions of leases impact the income stream, the valuation process, and ultimately the property value. Assessors will get an overview of how lease terms such as expenses, percentage rent, overage rent and tenant improvements establish the value of the lease for assessment purposes. Both will be exposed to the basics of lease analysis -- gross vs. net leases, percentage of sales clauses, etc. The object is preparation for advanced courses in real property appraising and assessing.

The class covers required topics of the Pennsylvania Real Estate Appraisers Certification Act and the Assessors Certification Law, and the Regulations of the Pennsylvania State Board of Certified Real Estate Appraisers. It emphasizes changes to the laws made during the past two years, and offers a refresher on the provisions most relevant to everyday practice.

The Pennsylvania State Board of Certified Real Estate Appraisers requires biennial recertification for State Licensed Appraisers and Assessors, with all certificates expiring on June 30 of odd-numbered years (eg., 6/30/19). This class meets the specific requirement for two (2) appraisal re-certification hours on the Real Estate Appraisers Certification Act.

November Meeting: The Medical Marijuana Industry in Pennsylvania

The November Chapter Meeting will be held on Wednesday, November 14, 2018 at the Doubletree Guest Suites in Plymouth Meeting, PA. The Board of Directors will meet at 5:30 pm; all ASA members are welcome. The general meeting starts at 6:30. The guest speaker will be Dr. Jonathan Gusdorff, DO, Medical Director and Managing Partner of the Firefly Dispensaries in south central Pennsylvania. Dr. Gusdorff will discuss “The Medical Marijuana Industry in Pennsylvania.”

Dr. Gusdorff is the rare physician who succeeds both in medicine and in business. After a decade as a practicing neuroradiologist, clinic Director, and Associate Professor at Oklahoma State University Medical Center, he co-founded CareSTAT Urgent Care Centers, which he sold successfully after three years. Today, Dr. Gusdorff is growing Firefly Dispensaries, which serves patients in the Pennsylvania medical marijuana program.

Dr. Gusdorff followed up his B.A. in Psychology from Hofstra University with post-baccalaureate pre-med studies at Columbia University in New York. He earned his DO at the Philadelphia College of Osteopathic Medicine, where he also served an Internship. After a Residency in Diagnostic Radiology at the Bryn Mawr Hospital and a Fellowship in Neuroradiology at the Emory University School of Medicine, Dr. Gusdorff worked in Neuroradiology for a decade before co-founding CareSTAT Urgent Care Centers.

Dr. Gusdorff will talk about the market for medical marijuana -- who can benefit from using it -- about the business model and the regulatory environment, and whether the growing market for medical marijuana will provide a steppingstone to recreational legalization. Dr. Gusdorff’s presentation is sure to be of interest to ASA members in all disciplines. September Meeting: Minor League Franchise Valuations

The guest speaker will be Gary Loewenstern, CPA, CVA, a Principal in the Blue Bell, Pennsylvania office of HBK CPAs & Consultants, a multidisciplinary financial services firm. Mr. Loewenstern will discuss “Minor League Franchise Valuations.”

Gary earned a B.S. in Accounting from Drexel University's LeBow College of Business and was a Partner in Resnick, Amsterdam, Leshner, P.C when it merged into HBK in 2016. He has more than 30 years experience advising small business owners, including: minor league sports franchises, television broadcasters, government contractors, investment advisors, providers of information technology, food services and professionals in many fields.

Gary has represented more than 40 minor league baseball franchises since 1986. His experience with the franchises includes; financial statement preparation, federal, state and local tax services, business valuation, expert witness testimony, budgeting, due diligence services for the buying and selling of the franchises, concession consulting, lease evaluations, internal control evaluations, and more.

The four-hour Collection & Verification of Residential Data in the Sales Comparison Approach Class is required of all Licensed Pennsylvania and New Jersey Real Property Appraisers before the next license renewal. The class is based on Valuation Advisory #8 from the Appraisal Practices Board of The Appraisal Foundation.

May Meeting: An Evening at the Rosenbach Museum

The May Chapter Meeting will be held on Tuesday, May 15, 2018 at the Rosenbach Museum and Library at 2008-2010 Delancey Place, Philadelphia, PA 19103 (215-732-1600; map). The Board of Directors will meet at 5:30 pm; all ASA members are welcome. The general meeting from 6:30-8:30 pm will include a buffet dinner and private tour of the Rosenbach townhouses, including the current exhibition, Of Two Minds: Creative Couples in Art and History.

The Rosenbach Brothers
Located in two immaculately maintained 19th century townhouses minutes from Rittenhouse Square, the Rosenbach Museum was established by the testamentary gift of Dr. A.S.W. Rosenbach and his brother and business partner, Philip Rosenbach -- bachelors who lived at 2010 Delancey. The brothers were probably the most famous dealers of rare books, manuscripts, and decorative arts of the early 20th century.

The Brothers’ Legacy
The Museum contains the brothers’ original libraries and residential areas as well as their collections of rare books, manuscripts, furniture, silver, paintings, prints, drawings, and sculpture. Among the treasures are James Joyce's manuscript of Ulysses and the earliest known letter by George Washington. And manuscripts, notes, photos, and drawings from other luminaries including Lewis Carroll, Cervantes, Thomas Jefferson, Charles Dickens, Joseph Conrad, and Dylan Thomas.

Other Collections
Two other collections deserve special mention. Maurice Sendak, the famed author and illustrator of Where the Wild Things Are and many other books, had a close, personal relationship with the Rosenbach and donated his rare book collection, including books by Herman Melville, Beatrix Potter, and William Blake.

The Rosenbach also owns almost all of the manuscripts and papers of Modernist poet Marianne Moore, as well as her personal library, thousands of photographs, and the contents of her Greenwich Village living room -- which is permanently installed on the third ﬂoor of the historic Rosenbach house.

Fishman, FASA, Managing Director and founder of Financial Research Associates, who will discuss the intriguing “Michael Jackson Estate Valuation.”

Awards & Appointments
Jay Fishman took his Bachelor's and Master's degrees at Temple, an M.B.A. from LaSalle, and soon after founded Financial Research Associates, where he specializes in the valuations of business enterprises and their intangible assets. His awards -- among them our Chapter's Sinclair Award, and the Appraisal Foundation's Chairman's Public Service Award -- and his leadership roles, including Editor of ASA's Business Valuation Review and Chair of it's Government Relations Committee, membership on the Appraisal Foundations Appraisal Standards and Appraisal Practice Boards, to mention a few, are the tip of an iceberg of a lifetime of accomplishment and service.

Articles, Books & Courses
Jay is a prolific author, having written, often in collaboration, more than two dozen articles, many chapters, and half a dozen books, the most recent being The Business Valuation Bench Book with William Morrison (2017) and A Consensus View Q&A Guide to Financial Valuation with James Hitchner and Shannon Pratt (2016). Much in demand as a speaker and panelist, he has talked about business valuation from coast to coast and around the world, including in Indonesia, Spain, Hungary and most recently in Italy. Jay has also developed and taught courses on business valuation for the IRS, the AICPA, the Hong Kong Society of Accountants, and on behalf of the World Bank in St. Petersburg, Russia. He also taught courses in Moscow, Russia, and for the Slovenian Institute of Auditors in Ljubljana, Slovenia.

Expert Witness Testimony
Mr. Fishman has been court-appointed to value closely held enterprises in Pennsylvania, New Jersey and other states, and has qualified as an expert witness and provided testimony in Federal District Court, United States Tax Court and in more than a dozen state courts.

It was an expert witness called by the estate that Mr. Fishman came to testify last February in the case of the Estate of Michael J. Jackson et al. v. Commissioner of Internal Revenue in U.S. Tax Court in Los Angeles. It was there that he famously said "I call it like being in a nuclear winter."

The guest speaker will be Elijah Dornstreich, a Vice President and Financial Advisor in Bernstein Global Wealth Management’s Philadelphia office. Mr. Dornstreich will talk about "All The Right Moves: Financial Planning in a Turbulent World."

A graduate of the University of Pennsylvania with a BA in sociology, Elijah Dornstreich came to Bernstein from Capital Business Partners, which specializes in funding solutions for small-business and retail clients. At Bernstein, Mr. Dornstreich advises individuals and institutions regarding a wide range of financial planning and investment matters, ranging from tax, retirement, and wealth planning, to planning for the sale of a small business, stock and options planning, and pension solutions.

Active in professional and civic affairs, he is a member of the Philadelphia, Pittsburgh and Bucks County Estate Planning Councils. He serves on the Boards of the AJC: Global Jewish Advocacy, the National Museum of American Jewish History, and Home Front Hearts, a nonprofit serving military families.

Mr. Dornstreich will discuss the factors contributing to the continuing stock market rally -- and what could derail it -- with a view toward investment and retirement planning. He will show how a rational and systematic approach to retirement planning built on the "right moves" can lead to success, even in adverse markets.

2017 Holiday Charity Event & Happy Hour

The Philadelphia Chapter of the American Society of Appraisers will sponsor a Charity Event and Happy Hour on Thursday, December 7, 2017 from 5:00-8:00 pm in the Fayette Room on the first floor of The Great American Pub(610-940-0540), 123 Fayette Street, Conshohocken PA. The event will benefit Cradles to Crayons.

Charity Event. Please bring a new or gently-used article of essential children’s winter clothing. The clothing, or a $10 donation instead of clothing, will go to Cradles to Crayons. The charity helps children living in low- income and homeless situations.

Happy Hour. Enjoy a delicious selection of hot and cold hors d'oeuvres and an open bar (soda, draft beer, all house wines and liquor), all courtesy of the Philadelphia Chapter.

The guest speaker will be John Barton, President of Brandywine Valuation Consultants, LLC (BVC) in Lyndell, PA. Mr. Barton will discuss advanced “Topics in International Business Valuation.”

MR. BARTON. An MBA graduate of La Salle University, John also did his undergraduate work at La Salle and took a Masters from Fordham University. The past Chairman of the ASA Business Valuation Committee, he is a CPA, who left Murray Devine & Co as a Vice President to establish BVC in 2008. John has been involved in the valuation of over 700 business entities, from small sole proprietorships to multinational corporations, and has taught business valuation courses throughout the United States and Europe for the ASA, IIBV, RICS, and the Big 4 accounting firms.

HIS TALK. Mr. Barton's presentation will focus on recent developments in international BV education, as well as the profession’s growth in Europe, the Middle East, and Asia, and the status of professional designations overseas. He will explain why a knowledge of international business valuation is indispensable, even for practitioners appraising small to medium-size U.S. firms.

The May Chapter Meeting will be held on Tuesday, May 16, 2017 at the Simeone Foundation Automotive Museum at 6825 Norwitch Drive, Philadelphia PA 19153 (215-365-7233). The Board of Directors will meet at 5:30 pm. The general meeting beginning at 6:30 pm will feature retired neurosurgeon Frederick Simeone, M.D., founder of the Simeone Museum.

Dr. Frederick Simeone says he started thinking about cars as historical artifacts after making house calls with his father, a general practitioner. “We would go to junkyards together and then read about what made each car we saw important." His point is that "cars are not always just hobby things. They are representative of certain times and places in history.”

Housed in a 100,000-square-foot former engine remanufacturing plant near the Philadelphia International Airport, the Simeone Foundation Automotive Museum includes sports cars from the first international road races of the 1900s to competitors from the 1970s. Named Museum of the Year in 2011 by the International Historic Motoring Awards, it displays its vehicles in dioramas, like those at a natural history museum, and on Demonstration Days, Simeone and his curators drive the cars on a three-acre lot behind the museum.

Simeone wants visitors to understand the historical meaning of each of the sixty-five autos. Each is an original, not a copy or replica. None have have had parts replaced. He sees the cars as works of art, all originals and representative of their eras. “Cars are emotional items and, I feel, really worth studying as history.”

The Philadelphia Chapter of the American Society of Appraisers will sponsor a two-hour Pennsylvania Appraisers/Assessors Law Certification Course on Tuesday, May 9, 2017 from 4:00-6:00 pm at the Hilton Garden Inn, 530 Pennsylvania Ave, Fort Washington, PA (215-646-4637). The class covers required topics of the Pennsylvania Real Estate Appraisers Certification Act and the Assessors Certification Law, and the Regulations of the Pennsylvania State Board of Certified Real Estate Appraisers. It emphasizes changes to the laws made during the past two years, and offers a refresher on the provisions most relevant to everyday practice.

The Pennsylvania State Board of Certified Real Estate Appraisers requires biennial recertification for State Licensed Appraisers and Assessors, with all certificates expiring on June 30 of odd-numbered years (i.e., 6/30/17). This class meets the specific requirement for two (2) appraisal re-certification hours on the Real Estate Appraisers Certification Act.

Mr. Brady earned a JD at Temple's Beasley School of Law (2001) and before that an MSME in Structural Mechanics and Dynamics at Rensselaer Polytechnic Institute (1990). As a patent attorney, he counsels clients about intellectual property protection, including patentability opinions, due diligence, trademark prosecution, trade secrets and guidance relative to copyright filings. But he is equally comfortable talking about mechanical devices, mechanisms, composite materials, structures and electronic packaging, and he has a general understanding of software, electrical, materials and processes. And he is knowledgeable about service and employment contracts as well as corporate and partnership formation.

The course provides a comprehensive review of the concepts studied in ME201, ME202 and ME203. It reviews the application of appraisal techniques to valuation of an integrated facility, such as a steel mill, and it considers various professional standards including USPAP, IVS and Ethics and their relationship to report writing. It also discusses how to develop and write a professional appraisal report.

This recently updated course examines in-depth the skills needed to address obsolescence -- physical, functional and economic. And it will provide the tools needed to analyze inutility, complex leasing structures, residual forecasting, and fair rental calculations (for leasing), as well as facility valuation using all three approaches to value. Throughout, there will be an emphasis on applying the concepts studied to day-to-day practice.
