January Breakfast Meeting: Sports Collectibles with Ted Taylor

The January Breakfast Meeting will be held on January 18, 2012 at 8:00 am at the Doubletree Guest Suites in Plymouth Meeting, PA. The guest speaker will be sports enthusiast, educator, writer, and collector Ted Taylor, who will talk about “Sports Collectibles.”

A life-long baseball fan and collector of baseball cards and sports memorabilia, Ted Taylor is a Philadelphia phenomenon known for his frequent radio and TV appearances and for the magazine articles, newspaper columns and books he has written about his passion for over 35 years. His books include The Ultimate Philadelphia Athletics Reference Book, 1901-1954 and Philadelphia Athletics by the Numbers: Let's Give Skeeters #2. The first President of the Eastern Pennsylvania Sports Collectors Club and co-founding President of the Philadelphia Athletics Historical Society, Ted was an expert witness in the Federal Anti-Trust suit (Fleer vs. Topps) that revolutionized the baseball card industry. A career educator, he has been a college teacher, baseball coach, administrator and athletics director at Philadelphia-area schools. A co-promoter of the Philadelphia Baseball Card & Sports Memorabilia Shows, Ted currently operates TTA Authentic LLC, an Abington, PA "full service hobby organization" providing sports and celebrity authentications, acquisitions, liquidations, marketing and public relations.

Ted Taylor’s talk about sports collectibles, including price fluctuations, and rampant forgeries, is sure to be illuminating, and qualifies for one hour of ASA Continuing Education Credit.

Louis, Esq., a Partner in and Co-Chair of the Personal Wealth, Estates and Trusts Practice Group of Saul Ewing LLP. Mr. Louis will talk about “Estate, Tax and Retirement Planning.”

Designated a "Pennsylvania Super Lawyer" by Philadelphia magazine and Law & Politics magazine, Mr. Louis is is a frequent lecturer and writer on topics relating to employee benefits, estate planning, asset protection planning, and business succession planning. He did his undergraduate work at The Wharton School, took his J.D. at Harvard Law, and earned an LL.M. in taxation at Temple University. Mr. Louis says his practice is devoted to helping “individuals, families and family businesses find ways to transfer wealth efficiently” and harmoniously. The Editor of Personal Wealth Law News, a law blog hosted by his Firm, he podcasts on Roth IRA Conversions and the Basics in Estate Litigation, topics he also covers in his Twitter posts. Mark Penny, ASA, Managing Director of the Haddonfield, NJ firm of Hempstead & Co. Inc. and ASA International Secretary/Treasurer. Mr. Penny will talk about “News from the 75th ASA Annual Conference, and where the ASA is heading.”

Mr. Penny joined Hempstead & Co. soon after completing an MBA at Temple University and a BA at the University of Pennsylvania. Mr. Penny has prepared valuation analyses for a variety of privately held businesses, ranging from manufacturing to agricultural, including professional practices and communication firms. He is experienced in estimating the value and useful life of intangible assets including goodwill, trademarks and trade names, and professional degrees, and has prepared analyses for many purposes including recapitalizations, ESOPs, mergers and acquisitions, purchase price allocation and calculation of economic damages.

A distinguished member of the Philadelphia Chapter, Mr. Penny has served as its President and also as Regional Governor. He has lectured on the topic of business valuation for the National Center for Employee Ownership and for estate planning groups.

Having worked earlier in his career as a play-by-play announcer, improvisational comedian, ring announcer, and baseball umpire, John is sure to deliver an engaging discussion of ASA's government relations practices.

Business Valuation Seminar: April 2011

The Philadelphia Chapter of the American Society of Appraisers (ASA) will hold its annual Business Valuation Seminar at the Doubletree Guest Suites Hotel in Plymouth Meeting, PA on Friday, April 29, 2011. The program includes sessions focused on limited partnership valuation, private cost of capital, financial fraud and its impact on business appraisal, recent important court decisions affecting business appraisal, and a panel discussion of matrimonial law appraisal.

James R. Park, ASA, a partner in the San Antonio, TX firm of Munroe, Park & Johnson, Inc., will discuss "Valuing Limited Partnerships" from 8:30 to 9:30 am, exploring both income and market approaches. He will also talk about recent litigation of family limited partnerships, including his own experiences. Mr. Park was graduated from Texas A&M University with a BBA in Finance and contributed to the Comprehensive Guide for the Valuation of Family Limited Partnerships and other publications. Robert T. Slee, President of the Charlotte, NC firm of Robertson & Foley, will talk about "The Private Cost of Capital," a discount rate model that measures private company risk. He will talk from 9:30 am to 12:15 pm, with a 15-minute break at 10:45 am. Mr. Slee, who has an MA from the University of Chicago and an MBA from Case Western Reserve University, founded MidasNation, a community dedicated to helping owners increase the value of their businesses. He is the author of over 200 journal articles and several books, the most recent of which is Midas Marketing: How Midas Managers Make Markets.

David Duffus, a Partner in ParenteBeard's Forensic, Litigation and Valuation Services group, will talk from 1:15 to 2:30 pm about "Financial Statement Fraud, including recent statistics, typical schemes, and the impact on business valuation. A Certified Public Accountant with an MBA in Accounting and Finance from the University of Pittsburgh, he specializes in complex litigation services, forensic accounting and valuation services assignments. Mr. Duffus, who joined ParenteBeard from PricewaterhouseCoopers, is a frequent speaker on fraud and its economic damages.

John Barton, ASA, President of the Lyndell, PA firm of Brandywine Valuation Consultants, LLC., will review "Recent Valuation Cases," primarily US Tax Court and Court of Appeals decisions in estate, gift tax and equitable distribution cases in PA and NJ from 2:30 – 3:25 pm. Mr. Barton holds an MBA from LaSalle in Finance and Accounting, and is a specialist in the analysis of closely-held stock, preferred stock, intangible assets, and debt securities. He has taught business valuation courses for ASA, Big Four accounting firms, the IRS, and at Villanova University, and has appeared as an expert witness in PA, NJ, and FL courts and in US Federal District Court.

Gary Friedlander, Esq., ASA, will lead a panel discussion from 3:40 to 4:40 pm on "Matrimonial Law Appraisal Practice." Mr. Friedlander's Norristown, PA practice concentrates on family law and the valuation of closely held corporations and professional practices. He holds an MBA from Drexel University and took his JD from the Villanova University School of Law. He is a member of the Pennsylvania and Montgomery County Bar Associations and is a participant in their family law sections.

2-Hr Pennsylvania Appraisal Law Class

The Philadelphia Chapter of the American Society of Appraisers will sponsor a two-hour Pennsylvania Appraisal Law Class on Wednesday, May 18, 2011 from 4:00-6:00 pm at the Doubletree Guest Suites at 640 West Germantown Pike, Plymouth Meeting, PA 19462 (Telephone: 610-834-8300). The instructor will be Robert J. Luciani, ASA.

The class covers required topics of the Pennsylvania Real Estate Appraisers Certification Act, and the Regulations of the Pennsylvania State Board of Certified Real Estate Appraisers. It emphasizes changes to the laws made during the past two years, and offers a refresher on the provisions most relevant to everyday practice.

The Pennsylvania State Board of Certified Real Estate Appraisers requires biennial recertification for State Licensed Appraisers, with all certificates expiring on June 30 of odd-numbered years (6/30/11). This class meets the specific requirement for two (2) appraisal re-certification hours on the Real Estate Appraisers Certification Act.

Jane Grimm joined ASA in 2007 after 10 years at the American Society of Pension Professional & Actuaries, where she was Chief Programs Officer and Managing Director. Before joining ASPPA, she worked as membership director and director of public affairs for two other associations. Mrs. Grimm's experience includes education development and implementation, membership growth and retention, project management, conference logistics, and writing and editing. As Executive Vice President, she manages ASA's business office and executes the directives of the Board of Governors and the International President. She believes that "members should do what only members can do ... while fully engaged staff should make things easier on them by performing logistical and project management details." March: 7-Hour National USPAP Update Course

The Philadelphia Chapter of the American Society of Appraisers will sponsor an all-discipline National USPAP 2010-2011 7-hour Update Course on Wednesday, March 23, 2011 from 9:00 am to 5:00 pm. The course will be held at the Marriott SpringHill Suites, 430 Plymouth Rd, Plymouth Meeting, PA 19462 (Phone: 610-940-0400), which provides ASA members and those taking the USPAP class with discounted rates as low as $139/night if reserved by 2/28/11. The National USPAP Update Course is a one-day course that focuses on recent changes to USPAP requirements for ethical behavior and competent performance by appraisers. This course, which clarifies several commonly misunderstood aspects of USPAP, will aid appraisers in all areas of appraisal practice seeking updated USPAP competency, including those subject to state licensing or certification and continuing education requirements imposed by professional organizations, client groups, or employers.

REVISED: March Meeting: Biofeedback Applications

The March Chapter Meeting will be held on Wednesday, March 16, 2011 at the Doubletree Guest Suites in Plymouth Meeting, PA The Board of Directors will meet at 5:00 pm; all ASA members are welcome. The general meeting starts at 6:30. The guest speaker will be Marvin H. Berman, Ph.D., President of the QuietMind Foundation in Plymouth Meeting, PA, who will talk about "Neurofeedback Training: A New Way to Treat Brain Disorders."

Mr. Berman was originally scheduled to address the Chapter in May and has graciously agreed, on short notice, to address the March meeting after Ted Taylor ran into a scheduling conflict. Plans for the May meeting and a new date for Mr. Taylor are in progress.

Marvin Berman earned his B.S. in Social Welfare and Psychology at the Empire State College, State University of New York and his M.Ed. and Ph.D. in Group Psychology at Temple University. He has conducted research into the use of EEG neurofeedback to treat fronto-temporal dementia, ADHD, and Alzheimer's and lectured, primarily on EEG and group dynamics, at local schools, including Lehigh, Temple, Wharton and Widener Universities and Jefferson Medical and Chestnut Hill Colleges. He has also consulted for State and Federal Agencies on a variety of topics, currently as an organizational consultant and coach for the National Park Service. He says " The goal of my work is to help people reach their peak performance" using drug-free, non-invasive techniques.

Jeff Gelburd earned his B.A. at York College of Pennsylvania, and was associated with Marsh USA before joining Murray Risk Management and Insurance. Before that he was with Sedgwick of Pennsylvania and DENTSPLY International. Nationally recognized for his expertise in Fiduciary and Director’s & Officer’s Liability, he developed the only program providing insurance specifically for ESOP companies. He also implemented similar qualified employee stock plans in Australia and in Europe, and in 1991 created a professional liability insurance program for ASA members. A frequent speaker at national conferences, he has written for Pensions World and CFO Magazine.

DeVinney, ASA, Senior Manager, Economic Advisory Services at Grant Thornton and Richard A. Hause, ASA, Executive Director at Grant Thornton of the Economic Advisory Services practice in Philadelphia, Practice Leader of the Philadelphia Valuation Services Group, and National Director of Real and Personal Property Valuation . They will discuss Hot Topics in Fair Value. The meeting will also include the annual presentation of the George D. Sinclair Award.

Charles DeVinney earned his B.A. and M.B.A. degrees at Temple University, and worked in regional banking before joining Grant Thornton. His primary focus is the valuation of closely held businesses or business interests and intangible assets for various purposes.

The general meeting starts at 6:30. The guest speaker will be Mark G. McCreary, Esq., a partner in the nationwide firm of Fox Rothschild LLP, headquartered in Philadelphia. Mr. McCreary will talk about Data Retention and Security.

A graduate of Villanova University, Mark took his J.D. at Southern Methodist University School of Law. His practice focuses on intellectual property and the law of the Internet, as well as general corporate and securities law. Privacy law, and data collection, retention and protection counseling are among his specialties. In his practice, he prepares privacy policies, handles privacy issues, including those related to the privacy of consumer financial information, prepares data security plans, and assists with data breach responses and notifications. Often quoted on privacy and security, he offers his Privacy Desk Reference for download, is an author of Fox Rothschild's Privacy Compliance & Data Security blog, and has written more than a dozen articles and papers.

Mr. McCreary’s talk will focus on privacy issues specific to the appraisal and valuation industries, including compliance with applicable laws, best practices, practical considerations, pitfalls, data breach response, and common workplace issues.

The Philadelphia Chapter of the American Society of Appraisers (ASA) will hold its annual Business Valuation Seminar at the Doubletree Guest Suites Hotel in Plymouth Meeting, PA on Friday, April 30, 2010. The program includes how-to sessions conducted by leading thinkers on such topics as IRC 409A and SFAS 123R, intellectual property valuation, reasonable compensation, and lack of marketability discounting.

Mark L. Zyla, ASA, a Managing Director of the Atlanta Georgia firm of Acuitas, Inc. will present A Case Study in 409a and 123R Valuations from 8:30-10:30 am. Mr. Zyla is the author of Fair Value Measurements: Practical Guidance and Implementation (Wiley, 2009) and co-author of AICPA courses Fair Value Accounting: A Critical New Skill for All CPAs and Accounting for Goodwill and Intangible Assets. His presentation will explore current valuation methods, option pricing models and probability return models, discounting for lack of control and lack of marketability, and compare IRS 409A vs. auditor's SFAS 123R expectations.

P.J. Pankaj Patel, ASA, a Senior Vice President, and Edward P. Hamilton, a Vice President, at the Princeton, NJ Valuation Research Corp. will discuss Valuing Intellectual Property And Other Intangible Assets For Financial Reporting Purposes In A Business Combination from 10:15-11:30 am. Mr. Patel who took his B.S. at the University of Toronto and M.B.A. at Canisius College specializes in the valuation of intangible assets including in-process R & D, software, trademarks, patents and copyrights. Mr. Hamilton, whose baccalaureate is from Rowan University in physics, holds an M.B.A. from Temple University. He focuses on the valuation of intellectual property and intangible assets such as trademarks, technology, software, customer relationships and in-process R&D. Using valuation case studies in consumer products, software, technology, and defense companies, Messrs. Patel and Hamilton will discuss valuing brands, customer relationships and technology, including use of the relief from royalty and excess earnings methods and the 25%/33% rule in valuing intellectual property.

Jim Bowers, a Vice President, and Jeff Bacher, a Senior Consultant, at the Philadelphia office of the Hay Group, will present a program on Reasonable Compensation from 11:30 am to 12:15 pm. Mr. Bowers, who took his B.S. at Pennsylvania State University and holds a M.I.L.R. from Cornell, specializes in executive compensation, global job evaluation and general rewards, with a focus on the chemical, pharmaceutical, and energy industries. Mr. Bacher is a Senior Executive Compensation Consultant for Hay and has over twenty years consulting and executive experience. Their presentation will focus on the nuts and bolts of reasonable compensation, including tools to determine reasonableness, and factors that would undermine the presumption of reasonableness.

John J. Barton, ASA, President of Brandywine Valuation Consultants, LLC in Lyndell, PA will discuss Techniques for Estimating the Discount for Lack of Marketability from 1:15-4:40 pm. Mr. Barton holds a B.A. from LaSalle University, an M.A. in literature from Fordham University and an M.B.A. from LaSalle in Finance and Accounting. A specialist in the analysis of closely-held stock, preferred stock, intangible assets, and debt securities, he has taught business valuation courses for ASA, the Big Four accounting firms, the IRS, and at Villanova University. Mr. Barton's discussion of the discount for lack of marketability will use a case study approach focused on these analytical processes:

Timothy A. Griffith is a commercial real estate appraiser, preparing real property appraisals for major lending instructions, non-profit organizations, corporations, attorneys, private individuals, and estates. He holds a State Certified General Real Estate Appraisal License in the states of New Jersey, New York, and the Commonwealth of Pennsylvania. This 15-Hour USPAP Course presents an overview of the USPAP 2010-2011 regulations and guidelines, and fulfills the requirements of appraisal societies for designation, and for USPAP continuing education. John Barton performs valuations for transactions, tax matters, corporate restructuring, and litigation. He is also an instructor of ASA Principles of Valuation courses both here and abroad.

Mr. Barton is the current Chairman of ASA’s Business Valuation Committee, and also serves on the International Membership Committee, as well as on a Subcommittee, the Board of Examiners. He is a Practitioners’ Publishing Company author and a frequent speaker at professional societies on valuation topics.

A member of the American, Pennsylvania and Philadelphia County Bar Associations, Mr. Hinkle took his B.A. in economics and psychology at Wabash College, and earned both his J.D from the University of Pittsburgh School of Law and an M.S. from Carnegie Mellon University's Heinz School in a dual-degree program.

Mr. Hinkle is admitted to practice in all Pennsylvania State Courts, local United States District Courts, and the United States Third Circuit Court of Appeals. He concentrates on insurance liability litigation, including product, motor vehicle, and premises liability matters. A significant part of his practice is also devoted to employer/employee relations and to commercial contract and construction litigation.

March: Real Property Seminar

The Northern New Jersey Chapter of the American Society of Appraisers and the New Jersey North Chapter of the National Association of Independent Fee Appraisers will jointly sponsor a two-hour Real Property Seminar on The Home Valuation Code of Conduct and Fannie Mae Form 1004 MC. The seminar will be held on Monday, March 23, 2009 from 4:00-6:00 pm at the Wilshire Grand Hotel, 350 Pleasant Valley Way, West Orange, NJ 07052. Robert J. Luciani, ASA, IFA, a real property appraiser practicing in Philadelphia, will conduct the seminar, which will be followed by a Chapter Dinner Meeting.

The housing bubble and subsequent melt-down has led to two new requirements for appraisals submitted to the federal mortgage agencies.

The new Home Valuation Code of Conduct (HVCC), effective May 1, 2009, applies whenever the primary lender plans to sell the loan to Fannie Mae or Freddie Mac. It's designed to prevent conflicts of interest.
Beginning April 1, 2009, appraisal reports submitted to Fannie Mae will require Form 1004 MC, a Market Conditions Addendum. Its purpose is to illuminate neighborhood market trends and conditions.

Mr. Luciani will explore the HVCC and 1004 MC requirements and relate them to current USPAP obligations for appraisers.
