HOA stands for “homeowners association,” aka common interest developments, in what is now the dominant form of residential housing development. Over 70 million people call community associations (homeowner associations, condominiums, and housing cooperatives) home.

Currently, 27% of residential communities are community associations all across America, according to CAI’s National and State Statistical Review for 2018. And the number is projected to increase to 50% by 2040. Look at how much community associations have already grown since 1970 at the CAI page!

Regarding whether HOAs are nonprofits or quasi-governmental

Not lost in this debate about these two California HOA bills is the issue of whether homeowner associations (aka HOAs, or common interest developments) are nonprofit organizations or quasi-governmental entities (aka political).

That debate may be settled when you look at how your HOA files its annual IRS tax returns.

Unless excepted, political organizations described in section 527 of the Internal Revenue Code are required to file some or all of four forms:

P.S. It does not require a law degree to understand that most HOAs in California are highly-regulated by the State Davis-Stirling Law and that most choose to file Federal and State income taxes with IRS form 1120-POL, designating themselves as quasi-governmental or political organizations? At the same time, HOAs possess characteristics of nonprofit, private entities. That dual identity makes for much confusion by homeowners and those who live in concert with homeowner associations.

ALTACITIES today follows The Center for California Homeowner Association Law, a clearinghouse of consumer education, training, and referral services for the estimated 9 million California homeowners who now live in over 45,000 common interest development (CID) or HOAs in the state. CCHA is created to serve consumers who live in these localities or are considering purchasing an association home.

The CCHA mission is to provide training and support to public interest attorneys, to legal services organizations, to fair housing agencies, and to other nonprofits serving homeowners; to government agencies with jurisdiction over CIDs, and public officials, journalists, and researchers delving into the public policy issues raised by CIDs in their role as quasi-local governments. The focus of the Center is the web of laws and regulations creating the CID legal framework that governs both the lives and the property of association homeowners. ALTACITIES is a contributing member of CCHA.

Many of the articles on the CHA website are public. Others require registration -- for free -- as an Online Member. Some material is available as a benefit to Contributing Members of the Center.

CCHA is a 501(c)3 tax-exempt nonprofit organization. Membership Contributions and donations are fully tax-deductible.

Homeowners won’t reside long in a California Common Interest Development or Homeowner‘s Association (HOA), without coming to face with the state corporations code. Even though officers and directors are deemed fiduciaries, boards are not required to make the "right" decision. Rather, they must make what they believe to be the best decision for the corporation with the available information. Corporations Code §7231(a) protects directors from personal liability if they make decisions that result in damage or loss to others, provided their decisions were made:

In good faith,
In a manner which the directors believe to be in the best interests of the corporation, and
With such care, including reasonable inquiry, as an ordinarily prudent person in a like position would use under similar circumstances.

The most-often cited caveat and premise for how the Business Judgment Rule applies in California to HOA governance, is:

“Generally, courts will uphold decisions made by the governing board of an owners association so long as they represent good faith efforts to further the purposes of the common interest development, are consistent with the development's governing documents, and comply with public policy. Thus, subordination of individual property rights to the collective judgment of the owners association together with restrictions on the use of real property comprise the chief attributes of owning property in a common interest development.… Inherent in the condominium concept is the principle that to promote the health, happiness, and peace of mind of the majority of the unit owners since they are living in such close proximity and using facilities in common, each unit owner must give up a certain degree of freedom of choice which he [or she] might otherwise enjoy in separate, privately owned property. (Nahrstedt v. Lakeside Village.)” ▶ source

Under DSL, a developer of a common interest development is able to create a homeowner association (HOA) to govern the development. As part of creating the HOA, the developer records a document known as the Declaration of Covenants, Conditions, and Restrictions (CC&Rs) against the units or parcels within the HOA with the county recorder. So, first and foremost, the HOA is an invention for real estate developers and a consequence for homeowners who buy into HOAs. Even though it is not a governmental entity, but a private business, the HOA operates like an “alternate city” (ALTACITIES) in many respects. As recognized by the Supreme Court of California, the Declaration of CC&Rs is the constitution of the HOA and is legally binding upon residents to the extent that it does not conflict with state or federal law. CC&Rs, once properly recorded, are presumed valid until proven otherwise. The California Courts of Appeal have explained the quasi-governmental nature of the HOA. One of the most prolific and industry-trusted sources for governance information about common interest developments or homeowner associations (HOAs) is the Honorable Lawrence Stirling who (you guessed right) was the half-sponsor of the California Davis-Stirling Act (DSA).

At the closing of the 2017 California Legislature session the second week of September, one of the oblique (meaning little-observed) and almost anonymous laws that was passed and signed by Governor Brown had the title that is noted above and is now archived in the following post. One week later, almost nothing about this story appears in the public press. A Google search barely mentions the topic.

The subject of the law is a homeowners Bill of Rights for the some 9 million residents of common interest developments, aka homeowner associations (HOAs), some 45,000 different communities in the state.

Since the new HOA law essentially becomes a preamble for the state code that governs HOAs, the law known since 1985 as the Davis-Stirling Act (see video link below), one might wonder why this so-called "Bill of Rights" had not been considered before. Due to the existence of the USA Constitutional Bill of Rights, why did it take 32 years for our state lawmaker to take up the idea of a "bill of rights" for homeowners who are essentially living in private governmental communities that have no accountability beyond the geographical limits of those areas.

What about HOA petitions?

Re: (4) Canvassing and petitioning the members, the association board, and residents for the activities described in paragraphs (1) and (2) at reasonable hours and in a reasonable manner.

If you have heard negative comments from HOA board leaders about petitions, line #4 of the new Bill of Rights may be welcome. Question is: How do you create and manage a petition?

First, note that the Davis-Stirling Law (PDF link) has numerous references to petitions, but it is virtually silent on the process of homeowner petitions to the board. Probably, that is due to the fact that the original draft (1985) and the revisions (2013) of the law did not include the Bill of Rights, nor did the law recognize this process.

Homeowners may ask for their HOA policy ad procedure for creating, drafting, and submitting petitions, but this, too, may not exist.

‘Solar eclipse’ for California HOAs ★ AB-634

What does the average California solar installation cost?

▶ In CA, the total average cost of an installed residential solar (PV) system is about $16,950 for a four-kilowatt system, the average size of a residential installation.

But since we are among 182 owners in the unique Cobblestone Canyon (condos) of Trilogy Glen Ivy, it stands to reason the average-capacity system would not meet our needs here.

But even if it did and we could reasonably move through the HOA approval hurdles (see attached report), the amortization of such a system seems well beyond reach.

Let’s assume a solar system could drop our monthly bills to zero. For 2017, our monthly SCE bills averaged $58.30, or 644.21 for the year. My simple math calculation means it would take 26 years to amortize a $16,950 solar system.

Simply observing that this idea is not in the cards at this time even though a new California law (AB-634) grants more liberality for homeowners in HOA and restricts HOA boards from ”overreach” to control and limit homeowner options for solar installations. ▶ http://docdro.id/uQlrB6z

ARCHIVE WORTHY ▶ B R E A K I N G N E W S ▶ In a case of first impression, the Massachusetts Supreme Judicial Court (SJC) in the case of Trustees of the Cambridge Point Condominium Trust vs. Cambridge Point, LLC, has ruled that condominium developers cannot unreasonably restrict the ability of owners to file suits against them. In its Decision, dated January 19, 2018, the Court rejected as violative of public policy, the anti-litigation provisions that developers have been routinely inserting into condominium documents for the last 10-15 years in order to make it difficult if not impossible to sue them for construction and other issues. The typical anti-litigation provision (which was the same one at issue in this case) requires:

(1) an 80% unit owner vote prior to suing the developer,
(2) the vote must be taken within a narrow 60 day window,
(3) a copy of the proposed lawsuit must be circulated within the 60 day window,
(4) if the owners vote in favor of suing, the Board must immediately specially assess all the owners the entire estimated cost of the lawsuit (legal fees and costs), and

Unfortunately, the prompting of this post comes from a tragic story and an equally tragic loss. DONIE VANITZIAN, an accomplished mediator-arbitrator for homeowner association matters is reported murdered in Los Angeles, according to the accounts below. Flipped here as well at the end of this post, is a SLIDESHOW archiving the last LATimes article that Vanitzian published. Ironically, the topic is about "conflicts" of interest held by HOA attorneys when they have dual representation for HOAs and management companies at the same time.

DONIE VANITZIAN will be remembered as a champion voice for homeowners in common interest developments, aka HOAs. Her untimely passing is the subject of tribute from numerous sources that follow the HOA industry, notably those who represent homeowners in the equation. ▶ SOURCE

Vanitzian, 67, died Dec. 28 at her house in Del Rey, the victim of an alleged homicide.

“The Los Angeles County District Attorney’s Office has charged Vanitzian’s husband of 35 years, Thomas Foster, with one count of murder.

“Los Angeles Police Lt. John Radtke said Foster, 75, left a note detailing his plans to kill Vanitzian and then commit suicide. Foster was found at the home nearly unconscious, authorities said.

“Radtke said some evidence has emerged that Foster had a degree of mental illness.

“He pleaded not guilty Wednesday in Los Angeles County Superior Court.

“It’s a tragic situation,” said Michael Krieger, a friend and occasional co-author of the Times column. ▶ SOURCE
