            <title>What factors determine the &quot;Multiple&quot; of earnings?</title>
            <description>A &quot;multiple&quot; of earnings is a valuation method whereby the value of a company is expressed through the use of a multiple applied to the Company's earnings.  For instance, a company that has Earnings Before Interest, Taxes, Depreciation and Amortization (EBITDA) of $2,000,000, that has a &quot;value&quot; of $10,000,000, was valued at  5 x EBITDA. The appropriate earnings multiple that should be used to value any particular company depends upon a number of factors, or attributes.  One way to drive a higher value for your company is for it to possess some of those attributes that warrant a higher earnings multiple.  Predictability of revenue, sometimes referred to as &quot;stickiness&quot; of revenue, is one of those attributes that impacts the earnings multiple.</description>

            <description>Over the last 18 months, the deal process has shifted in favor of the seller. Quality businesses are commanding interest from multiple buyers. Corporate Investment has obtained multiple offers on six transactions within the past year. Our firm currently has five businesses with signed Letters of Intent, moving through the due diligence phase. Multiple offers were submitted on three of these transactions, and a strategic acquirer submitted a pre-emptive offer on one of the other two. This dynamic gives sellers the luxury of negotiating more favorable deal terms, including granting exclusivity much later in the deal process, a decidedly favorable position. In past market cycles, a savvy buyer would negotiate a lengthy due diligence phase, then attempt to re-trade for a lower price with a seller suffering from &quot;deal fatigue.&quot; Multiple buyers in play gives the seller leverage to negotiate a shorter timeline for due diligence, and keep the buyer moving towards closing. </description>
