Time to Set New Targets for 2015

11 days left to reach 2015.

2014 has been a quiet year at the beginning then suddenly oil price fall below USD60

KLCI reached 1,892.62 in July 2014, then drop below 1,750 recently.

Have you reached your targets for 2014?

If yes ~ Well Done!!! ^_*

If not ~ time to think back:

learn from your mistake in 2014 or years b4 that
learn from ppl who did better than you
did you spend enough time to meet your targets?
try not to find excuses to cover your mistake eg. I don't have time to read news or do research but I have time to go out drinking, play games, online, FB etc....

End of the day, only you can help yourself to reach your goals :)

Excuses are powerful which might hold you back ~ try to kick them out :)

A Day to Remember ~ Minority Forced To Sell MAS (3786) Cheaply to Khazanah @ 0.27

Finally no turn around now. All minority shareholders who disagree with the cheap offer have to accept it no matter what.

"Well done" to Khazanah who manage to buy out MAS cheaply from the market.

Do you think the voting is genuine?? Or same as the election?? To me, I don't believe so unless they clearly shows all the votes to the public.

Before the vote, analyst keep on saying the offer price 0.27 is reasonable.

After the vote, worth 1.50 or 2.00?? (+456% or +641%??) Hahahaha.....what a joke

Anyway, is history now. To me, this is a bad example created by them and will prevent foreign investment, rich funds and rich ppl to invest in Malaysia's share market (especially those control by them).

D-day for MAS (3786) on 6 November 2014

Today saw this on NST website:

“If MAS is able to trim the workforce by 30 per cent, you are looking at an annual saving of about RM700 million."

Yes, it is a good news if it happened, but don't forget the main question is WHY NEED TO DE-LIST MAS TO DO THIS?

Recently we have seen many news about Fuel price, below show you some information I have gather:

Fuel cost MAS RM 3,117,000,000 for YTD 30 June 2014, approx. 43% of total expenditure.

IATA jet fuel price analysis shows drop approx. 17.6% as compare to 1 year ago. (You can see biggest decline only happened recently as shown in the graph below)

A quick simple calculation:
every 1% drop in jet fuel price will provide approx. RM 31 million savings to MAS.
10% drop means approx. RM311 million savings to MAS.

Jet Fuel Price:
2008 - in June, gone up to approx. USD 180/bbl
2009 - in Feb, gone down to approx. USD 50/bbl (down approx. 72%)
2011 - in Feb, gone up to approx. USD 140/bbl (up approx. 180%)
2012 - approx. USD 134/bbl
2013 - approx. USD 129/bbl

MAS profit/loss:
2009 - approx. RM 490millions
2010 - approx. RM 234millions
2011 - approx. (RM 2.52billions)
2012 - approx. (RM 433millions)
2013 - approx. (RM 1.17 billions)

Above shows how Jet Fuel Price, a major expenditure, affected MAS profit/loss.

With current price drop in Jet Fuel, do you still think 0.27 offer by Khazanah is reasonable?

Potential further down in Jet Fuel Price with current World economy growth? I believe so.

Also don't forget the above Jet Fuel Price information didn't take into account:
“If MAS is able to trim the workforce by 30 per cent, you are looking at an annual saving of about RM700 million."

Why Khazanah never highlight Jet Fuel Price in their proposal?

As mentioned before Khazanah should offer 0.502 or 0.537 per share if that's what they believe MAS worth for?? [Previous Post]

Khazanah ~ The MAS (3786) Recovery Plan ~ gonna help ???

The 12 Distinctive Features:

Creation of a new legal entity (“NewCo”) to house New MAS, Delist, and Relist
Funding of up to RM6 billion on a strict conditional basis, and halving of net gearing to approximately 120%
Reset the operating business model through a more regionally-focused network, lower cost structure, and greater focus on revenue yield management
Move headquarters (“HQ”) and operations from Subang to KLIA
Strengthen assurance, integrity and safety functions
Review and, where appropriate, renegotiate supply contracts
Strengthen Leadership
Right-size the workforce to an estimated 14,000 employees at NewCo
Strengthen industrial relations and internal alignment
Reskilling, job creation, and redeployment
Appropriate Government support on key initiatives
Continuous communication and stakeholder engagement

Will these works? It looks like a nice proposal.

To me, as an investor point of view, it might sounds like a good plan but the main thing is WHY NEED TO DE-LIST MAS TO DO THESE FEATURES? They can do these without de-listing MAS and offering just 0.27 to minority shareholders.

These Can Be Done Long Time Ago
Not Really Something New ~ Most Ppl Knew About These Problems within MAS

REASON? TO ME ONLY ONE, THEY SEE THE OPPORTUNITY TO TAKE OVER AT A LOWER PRICE.

Based on new information, Khazanah have invested RM 7billions or RM 7.6billions to MAS.

a) RM 7billions scenario:

Khazanah total shares 11,592,389,200
Cost per share 0.604
Revised cost per share 0.502 (-16.89% discount to Khazanah)
(If offer 0.27 for remaining shares is accepted)

b) RM 7.6billions scenario:

Khazanah total shares 11,592,389,200
Cost per share 0.656
Revised cost per share 0.537 (-18.14% discount to Khazanah)
(If offer 0.27 for remaining shares is accepted)

They should offer 0.502 or 0.537 per share if that's what they believe MAS worth for??

By offering a price which is lower than what they have invested before, is a plus to them only, don't you think so?

Another interesting news:
"Kumpulan Wang Persaraan (KWAP) agreed to swap its RM750mil existing perpetual sukuk with ordinary equity, meaning that it will eventually become shareholder in MAS"
Why give KWAP the chance to choose to become a shareholder and not minority shareholders?

If Khazanah believe 0.27 is a good offer, why not they sell all their shares at 0.27 to other ppl or the minority shareholders? I believe many ppl will be interested with it, what do you think? ^_*

RM 7billions/7.6billions + RM 1.4billions = RM 8.4billions/9billions to get 100% ownership of MAS
MAS revenue RM 15.1billions
Latest financial statement shows only 5% reduction in revenue due to unfortunate incident

Etihad Airways pay Euro 1.76billion (approx. RM 8billions) for 49% stakes in Alitalia SpA.
Alitalia SpA revenue Euro 3.594billions (approx. RM 16billions) similar to MAS

MAS is a cash generating company, that's why Khazanah not willing to sell their part?

Now all depends on the minority shareholders to vote.

To me:

minority shareholders should accept the offer if you are having profit now or not willing to wait until end of 2014 or after that to cash in.

minority shareholders should reject the offer if you are having loss now and no rush to cash in. Wait for a better offer from Khazanah.

Risk:
a) Khazanah take back their offer and let it face bankruptcy. Likely? To me the chance for this is minimum.

Khazanah offer 0.27 for MAS (3786) ~ fair ~ ???

Some analysis said the offer is reasonable. What do you think?

To me, don't think so. The offer should be higher.

Based on information available, some said Khazanah have invested RM5billions or RM5.7billions to MAS.

a) RM5billions scenario:

Cost per share 0.431

Revised cost per share 0.382
(If offer 0.27 for remaining shares is accepted)

b) RM5.7billions scenario:

Khazanah total shares 11,592,389,200
Cost per share 0.492

Revised cost per share 0.424

They should offer 0.382 or 0.424 per share if that's what they believe MAS worth for??

= approx. RM 2,774 net profit - RM20 for my 1st Edition

Example B:
