										<content:encoded><![CDATA[<h1><strong>COVID-19 Emergency Loans: Small Business Guide &amp; Checklist</strong></h1>
<p>The Coronavirus Aid, Relief, and Economic Security (CARES) Act allocated $350 billion to help small businesses keep workers employed amid the pandemic and economic downturn.</p>
<p>Known as the Paycheck Protection Program (PPP), the initiative provides 100% federally guaranteed loans to small businesses.<span id="more-862"></span></p>
<p>Importantly, these loans may be forgiven if borrowers maintain their payrolls during the crisis or restore their payrolls afterward.</p>
<p>The administration soon will release more details including the list of lenders offering loans under the program.</p>
<p>In the meantime, the U.S. Chamber of Commerce has issued <a href="https://drive.google.com/open?id=1arnYQ9i_lH64B4mcAcpW2fJw6jfUY8P1" target="_blank" rel="noopener nofollow noreferrer">this guide</a> to help small businesses and self-employed individuals prepare to file for a loan.</p>
<p>Here are the questions you may be asking—and what you need to know.</p>
<h2><strong>Are You Eligible?</strong></h2>
<p><span style="font-weight: 400;">You are eligible if you are:</span></p>
<ul>
<li style="font-weight: 400;"><span style="font-weight: 400;">A small business with fewer than 500 employees</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">A small business that otherwise meets the SBA’s size standard</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">A 501(c)(3) with fewer than 500 employees</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">An individual who operates as a sole proprietor</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">An individual who operates as an independent contractor</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">An individual who is self-employed who regularly carries on any</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">trade or business</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">A Tribal business concern that meets the SBA size standard</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">A 501(c)(19) Veterans Organization that meets the SBA size standard</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">In addition, some special rules may make you eligible:</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">If you are in the accommodation and food services sector (NAICS 72),</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">the 500-employee rule is applied on a per physical location basis</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">If you are operating as a franchise or receive financial assistance</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">from an approved Small Business Investment Company the normal</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">affiliation rules do not apply</span></li>
</ul>
<p><b>REMEMBER:</b><span style="font-weight: 400;"> The 500-employee threshold includes all employees: </span><span style="font-weight: 400;">full-time, part-time, and any other status.</span></p>
<h2><b>What Will Lenders Be Looking For?</b></h2>
<p><span style="font-weight: 400;">In evaluating eligibility, lenders are directed to consider whether the borrower was </span><b>in operation before February 15, 2020,</b><span style="font-weight: 400;"> and had employees for whom they paid salaries and payroll taxes or paid independent contractors.</span></p>
<p><b>Lenders will also ask you for a good faith certification that:</b></p>
<ul>
<li style="font-weight: 400;"><span style="font-weight: 400;">The uncertainty of current economic conditions makes the loan request necessary to support ongoing operations</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">The borrower will use the loan proceeds to retain workers and maintain payroll or make mortgage, lease, and utility payments</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">The borrower does not have an application pending for a loan duplicative of the purpose and amounts applied for here</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">From Feb. 15, 2020, to Dec. 31, 2020, the borrower has not received a loan duplicative of the purpose and amounts applied for here (Note: There is an opportunity to fold emergency loans made between Jan. 31, 2020 and the date this loan program becomes available into a new loan)</span></li>
</ul>
<p><span style="font-weight: 400;">If you are an independent contractor, sole proprietor, or self-employed individual, lenders will also be looking for certain documents (final requirements will be announced by the government) such as:</span></p>
<ul>
<li style="font-weight: 400;"><span style="font-weight: 400;">Payroll tax filings</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">Forms 1099-MISC</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">Income and expenses from the sole proprietorship</span></li>
</ul>
<p>&nbsp;</p>
<h2><b>What Will Lenders NOT Be Looking For?</b></h2>
</p>
<ul>
<li style="font-weight: 400;"><span style="font-weight: 400;">That the borrower sought and was unable to obtain credit elsewhere.</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">A personal guarantee is not required for the loan.</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">No collateral is required for the loan.</span></li>
</ul>
<p>&nbsp;</p>
<h2><b>How Much Can You Borrow?</b></h2>
<p><span style="font-weight: 400;">Loans can be up to 2.5 x the borrower’s average monthly payroll costs, not to exceed </span><b>$10 million</b><span style="font-weight: 400;">.</span></p>
<h2><b>How Do You Calculate Your Average Monthly Payroll Costs?</b></h2>
<p>&nbsp;<br />

<p>1. <b>For Employers:</b> The sum of payments of any compensation with respect to employees that is a:</p>
<ul>
<li style="list-style-type: none;">
<ul>
<li style="font-weight: 400;"><span style="font-weight: 400;">salary, wage, commission, or similar compensation;</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">payment of cash tip or equivalent;</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">payment for vacation, parental, family, medical, or sick leave allowance for dismissal or separation</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">payment required for the provisions of group health care benefits, including insurance premiums</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">payment of any retirement benefit</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">payment of state or local tax assessed on the compensation of the employee</span></li>
<li></li>
</ul>

</ul>
<p><b>2. For Sole Proprietors, Independent Contractors, and Self-Employed Individuals:</b></p>
<p>The sum of payments of any compensation to or income of a sole proprietor or independent contractor that is a wage, commission, income, net earnings from self-employment, or similar compensation and that is in an amount that is not more than $100,000 in one year, as pro-rated for the covered period.</p>
<h3><b>EXCLUDED Payroll Cost:</b></h3>
</p>
<ul>
<li>Compensation of an individual employee in excess of an annual salary of $100,000, as prorated for the period February 15, to June 30, 2020</li>
<li>Payroll taxes, railroad retirement taxes, and income taxes</li>
<li>Any compensation of an employee whose principal place of residence is outside of the United States</li>
<li>Qualified sick leave wages for which a credit is allowed under section 7001 of the Families First Coronavirus Response Act (Public Law 116–5 127), or qualified family leave wages for which a credit is allowed under section 7003 of the Families First Coronavirus Response Act</li>
</ul>
<p>&nbsp;</p>
<h2><b>Will This Loan Be Forgiven?</b></h2>
<p><span style="font-weight: 400;">Borrowers are eligible to have their loans forgiven.</span></p>
<h3><b>How Much?</b></h3>
<p><span style="font-weight: 400;">A borrower is eligible for loan forgiveness equal to the amount the borrower spent on the following items during the 8-week period beginning on the date of the origination of the loan:</span></p>
<ul>
<li style="font-weight: 400;"><span style="font-weight: 400;">Payroll costs (using the same definition of payroll costs used to determine loan eligibility)</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">Interest on the mortgage obligation incurred in the ordinary course of business</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">Rent on a leasing agreement </span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">Payments on utilities (electricity, gas, water, transportation, telephone, or internet)</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">For borrowers with tipped employees, additional wages paid to those employees</span></li>
</ul>
<p><span style="font-weight: 400;">The loan forgiveness cannot exceed the principal.</span></p>
<h3><b>How Could The Forgiveness Be Reduced?</b></h3>
<p><span style="font-weight: 400;">The amount of loan forgiveness calculated above is reduced if there is a reduction in the number of employees or a reduction of greater than 25% in wages paid to employees. </span></p>
<p><span style="font-weight: 400;">Specifically:</span></p>

<h3><b>What If You Bring Back Employees or Restore Wages?</b></h3>
<p><span style="font-weight: 400;">Reductions in employment or wages that occur during the period beginning on February 15, 2020, and ending 30 days after enactment of the CARES Act, (as compared to February 15, 2020) shall not reduce the amount of loan forgiveness </span><b>IF</b><span style="font-weight: 400;"> by June 30, 2020, the borrower eliminates the reduction in employees or reduction in wages.</span></p>

										<content:encoded><![CDATA[<h1><strong>Calfornia Assembly Bill 5 &#8211; What Is It &#038; Will It Affect Your Business?</strong></h1>
<p>Governor Gavin Newsom signed Assembly Bill 5 into law on September 18th, 2019 &#8211; and it went into effect on January 1, 2020.</p>
<p>Also known as the “gig worker bill,” this piece of legislation could have an impact on your business &#8211; especially if you hire independent contractors.</p>
<p>Don’t make the mistake of thinking this is only for people who drive for Uber or Lyft.<span id="more-823"></span></p>
<p>AB5 has the potential to impact practically all companies in the state of California that use independent contractors. AB5 requires businesses that hire independent contractors to reclassify them as employees, with a few exceptions.</p>
<p>We’ll discuss those exceptions in a minute, but first let’s define what exactly this means for businesses in California — and even some outside of the state.</p>
<p>AB5 expands on a ruling made in a case that reached the California Supreme Court in 2018, Dynamex Operations West, Inc. vs. Superior Court of Los Angeles.</p>
<h2><strong>Will The California Assembly Bill 5 (AB5) Affect Your Business?<strong></h2>
<p>AB5 entitles workers classified as employees to greater labor protections, such as minimum wage laws, sick leave, and unemployment and workers&#8217; compensation benefits &#8211; which do not apply to independent contractors.</p>
<p>Concerns over employee misclassification, especially in the gig economy, drove support for the bill.</p>
<p>In the 2018 Dynamex case, the California Supreme Court ruled that companies <strong>must use a three-pronged test</strong> in determining whether to classify workers as employees or independent contractors.</p>
<p>This <strong><em>“ABC Test”</em></strong> &#8211; as it’s called &#8211; assumes that workers are employees unless the company that hires them can prove three things.</p>
<p><strong>A worker can only be classified as an independent contractor if:</strong></p>
<ol>
<li>The worker is free to perform services without the control or direction of the company.</li>
<li>The worker is performing work tasks that are outside the usual course of the company’s business activities.</li>
<li>The worker is customarily engaged in an independently established trade, occupation, or business of the same nature as that involved in the work performed.</li>
</ol>

<p>California Assembly Bill 5 (AB5) extends employee classification status to gig workers.</p>
<p>Companies must use a three-pronged test to prove workers are independent contractors, not employees.</p>
<p>AB5 is designed to regulate companies that hire gig workers in large numbers, such as Uber, Lyft, and DoorDash.</p>
<h2><strong>Are Any Businesses or Industries Exempt from AB5?</strong></h2>
<p>Yes, over 50 professions or types of businesses are exempt from the bill. Exemptions include doctors, dentists, insurance agents, lawyers, accountants, real estate agents, hairstylists, and a variety of creative professionals.</p>
<p>However, AB5 also exempts business-to-business contractors that meet 12 specific requirements and referral agencies that meet 10 specific requirements.<br />

<p>The state has launched a new website with information, including a Frequently Asked Questions section to help business owners understand the ABC Test, AB5, and your obligations as an employer.</p>

<p><strong>The Employment Development Department (EDD)</strong>, which is your resource for information about your obligations as a taxpayer. EDD has created payroll tax-related resources and is preparing payroll tax seminars to provide guidance for employers.</p>
<p><strong>The Department of Industrial Relations &#8211; Division of Labor Standards Enforcement (DLSE)</strong>, which is your resource for information about wage and hour laws.</p>
<p><strong>The Department of Industrial Relations &#8211; Division of Occupational Safety and Health (DOSH)</strong>, which is your resource for more information about workplace health and safety laws.</p>

<p>Did you give your business financials a Spring cleaning this year?</p>
<p>As a business owner, you understand the importance of having essential financial documents at the ready.</p>
<p>Things like your balance sheet, income statement and cash flow report should be easily accessible and updated regularly.</p>
<p>But do you really <em>need</em> to keep seven years worth of federal &amp; state tax returns?<span id="more-746"></span></p>
<p>Yes, you do.</p>
<p>But, while you want to hold onto some financial documents like tax returns, others can be shredded and tossed.</p>
<p>If you’ve already taken steps to <em>go green</em> with your business then you’ve probably taken a big cut out of those mountains of receipts, bills, pay stubs, tax forms and other financial documents.</p>
<p>So how do you know what to keep and what to toss?</p>
<p>We’ll get into that, but first, let’s divide and conquer.</p>
<p>Use this blog post as a guide of which financial documents to keep, and for how long.</p>
<h2><b>3 Steps To Give Your Business Financials A Spring Cleaning</b></h2>
</p>
<h3><b>Step 1: Get Rid Of The Clutter</b></h3>
<p>There’s a good chance that a good deal of the paperwork in your files can be thrown in the trash &#8211; or shredded.</p>
<p>Be careful to shred anything that contains personal information like birthdays, social security numbers, bank accounts&#8230;etc.</p>
<p>Generally speaking, you can safely trash the following items:</p>
<ul>
<li style="font-weight: 400;"><span style="font-weight: 400;">Paycheck stubs after reconciling with W-2 form</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">Expired warranties</span></li>
<li style="font-weight: 400;"><span style="font-weight: 400;">Coupons after expiration date</span></li>
</ul>
<p>Let it go!</p>
<h3><b>Step 2: Categorize &amp; Organize</b></h3>
<p>Once you’ve made a good swath through the trash pile, do yourself a favor and set up a system to separate important financial documents into four categories:</p>
<ol>
<li>Documents you need to keep for 1-3 months.</li>
<li>Documents you should keep for 1 year.</li>
<li>Important documents you need to keep for 7 years.</li>
<li>Essential documents you should keep forever.</li>
</ol>
<p>Have a system and a place to collect, categorize, file and store these documents.</p>
<h3><b>Step 3: Keep It Up</b></h3>
<p>Now that you’ve created a system, the key is to actually use it, regularly.</p>
<p>This will help you avoid this major spring cleaning next year&#8230;and every year thereafter.</p>
<p>A system does you no good unless you’re actually using it.</p>

<p><span style="font-weight: 400;">If you own a business in Oceanside, the tax rate has increased from 7.75% to 8.25%, effective April 1, 2019.</span></p>
<p><span style="font-weight: 400;">The tax rate for all other cities in North County San Diego remains unchanged.</span></p>
<p><span style="font-weight: 400;">The sales and use tax rates vary depending on your retail location, with a base sales and use tax rate of 7.25 percent applied statewide.</span></p>
<p><span style="font-weight: 400;">In addition to the statewide sales and use tax rate, some cities and counties have voter- or local government-approved district taxes.</span><span id="more-715"></span></p>
<h2><strong>Know Your Sales and Use Tax Rate</strong></h2>
<p><span style="font-weight: 400;">As a retailer and local business owner, it’s important that you know and understand your sales &amp; use tax rates.</span></p>
<p><span style="font-weight: 400;">In addition to sales &amp; use taxes, district tax areas also exist in most counties and cities in the state. In addition, there may also be more than one district tax in effect in a specific location.</span></p>
<p><span style="font-weight: 400;">More than 75% of all businesses in California are located or do business in areas with a district tax.</span></p>
<p><span style="font-weight: 400;">How do you find out about the current sales, use, &amp; district tax rates in your specific municipality?</span></p>
<h3><strong>To verify the tax rate for your business location:</strong></h3>
<ul>
<li><span style="font-weight: 400;">Find a list of the latest sales and use tax rates at the following link: </span><a href="http://www.cdtfa.ca.gov/taxes-and-fees/sales-use-tax-rates.htm"><span style="font-weight: 400;">California City &amp; County Sales &amp; Use Tax Rates</span></a></li>
<li>You can <a href="http://www.cdtfa.ca.gov/taxes-and-fees/know-your-rate.htm#Find-Rate">look up a tax rate by address</a></li>
<li>Visit or call <a href="http://www.cdtfa.ca.gov/office-locations.htm">their offices</a></li>
<li>Call their Customer Service Center at 1-800-400-7115 (TTY:711). Available 8:00 a.m. to 5:00 p.m., Monday through Friday, except State holidays.</li>
</ul>
<p><span style="font-weight: 400;">The California Department of Tax &amp; Fee Administration has a variety of helpful resources to assist retailers and purchasers in determining the correct sales and use tax rate for any city or county in the state.</span></p>
<h2><strong>What Tax Rate Should You Use?</strong></h2>
<p><span style="font-weight: 400;">According to the CDTFA, if your business is located in an unincorporated area of San Diego County, you should generally collect the county sales and use tax rate.</span></p>
<p><span style="font-weight: 400;">Generally, you must collect, report, and pay the rate for the district (statewide rate + county + city) on the sale of taxable items if you are engaged in business:</span></p>
<ul>
<li>At a business location within the district;</li>
<li>With representatives in the district who make sales or deliveries into the district;</li>
<li>Leasing merchandise in the district; or</li>
<li>Selling or leasing vehicles, undocumented vessels, or aircraft that will be registered in the district.</li>
</ul>
<p>However, it is not always possible to determine the correct tax rate based solely on a mailing address or zip code.</p>

<h2><strong>How Will You Know If Tax Rates Change?</strong></h2>
<p><span style="font-weight: 400;">When a tax rate changes, the CDTFA notifies retailers by providing information in a special notice, businesses can </span><a href="http://www.cdtfa.ca.gov/subscribe/"><span style="font-weight: 400;">sign up</span></a><span style="font-weight: 400;"> to receive email notifications and get the latest news and updates.</span></p>
<h3><strong>When do you begin charging the new rate?</strong></h3>
<p><span style="font-weight: 400;">Again, this sales &amp; use tax increase is only affecting business in Oceanside, the rates remain unchanged for the remainder of North County San Diego.</span></p>
<p><span style="font-weight: 400;">If you own a business in Oceanside, the sales and use tax rate i</span><span style="font-weight: 400;">ncrease went into effect</span><span style="font-weight: 400;"> on April 1, of this year.</span></p>
