Your Unnecessary Expenses and Your Savings

For someone who is working on sourcing out capital or planning to venture into business, saving is a must. It lets you accumulate and set aside extra funds for the needed capital of your business. While identification of wants and needs is an essential part of saving, discipline comes first. There are a quite number of saving method published both by professional and bloggers alike on the internet, but the one you must choose is the one that can actually work effectively for you.

Personally, I have made my share on this and come up with some unnecessary expenses I have been incurring for the past months that could have been thousands in pesos by now.

If I could have avoided these expenses for the past three months, I would have accumulated the minimum requirement for a time deposit here in Singapore (according to PNB, minimum time deposit in the Philippines is Php25,000). Assuming I will roll-over the time deposit after the fixed term and add my accumulated funds for the next three months, the higher the interest I would have earned. Let's take a look at this figures:

I myself was totally impressed by how money could have grown. And this savings came from cutting of the unnecessary expenses alone - 21% for one year compared to the normal savings interest of .25% per month or 3% per annum. What more if I would have a regular monthly savings and the same I will add as time deposit?!

The interest rate would be the same but the point here is, your money is not sleeping but is actually working for your advantage.

Please take note that saving is a personal choice. So there are methods out there that might be effective for some but not for you. So choose the one that is best suited to your financial condition and which you can follow religiously.

Philippines is one country who cannot do away with eating rice - and bread. Despite the many health conscious individuals hooked into no rice or fattening bread diet, bread is undeniably one of the basic commodities of common households in Pinas. Having said that, aside from the junk shop business, I am looking at a bakery business as a profitable business. Why?

Filipinos love to eat bread and the business minded should keep this in mind. This is our second staple after rice. Pandesal is the usual breakfast fare most Pinoys can’t do without before starting their days. Snacks are usually a few slices of bread taken with coffee, softdrinks or fruit juice. An aspiring bakery businessman should therefore have these two products in his list and expand from there.

Here's how to start a bakery business in the Philippines (aside from keeping in mind that it is a "must" to have pandesal on your list of breads to sell):

SET UP YOUR OWN BAKERY

1. Study the business

Before you put up a bakery, you must first learn how to bake. Many people make the mistake of putting up a bakery without first knowing how bread is baked. It is not enough that you hired bakers to do the work, you must also know the baking process so that your bakers would not give you a run-around.

A month of training is enough especially if the training program you enroll in has plenty of hands-on activities, meaning you are asked to bake and not just sit and listen and watch the demonstrations. There are a lot of training centers and culinary schools offering baking courses.

But the best baking courses are offered by the flour mills themselves. And more often than not, these courses are offered free of charge to prospective bakers as part of the company's marketing efforts. So get in touch with any of the local flour mills and ask for their training schedules.

2. Look for a good location

A food business like a bakery depends on high human traffic. Look for a location where people congregate like a market, near a school, a bus or jeepney terminal or even a tricycle terminal and put up your bakery there. The people that populate your area are your target customers.

3. Suit your products to your customers

If your bakery is in Tondo, then your products should suit the people of Tondo. Do not produce pastries like apple streudels or Italian Rye Breads or Belgian cookies because these products are not the type that people in Tondo consume. These products are for the shopping mall crowd. Try producing pan de sal, Monay, tasty breads, ensaymada etc. These are bakery goods that people in Tondo are familiar with and regularly consume. Also, these are products they can afford.

4. Start small

It is better to start small especially if you are new in the business. If the business grows, then it will be easy for you to expand, rather than start big and downsize later. Suit the type and size of equipment you will buy to the volume of products you want to produce. remember, you should not produce more than you can sell.

5. Buy the right sized equipment

Do not get a mixer with a one bag of flour capacity if your oven can only take in eight plantas or 160 pcs of pandesal at a time. One bag of flour normally produces 1,880 pieces of pan de sal weighing 25 grams each. Get technical help from equipment dealers. Do not just deal with one. Get the best offer and technical advise you can get.

6. Maintain product consistency

Make sure that your bread tastes the same today as it did yesterday and as it would tomorrow. Customers return to buy bread when they like its taste. Do not give them a different tasting bread when they return because they will either complain or not return anymore.

7. Be good to your employees

Take good care of your employees and give them the right salary. If your employee is happy, they will take care of your business and make sure that your customers are happy too. A happy customer will always return and buy more. And you are assured that your business will grow.

Starting A Gym Business

Last night was one of those "I will sleep now, I do not want to talk to you anymore" nights between me and my husband. For a few weeks now, he has been into gym and fitness activities. Actually, he has been going to gym everyday for as I said few weeks now. He mentioned about going into gym business as a profitable venture. Disappointing him was none in my list but I do no want to give him false hope. Despite of being tired for the whole day, I got myself seated and explained. But then, he is not a finance person so explaining ROI, net income and rate of return were not in his vocabulary.

So I ended up watching him stretch his muscles and ending the call eventually.

According to the person he inquired about starting a gym business, it would require Php50,000 investment to put up a gym business. In our residence area, the entry fee of going to gym is only P20. So roughly if you have only 5 loyal customers a day, assuming the daily operating expenses would only P70, that would leave you a P30 net income per day times 30 days to get the monthly income times 12 to get the yearly income of only P10,800. Not a good picture if this business would only be your source of income. To compute for the ROI or return on investment, divide the investment by the yearly income so Php50,000/10,800=4.63 years or 4 years and 8 months before you can have the initial investment recovered. Anything you earn after the investment recovery would be your profit in putting up a business.

That is too long!

But then those are assumptions so you would really be needing a good location and a good business plan

How To Grow Money At A Young Age

Few months after I mentioned investing in stocks with my eldest son started his interests in investing. At first it was about the thought owning a part of his favourite fast food chain in the Philippines - Jollibee thru an online stock broker. He was delighted to know that at an affordable sum of money he can already "own" a company as big as that fast food chain.

Then a few days back I introduced to him why he should want grow his money at an early age. It was a relieve that he doesn't want to work abroad to earn a bigger income. According to him, it is still best to enjoy life and happiness together with the family. So I told him, then you need to be financially literate and grow your money!

First and foremost, we need to know why do we want to grow our money I told him. There should be a goal which you want to work on achieving.

Do you want your own house? Do you want your own car?

Do you want to take pleasure on travelling around? Do you want to help others?

If the the answer is yes, then you have a goal. And achieving one of these should not in any way affect the life style you want to live. There should be no worries on how are you going to pay up your bills after buying that dream smart phones. Or after helping a relative, deep inside you, you were not totally happy because it affected your budget for the month. Scenarios which you can only avoid when you know that cash out like these is replaceable because your money is growing.

So how to grow your money at a young age then, he asked me?

You set your goals - visual, intellectual and financial goals.
Live simple - stick to the basics until you are stable - emotionally and financially until then you can add some perks and leisure to your life style.
Know where your every peso goes.
Save as much as you can.
Invest in companies you dream of owning (motivation is the key here since a child is still a child)

It is not a taboo word or activity that cannot be discussed or discussed only by and within selected people.

It may not be the official definition but I am just sharing something that you could picture yourself as having someone with investment already.

Understanding The Power Of Compound Interest

Compound interest arises when interest is added to the principal, so that, from that moment on, the interest that has been added also earns interest. This addition of interest to the principal is called compounding. A bank account, for example, may have its interest compounded every year: in this case, an account with ¤1000 initial principal and 20% interest per year would have a balance of ¤1200 at the end of the first year, ¤1440 at the end of the second year, and so on.

In order to define an interest rate fully, and enable one to compare it with other interest rates, the interest rate and the compounding frequency must be disclosed. Since most people prefer to think of rates as a yearly percentage, many governments require financial institutions to disclose the equivalent yearly compounded interest rate on deposits or advances. For instance, the yearly rate for a loan with 1% interest per month is approximately 12.68% per annum (1.0112 − 1). I do not intend to under estimate people but not all people can grasp this definition of compound interest easily unless you show them how this is applicable to their daily lives no matter how the terms are simplified.

Compound interest in simple term means your money plus interest earned thru bank savings earns another interest. Now let us go through the illustration below.

I need not to ask but I am sure you are looking at the obvious. It is like a planting a tree and having fruits after another after another.

So what does this want to show us? That by savings and eventually investing our hard-earned money into various investment options available, we get our money work for us instead of the other way around.

You may search from the web the various training center who conducts this kind of seminar.

4. RESEARCH ON LAUNDROMATS..

Decide if you want a fully automated Laundromat, or a partially automated one that includes additional services such as ironing and folding. There are a lot of laundromats out there to choose from. Don't look for 2nd hand machines as their useful life is already shortened. This laundromats are the core of your business. 9. MONITOR THE COSTS

Money is always a problem when venturing into business. You might have some cash but you feel that it is not enough to cover the start-up or pre-operating expenses of the business.

Personally, that was my problem before because I always wanted to venture into junk shop business but I always stumble upon the money problem - I do not have enough cash to support my business idea.

So I did a little research and found these capital sourcing very interesting.

Your personal savings.

The most obvious source of your capital is from your self or from the money that you have saved. This could also be the safest as you do not owe anything to anyone. So if you are planning to venture into business someday, you should be saving early on. This is applicable to the low risk taker as this might take a little while. As you are saving for your business, you might to invest that money somewhere else so it would yield some interest and this could also be an additional source of capital too.

Sell some assets.

So you have extra cash you stashed away into mutual fund or time deposits, now is the time to sell them to fill in that capital you need for your business. You might need to get in touch with your broker in doing this.

Do you have those jewelries hidden in your closets or drawers now covered with web and dust? Or those branded jackets and shirts? You can sell them either by holding a garage sale or thru online. You can actually look around the house and be surprised that there are a lot of items you do not often or totally not using that you can sell.

Work for extra income.

I am now into blogging because I am hoping to earn from the research I am doing on how to go into business and how to be successful in it. Yes, this is my extra income in case I will earn from it. Dependent on your agreement, you can negotiate to issue a post dated cheque of Php20,000 and the money lender will provide you with the Php19,000 capital you need! Instant money right.

When doing this, be mindful of the due date as you do not want your cheque to bounce and eventually make yourself a shouting criminal record. You will no longer be eligible to get any bank loan once you are marked in the system or your credit score gets stained.

Borrowing from friends and relatives

Among all choices, from your savings and borrowing from are the safest. Be careful when you do this - you do not want your self be insulted in the end in case you fail and is not able to return the money. So you should have a very good business plan so failing is not an option. One advantages of borrowing from friends and relatives is that mostly will not charge you of interest. Payment terms can also be flexible as you can negotiate with them the dates when your most able to pay back.

When you do this, be as professional as possible. Present the business plan and most of all be honest as when you will be able to pay them back. Be clear that you’re merely borrowing money from them and they will not legally own part of the business. Some people might think that just because they lent you money for the start up, they instantly become investors and can actively participate in the business. Occasional help and a few suggestions can be entertained but draw the line and state that executive decisions will solely come from you.

Form a joint venture of look for a capitalist

In both options, you will lose the sole right to the business. Be prepared as some business and personal relationship is ruined when every thing goes wrong with the business.

However, do remember that most likely, you’ll lose free rein over running your business because certain decisions will need to be consulted to the VC before they can be implemented.

Looking for a venture capitalist can be quite difficult in the Philippines but they do exist. Always have an elevator pitch ready just in case you bump into one. You can also seek them out in online forums and websites such as the Brain Gain Network (BGN), where Filipino VC’s and technopreneurs are some of the active members.

How To Start A Junk Shop Business

For more than 5 years now, I have been thinking of going into junk shop business. Since grades school, it has always been known to me that there is money in the trash (may pera sa basura). I came from an environment where one of the past time was to play hide and seek in the junk shop of Mang Will (RIP). Though I do not find the business glamorous and definitely not my line, I know I do not need a green thumb just like in gardening to go through the junk shop business.

In line with the planning, I have read a lot of blogs about it and I am sharing one of them to you. Hope you find it useful as it is to me. The only reason that holding me not to venture into this business is the lack of sufficient capital and good location.

Scrap trading has advanced into a small scale industry. The fact that junk shops continue to thrive in many localities is proof that this is a lucrative business.

Aside from the usual old newspapers, glass bottles and metals, new materials such as plastic, aluminum, non-working auto batteries and precious metals are introduced. And so we can say that this enterprise which is actually a simple buy and sell business is here to stay.

Registration and Permits

The licenses coming from the concerned government agencies should be acquired prior to operation. Below is a list of the said agencies.

Department of Trade and Industry (DTI) – Business name registration

Bureau of Internal Revenue (BIR) – Taxation purposes

Barangay Certification

LGU (City/Municipality) – License to operate

Capital Investment

Since this is a trading/buy and sell business, the initial capital investment required is not much compared to other similar trading businesses. Suggested minimum initial capital investment should be at least One Hundred Fifty Thousand Pesos (P150,000) or around $3,000. It is highly adviced that the entrepreneur make a detailed checklist of the following:

Vehicle (optional-pick-up truck)

Renovation (in case of land lease)

Location/Site of the Business

Location should be highly accessible to private and public utility vehicles, trucks included. Prior to signing of the lease contract, the entrepreneur must check with the local barangay with regards to any restrictions concerning the junk shop operation. Usually the owner is required to put up a concrete fence especially if the location is proximate to residential areas.

There are two options that can be considered with regards to how big an area one should lease.

Buying Station – Should one find hard to acquire a space for both purchasing and warehouse purposes due to inavailability or high rent, one can operate a buying station with an area of at least 30 sqm. However, a storage area proximate to the buying station is required. The storage area must be at least 100 sqm., portion of which is covered, the ratio to be determined based on the market assumptions. In this case, it is necessary to have at least a small pick-up vehicle for transporting the purchased goods from the buying station to the storage area.

Warehouse Operation – A warehouse set-up with ample open area is advisable. The gross floor area should be at least 100 sqm., portion of which is covered, the ratio between the open and covered area to be determined based on the demand in relation to the volume of recyclable items/materials. In this case, the acquisition of a delivery vehicle is optional.

Manpower and Equipment

The Junk Shop Business is not manpower intensive but like any other business, one must have a trustworthy and hard-working staff to succeed. A personal touch is advisable as the foundation of the business’ operation is pretty much cash oriented. If the entrepreneur can act as the general manager and the cashier at the same time, the possibility of pilferage can be minimized if not eliminated.

The list below outlines the basic skeletal force for operation.

1 General Manager/Cashier

1 Officer-in-Charge (minimum wage)

1 Driver/Helper (can act as Checker) (minimum wage)

2 Helper (can act as Checker) (allowance+free board)

Basic office equipment and furniture consisting of 2 sets of tables and chairs, calculator, adding machine and other office supplies as required.

The list below outlines the necessary operating equipment to start up the business. It is not necessary that these are brand new as long as it is functional and accurate. All weighing scales should be inspected and calibrated by the DTI or the City/Municipality Government.

This aspect is rarely discussed but connections and or networking is an integral part of a business. For junk shop business, it is important that you have a harmonious relationship with the neighbourhood, potential customer and clients which are mostly junk and recycle centers.

How To Start A Carinderia Business

Carinderia is a local eatery selling and serving affordable viands for the masses. It’s also known as a “turo-turo” wherein customers literally point what they want to eat. If your house is located in a busy area or surrounded by a lot of office buildings and schools, then putting up a carinderia business is a wise choice. You can start your business right in your own home with a small capital investment or rent a small space to put up your "store".

Things to Consider in Putting up a Carinderia Business:

Capital: You need about P15,000 to open a small carinderia or food kiosk. The money will go to two weeks’ worth of inventory of food and ingredients, equipment and utensils, space rentals, and barangay permit fees. You may need a lower amount if you will do business in your own backyard or front yard (deduct P1,500 to P2,000 from the original estimate if this is the case) and if you will use your own existing kitchen utensils (deduct their brand-new cost). Assuming an income of P600 daily six days a week, you can expect to recover your investment by the second month.

Materials: You will need a space to accommodate your kitchen equipment and one to two small tables for your customers; a stove with an LPG tank (or charcoal supply if you prefer to use a charcoal stove); and cookware, plates, spoons and forks, and other utensils.

Workforce: You need not hire staff to get started in this business. However, when you feel it’s time to expand or offer a wider variety of dishes, you will likely need one or two staff to serve customers, wash dishes, and clean up the place.

Process: To do this business, you must have determination and a real interest in cooking. According to Rene Jose Macatangay, a carinderia owner-operator for 11 years now, he would wake up as early as 2:00 or 3:00 a.m. to get the freshest produce when he does his marketing for food ingredients. Promptly at 4:00 a.m., he would be back at his food kiosk to do the cooking.

Location: Finding a good location for your food kiosk is extremely important. A place very near or easily accessible to your target customers, say taxi or tricycle drivers, would be ideal. It’s also advisable to check with your barangay council if a permit is needed for a small carinderia.

Menu: Decide how many meals you will serve for the day and prepare a menu plan for at least a week. Some carinderia owners stick to a fixed menu plan particularly if they have already established best-selling dishes. In the case of Macatangay, however, he only serves merienda (snacks) and lunch. He opens at 10:00 a.m. and closes by 4:00 or 5:00 p.m. He regularly serves goto and lugaw (both rice porridge snacks) and tokwa (soybean cake). Although he changes his lunch menu every day, he has standard fare for particular days, like ginisang munggo (stewed mung beans) every Friday.

Price: Make your pricing reasonable and within the reach of your target market. Macatangay says he keeps his prices low to maintain the loyalty of his regular customers.

Marketing: Word-of-mouth advertising is your best promotional tool for this type of business. Satisfied customers will talk about your carinderia and recommend it to their friends who happen to be in the vicinity.

And for Macatangay, it is a source of great satisfaction to see his loyal customers come back every day for his food fare.

With tasty, clean and affordable food with variety; and good marketing and location, you’re carinderia business will surely be successful.

How To Open A Business In The Philippines

Below are the general and basic steps in opening a business in the Philippines. There are quite a few which may not be listed here but are still required. You may want to further research on them as they can be specific to the business idea you have in mind.

1. Figure out what type of business you want to open in the Philippines.

Why that particular market, what risks are involved and what are your alternatives are some questions that should be answered. Research the culture and approved social norms if you are not from there as these details will affect the success of your venture. As the old saying goes, "Know your market."

2. Decide on the business structure and register it accordingly.

To form a sole proprietorship you would need to apply for a business name and register at the Department of Trade and Industry (DTI).

To form a partnership with 3,000 Philippine pesos or more in capital, you must register with the Securities and Exchange Commission (SEC). There is more detail involved in forming corporations.

Philippines-based corporations are established under the Corporation Code; they are then registered and regulated by the Securities and Exchange Commission. To form a corporation you need to begin by having a minimum of five incorporators. These incorporators all must own one share of the corporation, register with the SEC and possess a minimum paid-up capital of 5,000 Philippine pesos. You will have to obtain a certificate of deposit from your bank verifying your paid-up capital. You will need to verify your corporation's name of choice is available. This requires that you check with the Securities and Exchange Commission. After you have verified your company's name is available, you now have to register your corporation's name with the Securities and Exchange Commission.

3. Local Permits and Clearances

After getting your certificate of registration, you will need to visit the following offices:

City Hall - you will need to obtain a community tax certificate (CTC). This is needed to obtain barangay clearance. After getting the barangay clearance, you will need to come back here to secure the business permit.
Barangay Hall - A barangay is a district where your corporation will be doing business. To get barangay clearance you will need to file in the local district where your corporation will be conducting business and pay any fees in full.

4. Obtain a permit and municipal license from the mayor's office in the licensing section. You will need to provide the following documents to complete this transaction, in duplicate: your application along with a clear sketch of the location where you are doing business attached to the back of your application; certification issued by the corporate secretary that authorizes your corporation to conduct business; certificate of registration; proof verifying the corporation's paid-up capital; receipts from certification transactions and other fees paid in full, and lease contracts; barangay clearance; and proof of having comprehensive general liability insurance.

5. After you have applied to the mayor's office for a license to operate your business must receive an inspection from the mayor's office. The inspection verifies that your corporation is as you say it is and actually conducting the activities that you claim you are. After completing and passing inspection, you will be issued proper licenses and permits to operate from the mayor's office. You must now buy special accounting books available at any bookstore. These books, sold in sets, contain these four accounting books: the cash receipts account, the disbursements account, the ledger and the general journal.

6. You will now register for VAT (value-added tax) and other local and municipal taxes you think your corporation might be liable for in the course of doing business in the country and barangay. Apply for authorization for printers to print sales receipts and invoices for your corporation or receive a permit from the Bureau of Internal Revenue (BIR) that allows the business to print their own forms and invoices and apply for authorization to use alternate means of bookkeeping including electronic accounting software or ledgers other than government-issued accounting ledgers. Pay for any documentary stamp taxes on original issuance of shares of stock.

7. By now you should have received permission to print those receipt invoices and/or receipts. Now it is time to place the order. Head over to the printers with the authority to print. The order can take up to two weeks to fill. The special accounting ledgers, invoices and receipts need to be stamped. Take these over to BIR. This office will oversee this step.

8. You or your representative must now register with the Social Security System (SSS). This process takes about seven days to complete. Employees must attend a seminar scheduled within a week of application to the SSS. Once the seminar is completed, a certificate of membership is then issued to the corporation. After becoming a member of the SSS, your corporation can now register with a commercial health insurance company and file per its requirements.

Different Business Organizations In The Philippines

The most common forms of business organizations in the Philippines are sole proprietorship, partnership and corporation. It would be a good idea to have a glance of its structure and how they are established as one is way different from the other.

Sole Proprietorship

Sole Proprietorship is the simplest form of business organization because it is not governed by very strict regulatory laws and rules as that of a partnership or corporation. Only the provisions on civil obligations, contracts and commercial transactions govern this organization.

Sole Proprietorship is a business structure owned by an individual who has full control/authority of its own and owns all the assets, personally owes and answers all liabilities or suffers all losses but enjoys all the profits to the exclusion of others. Take note that even foreigners may put up a sole proprietorship provided that his business or industry does not fall under those which the Constitution and other laws impose restrictions and limitations in terms of ownership equity.

Even registration is very plain. A Sole Proprietorship must apply for a Business Name and such must be registered with the Department of Trade and Industry. In Metro Manila, applications should be filed in DTI-NCR. In provinces, application may be filed with the DTI extension offices.

If one plans to register his business, the following must be put in order:

Name of your business to be registered through DTI Business Name Registration System (BNRS)
Original & photocopy of proof of citizenship (e.g. PRC ID, birth certificate, voters ID, passport)
Signed copy of undertaking from DTI BNRS (see #2 below)
Payment of P300 for application (+P15 for documentary stamps)
2 recent identical passport sized picture (with signature of owner at the back)
For franchise holder: photocopy of franchise agreement, each page duly certified by the franchisor or franchisee
For franchise holder: photocopy of Business Name Certificate of franchisor

Partnership

Partnership is treated as juridical person, an artificial being created by operation of law with a legal personality separate and distinct from its members. Partnerships may either be general partnerships or limited partnerships. In general partnerships, partners have unlimited liability for the debts and obligation of the partnership. In limited partnerships, one or more general partners have unlimited liability and the limited partners have liability but only up to the amount of their capital contributions. The law only requires at least two (2) partners for a partnership to be formed. A partnership with more than three thousand pesos (P3,000.00) capital must be registered with Securities and Exchange Commission (SEC).

Partnership operates under the Civil Code of the Philippines. Even from the time of its creation, up to the time of its dissolution and liquidation, the mentioned law will always come into play to rule the partnership.

Therefore, all partnerships are required to be registered with Securities and Exchange Commission. Registration may be done by filing the Articles of Partnership which will set forth the terms and conditions mutually agreed upon by the partners. Other documents required are the following:

Proposed Articles of Partnership
Name Verification Slip
Bank Certificate of Deposit)
Alien Certificate of registration, SIRV or proof of other types of visa (in case of foreigner)
Proof of Inward Remittance (in case of Non-Resident Aliens)

Stock Corporation

Corporations, as defined under Corporation Code of the Philippines, are artificial beings created by operation of law, having the right and succession and the powers, attributes and properties expressly authorized by law or incident to its existence. Although it is established under the Corporation Code, it is regulated by the Securities and Exchange Commission as a separate and distinct personality from that of its stockholders. The liability of the shareholders of a corporation is limited to the amount of their share capital. Corporation may consist of at least five (5) to fifteen (15) incorporators each of whom must hold at least one share and must be registered with the Securities and Exchange Commission (SEC). Minimum paid up capital must be five thousand pesos (P5,000.00).

A corporation can either be stock or non-stock. Such company, if 60% Filipino-40% foreign-owned, is considered a Filipino corporation; If more than 40% foreign-owned, it is considered a domestic foreign owned corporation.

Specifically, Stock Corporation is a corporation with capital stock divided into shares and authorized to distribute to the holders of such shares dividends or allotments of the surplus profits on the basis of the shares held.

The SEC may only register the corporation if it meets the following:

1. Name Verification Slip.
2. Articles of Incorporation /li>
3. Treasurer’s Affidavit
4. Statement of assets & Liabilities executed under oath by the Treasurer of the corporation (if paid up capital consists of cash and properties
5. Bank certificate of deposit which must be notarized before a notary public in the place where bank signatory is assigned.
6. Authority to verify Bank Account
7. Written Undertaking to change corporate name signed by incorporator/director
8. Registration Data sheet
9. Undertaking to comply with SEC requirements
10. Audited financial statements of the subscribing domestic corporation for the last Fiscal/calendar year but only if subscriptions of such domestic corporations are partially paid. This will only apply if subscriber/stockholder is a corporation.
11. Customs Brokerage – at least two directors must be customs brokers, who must submit their respective licenses to act as a custom broker and PTR20
12. Management Consultancy – Personal Information Sheet of the Directors

Corporations with 60-40% Filipino Foreign Equity, 40% Foreign Equity, and Foreign Corporation will have to submit additional documents and forms as may be required by SEC.

Knowing your market is important as deciding on the location of your business. This goes without saying that these two success factors of your business goes hand in hand. For going into business without knowing your market is like walking along north or south express way or into the forest with blindfolded eyes.
Scanning your environment is key to sustaining your business. Bear in mind that when you enter into business - your business idea should be the solution to a problem. And your business should provide that solution continuously to your market.

Your market is your existing and potential customers. Understanding your existing and potential customers, the product or service's marketplace and who your competition is, allows you to plan for:

targeting your customers - their preference and what could be your business to offer them

selling effectively - turn potential customers to customers at reasonable and competitive cost

competing with other suppliers - enable you to be competitive with the existing business of the same nature thus help you decide on pricing, product volume and/or inventory control

discovering new business opportunities - opens other business ideas that you can offer

Conducting market research on your potential customers, or researching your competitors, can help you to plan your next marketing move and take advantage of any competitor weaknesses. It will also help you to understand potential and existing customers.

Simply put, knowing your market means understanding to whom you will give solution and why.

Signs That You Are Ready To Get Into Business?

Getting into business or in any undertaking for that matter takes readiness. Readiness mean things were given a careful and great deal of thought - like marriages or enrolling yourself into the college course of your choice.

But then, once in our lives, someone somewhere, might have bluntly said to our face that there's no such thing as being ready. Contradicting.

Anyway, how would you know that "that" readiness is enough to fuel you to get into business?

Here are some signs that may guide you to assess your readiness for business.

1. When those who matter express their support to your venture

“I’ve always wanted to have a business of my own. Business signifies freedom . The issue is, kaya ko ba? And because in life, you don’t control many things, I had to make sure that I had God’s approval. I did not do it on my own. As I was moving, first, I asked God, and then I asked my wife. I need to get her agreement because she will walk with me. Pag-ayaw niya, the walk will never be nice, magpe-fail ang negosyo. I was getting information from the important people – God first, then my wife and children – those I will walk with in this journey.”- Jose Cacanando was a Hewlett-Packard Philippines executive, being third in line to succeed the general manager in the multinational firm in 1997, when he started feeling restless and wondered if he should do something else.

After praying hard and asking for signs for his decision, Cacanando put up Moriah Farms, whose clients included McDonald’s and Kentucky Fried Chicken, in Bukidnon.

2. When you have learned enough

“I didn’t have difficulty starting businesses, because my stint as an employee for other companies taught me the ropes. I had first hand experience on how things worked. My only regret was I didn’t become an entrepreneur earlier. I might have done more things.” - Richard Dalao was happy being an employee because he was getting regular promotions and he was challenged by the job. In 1983, a near-death experience made him leave the company he was working for and start his own business. He tried a number of ventures until he put up Agri-PTS, a comprehensive farming, production, and marketing company, as a result of his growing interest in agriculture. The business is also into producing and selling low-value crops in farms in Laguna and Baguio.

3. When you’re sure of what you’re getting into

“Before I left my job, I made sure I knew what I was getting into, and that it would work for the long-term because if I failed, it would be hard to go back to work. I also made sure that the investment was not too big so I won’t be frustrated if things didn’t turn out as expected.” -Warren Sy realized that his efforts as an employee was not being rewarded commensurately after closing a sale of P2 million worth of office equipment to a school and only receiving P2,000 as commission. Thereafter he had a revelation: He could go into business so he could keep everything he made. Sy found a partner and put up Glam Lab, a personal care company producing lotions, body oils, soaps, mists and fragrances.

4. When you know that your business idea is great

“While I was still working for ITT (an American conglomerate), I went home for a vacation and toured Kalinga in the Cordilleras. There I saw groups of women weaving baskets with intricate patterns and I thought, ‘Ang galing nila.’ And then sometimes, my father would take me to see furniture in a place called Merchandise Mart. It’s a big building in Chicago where entrance is by invitation only, it’s very exclusive because you will find only the best furniture there. I saw Philippine-made furniture being displayed there and I realized this was a business I wanted to get into. I was in a company making pumps and motor and they were so boring compared to Philippine furniture. I became very inspired, and I knew then that I have to get into this business.” - Jofel Balbaran, an engineer, who first joined the family business of producing furniture until he finally set up "The Julianne Collection." The venture was able to attract buyers such as celebrity Kris Aquino and movie producer Vic del Rosario. The Julianne Collection’s products were also being exported.

5. When you find yourself looking for a new challenge

“It was plain and simple: I got bored. When that time comes, you know you have to do something about it.” - Arnold Vegafria studied dentistry and practiced for three months, but his heart was not in sciences, but in the arts. In 1994, he set up ALV Events International, which produced concerts and was also engaged in mounting fashion shows, product launches, trade fairs, mall and provincial record tours, press conferences and political campaigns. Vegafria also ventured into talent management and put up an advertising agency with a partner.

6. When the people that you love are giving you enormous help

“With my parents’ help and my technical experience, I got a lot of encouragement to come home and open BTIC (Better than Ice Cream). My parents helped with the financial side of the business, but unlike in my former job, there was no formula to follow when we started. I went to business school in 2000, but I realized I was studying what I knew already.”- Pie Bonoan Cabigas finished chemistry at the University of Hawaii while her father was working for the Bank of Hawaii in 1985. Cabigas knew she would start a frozen yogurt business the moment she stepped on Philippine soil. The first BTIC stored opened in Park Square Makati in November 1990, in time for the Christmas season.

7. When you want to do things your own way

“There came a point when we were trying to start new things at IBM and we were getting some resistance from upper management, because they were concerned about other things. Eventually, we decided just to leave IBM to work on the problem ourselves and see what happens.”- Peter Valdes, a technopreneur, co-founded Vinta Systems, a software product development company in 1998. Vinta Systems has made waves in the advertising industry through its Media Optimization and Administration Systems software, a program that not only automates the entire media planning process, but also revolutionizes the way media plans are crafted.

8. When you know that you can offer the market a solution that it badly needs

“Arnichem Corp. was born primarily out of the frustration that my husband and I couldn’t offer farmers a biotechnology product that was effective. Scientist ka, alam mo naman ang technology, why can’t you offer something? So we just went ahead and did it ourselves. Now, we’re glad because we’ve produced a product that not only helps the farmers, but helps the country as well.”- Nina Halos was a biotechnologist at the University of the Philippines at Los Baños and another 12 years at UP Diliman, before she was made director of the university’s Molecular Biology and Biotechnology program. Nina used her separation pay from UP and her husband’s income from Philrice to come up with initial product samples of Vital N fertilizer.

9. When you’re already financially capable

“I knew I was ready when I gained ample experience and enough financial capability to be my own boss.”

- Ina Sy put up Lincolnshire Internationale Preschool after preparing a Singaporean school approving and implementing a curriculum she had prepared and realizing that she wanted to work with children. As a former teacher , Sy knew the problems faced by school administrator herself. Among the problems she wanted to address in early childhood education included shortcomings in teaching methodology, structure of learning areas and centers, classroom set-up and teacher-student ratios. Sy and a partner sank in P4 million to put up the pre-school in Ortigas.

Free Training For OFW Dependents

Skill-for-Employment Scholarship Program

A qualified applicant may avail of Technical – vocational course being offered under the SESP, following the regular school year calendar, offered to landlbased or seabased OFWd or their beneficiaries/dependents. Upon receipt of the scholarship voucherm the grantee may enroll in any TESDA/DOST/MTC –registered program and other government institutions. Program choices shall be supportive of the land and sea based skills requirement.

Financial Assistance

The financial assistance per scholar is P14,500. The amount shall be paid directly to the TESDA/DOST/MTC –accredited training institution as tuition fee. If the tuition is more than the financial assistance, the scholar shall shoulder the difference.
