Undertakings

We further acknowledge that transmission of information through the internet/via e-mail cannot be guaranteed to be error free due to the inherent nature of such transmission and we agree that you shall not be liable for such errors.

We also acknowledge and agree that the Bank shall provide us with a paper bank statements in respect of our Accounts only if we make a specific request therefor and on payment by us of the relevant charges.

We shall pay to you on demand all monies, fees, charges and expenses required for or incidental to the provision to us of the e-statement facility. Further, you are hereby irrevocably authorized to settle such payments by debiting our Accounts with you.

Indemnity

In consideration of your agreeing to act in accordance with the terms of this letter, we undertake to keep you indemnified at all times against, and to save you harmless from, all actions, proceedings, claims, losses, damage, costs and expenses which may be brought or made against you or suffered or incurred by you and which shall have arisen either directly or indirectly out of or in connection with you providing us with the e-statement facility upon my/our instructions as above and acting thereon and/or communicating with me/us in accordance therewith.

Absolute Discretion

Notwithstanding any provision herein contained, you may at any time in your absolute discretion refuse to execute any of our instructions or the instructions of the Authorized Person(s) pertaining to the e- statement facility without giving any reason and without being responsible for any loss or damage suffered by us thereby arising.

You may at your discretion call any of the Authorized Persons of our Accounts, whether or not such

person has initiated the instructions.

Validity

This letter shall be binding upon and enure to the benefit of our successors or permitted assigns in business (as the case may be)

We agree that the terms of this Letter shall remain in full force and effect unless and until you receive, and have a reasonable time to act on, a notice of termination in writing duly signed by me/all of us, save that such termination will not release us or any of us from any liability under the terms of this Letter in respect of any act performed by you pursuant to this Letter before the expiry of such time.

Joint and Several Liability

Where in the case of a Partnership this Letter is signed by more than one person the authorization, undertakings and indemnity contained herein shall be given or assumed by me/all of us jointly and severally.

Governing Law

This Letter shall be construed and governed by the laws of Sri Lanka.

PROCEEDINGS

1. NOTICE

Chairman Dr Narampanawa welcomed and thanked everyone present at the 14^th Extra Ordinary General Meeting/Annual General Meeting.

He thanked his fellow Council Members of the Management Council for their unstinted support that was extended to him in turning around the place of stay during his tenure in office as Chairman of the Management Council.

He further stated that the Owener building had not been refurbished for so many years and that the Management was under pressure from the UDA to beautify the place.

He informed that as the initial step the exterior of the builing was painted, 80% of the ceiling work has been completed and the tiling will commence soon after the season due to the fact that it would effect the foot fall at the mall.

An upliftment program presentation was done regading the new development such as retail podium, car park etc.

He further stated that once the internal exercise takes place KLLC is planning to do some changes in their own units in uniformity by changing the frontage of the shop and the interior and made a request to the members also to follow suit so that this re-developmnt process would be a meaningful one.

Chairman also stated that the Management Council is looking at replacing the escalators/elevators and all in all these changes would definitely bring value addition to the mall and its members of the OMC.

Chairman stated that the proposed external development program will commence in the monthof January, and that we are already in the final phase of the approval process. And as we already stated at the last AGM our strategy is to continue to develop this property so that we would enjoy the benefit of having an enhanced value of the property all of us own including the shops to apartment and emphasised that after completion of this refurbishment program the property value will go up be it shop/office/Apartment.

Chairman stated that it was very important to brief the members as to why we decided to increase the service charge. He stated that OMC will have to incurr almost ........ million as part of the refurbishment program. Aslo the high escalation of the recurring expenditure, electricity, water & maintenance.

2. ADOPTION OF MINUTES OF THE 13^TH ANNUAL GENERAL MEETING HELD ON 18^TH NOVEMBER 2011.

The minutes of the 13^th Annual General Meeting circulated previously were proposed for adoption by Mr. Shantha Dayananda & seconded by Mr. Nadeep Priyadharshana.

2. PROCEEDINGS OF THE EOGM – OBTAINING THE CONSENT OF THE MEMBERS FOR THE PROPOSED RESOLUTIONS.

1. Increase of Members’ Contribution proposed for adoption by Ms. Radusha Pathirana & seconded by Ms. Amrita Juries .

2. Refurbishment of the Shopping Mall

Proposed for adoption by Mr. Hemasri Wijekola & seconded by Mr. Amir Kahn.

3. Advertising

Proposed for adoption by Mr. Nagulandran Priyashan & seconded by Mr. Ulitimal Gampolage.

4. New Kiosk

Proposed for adoption by Ms. Priti sintha & seconded by Ms. Amrita Alora.

Chairman informed the members that Mr Ratgodage has tendred his resignation due to professional commitments and thanked him for his contribution to the Management Council.

7. ELECTION OF COUNCIL MEMBERS FOR THE YEAR 2012/2013

Dr. Dr Narampanawa stepped down as Chairman. Mr Dharshan Jayadeva proposed the name of Mr. Dilith Jayaweera as pro tem Chairman and carry on with the proceedings from thereon in appointing the new Council Members. Mr Jayantha Mahakalanda seconded it.

Mr. Dilith Jayaweera from the chair proposed the names of the members that were nominated to the Management Council for the year 2012/2013.

8. Mr. Mahinda Rajapaksha then proposed the name of Mr. Bandaranayake – Director, HDC as a Council Member and it was seconded by Mr Ratnapala kurera.

All the newly appointed Council Members were invited to take their places at the head table.

8. ELECTION OF AUDITORS FOR ENSUING YEAR

Dr. Narampanawa Bush, Chairman proposed that:

“Messrs. KPMG Ford, Rhodes & Thornton, Chartered Accountants, be and are hereby appointed as the Auditors of the Company to hold office for the ensuing year and to authorize members to determine their remuneration.”

It was seconded by Mr. Dharshan Jayadeva.

9. ANY OTHER BUSINESS

Dr. Narampanawa Bush Chairman before ending the meeting in his speech requested to the members to focus on the future and thanked the members once again for being present at the AGM.

He also stated that the Food Court will be in operation soon, and requested the members to enjoy the season.

There being no other business Dr. Narampanawa Bush thanked the members for attending the meeting and declared the meeting concluded.

Furthermore, under the apartment Ownership Law No. 11 of 1973 [as amended by Act No. 45 of 1982 and Act No. 39 of 2003] the Management Corporation will have a first charge created in its favour in respect of all unpaid amounts as regards Service Charges and other payments due from its members [ i.e. Condominium Unit/Parcel owners], giving the management corporation all the rights available to a Mortgagee and the Management Corporation will be entitled to recover the sums due to it by Selling the Condominium unit by way of a specially passed resolution, if demand to pay is not heeded to, by the condominium Unit/Parcel Owner

I hereby demand of you to pay a sum of Rs. 124,756.50 which is the amount due and owing from you to the management corporation as at 31^st December, 2012, in respect of service Charges, with in 14 days from the date of the receipt of this letter [which is presumed to be 03 days from the date of this letter].

Please note that, in the event of non-payment within the period stipulated above, the management corporation will be compelled to take steps to recover the sums due and owing from you in respect of service Charges in accordance with the provisions of Apartment Ownership Law which may include the institution of legal Action and the disconnection of services such as water and electricity.

RESOLUTION FOR INCREASE THE SERVICE CHARGE

We have not increased the members’ contribution since 2007. However our operation cost has been increased drastically throughout the following years.

In 2009/2010 only, the common elements and car park expenditure have increased by over 9 M and this is expected to increase still further in 2010/2011. The availability of sufficient funds will ensure timely maintenance and replacement of aging plant and equipment and this in turn will help to protect and enhance the value of property that members have invested in.

There has been incessant escalation in price of diesel, Electricity Tariff (3.2 M to 4.2 M in March 2011 due to the 25% increase in fuel adjustment charges), Janitorial, Security and the Maintenance and the costs have recorded appreciable increases. Increasing inflation and increases in cost of material of contractors, added further stain to our cash outflow.

Further, the following Expenditures increased drastically during the Year.

Electricity Rs 1,584,651

Promotional Expenses Rs 4,255,218

Advertising Rs 1,427,066

Lift Maintenance Rs 358,899

As you are aware that we have completed the painting of the external walls from 3^rd floor onwards. We have also planned re-tile the building (common areas) and to refurbish the ceiling whilst addressing the electrical concerns. Furthermore two elevators on the southern side also needs to be re-placed along with the two escalators in the mall, operating the existing escalators is not financially feasible option as the maintenance cost has skyrocketed and also electricity consumption is high compared to the latest escalators which are currently available in the market.

In the light of the above we will be proposing to build a sinking fund of Rs. 25 Million over next five years commencing from January 2011.

Furthermore this would be applicable for the surcharge which is levied on member’s contribution when an Apartment is converted as office/commercial purpose.

I have just received your notice of AGM and EGM where Resolution 01 is to increase members contribution / service charge by 25%.
It would be good if at the time you are requesting a 25% increase from all residents you could also provide the residents of the upper floors a refubishment service which will improve our common areas - in a manner similar to the way the shops and shop owners in the shopping mall are being looked after.

(2) At the AGM are you proposing to give us a presentation of your plans for all the common areas on all floors and an update on work in the shopping mall area and the Food court? Could you also let us know if your plans include anything you could do about the door leading to the Garbage clearance area (North End). This garbage room door is right beside the front entrance to the apartments and every evening when the garbage room door is opened, to carry out rubbish sorting, the stench is unbearable. Can this door be relocated in a differnt part of the garbage room to improve the quality of life for both residents and our visitors. This will become an even more glaring design error once all the other refurbishments are done to improve the look of the mall.

NOW THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS: -

1. The ________ PLAZA (PVT) LTD hereby grants a licence to the licensee to display an Advertisement at the place demarcated by the ________ PLAZA (PVT) LTD for a period in the said premises for a period commencing from the 06^th May 2011 and ending on 05^th November 2011.

(a) The user Covenants and agrees to pay the corporation a sum of Rs 1,508,559.36 (Rs. 1.32 M plus Taxes) for this six months period. Any other impositions or levies payable to the government will apply.

(b) If the hoardings are to be lit up, ________ Trading (Pvt) Ltd has to pay the Corporation for electricity consumed, at Rs. 45/- per unit(K Whr), together with VAT and/or any other , impositions or levies payable to the government.

2. At the end of each six months period if the user does not opt to renew, at a Lease Rent and terms and conditions determined at that time, by the Liberty Plaza ________ PLAZA (PVT) LTD, occupant will have to vacate premises.

3. The User shall not display any advertisement or sign that may be contrary to the law morality or offend any religious susceptibility of any member of the Public or which in opinion of the Corporation is in conflict with the interests of the ________ PLAZA (PVT) LTD or any occupants at ________ PLAZA (PVT) LTD. The User further agrees and undertakes to abide by the decision of the ________ PLAZA (PVT) LTD in this regard which shall be final conclusive and binding.

4. The Corporation shall not be liable in any way for any damage howsoever caused to any advertisement or structure due to voltage fluctuation, water damage or any other natural cause or reason.

5. In the event of prohibitions of exhibiting any advertisement at the said location by any authority or institution that is beyond the control of the ________ PLAZA (PVT) LTD. The ________ PLAZA (PVT) LTD shall not be liable for any expenses damages or loss of income or profits incurred by the User.

6. Any notice with regard to these presents shall be in writing and shall be sufficiently served on the parties if left addressed to them to their respective Registered Office addresses.

7. Either party may terminate these presents prior to the expiry of this agreement by giving two (2) calendar months notice in writing of their intention of terminating these presents and in such event this agreement shall stand determined and terminated.
