&lt;p class="page2rssins"&gt;Baylor Health Care System and Temple-based Scott &amp;amp; White last week began their year-long due diligence to determine whether their systems are compatible.&lt;/p&gt;
&lt;p class="page2rssins"&gt;The organizations announced in December their intent to merge to create the largest not-for-profit health system in the state and one of the largest in the nation.&lt;/p&gt;
&lt;p class="page2rssins"&gt;In a joint telephone interview, Baylor chief executive officer Joel Allison and Scott &amp;amp; White chief executive officer Robert Pryor, MD, insisted the companies are a good fit.&lt;/p&gt;
&lt;p class="page2rssins"&gt;The new entity will be called Baylor Scott &amp;amp; White, with more than 34,000 employees, 42 hospitals, more than 350 other patient-care settings and $6.7 billion in annual revenue.  Allison will be CEO of the new company and Pryor will be the chief operating officer.&lt;/p&gt;
&lt;p class="page2rssins"&gt;Pryor said, “We have a long history of working together. From the 50,000-foot level—and even the 25,000-foot level—we haven’t seen any snags. That’s really encouraging. &lt;p class="page2rssins"&gt;Dallas-based Baylor Health Care System and Scott &amp;amp; White Healthcare, based in Temple, plan to merge, making the new entity the largest not-for-profit health system in the state, hospital system executives announced Friday.&lt;/p&gt;
&lt;p class="page2rssins"&gt;The systems are negotiating and expect to complete a definitive merger agreement next year.&lt;/p&gt;
&lt;p class="page2rssins"&gt;The new system would have $7.7 billion in combined assets and include 42 hospitals, 4,000 active physicians and 34,000 employees. It will be called Baylor Scott &amp;amp; White Health.&lt;/p&gt;
&lt;p class="page2rssins"&gt;Baylor is one of the largest health care providers in North Texas. Scott &amp;amp; White is dominant in Central Texas.&lt;/p&gt;
&lt;p class="page2rssins"&gt;Top officials in each system said the cultural match between the systems is ideal.  “When you look at our mission statements, they are almost identical,” said Joel Allison, president and CEO of Baylor Health Care System.&lt;/p&gt;
&lt;p class="page2rssins"&gt;Allison will be CEO of Baylor Scott &amp;amp; White Health. Dr. Robert Pryor, president and CEO of Scott &amp;amp; White Healthcare, will serve as president and chief operating officer of the new company.&lt;/p&gt;
&lt;p class="page2rssins"&gt;Drayton McLane Jr., chairman of Scott &amp;amp; White Healthcare, agreed that the cultural match is strong.&lt;/p&gt;
&lt;p class="page2rssins"&gt;“We’re going to bring the best practices out of both of these organizations,” said McLane, who was in Dallas for the merger announcement Friday afternoon.&lt;/p&gt;
&lt;p class="page2rssins"&gt;Allison said the merger will have a healthy impact on the North Texas health care market.“As long as you’re competing on quality, safety and patient satisfaction, I think it’s good for the patient,” he said. “That’s how I’ve always looked at competition. It’s healthy.”&lt;/p&gt;
&lt;p class="page2rssins"&gt;The boards of both systems approved the signing of the letter of intent to merge this week, Allison said. The new system will be governed by a single 14-member board with seven representatives from each system.&lt;/p&gt;
&lt;p class="page2rssins"&gt;The Baylor Health Care System, with $4.1 billion in total operating revenue last year, employs nearly 20,000 people and owns or operates 30 hospitals statewide. It has 2.8 million patient encounters annually, according to its website.&lt;/p&gt;
&lt;p class="page2rssins"&gt;The Scott &amp;amp; White system employs 12,000 people, has 12 hospitals and more than 65 clinics across a swath of Central Texas.&lt;/p&gt;
&lt;p class="page2rssins"&gt;The systems’ medical staffs will remain independent and the systems’ foundations will remain separate.&lt;/p&gt;
&lt;p class="page2rssins"&gt;Hospital partnerships, mergers and joint ventures are on the rise because of industry changes including the implementation of the Affordable Care Act. Since 2008, there have been 274 merger and acquisition transactions affecting 439 hospitals — up 22 percent over the previous four-year span.&lt;/p&gt;
&lt;p class="page2rssins"&gt;In the new era, health systems must be prepared for declining reimbursements and “population health management” to advance the health of large groups of patients and keep them out of the hospital, Allison said. The sharing of best practices between Scott &amp;amp; White and Baylor will promote efficiencies that will allow the new system to meet those demands, he said.&lt;/p&gt;
