The story behind it, by contrast, almost certainly took the better part of a decade. SEC whistleblower cases move on a timeline that is poorly understood outside the small specialist bar that handles them, and the gap between a tipster&rsquo;s expectations and the program&rsquo;s actual cadence is one of the most common sources of frustration in the field.</p>



<p class="wp-block-paragraph">This article walks through the SEC whistleblower case timeline as it actually unfolds, from the day a Form TCR is filed to the day a Final Order distributes a monetary award. The phases are defined by statute, regulation, and Commission practice, but the durations are driven by the realities of complex securities investigations.</p>



<h2 class="wp-block-heading">The Statutory Framework That Sets the Pace</h2>



<p class="wp-block-paragraph">The SEC Whistleblower Program was established under Section 922 of the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010, codified at Section 21F of the Securities Exchange Act of 1934, 15 U.S.C. Section 78u-6. Implementing regulations appear in 17 C.F.R. Part 240, Subpart A, including Rules 21F-1 through 21F-18.</p>



<p class="wp-block-paragraph">Two statutory provisions define the program&rsquo;s pace more than any other. <p class="wp-block-paragraph">Every SEC whistleblower case begins with a Form TCR (Tip, Complaint, or Referral) filed through the Office of the Whistleblower&rsquo;s online portal. The form may be filed under the whistleblower&rsquo;s name or, under Rule 21F-7, anonymously through counsel. In fiscal year 2024 the Commission received 24,980 such tips, the highest annual volume in program history according to the SEC FY 2024 Annual Report to Congress on the Dodd-Frank Whistleblower Program.</p>

MUI status is internal; it is not disclosed publicly or to the company under review.</p>



<h3 class="wp-block-heading">From MUI to formal order</h3>



<p class="wp-block-paragraph">A Matter Under Inquiry typically runs for several months as staff develop the factual record. If the evidence supports continued investigation, the Commission may issue a Formal Order of Investigation, which authorizes subpoenas for documents and testimony under Section 21 of the Exchange Act. The shift from MUI to formal investigation is generally the point at which timelines extend dramatically. Complex accounting fraud, market manipulation, or international securities cases can remain in formal investigation for two to four years, sometimes longer.</p>

<h2 class="wp-block-heading">Phase Three: Wells Notice, Settlement, or Charges</h2>

Larger recoveries produce larger award pools, but they do not change the statutory percentage range; that remains 10 to 30 percent across the entire covered action.</p>



<h2 class="wp-block-heading">Phase Four: Notice of Covered Action and the 90-Day Window</h2>



<p class="wp-block-paragraph">Once an SEC enforcement action results in monetary sanctions exceeding $1 million, the Office of the Whistleblower posts a Notice of Covered Action on the SEC website.
