This call lasted well over an hour and included a new format in which he and his team locked it down to registered attendees only; this is a smart move for sure. Whereas some of the info on this call was stated in a manner that a legal team might not approve, I believe the intent behind Bobby Gray&#8217;s words was to provide some factual updates and to correct the record, where the critics, such as myself and, in some cases, haters, have gotten the information out of context or completely incorrect. </p>



<p>Whereas fixing potential regulatory cracks doesn&#8217;t negate the past, and regulators will focus on those challenges. I do believe the information Bobby Gray discusses is worth reviewing and provides some context for my earlier and ongoing concerns about the manipulation of the TEXITCoin Mining compensation plan and the potential risk to rank-and-file individuals who had joined. <span style="box-sizing: border-box; margin: 0px; padding: 0px;"><strong>I do want to be clear, my&nbsp;</strong><a href="https://talkgigs.news/texitcoin-txc-risk-assessment-review-2025-scam-pyramid-scheme-or-legitimate-crypto-investment/" target="_blank"><strong>original assessment,</strong></a><strong>&nbsp;as well as my recommendations below, still stand.</strong></span></p>

As the founder of Deep South Companies, co-publisher of <a href="https://www.incomeopportunitiesmagazine.com/" target="_blank" rel="noopener" title="">Income Opportunities Magazine,</a> and a veteran analyst with over 40 years dissecting MLMs, blockchain ventures, and fintech schemes—I&#8217;ve scrutinized TXC since its early hype.</p>

<p>TEXITcoin&#8217;s fall from grace accelerated after September, when weekly sales peaked at $9.83 million amid promotional fervor. By December, that figure had cratered to $2.07 million, liquidity evaporated, and daily trading volumes languished at $220,000—slashing the market cap to around $66 million. Founder Bobby Gray, in his December 23 holiday call, attributed the 85% nosedive to phishing scams, a claim that echoes broader crypto holiday slumps and economic jitters. But data from CoinGecko and CoinMarketCap paint a grimmer picture: exhausted reserves ($15 million+ burned on price support), abandoned timelines like the &#8220;Path to $16,&#8221; and reliance on affiliate inflows that scream unsustainable.</p>



<p>My October assessment warned of this exact vulnerability, growth propped up by recruitment hype rather than verifiable utility, risking a Ponzi-like collapse under pressure. Positives such as Texas pride branding and community scale (56,000 miners, $140 million raised) were noted, but the crash validates those risks: no organic demand, just internal buying drying up amid doubts.</p>



<h2 class="wp-block-heading"><strong>The Phishing Plague: Security Lapses and Unaddressed Victims</strong></h2>

<p>A persistent shadow over TEXITcoin is a wave of phishing attacks, often originating from its Telegram channel, where scammers impersonate Gray or team members to extract wallet details or seed phrases. Gray has repeatedly cited these &#8220;spoofing&#8221; incidents as a primary driver of selling pressure, estimating dozens of cases in which victims lost tens of thousands of TXC, which hackers then dumped on exchanges. In the December 23 call, Gray explicitly tied the market downturn to these thefts, stating: <strong><em>&#8220;So, it&#8217;s got to be a bunch of people, 10, 20, 30, 40, 50,000 coins that bundled together to put this much pressure on the market to liquidate $15 million of TX or we&#8217;ve had $15 million worth of hacks, which is probably about the number that people have been hacked.&#8221; He further elaborated on the scale, noting examples such as victims losing 50,000 TXC (valued at $250,000 at peak prices) to imposters posing as &#8220;Web Telegram Bobby,&#8221; </em></strong>and emphasized the heartbreak of such losses amid the project&#8217;s otherwise stable trajectory.</p>

<p><a href="https://www.disruptionbanking.com/2025/12/22/the-shocking-truth-behind-texitcoins-collapse-burnt-cash-broken-miners-mlm-logic/" target="_blank" rel="noopener" title="">Disruption Banking&#8217;s November 13, 2025, report</a> detailed a significant security breach that compromised hundreds of wallets, underscoring systemic vulnerabilities in a project that prides itself on decentralization. Despite the scale—potentially $15 million in hacked coins contributing to the crash, I can find no public evidence that Gray or TEXITcoin notified Texas law enforcement or the FBI. Web searches return general FBI warnings about crypto scams (e.g., 69,468 complaints nationwide in 2023 totaling $5.6 billion in losses) and Texas-specific alerts, such as El Paso&#8217;s FBI-impersonation schemes or Jasper County&#8217;s $25,000 family loss. However, no mentions directly tie TEXITcoin to official probes. <strong>Gray hasn&#8217;t indicated leading efforts to contact authorities on the victims&#8217; behalf;</strong> instead, calls focus on user education (&#8220;lock your cold storage&#8221;) without coordinated recovery actions.</p>



<p>Historical parallels show that several crypto collapses were initially blamed on external hacks, only to have investigations later reveal internal complicity or outright fraud. For instance, the infamous Mt. Gox exchange in 2014 attributed its downfall to hacks that stole 850,000 BTC. Later revelations showed that CEO Mark Karpeles was involved in data manipulation and embezzlement, leading to his conviction. Similarly, FTX&#8217;s 2022 collapse involved a reported $400 million post-bankruptcy &#8216;hack.&#8217; Still, the core issues stemmed from founder Sam Bankman-Fried&#8217;s internal fraud, which led to his conviction on charges including wire fraud and money laundering.</p>



<p><strong>Compounding risks:</strong> Users bypassing U.S. bans on international exchanges (e.g., via VPNs to access platforms like Binance, which are restricted for Americans) face severe consequences. While VPN use itself is legal and recommended for identity protection and data security, falsifying KYC or evading sanctions (e.g., OFAC rules) can constitute fraud or money laundering violations under federal law, with penalties including fines, asset forfeiture, or imprisonment. Texas enforces these laws through its Securities Board, which has pioneered crypto enforcement (e.g., early actions against fraudulent firms). VPN circumvention could trigger civil suits from exchanges or SEC probes under the Howey Test if trading is deemed unregistered securities. No TEXITcoin-specific cases emerged in searches, but precedents like Binance&#8217;s $4.3 billion settlement highlight the perils.</p>



<h2 class="wp-block-heading"><strong>The Call: A Marathon of Mandates and Defenses</strong></h2>



<p>Gray&#8217;s December 23 session, a grueling near-three-hour affair from his home, aimed to rally the troops but exposed authoritarian undercurrents. With co-hosts Tim and Rob in tow, Gray recapped risks <strong><em>(invest only what you can lose, crypto&#8217;s wild swings)</em></strong> and highlighted milestones: a 6-7x hash power boost in Conroe, 30% hardware acquisition, and Layer 2 pilots (&#8220;Downtown Digital Dollars&#8221;) for festival fees that generate TXC demand.</p>

Bobby makes the rules,&#8221;</strong> he declared, underscoring his <em><strong>unilateral grip. </strong></em>He even floated slashing personal commissions from $6,000 (three enrollments per side at $1,000/point) to $3,000 by halving point values: <strong><em>&#8220;One of the things that&#8217;s probably going to happen in the future is we&#8217;re going to reduce the value of a point for cash potential from $1,000 down to $500. That way, if you sign up three left and three right, you have a $3,000 cash potential instead of a six.&#8221;</em></strong> <strong>This MLM-inspired tweak—requiring quarterly activity to retain perks—alienates passives while echoing pyramid incentives.</strong></p>

<p>Q&amp;A devolved into defenses of luxury spending amid losses, scam-related blame-shifting, and threats: <strong>&#8220;If Bobby decides that you are no longer a positive thing for Texcoin, Bobby will unenroll you from the affiliate program.&#8221; </strong>Such edicts amplify my initial concerns about centralized control and opacity, where dissent risks expulsion.</p>



<h2 class="wp-block-heading"><strong>Gray&#8217;s High-Flying Lifestyle: Community Backlash and Dismissive Rebuttals</strong></h2>

<p>Amid the call&#8217;s tensions, Gray faced pointed criticism for his extravagant lifestyle—private jets, supercars, and lavish events, clashing with the project&#8217;s downturn and community losses. One participant, Steven, articulated the discontent: <em>&#8220;My only concern is your change in the comp plan&#8230; However, the trips and private jets just look bad when sales are down. I love that the minds are coming online, but I think a lot of the negativity decreases if it looks like the top is backing off the perceived spending spree. Any chance of that happening?&#8221;</em></p>

It&#8217;s very nice&#8230; If you guys are not out there selling and earning commission because I&#8217;m driving around in a McLaren or flying private to the meeting out in Tampa or in Puerto Rico, then that&#8217;s one thing, but I don&#8217;t think that&#8217;s really at stake right now.&#8221; </em></strong>He later escalated, dismissing detractors outright: <strong><em>&#8220;If you don&#8217;t like the way I spend my money, then you&#8217;re on the wrong rocket.&#8221;</em></strong></p>

But is it really Gray&#8217;s money if the company is collapsing? <strong>Whose money will regulators say it is if they come knocking?</strong></p>



<h2 class="wp-block-heading"><strong>The Controversy: Investigative Firestorm and Echoing Alarms</strong></h2>



<p>The call&#8217;s aftermath has fueled a backlash, spotlighted by Tim Tolka&#8217;s December 22 <em>Disruption Banking exposé, </em><strong><em>&#8220;TEXITcoin: Texas&#8217;s Burnt Cash.</em>&#8220;</strong> Tolka—a Chicago-based investigative journalist with bylines in <em>Mother Jones</em>, <em>The American Prospect</em>, and <em>Business Insider, </em>commands authority through multilingual probes into fintech fraud across the U.S. and Latin America. His piece dissects TXC as a <strong>&#8220;high-risk MLM-crypto mashup,&#8221; </strong>citing Gray&#8217;s volatility admissions, retroactive comp shifts, and unproven mining as pyramid red flags.</p>



<p>This resonates with Oz at BehindMLM, a decade-long watchdog whose takedowns of OneCoin and TelexFree establish his niche expertise in unmasking schemes. Oz&#8217;s December 24 update flags TXC&#8217;s site &#8220;disablement&#8221; and social neglect as collapse harbingers. Similarly, *CoinMLS* (December 23) and *RevealingFraud* deem it a &#8220;likely scam,&#8221; citing breaches and affiliate fraud ties (e.g., SEC-settled iX Global cases). Social echo chambers on X and Reddit amplify &#8220;shitcoin&#8221; labels, linking Gray&#8217;s &#8220;currency obsessions&#8221; to legal voids.</p>



<p>My October review—rooted in my MLM/crypto pedigree—mirrored these dynamics, highlighting failures under the Howey/Koscot Test and unverified yields. The SEC settlement in my past (detailed in *BehindMLM*&#8217;s &#8220;Dooly pimps Zeek Rewards&#8221;) underscores my commitment to transparency: I&#8217;ve learned from those affiliations and now advocate rigorous due diligence.</p>

<p><strong>Regulatory:</strong> Unregistered model invites FTC/SEC pyramid probes; global risks loom.</p>



<p><strong>Sentiment:</strong> Loyalty erodes; investigative heat accelerates exits.</p>



<p><strong>New alarms: </strong>Liquidity burnout, phishing fallout, and MLM pivots scream unsustainability. Positives like hash surges pale in comparison to the authoritarian pivot, which could halve commissions to stem bleeding.</p>



<p>In this Post-Trust Era, TEXITcoin&#8217;s rebel dream crumbles under self-inflicted wounds. I strongly advise against investing, or at the very least, conduct exhaustive DYOR. Don&#8217;t rely solely on company spin, founder assurances, or promoter hype; cross-verify with independent sources. Consult your personal investment advisor, legal counsel, or accountant before making any move. Facts over flair: that&#8217;s the real path to protecting your future.</p>

That&#8217;s the tale of Brian Underwood, Michael Rutherford, and their company Pruvit. A recent court ruling exposed deep cracks in their partnership, leading to a big settlement and hard lessons for the industry.</p>



<p>Troy Dooly, the Beachside CEO and Editor of TalkGigs.News, broke it all down in a recent video. He&#8217;s known Underwood and Rutherford for nearly 20 years. Pruvit has been a client of his firm, too. Dooly calls it a classic case of miscommunication and lost trust. &#8220;This is exactly what happened,&#8221; he says. &#8220;Everything&#8217;s going great. You&#8217;ve got this giant team, and all of a sudden, it unravels.&#8221;</p>

<h2 class="wp-block-heading">From Partners to Courtroom Foes</h2>



<p>Rutherford was one of Pruvit&#8217;s originals—an &#8220;OG&#8221; as Dooly puts it. He and Underwood, the CEO, were best friends. They&#8217;d built businesses together through ups and downs. Pruvit, a network marketing company, gave Underwood a sweet deal: 25% of all revenue from the main account went straight to him.</p>



<p>Trouble brewed in July 2023. A dispute sparked lawsuits in Texas and Nevada. They settled quickly with a written deal. Rutherford agreed to step back—no more public talk, promotions, or social media posts about Pruvit. He had to unfriend non-personal recruits. In return, Pruvit promised to protect his downline (the team he built). No sneaky moves to shift people and cut his pay. His earnings were capped at $100,000 a month, with Underwood taking his 25% cut.</p>



<p>The deal also included a two-year no-solicit rule, confidentiality, and no bad-mouthing each other. There was even a &#8220;notice and cure&#8221; step—if someone slipped up, they&#8217;d get a warning to fix it.</p>



<p>But things fell apart fast. Rutherford said Pruvit broke the rules by tweaking the pay plan to slash his checks, letting his team leave, holding back payments without notice, and shutting down his account. Pruvit fired back, claiming Rutherford broke social media rules. The fight landed in court in February 2025 before Judge Rodney Mazant in Texas&#8217;s Eastern District.</p>



<h2 class="wp-block-heading">The Judge&#8217;s Big Call</h2>



<p>The court sided with Rutherford. By a &#8220;preponderance of proof,&#8221; Pruvit breached the deal. Key issues? They skipped commission payments, including bonuses from the ownership pool. Accounting was a mess—Rutherford had to beg for updates since he was cut off from the company. They axed his account without cause or the required warning period.</p>



<p>Pruvit&#8217;s claims against Rutherford? No solid proof. Their gripes about social media posts were &#8220;unsubstantiated or misinterpreted,&#8221; the judge ruled. Underwood wasn&#8217;t on the hook personally beyond his 25% share.</p>



<p>Rutherford showed real losses using records from iPayout, a payment service many MLMs use. The court awarded him $235,166 in damages, plus lawyer fees, post-judgment interest, and an order to restart his commissions through July 2026. Other claims, like fraud, weren&#8217;t tackled since they didn&#8217;t go to trial.</p>



<p>Dooly notes a twist: Pruvit&#8217;s lawyers drafted the deal, but left it fuzzy on purpose. &#8220;Legal teams write this in ambiguous language,&#8221; he says. &#8220;They made it so they could argue in court.&#8221; This time, it backfired. Courts are getting stricter on vague terms.</p>



<h2 class="wp-block-heading">Lessons for MLM Bosses and Reps</h2>



<p>This saga isn&#8217;t just gossip—it&#8217;s a wake-up call. Dooly has advice for company leaders:</p>



<ul class="wp-block-list">
<li><strong>Write Clear Deals</strong>: Skip the wiggle room. Use simple, trust-based language. Define commissions, downlines, and payments upfront. &#8220;You&#8217;ve got to have clear terms to avoid all this,&#8221; Dooly warns.</li>



<li><strong>Follow the Rules</strong>: Stick to notice-and-cure steps. Don&#8217;t change pay plans on locked-out reps and expect them to hit new goals.</li>



<li><strong>Document Everything</strong>: Back up violations with hard evidence, not hunches. Reps are teaming up with law firms now, ready to fight back.</li>

<li><strong>Stick to the Deal</strong>: Follow non-solicit rules to the letter. Dooly shares a tip: If you&#8217;re leaving a company, start fresh on social media. Block or unfriend as required—words like &#8220;unfriend&#8221; vs. &#8220;block&#8221; matter in court.</li>

<p>He points to a growing trend: More balance in MLM, like franchises or licenses, where both sides win. &#8220;Don&#8217;t let emotions cloud one-sided terms,&#8221; Dooly says. &#8220;Think about your rep and the company&#8217;s future.&#8221;</p>



<h2 class="wp-block-heading">A Friendship&#8217;s Bitter End—and a Path Forward</h2>



<p>At its core, this was about two friends hit by life&#8217;s storms. &#8220;Poor communication and broken trust,&#8221; Dooly sums up. &#8220;Just like in every relationship, if there&#8217;s a break, it&#8217;s tough to get it back.&#8221;</p>

<h2 class="wp-block-heading">BehindMLM’s Landmark Exposé: The Zeek Rewards Scandal and My Perspective From Firsthand Experience &#8211; SEC Fines Troy Dooly For Pimping Zeek Rewards</h2>



<p>I’ve got some real experience with Zeek Rewards since I worked as an outside advisor for its parent company, Rex Venture Group. This was a major scandal back in 2012. I&#8217;ve been in the MLM scene for decades and have tried my hand at pretty much everything. At that time, I was running MLMHelpDesk.com, one of the go-to sites for MLM news and info. </p>



<p>Zeek Rewards turned out to be one of the biggest Ponzi schemes ever, raking in over a billion dollars. Most people were investing around $10,000 each using cash, cashier&#8217;s checks, or money orders since cryptocurrency wasn’t really a thing yet. In just eighteen months, it pulled in over a million people. The SEC stepped in and shut it down in August 2012, calling it an illegal pyramid and Ponzi scheme because most of its money came from new investors rather than actual sales.</p>



<p>Let me break down my involvement step by step. Back in late 2011, I started looking into Zeek Rewards on my site, MLMHelpdesk.com, after hearing all the chatter in the industry. At first, I was pretty skeptical about their business model, especially the way they funded daily profit shares through affiliates bidding on penny auctions at Zeekler.com. I even wrote some articles questioning whether it could really last.</p>



<p>By April 2012, after talking with leadership, the legal team, and other outside advisors, I decided to work with the leadership, specifically the compliance team, as an advisor through my company, Deep South Companies. My job was to be a sounding board for both supporters and critics, responding to negative press, reporting live from events, doing video interviews, and handling media exposure. I didn&#8217;t include public relations or advertising in my agreement because I hadn’t considered it that way until an SEC agent pointed out that it was part of my agreement. Rex Venture Group (RVG), Zeek’s parent company, paid me $6,000 a month under two contracts totaling $24,000. However, I only received $18,000 before the SEC froze their assets.</p>

<p>Even while I was advising from April to August 2012, I openly discussed the growing concerns, which Zeek leadership wasn&#8217;t fond of. For instance, when the North Carolina Attorney General’s Civil Investigative Demand (CID) came to light in early August 2012, I shared my thoughts on MLMHelpdesk.com, saying, “this is one of the best things that can happen to Zeek Rewards because now the regulators will take a close look at everything, suggest any necessary changes, and ask the important questions that a lot of people have been curious about.” I firmly believed that regulators&#8217; involvement could help address the industry&#8217;s challenges and address critics&#8217; questions. I wanted to promote transparency and encourage adjustments. Industry analyst Len Clements mentioned in his review that I was “at times somewhat critical” during that time, managing to defend the situation while also recognizing the real issues.</p>
</blockquote>



<p>Things got a bit messy when I started promoting Zeek through blog posts, YouTube videos, and even doing a radio interview, all while keeping quiet about the payments I was getting. I thought my non-disclosure agreement with RVG meant they were the only ones allowed to talk about my compensation, so I just stayed silent since they hadn’t given me the go-ahead. I didn’t realize that was actually against SEC rules.</p>



<p>During an interview on the Tom Chennault Home Business radio show, when Tom pointedly asked me about my pay, I misled the audience by claiming I only got reimbursed for expenses, which I wrongfully included my retainer as an &#8216;expense.&#8217; That was a big mistake, and the SEC came down hard on me for it.</p>



<p>On September 30, 2013, the SEC found me guilty of a Code Infraction by not disclosing how I was paid for promoting RVG. The order pointed out that, in the SEC&#8217;s opinion 17% of my agreement was advertising-related. And since in different media outlets, including MLMHelpDesk.com, I didn’t disclose to my audience that RVG was compensating me for the publicity, I was in violation of the SEC rules. </p>



<p>BehindMLM, through &#8220;Oz,&#8221; was one of the first to point out that Zeek looked like a Ponzi scheme. They put up detailed info highlighting issues like ROI earned by affiliates through a lack of real retail sales. Their coverage often disagreed with mine; they slammed my shift from being 100% skeptic to giving Zeek a pass in areas, saying I ignored the facts and misled people. Commenters like K. Chang on their site pushed back on my ideas, calling them pseudo-scientific. I jumped into those discussions, and things got pretty heated. Some even accused me of censoring comments on my own site, which, as a proponent of the First Amendment, I would not do!</p>



<p>Looking back, Zeek taught me some tough lessons. As my mentor and friend, Richard Brooke, told me,  I was too close to the forest to see the trees, and it blinded me, which ended up costing me a lot. I totally agree with the SEC; the evidence clearly showed that the leadership was lying and manipulating the info they gave me as an outside advisor. The SEC was right to push for better disclosure—trust is everything in this industry. Hindsight makes it clear that BehindMLM’s early warnings were spot on, even if the way they said it felt a bit confrontational. Today, my focus is to craft only Trust-Inspired, Purpose-Driven narrative. We do it here, and I also guide our clients in fully understanding, no matter how hard the truth may be, truth-telling is the only way to live.</p>



<p>On BehindMLM, I replied to their article about the SEC fine, saying, “Oz, you got the facts right, as always. But there are a couple of things where I think your take was a bit off. I didn’t mention that those expenses included my consulting retainer. This won&#8217;t happen again because I really understand the SEC and FTC rules now. Again, Oz, you did a pretty good job covering this situation.” On PatrickPretty.com, I discussed my role, acknowledged my mistakes, and emphasized the importance of transparency</p>



<p>I looked into the &#8216;Zeek Rewards Legal Defense Fund&#8217; launched after Zeek Rewards was shut down and raised some red flags about its legitimacy and how it might further take advantage of victims. This fund was tied to people like Robert Craddock, who claimed to be helping affiliates but was called out for potentially scamming people for money. Craddock got indicted in 2015 for wire fraud related to another scheme involving the Deepwater Horizon oil spill fund. He ended up serving six months in prison, plus 15 days at the Brevard County Work Farm, and had three years of supervised release afterward. My take on this matched what was reported by BehindMLM and PatrickPretty.com, which highlighted how these efforts tricked investors with false promises of reopening Zeek.</p>
