Non-Disclosure Agreement

By registering in the web platform https://my.oneforma.com (the "Website") and any of its subdomains, the Website user (the "CONTRACTOR") is entering, in the terms set forth herein, into a binding agreement with Pactera Technologies, NA Inc. , a company with registered offices at 14980 NE 31st Way, Suite 120, Redmond, WA 98052, the USA; its parents, subsidiaries, and other corporate affiliates("the COMPANY"). The CONTRACTOR may obtain further information on the COMPANY under the section "About us" of the Pactera Edge Website, https://www.pactera-edge.com/.

Each of the Company and Contractor is a "Party" and collectively, the "Parties."

In consideration of Contractor’s independent contracting relationship with the Company (the "Relationship"), which Contractor acknowledges to be good and valuable consideration for Contractor’s obligations hereunder, the Parties hereby agree as follows:

1. Confidential Information

a. Protection of Information

Contractor understands that, during the Relationship, the Company intends to provide Contractor with information, including Confidential Information (as defined below), without which Contractor would not be able to perform Contractor’s duties to the Company. Contractor agrees, at all times during the term of the Relationship and thereafter, to hold in strictest confidence, and not to use, except for the benefit of the Company to the extent necessary to perform Contractor’s obligations to Company under the Relationship, and not to disclose to any person, firm, corporation, or other entity, without written authorization from the Company in each instance, any Confidential Information that Contractor obtains, accesses, or creates during the term of the Relationship, whether or not during working hours, until such Confidential Information becomes publicly and widely known and made generally available through no wrongful act of Contractor or of others who were under confidentiality obligations as to the item or items involved. Contractor further agrees not to make copies of such Confidential Information except as authorized by the Company.

b. Confidential Information

For purposes of this Agreement, "Confidential Information" includes, but is not limited to, all information not generally known to the public, in spoken, printed, electronic, or any other form or medium, relating directly or indirectly to: compensation, benefits, personnel data and decisions, business processes, business decisions, practices, methods, policies, plans, publications, documents, research, operations, services, strategies, techniques, agreements, contracts, terms of agreements, transactions, potential transactions, negotiations, pending negotiations, know-how, trade secrets, computer programs, computer software, applications, operating systems, software design, web design, work-in-process, databases, manuals, records, articles, systems, material, sources of material, supplier information, vendor information, financial information, results, accounting information, accounting records, legal information, marketing information, advertising information, pricing information, credit information, design information, payroll information, staffing information, personnel information, employee lists, supplier lists, vendor lists, developments, reports, internal controls, security procedures, graphics, drawings, sketches, market studies, sales information, revenue, costs, formulae, notes, communications, algorithms, product plans, designs, styles, models, ideas, audiovisual programs, inventions, unpublished patent applications, original works of authorship, discoveries, experimental processes, experimental results, specifications, customer information, customer lists, client information, client lists, manufacturing information, factory lists, distributor lists, and buyer lists of the Company or any existing or prospective customer, supplier, investor, or other associated third party, or of any other person or entity that has entrusted information to the Company in confidence.

Contractor understands that the above list is not exhaustive, and that Confidential Information also includes other information that is marked or otherwise identified as confidential or proprietary, or that would otherwise appear to a reasonable person to be confidential or proprietary in the context and circumstances in which the information is known or used.

c. Unauthorized Use

Contractor agrees not to reverse-engineer, decompile, or disassemble any software that is provided to Contractor by the Company.
Contractor shall not create, or arrange to create, any copies of the Confidential Information, except as reasonably required during the Relationship, in which case all copies shall be the property of the Company. All Confidential Information, and copies thereof (if applicable), shall be immediately destroyed or returned to Company upon termination of the Relationship.
Contractor agrees that any disclosure of the Confidential Information within Contractor’s organization shall be limited to personnel who have a requirement to access the Confidential Information in order to perform services pursuant to the Relationship in a correct manner, in which case Contractor is obliged to inform said persons about the existence and terms of this Agreement and where Contractor shall be liable to the Company for any non-compliance by said persons with respect to any of the obligations established herein.

d. Required Disclosures

The terms of this Agreement, including but not limited to the provisions regarding Confidential Information, nondisclosure and non-solicitation, do not restrict or impede, in any way, and shall not be interpreted or understood as restricting or impeding, Contractor from exercising protected rights, including Contractor’s rights under Section 7 of the National Labor Relations Act, or otherwise disclosing information as permitted by law, to the extent that such rights cannot be waived by agreement or from complying with any applicable law or regulation or a valid order of a court of competent jurisdiction or an authorized government agency, provided that such compliance does not exceed that required by law, regulation, or order. Contractor shall promptly provide written notice of any such order to the Company.

e. Notice of Immunity

Pursuant to the Economic Espionage Act of 1996, as amended by the Defend Trade Secrets Act of 2016 and notwithstanding any other provision of this Agreement:

Contractor will not be held criminally or civilly liable under any federal or state trade secret law for any disclosure of a trade secret that: (A) is made: (1) in confidence to a federal, state, or local government official, either directly or indirectly, or to an attorney; and (2) solely for the purpose of reporting or investigating a suspected violation of law; or (B) is made in a complaint or other document that is filed under seal in a lawsuit or other proceeding.
If Contractor files a lawsuit for retaliation by the Company for reporting a suspected violation of law, Contractor may disclose the Company’s trade secrets to Contractor’s attorney and use the trade secret information in the court proceeding if the Contractor: (A) files any document containing the trade secret under seal; and (B) does not disclose the trade secret, except pursuant to court order.

f. Breach

Contractor further agrees that it shall: (i) immediately notify the Company, in writing, of any breach of this Agreement; (ii) fully cooperate with the Company to mitigate the effect of such breach; and (iii) be responsible for any breach of this Agreement caused by any third party to whom or to which Contractor has provided or given access to the Confidential Information.

g. Personal Information

Contractor may obtain, as part of the Confidential Information, personal information about various individuals, including employees of the Company. Contractor, and any third party to whom or to which Contractor provides the Confidential Information, will comply with all applicable laws with respect to the use and maintenance of such Confidential Information, including without limitation any applicable data and privacy protection laws.

2. No Company Warranties or Representations

Neither the Company nor any of its representatives, agents, or clients make any representation or warranty, express or implied, as to the accuracy or completeness of the Confidential Information nor shall any of them be responsible for or be liable to Contractor for any expenses, losses, or actions incurred or undertaken by Contractor as a result of Contractor’s use of the Confidential Information.

3. No Transfer of Rights, Title, or Interest

The Company retains its entire right, title, and interest, including all intellectual property rights, in and to all Confidential Information, and no disclosure of Confidential Information hereunder shall be construed as a license, assignment, or other transfer of any such right, title, and interest to Contractor or any other party.

4. Remedies

Contractor acknowledges and agrees that any breach or threatened breach of this Agreement by Contractor or any third party to whom or to which Contractor has provided or given access to the Confidential Information may cause the Company irreparable harm, and therefore Contractor agrees that the Company will be entitled to seek extraordinary relief in court, including, but not limited to, specific performance and injunctive and other forms of equitable relief without the necessity of posting a bond or other security (or, where such a bond or security is required, Contractor agrees that a $1,000 bond will be adequate). The aforementioned equitable relief shall be in addition to, not in lieu of, legal remedies, monetary damages, or other available forms of relief.

5. Adult contents waiver

Contractor is aware of the possible existence of adult contents in materials transmitted as part of work projects through the Web site and, as a result of this, accepts the mentioned possibility, waiving all claims arising from this fact.

6. Non-solicitation

As described above, Contractor acknowledges and agrees that the Company’s Confidential Information includes information relating to the Company’s employees, consultants, customers, and others, and that Contractor will not use or disclose such Confidential Information except as authorized by the Company. Contractor further agrees as follows:

a. Employees and Consultants

Contractor acknowledges and agrees that, during the term of the Relationship and for twelve (12) months following the termination of the Relationship either by Contractor or the Company for any reason, Contractor shall not, directly or indirectly, solicit, induce, recruit, or encourage any of the Company’s employees or consultants to terminate their relationship with the Company, or attempt to solicit, induce, recruit, encourage, hire, make an offer to, or take away employees or consultants of the Company, or to be employed or perform services outside of the Company either for Contractor or for any other person or entity.

b. Other Parties

Contractor agrees that, during the term of the Relationship, Contractor will not negatively influence any of the Company’s clients, licensors, licensees, or customers from purchasing the Company’s products or services or solicit or influence or attempt to influence any client, licensor, licensee, customer, or other person either directly or indirectly, to direct any purchase of products and/or services to any person, firm, corporation, institution, or other entity in competition with the business of the Company.

7. Non-compete Practices

According to the terms established under the NDA, Contractor shall not use its cooperative relationship with Company to solicit Company's clients or attempt to obtain their contact information and, in particular, shall not contact such clients directly in its own right. Additionally, if any of Company's clients should try to establish contact with Contractor, Contractor shall first ask for consent from Company. Without Company prior consent, Contractor shall undertake to desist from any form of business cooperation with such clients. In the event of a breach of this provision, or of any of the provisions established under the NDA, Company reserves the right to take further action against Contractor, including the claiming of damages.

8. Work Environment

Contractor undertakes to do its utmost to guarantee the best possible anti-virus protection at all times, in a manner that ensures that all jobs delivered to Company by virtue of this Agreement do not prejudice the computer installations, systems and/or programs of the Company and/or third parties. Contractor shall work either from home or an office environment where access is secure and privacy is ensured. Contractor shall not work from Internet Cafés, Coffee Shops, or any other public, high traffic areas. Privacy Screen – If working from an office environment, a Privacy Screen should be installed.

9. Assignment

a. Assignment by Company

To the extent permitted by law, the Company may assign this Agreement to any subsidiary or corporate affiliate, or to any successor or assign (whether direct or indirect, by purchase, merger, consolidation, or otherwise) to all or substantially all of the business or assets of the Company.

b. No Assignment by Contractor

Contractor shall not assign or transfer any of Contractor’s rights or obligations hereunder without the prior written consent of the Company. Any purported assignment by Contractor shall be null and void from the initial date of purported assignment. If the Company expressly authorizes Contractor in writing to subcontract to third parties for the purposes of carrying out the job commissioned, Contractor shall be bound to advise such third parties of the obligations established in this agreement and shall remain jointly and severally liable for any breach of this Agreement by such parties

10. Jurisdiction

This Agreement will be governed by, and construed in accordance with, the laws of the State of Washington, without regard to its conflicts of laws provisions. Each party hereby irrevocably submits to the exclusive jurisdiction and venue of the state and federal courts residing in King County, Washington for all matters and actions arising under this Agreement.

11. Notices

All notices must be in writing and addressed to the relevant Party at its address set out in the preamble (or to such other address such Party specifies in accordance with this Section 8). All notices shall be deemed to have been given: (a) when delivered by hand (with written confirmation of receipt); (b) when received by the addressee if sent by a nationally recognized overnight courier (receipt requested); (c) on the date sent by facsimile or e-mail of a PDF document (with confirmation of transmission) if sent during normal business hours, and on the next business day if sent after normal business hours; or (d) on the third day after the date mailed, by certified or registered mail, return receipt requested, postage prepaid.

12. Entire Agreement

This Agreement is the entire agreement of the Parties regarding its subject matter, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding such subject matter. This Agreement may only be amended, modified, waived, or supplemented by an agreement in writing signed by both Parties.

Now the question is, will the booster dose protect us from Omicron?

According to a preliminary study by the UK Security Agency, those who took two doses of the Oxford-AstraZeneca vaccine six months ago had almost zero protection against the Omicron infection and slightly more than 35 percent in the case of the two-dose Pfizer vaccine. However, for those who have taken the third dose or booster dose of AstraZeneca or Pfizer vaccine, the defense against Omicron is about 75 to 80 percent. In other words, it is very important for everyone at risk to take Booster Dose to protect themselves from Omicron.

A multicenter Phase-2 trial has recently been conducted in the UK to see which vaccines in the third or booster dose will be more helpful in preventing infection. A total of 6 vaccines have been tested in this trial. It has been observed that those who were given the initial 2 doses of AstraZeneca or the initial 2 doses of Pfizer, what is the immune response and side effects when given a booster dose with any vaccine. The results of this very important study were published on December 16 in the famous journal Lancet.

It found that those who received the first two doses of AstraZeneca were given a third dose, which increased antibody titers threefold, virus-neutralizing antibodies by two and a half times, and did not increase T-cell response. On the other hand, if the third dose is given with Pfizer, the antibody titer increases 24 times, the virus-neutralizing antibody increases 25 times and the T-cell response increases 3 to 4 times. The third dose of the modern vaccine gives the same results as the Pfizer vaccine. And when the third dose is given with Novavax, the antibody titer and neutralizing antibody increase 6 to 8 times and the T-cell response increases about 4 times. The third dose of Johnson & Johnson's Ad-28 increases both antibody titers by about 6 times and T-cell response by about 3 times. The third dose of a vaccine from France called "Valneva" doubles the antibody and neutralizes the antibody titer. However, the increase in T-cell response is very small. This vaccine is very similar to the Chinese Synopharma vaccine.

Omicron - CoronaVirus

On the other hand, for those who were given the first two doses of Pfizer, the third dose with AstraZeneca increased the antibody titer and neutralizing antibody by about 5 times and the T-cell response by about 3 times. And if this group is given the third dose with the Pfizer vaccine, the antibody titer and neutralizing antibody increase by about 6 to 8 times, and the T-cell response increases by about 3 times. This means that the efficacy of the third dose, in this case, is almost equal to that of AstraZeneca and Pfizer. And the third dose with the modern vaccine increases the antibody titer and T-cell response 11 times and 4 times, respectively. In the case of Novavax, the antibody titer and T-cell response increased 3 to 4 times and 1.5 times, respectively. However, as a third dose, Valneva is very ineffective in this case.

How effective a vaccine will depend on how much neutralizing antibody and the T-cell response it produces in the body after vaccination. In the case of the heterologous booster, it is best to apply the combination that will produce the most immunogenic response to the ticker. The summary of what can be seen from the above trial results is as follows:

1. The most effective Pfizer or Moderna as a booster dose after the 2 doses of the AstraZeneca vaccine. Vaccines from NovaVax and Johnson & Johnson are also quite effective. However, the Astrazeneka or Valnever vaccine as a third dose is less effective in this case. Therefore, for those who have received 2 doses of the Oxford-AstraZeneca vaccine, it is better not to give AstraZeneca vaccine as a booster. This is how booster doses are being given in the UK.

2. AstraZeneca, Pfizer, Modern, NovaVax, and Johnson & Johnson vaccines as booster doses after Pfizer 2 dose vaccine - all are effective. However, in this case, the Val never vaccine as a booster dose is completely ineffective.

Synoforma vaccine is being widely used in Bangladesh. Synoforma and Valnever vaccines are of the same nature. Therefore, based on the above trial, it can be said that in cases where the initial 2 doses have been given with AstraZeneca or Pfizer vaccine, it is better not to use Synoform vaccine during booster dose. Because this combination may not work. As in the case of Val never. However, in cases where the initial 2 doses have been given with synoforma, the synoforma vaccine may be used as the third dose. Traditionally this method is supposed to work. In addition, mRNA vaccines such as Pfizer or Moderna may be used as heterologous doses with the initial dose of Synoform.

The above immunogenic response data were taken 28 days after the third dose. However, the trial report showed that the body's antibody titer and T-cell response increased rapidly at least one week after the booster dose. This means that the immune boost-up occurs one week after the third dose and resistance against infection is created.

Now the question is, after how many days to take the booster dose?

According to a UK study, 6 months after the second dose, there is no further resistance against omega-3 infections. He should take a booster dose as soon as the second dose expires in 6 months. The booster dose is especially important for those in their sixties or older who are suffering from a variety of ailments, such as diabetes or high blood pressure, or those who are overweight. The best time to take a booster is within 3 to 6 months of the second dose.

In 1992, science fiction writer Neil Stephenson first used the word "metaverse" in his novel "Snow Crash", in which he imagined different avatars appearing on 3D multi-levels, almost like humans. Today's Metaverse is such a virtual world.

I don't know where the technology is approaching with the virtual reality of Metaverse. Only God knows best about the future. But we can imagine and calculate probability. When we move from one end of the world to the other "virtually" through glasses, where the real human connection and the direction of work will go, is also a matter of concern.

We are currently living in the technology age and as time goes on we are stepping into the updated technology. We've been hearing about Metaverse for quite some time. Its technical meaning is very complex. But I will try to give you some idea about this. So you will understand easily.

Metaverse: Technical meaning

The word meta means self-aware. And the word Verse comes from the Universe. So, the word metaverse means a universe where the characters of the universe are self-aware of being in that universe.

Just imagine, you're playing FIFA 2021 game on the phone. There is Messi or Neymar, they are playing as a player. Now if Messi or Neymar knows that they are in the FIFA game, then we can call that FIFA game a metaverse. Now, of course, in the FIFA games that we play on the phone, neither Messi nor Neymar knows they are playing. Because he is not a self-aware creature inside the game.

But to be honest, it is no longer in the imagination. The work of creating such technology has already started.

This technology will make the online virtual world feel a lot like the real world. Again, suppose, a friend of yours posted some beautiful pictures on Facebook while walking in the hills. This technology will make you feel like you are there when you visit Facebook. And the technology that will make this happen is called Metaverse.

That's just the beginning. Our future is going to be full of Meta. Most likely, I can see the future. I have divided this future meta era into three steps by myself. Those are:

Fiverr is a strange marketplace. No one can say who will rise and who will descend when. Many days ago, I heard about a cellar. He has been working very successfully since 2014. It was supposed to be a top-rated seller.

Everything is ready, but instead of giving a top rating, Fiverr banned him again. I know someone else, he is suddenly getting so many orders that he can't work. Again, you can't find a good one to order. So he was forced to turn on the order limit option. Naturally, the question arises, why a seller, why suddenly starts getting so many orders like this?

I was talking about the tipping point. A tipping point means that a big change happens without any apparent reason. Fiverr has tipping points. The real example of this is me. The first year after starting work at Fiverr, I couldn't do much. Suddenly one day 10/12 orders appeared. Now the question is why the tipping point is created. Tipping points can start for a variety of reasons. Even if you don't understand it at the beginning, it can be easily found out with a little effort. As the reason for the sudden increase in sales of that shoe brand was that of a big celebrity singer, their brand of shoes performed later. Since he has a lot of followers, they started looking for and buying those shoes. As a result, the demand in the market increased a lot. In the same way, I also found out the reason for my sudden order. That's what Fiverr featured on the first page of my gig, which is now "Fiverr Choice". As a result, this order increased.

It is not possible to predict in advance when a car tipping point will be created. However, research shows that those who take advantage of more opportunities are more likely to create these tipping points. So I will tell you to use all possible opportunities to sort, promote, sell your Fiverr profile. Promote gigs, send buyer requests, deliver posters if needed (many in the USA offer this service, posters will deliver posters in your name), collect leads and email, all in all, you do everything you can. Which will be useful at what time, no one can say. One of my acquaintances edited his gig and hired Rank. Contacts support, requests to bring his gig to search. The support person was good. He seemed to have something in his gig, so he got a lot of orders that day. And so on. Contacting support was his tipping point.

One of them opened a blog site, published an article, and started promoting his gig. Since then the order has flooded. With that money, the freelancer is now living at home with his family. The YouTube channel was his tipping point. Knowing one, he worked with two of his niche-related coaches. The coaches were very happy with his work. Since they coach, they have a lot of students. The coaches asked their students to take service from that cellar. The result was a flood of orders, it was his tipping point. However, not all rules indeed apply to everyone. Speaking of which, all kinds of opportunities must be used to the maximum.
