Smartcool Announces Private Placement Offering

Smartcool’s Third Quarter Revenue Up 61% Over 2009

Highlights:

Gross profit for the quarter increased by $334,848 to $794,184 (72% of revenue) from $459,336 (67% of revenue) for the third quarter of 2009.
General and administrative expenses for the quarter decreased to $751,037 from $809,018 for the same quarter of 2009.
Net loss for the quarter was $259,725 ($0.01 per share), decreased by $248,284 or 53% from $471,100 ($0.01 per share), for the third quarter of 2009.
The company had $622,422 in cash and cash equivalents at the end of the quarter, compared to $164,434 in cash and cash equivalent and short-term investments of $252,822 at the end of the third quarter of 2009.
With its distribution channels steadily expanding and positive cash flow being generated from operations this quarter ($142,742), management is confident that the company will continue executing on its strategic business plan in the next twelve months.

As of November 25, 2010, the outstanding shares are 46,821,396 and diluted are 55,482,096.

Smartcool Saves Sainsbury’s Energy in 104 Stores

The mandate of this program is to reduce the company's greenhouse gas emissions by retrofitting its supermarkets to become more energy efficient. Smartcool Distributor Supporting YMCA with New Non-Profit Partnership Program

GES has already assisted the YMCA of the Suncoast in Clearwater, FL, by installing Smartcool's ECO³™ to increase the energy efficiency of the facility's air conditioning system. GES installed the ECO³™ at the YMCA where Tim Ackerman, VP of Buildings & Grounds, could see immediate energy savings of 10% to 12% of the facilities' overall kWh usage during a trial period that included unusually high temperatures compared to prior years. "As we move forward with our plan to roll out the ECO³™ across our entire association of YMCAs in the Suncoast service area, we are looking at the potential to save in excess of $50,000 per year at 8 locations. In our previous facility upgrades we have looked for a payback in 3 to 4 years, but with Smartcool and GES we are seeing a payback in 12 to 18 months. " says Mr. Ackerman. Smartcool Sees Six Month Results Jump 140% Over 2009

Three months:

Revenues were $1.137 million, representing a 120% increase over the $510 thousand reported in the second quarter of last year.
Operating expenses declined slightly to just over $1 million, down from $1.176 million in Q2, 2009.
The quarterly loss fell dramatically to $249 thousand compared to $929 thousand in the second quarter of last year.

Six months:

Revenues were $1.772 million, representing a 140% increase over the $736 thousand reported for the first half of 2009.
Operating expenses fell significantly to slightly more than $2 million, down from $2.69 million for the first six months of 2009.
The first half loss was $917 thousand representing a major improvement over the $2.33 million reported for the same period of last year.
The Company had $514 in cash and equivalents and $688 thousand in receivables as of June 30th.
The weighted average number of shares at the end of the period was 45.14 million.

The Company remains focused on generating positive cash flow in the fourth quarter of 2010.

The growth in revenue reflects the continuation of multiple site roll-outs with three major clients's world-wide directly managed by SSC. The next phase of rollout with these customers will be completed throughout the balance of the year. Smartcool Registers Success with African Banking Giant

Mr. Chris Grainger, convener of the Nedbank Technology Forum for Building Energy Efficiency states, "We are pleased with the results of the ESM™ installation at our Corporate Head Office. The energy savings assessment indicates an overall reduction of HVAC energy consumption by approximately 350,000 kWh per year. The resulting payback period of less than 24 months, coupled with a reduction in carbon emissions of 387,000 kg, contributes significantly to the energy, cost and carbon emission reduction goals of Nedbank".

The pilot project saw Smartcool's South African based distributor, Aruba Cooling, installing the ESM™ on five chillers at Nedbank's central office headquarters located in Sandton, Johannesburg. After an in-depth monitoring and verification process, data indicated energy savings results above and beyond original estimates.

South Africa is faced with rapidly increasing energy costs alongside increasing demand, putting an enormous strain on the state-owned energy provider. Smartcool Steps into Asia Pacific with Major New Distribution Agreement

Smartcool Increases Asian Presence with Global Manufacturing Brand

Stretchline board's has reviewed these positive savings results, and has now requested proposals for the implementation of Smartcool's technology in 10 of its factories across the Asian region. Debenture Offering

Each Unit is comprised of a Debenture in the principal amount of $5,000 plus 8,600 Warrants, issued at a price of $5,000 per Unit. The Debentures are for a term of three years and entitle the holder to receive distributions of $150 each quarter per $5000 of principal amount of Debenture with an additional distribution of $150 if the Debenture is repaid in months 19 to 24 and two additional distributions (for a total of $300) if the Debenture is repaid in months 25 to 36. The Debentures shall also receive 5% of gross cash revenues to be paid towards the outstanding principal of the Debenture each quarter. The Debentures shall be secured by a general security agreement over the assets of the Company.

One whole Warrant entitles the holder to purchase one common share at a price of $0.50 per Share for a period of three years from the date of issuance. If the Company's shares trade at an average price of $0.80 per share for a period of 60 days, the Company, at its election, may force exercise or cancellation of the Warrants. If the Company repays any portion of the principal amount of Debentures prior to January 1, 2011, the number of common shares purchasable pursuant to the Warrants shall be decreased proportionately to the amount of principal so repaid.

A finder's fee shall be payable to Osprey Capital Partners equal to 10% of the aggregate proceeds from the offering of the Units.

Smartcool Systems records increasing success within Australian Banking Industry

In the first of these successes, Smartcool Systems Australia has been granted approval for the second stage of trials within one of Australia's four largest banks. Following on the recent successful initial trial phase with the group, which in fact resulted in larger than projected energy savings, a second segment of trials has been set to commence within the first quarter of 2010. This trial will see a roll out of the Smartcool product range on larger air conditioning units, and chiller systems, within the bank's network - with the trial including up to 500 air conditioning systems.

The progression of this project follows yet another successful trial phase-again with another member of the Australian banking 'top 4'. This particular roll out - now entering its second phase - will see approximately 800 systems being installed across its Australian network, with the possibility of even further expansion pending successful energy saving verification results.

Another vertical showing increasing potential within the region is that of large scale Australian gymnasium chains. Following on from a successful trial phase with one of the country's larger gymnasium groups, Smartcool Systems Australia have been requested to provide proposals for the second stage of a national roll out, whereby an additional 220 systems will be installed across the group's complexes within early 2010.

Smartcool Signs Distribution Agreement With Largest Chiller Service in the Middle East

In addition U.S. Chiller Services will also market Smartcool's ECO3™ on a non-exclusive basis. As well as having offices in Dubai, U.A.E. and Manama in the Kingdom of Bahrain, U.S. Chiller Services also has locations in California and Florida.

As part of its due diligence process, U.S. Chillers installed the Energy Savings Module™ (ESM™) on a large tonnage centrifugal chiller at a location, managed by the Palm District Cooling Company, situated in Dubai. The test which initiated in July 2009 required 14 days of operation; whereby readings were taken prior to activation of Smartcool's ESM™. Readings were then recorded for a 14 day period with the ESM™ activated. To further verify testing results, these readings were compared to a 14 day period whereby readings were recorded with the ESM™ turned on and off on alternate days. The results from the testing period indicated energy savings of 13.16% when comparing the 14 days on and off period and 16.63% energy savings for the alternate day period. On average, the ESM™ provided savings of 2,925 kWh per day, an average savings of 14.89%. This equates to approximately US$95,000 per annum on this single chiller application.

"The test was conducted throughout real operational conditions during 42 days under the peak Dubai summer period when mid-day temperatures can reach 50 degrees centigrade, yet Smartcool's technology provided very impressive results," stated Dan Mizesko, Managing Director of US Chiller Services. "Not only did the ESM™ save substantial kWh input power to the chiller, it was also able to slightly improve the chiller's kW per ton efficiency. The supermarket chain's energy management team extensively tested the ESM™ to ensure it meets Sainsbury's energy and cost reduction requirements and complements Sainsbury's innovative Re-Fit Program, which is focused on reducing greenhouse gas emissions.

Sainsbury's, the UK's third largest supermarket chain, is an industry leader for environmental initiatives.

"We have enjoyed significant business and environmental gains over the last three years with our Reset program and our extensive testing has shown that the Smartcool ESM™ will be a key addition to our list of Energy Reduction initiatives," said Jeremy Waters, Energy Manager. Before making its purchase decision, Sainsbury's completed a comprehensive, real-world testing and analysis of the Smartcool ESM™. Based on the eight-store testing, the ESM™ is now considered an approved product for Sainsbury's Reset program which led to the further installations in 17 additional stores.

Israel's Largest Telecommunication Service Provider Reaps Benefits of Smartcool Technology

Smartcool Completes Acquisition of UK Distributor, Expands Sales and Marketing Team in Europe and Middle East

Prior to the acquisition, TECC held the exclusive re-sale rights to a selection of the Company's products in certain countries in Europe and the Middle East (the "Distribution Rights"). University of Miami Reports on Smartcool's Energy Reduction Technology

The following provides the Executive Summary of the final report prepared by The University of Miami for FPL with respect to the 12 month field monitoring test of the ESM™. The test was completed at one of FPL's client locations, a national chain drug store located in Miami, Florida.

Report - Executive Summary

"This is a field test of the SMARTCOOL™ Energy Savings Module™ (ESM™) in a commercial HVAC application conducted by the University of Miami for Florida Power & Light Company under FPL's Conservation R&D Program. The Smartcool is an electronic control system which collects temperature data versus time when the compressor is on or off in order to calculate the optimal run time for each compressor. Control modules connect to switches located between the thermostat and each compressor.

The goal of the research is to estimate demand reduction of a heating/ ventilation/and air-conditioning (HVAC) control technology from Smartcool Systems, Inc. during Florida Power & Light summer schedule peak hour (4:00 to 5:00 pm), and winter schedule peak hour (7:00 to 8:00 am) specifically during the months of August and January, respectively. Additionally, consumption and reduction of energy (kilowatt-hours) is also of primary importance.

To measure the impact of the SMARTCOOL™, the University of Miami, Department of Industrial Engineering team installed, 21 dedicated data loggers and current transformers (CT), 3 loggers at the service entrance and 3 loggers on each of the A/C roof top units, free-standing, building of a national chain drug store in Miami, Florida.

These loggers were installed to acquire the power consumption at the service entrance and for each of these six units for a full one year. The SMARTCOOL™ was switched ON/OFF every other week to minimize the effect of the weather variation.

This report explains the methodology followed by the University of Miami team, presents the main results obtained, and explains the analysis techniques followed to investigate the performance of the SMARTCOOL™ to determine whether or not the installation of the SMARTCOOL™ on the cooling units will result in a reduction in the power consumption and/or the peak demand. The data collected using the HOBOs were validated by comparing it to a number of the electric bills of that facility. The average absolute percentage difference between the logged kWh and the FPL reported kWh was 3.34% for the 5 billing cycles selected during the winter period, while the average absolute difference between the logged kW demand and the FPL reported kW demand was 2.32%, and for the summer period the average absolute percentage difference between the logged kWh and the FPL reported kWh was 3.34% for the 3 billing cycles selected, while the average absolute difference between the logged kW demand and the FPL reported kW demand was 2.32%.

After validation of the data collection process, the multiple regression technique was the statistical tool used to analyze the data obtained. The kWh consumption data of the cooling units corresponding to an outside temperature that was below the thermostat setting of 70˚F were excluded from the analysis.

Regression equations were developed to describe the relationship between the power consumption of the A/C units (kWh), peak demand recorded at the service entrance (kW) and both the outside temperature and the SMARTCOOL™ were developed.

A t-test was performed on both the indoor relative humidity (RH) and temperature for the summer months. The first hypothesis tested was whether the mean RH with the SMARTCOOL™ "ON" equals the mean RH when it's "OFF". The t-test showed that there was no statistical significant difference (P <.001) between the mean RH values when the SMARTCOOL™ was "ON" and when it was "OFF".

The same conclusion was drawn when performing the t-test on the indoor temperature, there was no statistical evidence that turning the SMARTCOOL™ will significantly alter the indoor temperature (P <.001).

Based on the regression equation developed, it was concluded that the SMARTCOOL™ managed to reduce the kWh consumption by 8.9% and to reduce the peak demand by 10.8 % respectively. Using the test building characteristics and typical average weather for the FPL service territory, the annual energy savings is estimated to be 43,660 kWh with a demand reduction of 6.9 kW at 4-5 PM in August. The greatest energy savings occurred during the summer months. These savings were achieved with no report of change in comfort by the occupants of the test location."

Smartcool Acquires UK Based Distributor

Smartcool Signs Distribution Agreement for Germany, Receives Initial Order for Multiple Installations

The initial Memorandum of Understanding that was signed in October 2007 required a feasibility study, which comprised of the installation of the Energy Savings Module (ESM™) in multiple locations. This study has been completed successfully and the savings reports generated from the tests indicated significant cost savings.

The signing of the Distribution Agreement coincides with an initial order from Smartcool Systems GmbH for equipment to be installed in multiple locations. These locations include the major target sectors that have been identified by the distributor, being Food & Beverage, Data Centres and the Telecommunications sector.

Germany is one of the world's largest energy consumers with limited domestic energy resources which results in Germany importing most of its energy. Germany has one of the largest economies in the world with GDP in excess of US$2.8 trillion and is also one of the world's largest energy consumers.

Germany is the third largest carbon dioxide emitter in the OECD, behind the United States and Japan. Germany has a strong commitment to protecting its environment. It has actively promoted the use of renewable energy, both under the Kohl government with the Electricity Feed Law and under Schroeders' government with eco-taxes. Smartcool Completes First Centrifugal Compressor Installation

The test was a joint effort between Smartcool Systems Inc., Smartcool Systems Australia Pte. Ltd, distributor for Australia and New Zealand, Smartcool Systems Asia Ltd., distributor for the Philippines and Concepcion-Carrier Air Conditioning Company of Manila, Philippines.

Smartcool Signs Energy Reduction Sales Agreement with Barbados Dairy Industries

Smartcool evaluated BDI's facility and calculated electricity consumption reduction of approximately 370,000kWh per annum for the operations. This will provide for approximately $50,000 annualized cost savings and reduce annual greenhouse gas emissions by just less than 500,000lbs. This can be equated to providing electricity to 35 homes per annum and the greenhouse gas reduction is equivalent to planting approximately 271 acres of trees.

The installation site is a full service dairy production facility including ice banks, manufacturing, cold storage area, ice-cream freezing and container refrigerators. In addition, Smartcool is installing an ESM™ to further maximize the efficiency of the compressors servicing the corporate offices air conditioning system.

Smartcool Broadens Distribution In Southern States, Initiates Sales Project With Blue Bell Creameries

Smartcool Generates Sales Through New Australian Distribution Channel

In addition, the environmental impact has resulted in a reduction of 270,000 kg of CO2, 5,670 kg of SO2 and 1,054 kg of NOx emissions per annum. This is equal to providing enough energy for 207 domestic homes or 54 acres of trees that would be required to absorb the CO2 if the installation had not been implemented. Smartcool Completes Abbotly Acquisition; Acquires Intellectual Property & Worldwide Distribution Rights

Abbotly Australia specializes in energy and cost reduction technologies for commercial and retail businesses and is the owner, developer and manufacturer of the Energy Saving Module (known as the "ESM"). The ESM is specifically designed to reduce the electricity consumption, and maximize the efficiency of refrigeration and air conditioning compressors by improving their performance while maintaining temperature control.

Effective June 30, 2006, the Company's wholly owned subsidiary, SmartCool International Inc., has acquired the business and assets of Abbotly Australia for an agreed upon purchase price to be paid in cash in scheduled payments over two years. Previous deposits of CAD $100,000 will be applied towards the final payment. As security for the purchase price, SmartCool International Inc. has granted Abbotly Australia a charge over the intellectual property which SmartCool International Inc. acquired from Abbotly Australia. In addition, the Company has guaranteed the obligations of SmartCool International Inc. to Abbotly Australia.

The Company instead pursued discussions with Abbotly USA to acquire the exclusive distribution rights for all of North America and this resulted in the Company acquiring the exclusive distribution rights for the ESM for Canada, the United States, Mexico and the Caribbean in March 2006.

Smartcool Enters Into New MOU To Acquire Assets From Abbotly Australia

The Company first announced preliminary discussions with Abbotly on November 29, 2004, and subsequently announced on February 1, 2005 that a memorandum of understanding had been reached with Abbotly for the Company to purchase the business and assets of Abbotly Australia. The parties worked towards the acquisition but ultimately, the transaction did not close and the exclusive rights granted to the Company by Abbotly expired on December 31, 2005. As announced on February 1, 2006, discussions between the Company and Abbotly continued on a non-exclusive basis.

The Company is pleased to announce that as a result of the ongoing discussions, the Company and Abbotly have come to a new agreement for the acquisition of the business and assets of Abbotly. Under the terms of the MOU, the Company will purchase the business and assets of Abbotly for an agreed upon purchase price to be paid in cash in scheduled payments over two years. Previous deposits of CAD $100,000 will be applied towards the purchase price. As security for the purchase price, Abbotly will be granted a charge over the intellectual property which the Company acquires from Abbotly.

This acquisition will enhance and compliment the Company's existing business as Abbotly owns the intellectual property associated with the Energy Saving Module (known as the "ESM"), for which the Company has recently acquired the exclusive distribution rights for Canada, the United States, Mexico and the Caribbean as announced by the Company on March 27, 2006.

The Company will now be completing and updating its due diligence review of Abbotly Australia.

Closing of this acquisition is subject to the Company's successful completion of a financing to fund the purchase price, acceptance for filing by the TSX Venture Exchange and all other necessary approvals. Smartcool Enters Gold Course Market; Announces Five Year Energy Savings Installation Agreement

Under this program Smartcool installs the ESM , collects data for a one month period to verify the KW savings and calculates the annual savings available to the customer. In consideration for Smartcool installing the equipment at it's cost, the customer agrees to share the monthly savings equally with Smartcool and also authorize the Utility to pay the rebate directly to Smartcool which will offset some of the capital cost of the equipment to be installed.

The benefit to the customer is the increase in monthly cash flow as expenses are reduced. The benefit to Smartcool is the recurring revenue it can receive during these five year renewable contracts.

This first install of a golf course facility will allow Smartcool to grow its business in this area through associated golf facilities. Smartcool has been actively marketing to Golf courses in the area due to favourable ambient conditions and high energy consumption seen in these facilities. Smartcool is in discussions with a number of other courses to enter into trial agreements.

Smartcool Expands The ESM 4000 Exclusive Distribution Rights to the USA, Canada, Mexico and the Caribbean

USA corporation, of the exclusive rights to distribute the Energy Savings Module ("ESM") throughout the USA, CANADA, MEXICO, and the CARIBBEAN.

Abbotly USA has assigned to the Company's wholly owned US subsidiary, SmartCool Systems USA Inc. ("SmartCool USA") all of its rights, and SmartCool USA has assumed all of its obligations, under a license agreement with Abbotly Technologies Pty Limited of Australia ("Abbotly Australia").

SmartCool USA is now the master distributor of the ESM in North America, Mexico and the Caribbean and assumes the existing distributor network and the client base already involved in the sales process. Previously, SmartCool and SmartCool USA were subdistributors of Abbotly USA and held the exclusive distribution rights for the ESM in Canada and in 13 of the United States.

George Burnes, President of SmartCool, stated that "in reviewing the sales initiatives already underway by the distributors throughout all geographical regions in the territory, we should see revenue growth in the near term. The profile of the client base crosses national retail chains, cold storage and distribution centers owned and operated by international corporations, state and local government facilities and numerous small and medium business opportunities. It is clear that the ongoing pressure on energy rates continues to focus companies on developing strategies to reduce energy consumption and by acquiring these rights, SmartCool is positioned to take advantage of this increasing demand to install technology that address the concerns of the market place."

Pursuant to an Assignment and Assumption Agreement between Abbotly USA and SmartCool USA, the consideration payable by SmartCool USA to acquire these exclusive distribution rights for all of North America, Mexico and the Caribbean consists of cash and a royalty payable by SmartCool USA to Abbotly USA on product purchased from Abbotly Australia. SmartCool USA will also be required to meet the minimum purchase obligations under the terms of license agreement with Abbotly Australia which has been assigned to it by Abbotly USA.

In addition, the Company has granted a share purchase warrant to Abbotly USA to purchase up to 500,000 common shares of the Company at a price of $0.27 for a period of two years ending March 27, 2008.

SmartCool USA has also entered into a consulting agreement with Abbotly USA to provide sales and marketing support for a term of two years.

This transaction has been accepted for filing by the TSX Venture Exchange and has received consent from Abbotly Australia.

As previously announced by the Company (February 1, 2006), the Company intends to continue to explore the opportunity to acquire the business and assets of Abbotly Australia. The acquisition of the exclusive rights to North America, Mexico and the Caribbean from Abbotly USA have taken much of management's time over the past two to three months, and as a result, there has been little progress in the negotiations with Abbotly Australia. It is management's intention to continue discussions with Abbotly Australia on a non-exclusive basis.

Smartcool EntersInto LOI To Acquire Exclusive Rights To North American Market For Energy Savings Module

Pursuant to the LOI, Abbotly USA has agreed to assign all of its rights and obligations, and the Company has agreed to assume all of Abbotly USA's obligations, under a license agreement between Abbotly USA and Abbotly Australia Pty Limited ("Abbotly Australia").

Abbotly Australia is the owner and manufacturer of the ESM, which is specifically designed to reduce electric usage on air conditioning and refrigeration compressors. Abbotly Australia has successfully marketed the ESM through a network of distributors worldwide for over 20 years. Pursuant to the license agreement between Abbotly USA and Abbotly Australia which is being assigned to SmartCool, Abbotly USA was granted the exclusive rights to distribute the ESM throughout North America.

SmartCool, through its US subsidiary, SmartCool Systems USA Inc. ("SmartCool USA") is currently a sub-distributor of Abbotly USA and holds the exclusive distribution rights for the ESM in Canada and the states of New York, Arizona, Nevada, New Hampshire, Rhode Island, Massachusetts, Connecticut, Colorado, New Mexico, Vermont, Maine, and New Jersey. SmartCool USA also has non-exclusive distribution rights in the states of California, Oregon, Washington, and Hawaii.

With the signing of this LOI, SmartCool USA will become the master distributor of the ESM in North America and will be required to meet certain minimum purchase obligations under the license agreement with Abbotly Australia but will no longer be bound by its previous minimum purchase obligations that it had as a sub-distributor of Abbotly USA.

George Burnes, President of Smartcool, stated that "acquiring these rights will not only strengthen the Company's position in the North American market and allow it to expand its marketing and sales efforts, but also provide important financial benefits. Abbotly USA has already developed a sub-distributor network (of which SmartCool USA is one sub-distributor) throughout North America that has actively been promoting the ESM to numerous corporate clients. We look forward to working with these sub-distributors, providing additional marketing and technical support which should allow them to increase their success rate for installing the ESM's."

It is the intention of the parties to enter into a definitive agreement by February 15, 2006. The consideration payable by SmartCool will be in the form of cash and a royalty paid to Abbotly USA on all products purchased from Abbotly Australia. In addition, SmartCool will enter into a consulting agreement with Abbotly USA and will grant incentive stock options to Abbotly USA.

This transaction is subject to the approval of the TSX Venture Exchange and consent from Abbotly Australia.

Smartcool would also like to provide an update on the previously announced proposed acquisition of the assets of Abbotly Australia. The Company is still in discussions with Abbotly Australia with respect to this acquisition. The exclusive rights granted Smartcool by Abbotly Australia expired on December 31, 2005, and the ongoing discussions will continue on a non-exclusive basis.

Smartcool Systems Inc. announces that it has engaged Haywood Securities

Each unit consists of one common share and one-half (1/2) of one non-transferable share purchase warrant (the "Warrants"). Each full Warrant will entitle the holder to purchase one common share at a price of $0.40 in the first year and $0.50 in the second year.

The Company will pay Haywood a commission of 7.5% of the gross proceeds of the units sold on the closing date. As additional consideration, the Company will issue to Haywood an agent's warrant (the "Agent's Warrant") representing 10% of the Offering. The Agent's Warrant will entitle the holder to purchase one unit at a price of $0.33 for a two year term.

These transactions are subject to receipt of all requisite regulatory approvals.
