Designed for diagnostic imaging, clinical assessment and procedural guidance at the hospital bedside and in the physician&#8217;s office, the NanoMaxx system is the company&#8217;s latest innovation in point-of-care user design and features <b>one button system control</b>. <p>The SonoAccess application is an iPhone or iPod touch&reg; interactive mobile learning application that addresses the continuing educational needs of point-of-care ultrasound users. SonoSite partnered with leading physicians to gather and create clinical education materials for emergency medicine, critical care and anesthesia with other specialties to be added soon. Users can access high quality instructional videos, case studies and reimbursement guides, as well as reference nearly 100 clinical images and news feeds on SonoSite. <p>&#8220;Physicians need practical tutorials on ultrasound procedures,&#8221; said Dr. David Auyong, Anesthesiologist, Seattle, WA.  &#8220;There are not a lot of resources that give simple, practical tips on how to optimize the position of the probe or position the patient. <p>Approximately the size of an iPhone&reg; and using Bluetooth&reg; technology, the SonoRemote Control is capable of adjusting essential system parameters – Depth, Gain, Freeze and Save – within 10 meters of the ultrasound system. With voice activation or when used in a sterile sheath, the SonoSite remote control eliminates the need to break the sterile field during interventional procedures.  And with a tactile reference keypad the user does not have to look at the remote to identify which button to press—even the touchpad has been designed with increased workflow in mind.</p>

<p><em>Expands SonoSite&#8217;s Sales Channel to Large Market for Cardiovascular Disease Management</em></p>
<p><strong>BOTHELL, WA - June 9, 2009 - SonoSite, Inc. (Nasdaq:SONO)</strong>, the world leader and specialist in hand-carried and point-of-care ultrasound, today announced that it has reached an agreement to acquire CardioDynamics International Corporation (Nasdaq:CDIC). Under the terms of the agreement, SonoSite will acquire CardioDynamics in exchange for $1.35 per share in cash. The aggregate transaction value will be approximately $10.0 million, or $12.3 million net of cash and debt.</p>
<p>CardioDynamics reported revenues of $24.5 million in 2008. Its impedance cardiography (ICG) product line provides non-invasive assessment of cardiac output and other hemodynamic parameters in the physician&#8217;s office, outpatient clinic or hospital. This information allows physicians to assess and diagnose underlying cardiovascular disorders, customize and target treatment, monitor the effectiveness of prescribed medications and identify potential complications. The company&#8217;s latest generation product, the BioZ® Dx system, integrates ICG with electrocardiography (ECG), providing the ability to assess both mechanical and electrical cardiovascular function.</p>

<p><b>BOTHELL, WA - April 27, 2009 - SonoSite, Inc. (Nasdaq:SONO)</b>, the world leader and specialist in hand-carried and point-of-care ultrasound, today announced financial results for the first quarter ended March 31, 2009.  </p>
<p>First quarter 2009 worldwide revenue was $51.8 million, a decrease of 1% over the prior year&#8217;s first quarter as previously announced.  Changes in foreign currency rates decreased worldwide revenue in the first quarter of 2009 by approximately 8%.  </p>
<p>Total US revenue grew 5% in the quarter to $23.2 million driven by more than doubling of revenue in the enterprise channel. US direct hospital sales were negatively impacted by the slowdown in hospital capital spending - down 14%. International sales were down 6% to $28.6 million due to a 14% negative foreign exchange impact. On a constant currency basis, international sales were up 8%.</p>
<p>The company reported operating income (EBIT) of $1.6 million compared to $2.4 million, a decline of 34% compared to Q1 2008.  Operating income excluding stock-based compensation expense (EBITS) was $4.1 million compared to $4.3 million in the prior year.</p>
<p>&#8220;We made expense reduction and efficiency progress in the quarter in the face of expected revenue softness,&#8221; said Kevin M. Goodwin, SonoSite President and CEO.  &#8220;We also improved our balance sheet in the quarter by repurchasing $25 million of our long-term convertible notes at a discount. Additionally, we reduced the quarter&#8217;s operating expenses by $1.9 million and have revised our expense improvement goal for up to a 10% reduction over the prior year.  We expect the economic environment and visibility to remain challenging for several quarters, thus our priority is to remain focused on continuous streamlining or &#8220;leaning&#8221; of our business model while setting up a return to growth with key strategic investments.&#8221;</p>
<p>The company reported net income of $863,000 for the first quarter of 2009, or $0.05 per diluted share, compared to $190,000 or $0.01 per diluted share in 2008.  These results were significantly affected by the adoption of APB 14-1, as of January 1, 2009 relating to the accounting treatment for convertible debt.</p>
<p>Total operating expenses in the first quarter declined 5% to $33.5 million compared to the first quarter of 2009. The company reduced SG&#038;A expense by 12% to $25.8 million compared to the prior year quarter. R&#038;D investment grew 24% in the first quarter to $7.7 million, as planned.</p>
<p>Other expense in the quarter included $2.6 million of interest expense, of which $1.2 million was from the adoption of APB 14-1, that offsets a $1.3 million gain from the repurchase of $25.0 million of senior convertible notes. </p>
<p>As of March 31, 2009, the company held $258 million in cash and investments and outstanding senior convertible notes of $120 million. </p>
<p><b><i>Company Updates Outlook for 2009</i></b><br />
&#8220;Our view remains that the worldwide economy will continue to be challenging with difficult visibility. We see signs of opportunity and growth offset by a strong headwind from US Hospital market softness and the stronger dollar,&#8221; Mr. Goodwin said.   &#8220;We assume that the US dollar will continue to strengthen and that changes in foreign currency will have a negative effect of 4 -5% on revenue. We therefore expect that the company&#8217;s 2009 revenue could potentially be flat to down 10% as compared to 2008. We are responding by increasing our expense reduction targets to a range of 5-10%, from the previous goal of 5%.&#8221;</p>
<p>&#8220;We intend to continue introducing innovative and cost effective new products as the year proceeds,&#8221; Mr. Goodwin said. </p>
<p>The company expects non-cash interest expense of $4.9 million for the year from the adoption of APB 14-1 and an annual tax rate of approximately 39%.</p>
<p><b><i>Note on Adoption of FSP No. APB 14-1</i></b><br />
The company adopted FSP APB 14-1, &#8220;Accounting for Convertible Debt Instruments That May Be Settled in Cash upon Conversion (Including Partial Cash Settlement),&#8221; (&#8221;APB 14-1&#8243;) on January 1, 2009, which required the company to account separately for the liability and equity components of its convertible debt in a manner that reflects a nonconvertible debt borrowing rate. APB 14-1 requires retrospective application of this standard. Accordingly, the company&#8217;s operating results since the issuance of the senior convertible debt and future operating results will reflect additional non-cash interest expense. </p>

<p><b>BOTHELL, WA - April 6, 2009 - SonoSite, Inc. (Nasdaq:SONO)</b>, the world leader and specialist in hand-carried and point-of-care ultrasound, today  provided preliminary revenue results for the first quarter ended March 31, 2009.  </p>
<p>The company said worldwide revenue decreased by 1% - 2% in Q1 2009 compared to Q1 2008. On a constant currency basis, worldwide revenues grew 6% - 7% in the quarter, indicating a currency headwind of approximately 8%.</p>
<p>US revenues grew approximately 4% year over year.  Continued slowing of US hospital capital spending drove a mid-teen percentage decline in SonoSite’s US hospital revenues.  This was offset by excellent growth in the company’s US enterprise channel.  International revenues decreased approximately 6% in the quarter, driven by the impact of a weaker dollar. On a constant currency basis the International sector was up approximately 8% in Q1 2009 on a year over year basis. </p>
<p>These revenue estimates are preliminary. The company will report full financial results for the first quarter on April 27, 2009 after the close of market.</p>

(Nasdaq:SONO)</b>, the world leader and specialist in hand-carried ultrasound for point-of-care medicine, announced today the first remote control for veterinary ultrasound and a new transducer for reproductive and musculoskeletal applications in horses and other large animals. The company has begun customer shipments of the new transducer and plans to begin shipping the SonoRemote&trade; control in the spring. </p>
<p>The new L52x/10-5 MHz transducer is the eighth transducer to join SonoSite&#8217;s suite of veterinary probes and is compatible with both SonoSite&#8217;s M-Turbo&reg; and S-VetMed&trade; ultrasound products. For ultimate exam convenience and efficiency, the SonoRemote control is based on Bluetooth&reg; wireless technology, can be voice or touch activated and can adjust system controls from within a radius of 10 meters. </p>
<p>&#8220;A wireless remote control is a ground-breaking innovation for veterinarian ultrasonography. <p><b>BOTHELL, WA - February 12, 2009 - SonoSite, Inc. (Nasdaq:SONO)</b>, the world leader and specialist in hand-carried and point-of-care ultrasound, today announced financial results for the fourth quarter and full year ended December 31, 2008. </p>
<p>Fourth quarter 2008 worldwide revenue grew to $70.2 million, an increase of 8% over the fourth quarter of 2007. Full year 2008 revenue grew to $243.5 million, up 19% over 2007. Changes in foreign currency rates decreased worldwide revenue in the fourth quarter by 4.2% and had a favorable impact of 0.6% on the year. </p>
<p>The company reported a net income increase of 184% for the fourth quarter of 2008 to $12.1 million or $0.69 per diluted share, compared to $4.3 million or $0.25 per diluted share in 2007. For the full year net income grew 199% to $20.6 million, or $1.18 per diluted share, compared to $6.9 million, or $0.40 per diluted share in 2007.</p>
<p>Net income in the fourth quarter and full year 2008 included a non-recurring, pre-tax charge of $3.0 million from terminated acquisition talks and severance payments, as well as a $15.7 million pre-tax gain from the repurchase of $80.3 million of senior convertible notes. </p>
<p>During the fourth quarter of 2008, US revenue grew 3% to $33.7 million and was impacted by a slowdown in capital spending at US hospitals. International business grew 14% to $36.5 million in the fourth quarter and continued to deliver broad-based double digit growth, but was negatively impacted by 8.5% from foreign exchange rate changes. For the full year, US revenue grew approximately 12% to $116.7 million and international revenue grew 26% to $126.8 million.</p>
<p>Total operating expenses in the fourth quarter increased 8% to $42.7 million, and increased 7% for the full year to $147.4 million. Including the previously mentioned $3.0 million non- recurring charge, SG&#038;A expenses grew 4% in the fourth quarter and 6% for the full year. R&#038;D expenses increased 30% in the fourth quarter and 11% for the full year. Stock-based compensation increased by $1.9 million in the fourth quarter, primarily as the result of a change in the future forfeiture rate assumptions. </p>
<p>As of December 31, 2008, the company held $279.7 million in cash and investments and long-term debt of $144.7 million, for net liquidity of $135.0 million.</p>
<p>&#8220;2008 marked a year of excellent progress for the company. We exceeded our original full year guided targets of 15% revenue growth with 7-8% operating margins,&#8221; said Kevin M. Goodwin, SonoSite President and CEO. &#8220;The drivers of our performance included the new M-Turbo&reg; and S Series&trade; product lines alongside excellent execution throughout the company. We delivered a 5-fold increase in operating income with more than a quadrupling of operating margins. We began to demonstrate operating leverage from our business model that we have always believed possible. Further, our net liquidity improved by $50 million during the year.&#8221;</p>
<p>&#8220;Our international business delivered another strong quarter and year with double digit gains across all major geographic regions,&#8221; Mr. Goodwin said. &#8220;Our US business performed well throughout the year, although it was significantly hampered by customers deferring orders which had an estimated negative impact of 10% on worldwide revenue for the quarter. During the year, we delivered several new products and upgrades to our S Series and M-Turbo product lines which extended their footprint into new clinical markets. In 2009, we plan to continue entering new clinical markets while delivering more new products that will continue our tradition of innovation that helps make healthcare faster and less expensive while improving patient safety.&#8221; </p>
<p><b><i>Company Updates Outlook for 2009</i></b><br />
&#8220;We expect that the worldwide economy will continue to be challenging and difficult to predict and now do not expect there to be any meaningful recovery until 2010,&#8221; Mr. Goodwin said. &#8220;Our primary financial objective in 2009 is to maintain and build upon our long-term earnings power and growth capacity. Our goal is to increase operating income at least 10% in 2009. To position ourselves for improved profitability in this difficult economic environment we are targeting a 5% reduction in our operating expenses from 2008 levels to approximately $140 million. Assuming current exchange rates, foreign currency will have a negative impact of 3-4% on revenue growth. Given the continued deterioration of the global economic markets and the slowdown in US hospital capital spending, we are not providing revenue or other financial guidance at this time.&#8221;</p>

(Nasdaq:SONO)</b>, the world leader and specialist in hand-carried ultrasound for point-of-care medicine, announced today that its new SonoGT&trade; Global Target technology is now available on SonoSite&#8217;s award-winning, <b>mountable S Series&trade; ultrasound tools</b>. The new performance platform delivers enhanced color flow sensitivity, wireless connectivity, including a remote control for hands-free system control and workflow integration for multiple point-of-care application markets. </p>
<p>First introduced for SonoSite&#8217;s versatile M-Turbo&reg; systems in October 2008, SonoSite now brings the powerful SonoGT engine to effectively transform the S Series product line into the S-Turbo Series&trade;. SonoSite plans to begin customer shipments of the new       S Series systems with SonoGT technology in February. Customers can separately purchase SonoGT technology and upgrade existing S Series systems via an easy software download from a USB thumb drive. The SonoGT technology platform adds the following capabilities to the S Series product line: </p>
<p><b><i>Color Flow Performance</i></b><br />
<b>ColorHD&trade; Technology</b> – A proprietary, color Doppler algorithm that harnesses the power of the S Series system&#8217;s digital signal processor to increase color, sensitivity and frame rates.  Available on all transducers, ColorHD technology works in parallel with multiple Turbo platform algorithms, including SonoHD&trade; imaging technology, to provide increased diagnostic information and better visualization of color flow, particularly in low flow states.  </p>
<p><b><i>Wireless Solutions</i></b><br />
<b>SonoRemote&trade; Control</b> – A new tool enabled by the SonoGT technology platform untethers the clinician from the ultrasound system during procedures to increase ergonomic comfort to perform more easily in sterile field procedures.  Based on Bluetooth&reg; wireless technology, the SonoRemote control can be voice or touch activated and function from within a sterile bag or sheath. Clinicians can adjust system controls remotely from within a radius of 10 meters. SonoSite plans to begin shipping this option in the first quarter of 2009. </p>
<p><b>SonoRoam&trade; Technology</b> – Using 802.11b/g technology, SonoRoam technology enables wireless image transfer from the S Series system to a PACS system via DICOM&reg; and to a personal computer via SonoSite&#8217;s SiteLink&trade; so that clinicians can quickly retrieve the information from any location. Wireless connectivity is increasingly viewed as a critical component to reduce medical errors and speed time to diagnosis in a point-of-care ultrasound system. </p>
<p><b><i>Workflow Integration</i></b><br />
<b>DICOM Storage Commit</b> and <b>DICOM Multi-Modality Performed Procedure Step</b> have been added to the S Series system to complete the IHE profile (Integrating the Healthcare Enterprise) Scheduled Workflow (SWF) Integration Profile.  This facilitates seamless clinical integration of ordering, scheduling, image acquisition, storage, viewing and billing of patient procedures.</p>
<p><b>Patient Management</b> – Patient demographics can now be entered before, during or after the exam. This allows flexibility in getting the procedure completed in time-critical situations where documentation is secondary to that of the procedure itself. In addition, there are new capabilities to facilitate more efficient processing of emergency medicine worksheets and reports.  DICOM Multi-Modality Worklist (MWL) queries can be made to the hospital information network to gain quick access to patient scheduling for ultrasound and non-ultrasound procedures. SonoGT technology also enables physicians to annotate images and on-screen body markers for enhanced documentation of studies and procedures on S Series products.</p>
<p><b>New USB Bar Code Reader</b> – This accessory allows clinicians to quickly and accurately enter patient information and update exam information prior to its entry into the patient record. SonoSite&#8217;s bar code reader is powered through a USB port thereby freeing AC power for another device. </p>
<p><b><i>New Transducer Options</i></b><br />
<b>C11x/8-5 MHz</b> – a new addition to both the S-Nerve&trade; and S-ICU&trade; systems for neonatal and abdominal exams and includes vascular settings.</p>
<p><b>L25x/13-6 MHz</b> – offers an ophthalmic exam setting for the S-FAST&trade; tool for the evaluation of globe rupture, intraocular foreign bodies, and retinal detachment. </p>
<p><b>SLAx/13-6MHz</b> – is now configured with the S-MSK&trade; and S-Nerve systems for nerve and vascular scanning applications. </p>

Fourth quarter revenue grows 8% to $70 million</i></p>
<p><b>BOTHELL, WA - January 12, 2009 - SonoSite, Inc. (Nasdaq:SONO)</b>, the world leader and specialist in hand-carried ultrasound for the point-of-care, today provided preliminary revenue results for the fourth quarter and year ended December 31, 2008. The company said that fourth quarter revenue grew 8% to approximately $70 million compared to the prior year&#8217;s fourth quarter. For the year, worldwide revenue is estimated to have increased by 19% to approximately $243 million. Changes in foreign currency rates decreased worldwide revenue by an estimated 4% in the fourth quarter and had a favorable impact of 0.6% on the year. </p>
<p>&#8220;The M-Turbo&reg; and S Series&trade; product lines drove a year of record revenue and operating income in 2008,&#8221; said Kevin M. Goodwin, SonoSite President and CEO. &#8220;We gained operating leverage and expect to achieve an operating margin in 2008 that is toward the upper end of our guidance of 9 -10% as compared to 2.2% in 2007. We are particularly pleased with this accomplishment in light of the difficult US economic environment and its impact on hospital capital spending which we expect will continue into 2009. Customers deferred, but did not cancel, approximately 10% of our forecasted revenue in the fourth quarter.&#8221;</p>
<p>Mr. Goodwin continued, &#8220;At this juncture in the year, given the US hospital capital spending environment and an anticipated foreign currency headwind, we are planning for revenue growth of 5 -10% in 2009 at current exchange rates, with relatively flat revenue growth in the first three quarters. However as a result of the company&#8217;s forward planning, by carefully managing costs, yet continuing to invest in product development, market introductions and channel expansion, we are targeting to increase operating income by 10 -20% in 2009. We have the financial resources, products, technology and market leadership to navigate through this environment and position us well for future, long-term growth.&#8221;</p>
<p>As previously disclosed, the company has taken a $3 million charge for expenses related to the termination of acquisition talks and severance payments which were included in the company&#8217;s 2008 operating margin guidance provided on October 23, 2008. The fourth quarter of 2008 will also include a gain of $15.7 million resulting from the repurchase of $80.3 million of senior convertible notes the company issued in July 2007. </p>

<p><b>BOTHELL, WA - October 30, 2008 - SonoSite, Inc. (Nasdaq:SONO)</b>, the world leader and specialist in hand-carried ultrasound for point-of-care medicine, today announced that it has repurchased in the open market an aggregate of $60.3 million of the principal outstanding amount of its 3.75% convertible notes due 2014 for total consideration of approximately $47.4 million in cash, excluding accrued interest.  Following these repurchases, convertible notes representing $164.7 million of principal debt are outstanding.  </p>
<p>As a result of the repurchases that have occurred to date, SonoSite expects to report a pre-tax gain of approximately $11 million, net of deferred issuance costs, in the fourth quarter. </p>
<p>In connection with the issuance of these convertible notes in July 2007, SonoSite entered into a convertible note hedge transaction and a warrant transaction with an affiliate of one of the underwriters.  These transactions were intended to reduce the potential dilution to SonoSite&#8217;s shareholders upon any conversion of the notes.  As a result of the recent repurchases, the associated convertible note hedges and a corresponding number of warrant positions will be unwound.  The payment received from unwinding the associated convertible note hedges, less the cost of the warrant transaction, will result in net proceeds to SonoSite of approximately $400,000.</p>
<p>SonoSite currently has in excess of $280 million in cash and investments.  SonoSite&#8217;s board of directors has authorized the repurchase of additional convertible notes in the open market or in privately negotiated transactions as management deems appropriate.  In the event of additional repurchases, the company would continue to unwind the associated hedges and a corresponding number of warrant positions. </p>
