A lot of people get into a stock to late, when it has become an overvalued investment, from a bull run they bought into hype. A good example of over hype stocks is<a href="http://www.investorstocktips.com/tag/lgf/"> Lions Gate (LGF)</a>. Many people thought the release of &#8220;<span style="text-decoration: underline;">The Hunger Games&#8221;</span> would of rallied the stock and made a lot of people money.  Only if you where aware that since September, their 52 week low, if you read their<strong> financial statements</strong> at that time, you would understand why it would of been a really good investment to get into, however, many people that are looking at the stock from news station hype, fail to realize the <strong>company is on a 100%+ bull run or a 33% rally YTD</strong>.  The P/E jumped to 77 and people <span style="text-decoration: underline;">lost money the week of the &#8220;block buster&#8221; film</span>.  The only reason you would buy into the stock is if the movie nets $150 million or more. When their public filings get released, your going to want to analyze their <span style="text-decoration: underline;">financial statements</span>.<BR><br />
The <strong>10-Q reports</strong> are the companies quarterly reports of consolidated financial statements. It explains the progress of their company developments and news, information on how sales and forecast look. The main thing you want to look at is the <strong>cashflow of the company.</strong>  When a company has <span style="color: #008000;">FREE CASHFLOW</span> coming in, you can estimate your own forecast based on its growth in previous years by dividing the cashflow into the number of shares the company issues. You will come up with the price of the shares, and can determine the potential future of your investments.  Paying attention to<strong> risk factors</strong> is something you need to understand, the economics of the company is vital role into the potential downfall of the investment.  When your <strong>stock trading</strong> the public filing information has the cushion to keep you calm, knowing you know what you are doing. If you are new to investing, go to investopedia.com, this blog isn&#8217;t for you. Always understand the basics of the stock market before you get into stock trading. Assets to liabilities ratio should always have 3-4 times more assets than liabilities.  Don&#8217;t look at stocks with bad financial statements, look for stocks with EPS of 20-30, PE of around 30 to find undervalued companies.  Always find out the future developments, costs and potential profits of a companies action plan, your going to want to invest in something with growth, as warren buffet always says &#8220;invest in growth companies&#8221;.<BR><br />

Go to sec.gov</span> website, when  you screen your company, find the filings and start inheriting knowledge of the potential company you want to buy. It should take 2-4 hours to read everything, word for word, if the company isn&#8217;t a fit for you, walk away. You will always know the future of that company and can consistently have that on the watch list to observe for the future. Use its performance as a learning curve, knowing and understanding what you read and did to develope the call to not buy it or should of bought the company.<BR><br />
When you have 2-4 years of <span style="text-decoration: underline;">stock trading</span> knowledge, you will most likely be ready to start trading stock. You will never want to invest in the stock market without knowledge, remember it is gambling if you are. Anyone that says trading stocks is gambling has NO KNOWLEDGE of <strong>trading stock</strong>.</p>

<strong>Facebook INC</strong>,  <strong>Facebook Stock Price</strong> will most likely open bids around <strong>$42.20 a share</strong>, as they&#8217;re going to be the <span style="text-decoration: underline;">biggest private company to go public</span> with over <strong><span style="color: #008000;">$6.6 billion in assets</span></strong> and tremendous revenue and growth.  The <strong><span style="color: #000080;">innovation of Facebook</span></strong> has made its run successful, and their plans to keep innovating are customary to the Facebook growth strategy.  A private newsletter I got ran the numbers and said that the <a href="http://www.investorstocktips.com/stock-picks/when-will-facebook-go-public/ ">growth of Facebook </a>will continue to rally up to 2016.<br />
<span style="text-decoration: underline;">Facebook is weak in the Mobile market experience</span>s for users and are developing a HTML5 website that can account for the heavy use of Facebook with smart phones, over half of Facebook users use Facebook with a mobile device. Plans to contract with Warner bros and sell 48 slots of movies online which in my opinion is mid-term goals for eventually making the Facebook experience a booming TV/Movie watching experience.  Google TV is only an example of how TVs will be working in our future.<br />

Their files where registered with the SEC last month and everything is in writing for what will happen this year, possibly the biggest and most hyped IPO ever set to take place in history.<br />
Facebook became a corporation in Delaware, founded by <a href="http://www.investorstocktips.com/wp-content/uploads/2012/02/zuckerberg.jpg">Mark Zuckerberg</a> in July 2004, is one of the biggest social media websites in the world and has over <strong>800 million</strong> active users over <strong>43% increase</strong> from last year. <strong>Facebook INC</strong> keeps the tempo and pursues the key of innovation. Their biggest assets are the users who are engaged on the site, the developers who personalize and innovate more ideas to Facebook and the advertisers and marketers who keep the reach, relevance and engagements of perfectly targeted ads based on the users interest to maintain a lucrative campaign on the Facebook website.</p>
<h1 style="text-align: center;">Facebook Strategy</h1>
<p><strong>Expand Global User community-</strong>  The focus to target different geographic regions, less penetrated large markets such as Brazil, Germany, India, Japan, Russia, and South Korea. Intentions to grow the user base by continuing marketing and user acquisition efforts to enhance products such as mobile apps to make Facebook more usefu<strong>l.</strong><br />

<p><strong>Net income</strong> for<strong> 2009 is <span style="color: #008000;">$122 million</span></strong>, <strong>2010 is <span style="color: #008000;">$372 million</span></strong>, <strong>2011 <span style="color: #008000;">$668 million with EPS of .46</span></strong> . The main thing why I like <strong>Facebook</strong> is the way they invest their money. Marketing and sales for 2011 <strong><span style="color: #800000;">$43 million</span></strong>, Research and Development is <strong><span style="color: #800000;">$114 Million</span></strong>. <strong><span style="color: #008000;">$6.6 billion</span> in assets</strong> and only<strong><span style="color: #800000;"> $1.4 billion in liabilities</span></strong> with a <strong>stock holders equity of $5.2 billion</strong>. <span style="color: #008000;">12% of revenue</span> to Facebook was generated by Zynga, development and growth relations with Zynga is important.</p>
<p><strong>Companies that can benefit from FB IPO:</strong> Morgan Stanley, JPMorgan, Merril Lynch, Barclay&#8217;s, Allen &amp; Company and other investment companies. <strong>Goldman Sachs</strong> purchased 69 Million Class A shares from Facebook.</p>
<p>November 2011, Facebook borrowed $1.5 billion from Morgan Stanley, JPMorgan, Merril Lynch, Barclay&#8217;s, Allen &amp; Company in revolving loans to increase borrowing capacity.</p>
<p><strong>Facebook</strong> looks like a solid stock to hold for a good 2 years after the stock stabilizes from the IPO, you can make good money in Facebook if you buy the IPO of this company and sell it off at closing high. This is just another company that has done well as you can compare to the quick success of Zynga and determine how well Facebook will do if Zynga can rally that fast.</p>

<a href="http://feedads.g.doubleclick.net/~a/vYTgX3C-wHkhwxGxJa4kXI4TsFI/1/da"><img src="http://feedads.g.doubleclick.net/~a/vYTgX3C-wHkhwxGxJa4kXI4TsFI/1/di" border="0" ismap="true"></img></a></p><p>Securities and Exchange Commission Feb, 17th 2012 charged <a title="John Kinnucan" href="http://www.investorstocktips.com/wp-content/uploads/2012/02/John-Kinnucan-insider-trading.jpg">John Kinnucan</a> and his expert  Brodband Research Corporation consulting firm out of Oregon with insider trading. This was an on-going investigation that involved many expert networks in which Mr. Kinnucan sold the information to hedge fund managers and obtained information not released to the public through his networks.<br />
SEC alleges that Kinnucan and Broadban claimed to be in the business of supplying clients with legitimate research about publicly-traded technology companies, but instead typically tipped clients with material of nonpublic information that Kinnucan obtained from prohibited sources inside the companies. His clients then used the information and traded on the insiders information. Portfolio managers and analysts at highly respected hedge funds and investment advisers paid Kinnucan and Broadband significant consulting fees for the information they Mr Kinnucan provided.  Kinnucan provided lavish meals, money, ski trips, expensive resorts, and even befriended some sources to gain access to confidential information.<br />
In a long, stressful investigation, Kinnucan was arrest last week and charged with one count of conspiracy to commit wire fraud, one count of conspiracy to commit securities fraud and two counts of securities fraud. The SEC has charged 22 defendants in enforcement actions arising out of its expert networks investigation, which has uncovered widespread insider trading at several hedge funds and other investment advisory firms. Kinnucan used 12 different companies in his illegal manners for illicit gains totaling nearly $110 million.  Kinnucan&#8217;s misconduct started as early as the end of 2008, a period in which he generated hundred of thousands of dollars in annual revenues for Broadband. The insider trading for his company resulted in avoided losses of nearly $1.6 million.<br />
The SEC thanks the U.S. Attorney’s Office for the Southern District of New York and the Federal Bureau of Investigation for their assistance in the matter.<br />

<p><strong><a href="http://www.investorstocktips.com/tag/lgf">Lions Gate Film (LGF)</a></strong> &#8211; <a href="http://www.investorstocktips.com/stock-tips/lions-gate-film-lgf">Read the October 5th 2011 Blog Post on LGF</a> &#8212; As of <span style="color: #993300;">02/07/2012</span>: <span style="text-decoration: underline;">Share Price</span> -<strong> $10.98</strong> |<span style="color: #993300;">10/05/2011:</span>  <span style="text-decoration: underline;">Share Price</span> -<strong> $7.02</strong> was the price that Lions Gate film was at when I analyzed them in October, <strong><span style="color: #008000;">+$3.96 EPS</span></strong>. I saw an undervalued stock with high earnings growth with a good financial statements and positive volume and price charts. This undervalued company has great films coming out and each film they create earns this company substantial profits.   Current Price is $10.98 and following this stock has been nice, knowing that they are a really strong company made it really easy to pick this as a winning stock. Lions Gate always has released high quality movies and are known  for the best horror and action movies.  <span style="color: #333333;"><strong>Right now</strong></span>: In January <span style="text-decoration: underline; color: #ff6600;">Lions Gate (LGF) has acquires Summit Entertainment for $412.5 Millio</span>n as investors are cashing in on the success of its &#8220;Twilight&#8221; movie series, which has grossed<strong> $2.5 billion</strong> worldwide over four films. Summit Entertainment is a studio that produces over 12 movies a year and its greatest expense has to be <span style="color: #ff0000;">advertising which was $220 million</span> last year. Summit Entertainment employees will still be employed by Lions Gate and have better ideas and more<span style="text-decoration: underline;"> success from movies like the &#8220;Twilight&#8221; series. </span> <span style="color: #993366;">This added studio will expand the production portfolio of Lions Gate and the $200 million debt they own will not be added to the balance sheet</span> of Lions Gate but will stay on Summit Entertainment. The majority of the purchase price would be funded by cash on hand at Summit. <strong>$55 Million</strong> of Lions Gate&#8217;s cash reserves, <strong>$45 Million</strong> from debt issued by Lions Gate, and <strong>$20 million</strong> of cash or stock that Lions Gate must issue before the<span style="text-decoration: underline;"> 60 day period ends</span>. This is how <strong>LGF</strong> has purchased Summit Entertainment and has high hopes for 2012 despite recent failures in movie production from Summit Entertainment and low box office sales for Lions Gate. Mezzanine Notes where used by Summit Entertainment which the notes basically are an attractive debt paid in a monthly interest rate of  7% and 11% and $200 Million was created in Mezzanine Notes which matures April 2014. This type of note will defer as revenue expenses, to be used in re-investments of the company.  Mezzanine Notes sheltered the debt from being assumed to Lions Gate films and Summit Entertainment assumes full responsibility of the debt.  The purchase made from LGF is a smart move, anticipating a great series with &#8220;The Hunger Games&#8221; Begins in March can<strong> generate large amount</strong>s of revenue in which its production is targeted for younger audiences.  So far &#8220;The Hunger Games&#8221; book has bolted well in sales for the production of the film for Lions Gate.  Past 30 days the <strong><span style="color: #008000;">price change of the stock is at +27%</span></strong> which is a nice hefty gain for any savvy investor that makes money in this stock. Kornitzer Capital Management, Inc. purchased $45 Million in notes which the Notes were sold at 100% of the principal amount, resulting in gross proceeds of US$45 million. notes can be converted into common shares of LGF at any time prior to maturity or repurchase by the Company. Maturity date of the notes is January 11, 2017. Initial conversion price is $10.50 which is a big reason why Lions Gate stock has rallied this month.  Material provisions of the indenture and the notes: Interest rate of 4.00% per annum on the principal amount of the notes which is calculated from the date of issuance or from the most current date which interest has been paid until the principal of the Notes is paid or made available for payment pursuant to the terms of the indenture. Semiannually interest rates both January and July 15th are to be paid on the interest rate of the notes.</p>

(“Break Media”)</strong>, an online home entertainment service provider operating under the branding of “Break Media.” The Company is recording its share of the Break Media results on a one quarter lag and, accordingly, during the three and six months ended September 30, 2011, the Company recorded its share of losses incurred by Break Media for the three and six months ended June 30, 2011.<br />
<strong>Roadside Attractions, LLC. Roadside Attractions, LLC (“Roadside”)</strong>, company is an independent theatrical releasing company. Company is currently recording its share of Roadside results on a one quarter lag and, accordingly, during the three and six months ended September 30, 2011, the Company recorded its share of income earned by Roadside for the three and six months ended June 30, 2011.<br />
<strong>Studio 3 Partners, LLC (“EPIX”)</strong>. In April 2008, the Company formed a joint venture with Viacom Inc. (“Viacom”), its Paramount Pictures unit (“Paramount Pictures”) and Metro-Goldwyn-Mayer Studios Inc. (“MGM”) to create a premium television channel and subscription video-on-demand service named “EPIX”. This Company had invested $80.4 million through <span>September 30, 2010, and no additional amounts have been funded since. The Company is recording its share of the joint venture results on a </span><span>one</span><span> quarter lag and, accordingly, during the </span><span>three and six</span><span> months ended </span><span>September 30, 2011</span><span>, the Company recorded its share of the net income earned by the joint venture for the three and six months ended </span><span>June 30, 2011</span><span>. EPIX expects to report net income of approximately </span><span>$13 million</span><span> for its quarter ended </span><span>September 30, 2011</span><span>, of which the Company’s pro rata share will be recorded in the quarter ended </span><span>December 31, 2011</span><span>. companu made $14.7 million in recenue and $10.8 million in profit for the three months ended on the licensing of films to EPIX before all eliminations. The 6 months ended gross revenue amounted to $49,.9 million and profited $32.5 million gross on licensing of films to EPIX before eliminations.  These numbers are great and all the other studios intend this year to present very lucrative earnings to help skyrocket the undervalued stock, Lions Gate Films (LGF).</span></p>
