Appia Communicationsannounced the completion of upgrades to its St. Louis data center. The company also released new and aggressive pricing.

“Our data center is open for business,” said Victor von Schlegell, president of Appia Communications. “It has dual generator back-up, security with badged access and 24×7 guards, carrier-neutral network access, and direct connections to our all of our managed services. And with our new pricing, it pays to move in.”

A single rack unit with power, Internet and space is $99 per month. Entire cabinets, including power, Internet access, and space can be purchased for $599 per month.

The E398s-81, a USB dongle from Huawei Technologies, became the first TD-LTE device to achieve GCF Certification during September 2011. The device, which has been certified for use in Band 38 (2570-2620 MHz), is being used in the large scale trials of TD-LTE technology that are currently being conducted in China.

GCF, the Global Certification Forum, announced the extension of GCF Certification to TD-LTE for devices operating in Band 38 in July 2011. Certification for FD-LTE devices operating at 700 MHz (Band 13) and 800 MHz (Band 20) was introduced in December 2010 and extended to 2100 MHz (Band 1) and 2600 MHz (Band 7) in April of this year. Further bands will be brought within the scheme to reflect the variety of spectrum allocations that have been released for LTE in different parts of the world.

GCF Certification provides confidence that new devices are compliant with relevant standards and interoperable with other devices and network infrastructure systems irrespective of the vendors.

The availability of certified devices is an important milestone in the development of new mobile technologies such as TD-LTE. The first GCF-Certified FD-LTE devices, for the 800 MHz �European Digital Dividend� band, were announced in April.

Led by China Mobile, GCF�s work on TD-LTE has involved a broad coalition of GCF members including handset manufacturers, test equipment vendors, test labs and operators from around the world.

�The first certification for a TD-LTE device is a positive sign of the speed with which this important technology is maturing,� said Adriana Nugter, Operations Manager of GCF.

“The certification of the E398s-81 is a testament to Huawei�s support for TD-LTE,� said Mr. Shimin Wu, President of MBB Product Line, Huawei Device. �The availability of a GCF-Certified device demonstrates that TD-LTE is rapidly approaching the point at which trials can give way to mass-market deployments.�

Trans National Communications International Inc., a privately held reseller and VoIP carrier based in Boston, filed Sunday for protection under Chapter 11 of the U.S. bankruptcy code. The news spread quickly through the agent community, raising concerns the carrier might cancel agent contracts and discontinue evergreen commission payments.

A company spokesperson responded to Channel Partners� inquiries on the implications for channel partners, saying that the company already is holding calls with its agents about the situation. TNCI President Brian Twomey also offered the following statement:

“We will use this time under reorganization to regain our financial health and focus. While we will continue to operate our business without interruption to our customers, agents and employees throughout this process, we hope to emerge from Chapter 11 as quickly as possible. TNCI does fully recognize the importance of the Agent Channel to the future of our business and every step we are making is to preserve these vital relationships, along with those we have with our customers and our employees.�

Windstream Corp. (Nasdaq: WIN) has entered into a definitive agreement to acquire PAETEC Holding Corp. (Nasdaq: PAET), based in Fairport, N.Y., in a transaction valued at approximately $2.3 billion.

�This transaction significantly advances our strategy to drive top-line revenue growth by expanding our focus on business and broadband services,� said Jeff Gardner, president and CEO of Windstream. �The combined company will have a nationwide network with a deep fiber footprint to offer enhanced capabilities in strategic growth areas, including IP-based services, data centers, cloud computing and managed services. PAETEC shareholders will receive 0.460 shares of Windstream common stock for each PAETEC share owned under the terms of the agreement which was approved by the boards of directors of both companies. Windstream expects to issue approximately 73 million shares of stock valued at approximately $891 million, based on the company�s closing stock price on July 29, 2011.

Windstream also will assume or refinance PAETEC�s net debt of approximately $1.4 billion at the time of closing.� PAETEC stockholders are expected to own approximately 13 percent of the combined company upon closing of the transaction.

Significant Synergies and Tax Attributes Drive Free Cash Flow Accretion

The transaction is expected to be accretive to free cash flow per share, excluding merger and integration costs, in the first year following the closing. The transaction is expected to generate annual pre-tax operating cost synergies of approximately $100 million and capital expenditure savings of approximately $10 million, which are expected to be fully realized by the third year after closing.� Windstream expects to incur merger and integration costs of approximately $50 million in operating expense in the first year following the closing and approximately $55 million in capital expenditures over the first three years following closing.

The transaction will allow annual PAETEC net operating loss utilization of approximately $130 million in each of the first 5 years. The tax benefits will have an estimated net present value of approximately $250 million.

Enhanced Scale and Improved Business Mix

The combined company would have had $6.1 billion in total revenue and about $2.4 billion in adjusted operating income before depreciation and amortization, which excludes non-cash pension expense, restructuring charges and stock-based compensation expense, on a pro forma basis for the last 12 months ended March 31, 2011. Business and broadband revenues would have comprised approximately 70 percent of total revenue.

The new company will serve business customers in 46 states and the District of Columbia and maintain approximately 100,000 fiber route miles across the country. Windstream will offer data center services across the United States and have improved capability to serve multi-location business customers.

Strong Balance Sheet and Liquidity

Windstream will continue to have a strong balance sheet and liquidity. The transaction will be slightly deleveraging, including synergies.

Committed Financing

Windstream has received $1.1 billion in committed financing in connection with the acquisition, which financing would be required if Windstream refinances the assumed debt.

Dividend Practice

Windstream pays an annual dividend of $1 per share and its board of directors expects to continue the current dividend practice after the transaction closes.

Approvals and Anticipated Closing

The transaction is expected to close within six months, subject to certain conditions, including necessary approvals from federal and state regulators and PAETEC shareholders.

PAETEC Overview

PAETEC is a competitive local exchange carrier and provides� telecommunications services primarily to business customers in 46 states and the District of Columbia. The company operates seven data centers in the U.S. and owns approximately 36,700 route miles of fiber in portions of 39 states and the District of Columbia.

PAETEC has approximately 5,000 employees, including about 875 in the Rochester, N.Y. area. The company was founded in 1998.

In the rapidly growing UC and telepresence markets, Polycom has emerged as a leader and continues to gain significant marketshare in both video endpoint solutions and video infrastructure. In the latest Wainhouse Research quarterly report on video conferencing and telepresence, “Wainhouse Spotcheck: Videoconferencing Q1 2011,” Polycom gained nine points vs. the previous quarter and extended its leadership in video endpoint unit shipments to 45 percent market share in Q1 2011. Nortel Networks Corporation [OTC: NRTLQ] announced that it,its subsidiary Nortel Networks Limited (NNL), and certain of its other subsidiaries, including Nortel Networks Inc. and Nortel Networks UK Limited (in administration), have completed the sale of all of Nortel’s remaining patents and patent applications to a consortium consisting of Apple, EMC, Ericsson, Microsoft, Research In Motion and Sony, for a cash purchase price of US$4.5 billion.

As previously announced, the sale includes more than 6,000 patents and patent applications spanning wireless, wireless 4G, data networking, optical, voice, internet, service provider, semiconductors and other patents. The extensive patent portfolio touches nearly every aspect of telecommunications and additional markets as well, including Internet search and social networking.

As previously announced, Nortel does not expect that the Company’s common shareholders or the NNL preferred shareholders will receive any value from Nortel’s creditor protection proceedings and expects that the proceedings will result in the cancellation of these equity interests.

Telecom master agent Telarus Inc.,added Ethernet (Fiber) to its patented real-time carrier pricing research tool GeoQuote.

The technology paves the way for independent agents partnered with Telarus to check for Ethernet broadband availability and pricing in seconds; a process that currently takes days and weeks.

Using “lit building” lists, or addresses of buildings that carriers have a physical fiber presence, in addition to above-ground and subterranean fiber maps, GeoQuote is able to determine the likelihood of a carrier being able to service a customer and at what price. The carriers who have volunteered their information to be a part of this quoting system include industry leaders such as: AboveNet, AboveNet, AT&T, ACC Business, Broadview Networks, Level 3, PAETEC, Qwest Business, and Time Warner Cable Business Class. Telarus expects to have more carriers quoting by the end of the year.

“The million dollar question agents are ask is ‘is it accurate?’” added Andrew Morgan, VP of Web Development for Telarus. “To that we give an enthusiastic ‘yes’! GeoQuote knows where all of the lit buildings are, it knows where fiber runs, and it knows the typical pricing carriers offer on 10M, 20M, 50M, 100M, 250M, 500M, and 1G circuits. The only unknown is the build-out fee, but that cuts down on 90 percent of a carrier’s workload while giving agents valuable information in seconds. The ability for agents to get pricing quickly for their clients is critical to their business.”

In addition to actual and budgetary pricing, GeoQuote also delivers a visual representation of the carrier fiber environment via Google maps. This technology allows for high-level research in the event the customer isn’t within the pre-subscribed distance (in feet) from any lit buildings.

Level 3 and Global Crossing met with staff from the Wireline Competition Bureau, the Office of Strategic Planning and Policy Analysis, the International Bureau, and the Office of the General Counsel to discuss their proposed merger.� They said the merger will unite two complementary companies and networks, increasing both worldwide reach and the depth of on-network U.S. facilities beyond what either entity currently has on its own today. They claim this will enable the combined entity to compete even more vigorously with entities such as AT&T and Verizon, as well as many smaller players, in the provision of both Internet and telecommunications services.

CenturyLink, Inc. (NYSE: CTL) plans to invest at least $20 million to improve and expand broadband communications services in New Mexico now that it has merged with Qwest Communications.

“This investment by CenturyLink to expand broadband services in New Mexico is an effective way for the company to introduce itself to the state,” New Mexico Public Regulation Commission chairman Pat Lyons said. “CenturyLink is New Mexico’s leading communications provider now that its merger with Qwest is complete. We look forward to the additional resources and opportunities that this increased Internet connectivity made possible by CenturyLink will provide the people of New Mexico.”

With the Qwest merger completed, CenturyLink is focusing on improving and expanding broadband availability and increasing connectivity speeds to consumers.

“As a result of CenturyLink’s merger with Qwest, the combined company now has the financial strength, national breadth, and local depth to provide a compelling array of broadband products and high bandwidth services in New Mexico,” said Valerie Dodd, vice president and general manager for CenturyLink in New Mexico.

Dodd and her Albuquerque-based local operations team currently are studying the communities CenturyLink serves in the state to determine where to deploy the expanded broadband infrastructure that the new initiative will fund. �The company wants to ensure the expansion effort delivers the best possible high-speed Internet experience to New Mexico customers.

CenturyLink will implement the expanded broadband program over the next several years. The investment is in addition to the millions the company spends in the state annually to improve and expand its existing communications network.

Avaya announced that the company was positioned as a Leader in the recently published 2011 Gartner Magic Quadrant for Contact Center Infrastructure, Worldwide.(1)
