On February 3, President Trump signed a memorandum directing the United States Secretary of Labor to perform an “economic and legal analysis” of the U.S. Department of Labor’s (DOL) investment fiduciary rule for retirement plan advice.

If the results of the analysis expose issues within the regulation (as defined by the evaluation criteria outlined in the memorandum), the Secretary will be instructed to propose a new rule for public notice and comment, “revising or rescinding” the previous fiduciary rule. As we reflect on that thought, there is one additional item to be thankful for this year: Internal Revenue Service (IRS) Notice 2016-70, https://www.irs.gov/pub/irs-drop/n-16-70.pdf. For employers subject to 2016 information reporting on Forms 1095-B and 1095-C under the Affordable Care Act, the IRS has granted taxpayers an automatic extension from January 31, 2017 to March 2, 2017, to furnish the forms to employees, without the need to file an application with the IRS. On November 1, 2016, the IRS issued Notice 2016-66 (the “Notice”), which identifies certain “micro-captive transactions” and substantially similar transactions as “transactions of interest.” Taxpayers entering into those transactions (or who have entered into them since 2006) are required to disclose the transactions according to Treas. Reg. Section 1.6011-4, which are the tax shelter disclosure rules. Also, “material advisers” who are involved in such transactions will have to disclose and satisfy list maintenance requirements under Sections 6111 and 6112.

When information on the new Forms 1094/5-B and -C series, reporting employee health coverage, is incorrect, the IRS considers it a failure to file a correct return or furnish a correct statement to the employee (i.e., failure to file). The 2015 filings showed that this is especially true with employee or dependent individual Taxpayer Identification Numbers (TINs), or in other words, social security numbers. The IRS may waive penalties if the failure to file is due to reasonable cause and not due to willful neglect. You can meet the reasonable cause standard in regards to social security numbers by following the procedure outlined in the most recent proposed regulations released by the IRS.

As you may know, the IRS issued guidance under IRS Notice 2016-4 that extended the due date for furnishing employees with a copy (by mail, in person, or electronically) of Form 1095-B or Form 1095-C to March 31, 2016. Normally these forms would be furnished by January 31 of the year following coverage. However, 2015 is a transition year, and the Form 1095-B or Form 1095-C may be delayed.

The IRS released Notice 2016-4, which grants an automatic extension of the due dates for the 2015 1094 and 1095 forms for all of those required to file, both insurers and employers. The IRS has said it is ready to accept the filings but realizes insurers and employers need more time to gather the information necessary to prepare the forms. The IRS is therefore encouraging employers to file as soon as they are ready.

We previously issued an alert on February 20, 2015, which addressed this topic. Guidance issued in Notice 2015-17 delayed the application of the Affordable Care Act (ACA) market reforms to individual policies that were held by S-corporation shareholders and for which premiums were reimbursed or paid for by the S corporation. This guidance was issued after W-2s were processed for the 2014 calendar year, and employers might have subjected health insurance premiums paid on behalf of greater-than-2% S corporation shareholders (including family members subject to the ownership attribution rules under Section 318) to payroll taxes and/or the respective shareholders did not deduct the self-employed health insurance premiums on their personal return. This alert will address these issues and give guidance on how to remedy them.

Earlier today, Congress passed the “Protecting Americans from Tax Hikes (PATH) Act of 2015.” The President is expected to sign the bill into law. While this legislation makes permanent many of the so-called “extender” provisions that Congress had previously renewed on a one- or two-year basis, several provisions are extended only through 2016 or 2019 (e.g., bonus depreciation – see below). The bill also contains provisions related to Real Estate Investment Trusts (REIT), IRS administration, and other miscellaneous tax rules. This alert lists the extender provisions that relate to our clients.

Businesses have been waiting all of 2015 for Congress to move forward on passing an “extenders package,” which would extend the research credit as well as a number of other significant tax-saving provisions. Earlier today, Congress passed the Protecting Americans from Tax Hikes (PATH) Act of 2015, and the President is expected to sign the bill into law. Prior to the passage of the PATH Act, businesses were not allowed to claim the research credit on expenses that were incurred on or after January 1, 2015. This bill has made the credit retroactive to the beginning of 2015 and also makes it a permanent credit.

Starting in 2010, anyone could convert to a Roth IRA, regardless of filing status or income level. That opportunity continues in 2011 (and all future years). On Friday, December 3, a bipartisan majority of commissioners of President Obama's National Commission on Fiscal Responsibility and Reform voted their support for the ambitious package of tax reforms and spending cuts. However, with 11 of 18 members backing the plan, it was still three votes short of the supermajority required to send the plan to Congress for action under the terms of the President’s executive order establishing the commission. Although the proposal did not survive the vote, both Democratic and Republican lawmakers praised the tax portion of the plan, suggesting it could survive as the basis of future bipartisan tax reform discussions.

As a result, we thought it would be beneficial to alert you to some of the important tax provisions included in the deficit study. Our view is that a number of these proposals may be enacted in the future and could significantly impact your family and your business.

The IRS has recently made an administrative determination to accept the position that medical residents qualify under student exception. Under this provision, compensation paid to medical residents prior to April 1, 2005 is exempt from FICA taxes. The long-awaited 2014 Minnesota tax bill finally passed on Friday, March 22, after a week of political fireworks and finger pointing. The bill effectively distributes a portion of the $1.2 billion budget surplus back to the taxpayers through a combination of federal tax conformity benefiting individuals and the elimination of the gift tax and contentious business-to-business sales tax. These changes do come with a price. The proposed upfront capital equipment sales tax exemption for manufacturing and industrial equipment has been pushed back from September 1, 2014, to July 1, 2015.

On September 13, 2013, the Internal Revenue Service (IRS) and Department of Labor (DOL) issued nearly identical guidance, and the Department of Health and Human Services (HHS) issued a memo on September 16, 2013, concurring with the guidance, which is specific to changes made under the Affordable Care Act (ACA) to Health Reimbursement Arrangements (HRAs) and individual health coverage. In addition, guidance also extends to some unexpected changes to benefits under Code Section 125 cafeteria plans as outlined in IRS Notice 2013-54 and DOL Technical Release 2013-3. This guidance created quite a stir in the benefits community as experts tried to figure out the far-reaching effects it has beyond just the guidance as written. The IRS further issued Notice 2013-71 on October 31, 2013, which made modifications to the “use it or lose it” rule for health flexible spending arrangements in Code Section 125 cafeteria plans.

Section 1512 of the Patient Protection and Affordable Care Act created a new Fair Labor Standards Act (FLSA) Section 18B, which requires a notice to employees of coverage options available through the State Marketplaces, which are set to be operational January 1, 2014. By its terms, the notice requirement applies to employers subject to FLSA, which generally means employers engaged in interstate commerce that employ one or more employees and have more than $500,000 in annual revenues. However, the notice requirement in FLSA Section 18B does not appear to have this same limitation and instead appears to apply to a broad definition of employer under the FLSA, which includes any employer that employs one or more employees. As with other provisions of the Affordable Care Act, this applies to all employers—private, public, and nonprofit.

Employers must provide a notice to each employee, regardless of whether they are covered by insurance or not and regardless of whether they are full-time or part-time. A separate notice is not required for dependents or others who are covered under an employer health insurance plan.

A Health Reimbursement Arrangement (HRA) is a medical expense reimbursement arrangement under Code Sections 105 and 106 whereby the employer reimburses employees for substantiated medical expenses, generally up to a specified dollar amount each year. Employers have used HRAs in recent years to help manage health insurance costs. Some employers changed their health insurance to very–high-deductible coverage (e.g., $5,000) and then used an HRA to help employees by paying for a portion of their deductible (e.g., $2,500). This would often result in significant savings in premium costs. Alternatively, employers have dropped their coverage and put an HRA in place to reimburse employees for some of their medical expenses, including premiums.

On May 23, the Governor of Minnesota signed into law the Omnibus Tax Bill, which included many changes to the state of Minnesota’s tax system. The bill is 397 pages and is massive in its scope, with changes affecting corporate franchise and income taxes, individual income taxes, sales and use taxes, gift taxes, and even property taxes. The Minnesota Department of Revenue should be issuing guidance and rules on the changes later this year.

Additional Medicare Tax on High Earners

Medicare wages paid in excess of $200,000 per employee in 2013 will be subject to an additional 0.9% Medicare tax that will only be withheld from the employees’ wages. Employers will not have to match the additional tax. If the employer does not withhold and deposit the additional tax from the employees affected, they will be subject to penalties for failure to withhold the tax.

In June of this year, a bill was signed into law requiring not-for-profit hospitals operating in the State of Washington to report selected employee compensation information to the Washington State Department of Health (“Department”). Effective in the year 2013 (for calendar year 2012 compensation), House Bill 2229 mandates that not-for-profit hospitals licensed under Chapter 70.41 RCW will submit to the Department this employee compensation on an annual basis. The law will affect approximately 87 not-for-profit hospitals and public hospital district hospitals, of the 97 total hospitals currently licensed in Washington.

2012 Mandatory Health Care Reporting for Employers with 250 or more W-2s

Starting in 2012, W-2 reporting of the aggregate cost of coverage under an employer-sponsored group (or self-insured) health plan is mandatory for employers that filed 250 or more W-2s in the previous year (2011). The aggregate cost of coverage is reported in Box 12 of the Form W-2, labeled with code “DD.” The amount reported is for informational purposes only and not included in the employee’s taxable income.

For 2011, taxpayers still have time to make qualifying retirement contributions and get the saver’s credit on their 2011 tax return. The saver’s credit helps offset part of the cost of the first $2,000 workers voluntarily contribute to IRAs, 401(k) plans and similar workplace retirement programs. The saver’s credit is available in addition to any other tax savings that apply. To be eligible for a credit for 2011, taxpayers have until April 17, 2012 to set up a new IRA or add money to an existing IRA. Elective deferrals to plans such as 401(k), 403(b) and governmental 457 retirement plans must have been made by the end of the 2011 year, but they would still have an opportunity to realize benefits for 2012 by making contributions to these plans. Employees may want to set up their 2012 contributions soon so their employers can begin withholding these amounts throughout the year.

The IRS is suspending the availability of the system to implement changes to IRS programs and systems for the 2011 tax year.
