Telephone Cooperative, Moss Adams and the telecom industry have lost a long-time friend and advocate. &lt;br /&gt;
&lt;br /&gt;
I had the honor and pleasure of getting to know Joan over the last 5 years. My admiration grew as I watched her manage a successful company, embrace motherhood when she adopted her daughter, and courageously battle cancer. Joan lived her life with integrity and doing the right thing. I took something away from every conversation with her, as she always had valuable advice to share with me on both professional and personal challenges. I will miss her mentoring, her laughter, and her never-ending positive attitude.&lt;br /&gt;
&lt;br /&gt;
Joan spent the majority of her career at the Montana Public Service Commission and the Montana Telephone Association. Our comments focused on issues relating to the transition of originating switched access rates, the potential phase out of the ARC and ICC CAF, the future of SLCs and ICLS, and the establishment of the revenue baseline. &lt;br /&gt;
Chad Duval presented to 2 very well attended audiences–one was standing room only–on the meeting's first day. His very timely topic addressed what the future could look like for telcos as a result of the FCC's new regulations, how the regulations will impact their business, and strategies and best practices to respond to this reform. Moss Adams conducted impacts analyses for 65 clients, a summary of which Chad incorporated into his presentation. Not surprisingly, the impacts are significant and widespread. &lt;br /&gt;
&lt;br /&gt;
Chad reports that the hot topics of the meeting generated lots of discussion and questions for all–for many of the directors in attendance, this may have been the first time they heard about the reforms in any detail; while attendees in finance or management positions have been exposed to the USF/ICC reform issue for the past several months.&lt;br /&gt;

We discussed the ICC components of the Order in Part 3 of our webinar series, but with the FCC’s deadline for comments on the ICC aspects of the Further Notice of Proposed Rulemaking (FNPRM), there are aspects of proposed ICC reform in the FNPRM that we believe require greater understanding. In Part 3, we talked about the ICC requirements outlined in the Order and revised FCC Rules, but we did not discuss the proposals discussed in the FNPRM that are subject to comment on February 24th. The FNPRM includes some very troubling proposals that would have significant, negative impacts on rural carriers’ revenue streams. The FNPRM asks questions such as:&lt;br /&gt;
&lt;ul&gt;&lt;li&gt;Should Interstate Common Line Support (ICLS) be eliminated?&lt;/li&gt;
&lt;li&gt;Should Federal Subscriber Line Charges (SLC) be reduced or eliminated?&lt;/li&gt;
&lt;li&gt;When should Access Recovery Charges be phased out? (ARC was just established in the Order)&lt;/li&gt;
&lt;li&gt;Over what period of time should originating switched access charges be transitioned to bill and keep?&lt;/li&gt;
&lt;li&gt;How should the phase out of Eligible Recovery continue after the first 6 years (currently a 5% annual reduction)?&lt;/li&gt;
&lt;/ul&gt;It is vital that rural carriers understand that revenues in question in the FNPRM are significant and any of the above proposals could have tremendous impacts on your revenue streams. Some of these requirements are effective April 1, 2012, including the filing of a 5-year service quality improvement plan in order to be certified as an eligible telecommunications carrier (ETC). This filing is currently required for carriers that are certified as ETCs by the FCC rather than their state PUC. The specific requirements in the revised rules are included at the end of this post.&lt;br /&gt;
&lt;br /&gt;
Moss Adams is fully prepared to assist with these filing requirements, including the availability of a template that can be used for filing with the FCC. However, it is our understanding that the FCC may push back the filing date for the revised requirements by up to a year due to the Paperwork Reduction Act of 2005, which requires that the Office of Management and Budget review all new information collection requirements in this proceeding. Regardless, we will be ready to assist you whenever the new requirements are enacted. &lt;br /&gt;
&lt;br /&gt;
In the meantime, we strongly suggest you read through the reporting requirements below and ensure you have the ability to compile the necessary information and meet the April 1, 2012 deadline if it is not delayed.&lt;br /&gt;

§ 54.313 Annual reporting requirements for high-cost recipients. &lt;br /&gt;
&lt;br /&gt;
(a) Any recipient of high-cost support shall provide:&lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; &lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; (1) A progress report on its five-year service quality improvement plan pursuant to § 54.202(a), including maps detailing its progress towards meeting its plan targets, an explanation of how much universal service support was received and how it was used to improve service quality, coverage, or capacity, and an explanation regarding any network improvement targets that have not been fulfilled in the prior calendar year. The information shall be submitted at the wire center level or census block as appropriate;&lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; &lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; (2) Detailed information on any outage in the prior calendar year, as that term is defined in 47 CFR 4.5, of at least 30 minutes in duration for each service area in which an eligible telecommunications carrier is designated for any facilities it owns, operates, leases, or otherwise utilizes that potentially affect&lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; &lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; (i) At least ten percent of the end users served in a designated service area; or&lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; &lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; (ii) A 911 special facility, as defined in 47 CFR 4.5(e).&lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; &lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; (iii) Specifically, the eligible telecommunications carrier's annual report must include information detailing:&lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; (A) The date and time of onset of the outage;&lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; (B) A brief description of the outage and its resolution;&lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; (C) The particular services affected;&lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; (D) The geographic areas affected by the outage;&lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; (E) Steps taken to prevent a similar situation in the future;&lt;br /&gt;
&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp;&amp;nbsp; (F) The number of customers affected.&lt;br /&gt;
&lt;br /&gt;
(3) The number of requests for service from potential customers within the recipient’s service areas that were unfulfilled during the prior calendar year. The carrier shall also detail how it attempted to provide service to those potential customers;&lt;br /&gt;
&lt;br /&gt;
(4) The number of complaints per 1,000 connections (fixed or mobile) in the prior calendar year;&lt;br /&gt;
&lt;br /&gt;
(5) Certification that it is complying with applicable service quality standards and consumer protection rules;&lt;br /&gt;
&lt;br /&gt;
(6) Certification that the carrier is able to function in emergency situations as set forth in §54.202(a)(2);&lt;br /&gt;
&lt;br /&gt;
(7) The company’s price offerings in a format as specified by the Wireline Competition Bureau; &lt;br /&gt;
&lt;br /&gt;
(8) The recipient’s holding company, operating companies, affiliates, and any branding (a “dba,” or “doing-business-as company” or brand designation), as well as universal service identifiers for each such entity by Study Area Codes, as that term is used by the Administrator. For purposes of this paragraph, “affiliates” has the meaning set forth in section 3(2) of the Communications Act of 1934, as amended;&lt;br /&gt;
&lt;br /&gt;
(9) To the extent the recipient serves Tribal lands, documents or information demonstrating that the ETC had discussions with Tribal governments that, at a minimum, included: &lt;br /&gt;
&lt;br /&gt;
(i) A needs assessment and deployment planning with a focus on Tribal community anchor institutions; &lt;br /&gt;
&lt;br /&gt;
(ii) Feasibility and sustainability planning;&lt;br /&gt;
&lt;br /&gt;
(iii) Marketing services in a culturally sensitive manner;&lt;br /&gt;
&lt;br /&gt;
(iv) Rights of way processes, land use permitting, facilities siting, environmental and cultural preservation review processes; and &lt;br /&gt;
&lt;br /&gt;
(v) Compliance with Tribal business and licensing requirements. Tribal business and licensing requirements include business practice licenses that Tribal and non-Tribal business entities, whether located on or off Tribal lands, must obtain upon application to the relevant Tribal government office or division to conduct any business or trade, or deliver any goods or services to the Tribes, Tribal members, or Tribal lands. Reply comments are designed to be responsive to other comments filed on January 18th on the USF portions of the Order and FNPRM, and are due to the FCC on February 17th. At this point it does not appear that we will file Reply Comments, as we believe that we made very strong points in our Initial Comments and that they will stand on their own without supplement. However, we do encourage clients that are significantly impacted by various aspect of the USF components of the Order and FNPRM that did not have the opportunity to file Initial Comments to tell their story in Reply Comments. We can provide you with a template for those comments and assist you with the development and filing of the comments.&amp;nbsp; In addition, please let us know if there are specific areas where you believe that Reply Comments may be warranted.&lt;br /&gt;
&lt;br /&gt;
Moss Adams does intend to file Initial Comments on the ICC Reform components of the Order and FNPRM, which are due to the FCC on February 24th. These comments will likely focus in on issues relating to the transition of originating switched access rates, the potential phase out of the ARC and ICC CAF, the future of SLCs and ICLS, and the establishment of the revenue baseline. These are items that could have significant impacts on ICC revenues beyond the reforms outlined in the Order, which we believe could prove extremely detrimental to rural rate-of-return carriers.&amp;nbsp; We are in the process of drafting these comments and will make them available to clients for review as soon as possible. Once again, we will be looking for as many companies as possible to sign onto these comments in order to speak with a loud and unified voice before the FCC. We hope that you will actively participate in this process, as you did in the last round. In addition, we are in the process of developing a template for company use that will allow many of you to tell your own story, especially as it relates to the impacts of the FCC’s proposed regression-based limitation on capital and operating expenses. &lt;br /&gt;
We don't know exactly where this is going, but we're concerned that this issue has been brought to the surface more than 5 years after the bank was dissolved. Both the OIG and the U.S. Department of Justice have refused to sign confidentiality agreements with NECA. A key requirement states that these companies must file “a full and complete annual report of their financial condition and operations as of the end of their preceding fiscal year, which is audited and certified by an independent certified public accountant.” &lt;br /&gt;
&lt;br /&gt;
The Order states that the requirement begins on April 1, 2012 and that the information reported to the FCC should include balance sheets, income statements and cash flow statements along with footnotes necessary to clarify the financial statements. This requirement is unclear. Depending on interpretation, it could result in significant impacts on the timing of financial statement audits and the resources required to meet the requirements. Through various channels, we have asked the questions below. As soon as we have clarification on these points, we will post updates:&lt;br /&gt;

&lt;li&gt;Does the 4/1/12 effective date mean that reports for fiscal years ending after 4/1/12 need to be filed prior to 4/1/13?&amp;nbsp;&lt;/li&gt;
&lt;li&gt;Do 2011 calendar year audits need to be filed prior to 4/1/12?&amp;nbsp;&lt;/li&gt;
&lt;li&gt;Will a consolidated audit report for a company with multiple ILEC subsidiaries receiving support suffice? &lt;/li&gt;
&lt;li&gt;Will separate audit reports be required on a study area or subsidiary basis? &lt;/li&gt;
&lt;li&gt;Are wholly-owned subsidiaries of publicly traded companies considered public companies that are exempt from this requirement?&amp;nbsp;&lt;/li&gt;
&lt;li&gt;What is the appropriate level of income statement revenue detail to meet the requirement that revenue needs to be itemized by its source?&amp;nbsp;&lt;/li&gt;

In October, the&amp;nbsp;FAF proposed the creation of a private company standards improvement council to determine whether exceptions or modifications to U.S. GAAP are required to improve standards for private companies. Changes to GAAP would be subject to ratification by FASB, the standards-setting arm of the FAF. &lt;br /&gt;
&lt;br /&gt;
Moss Adams CEO, Rick Anderson, is chair of the Blue-Ribbon Panel on Standard Setting for Private Companies which, earlier this year,&amp;nbsp;recommended against this move by FAF to create a private council.&amp;nbsp;After a year spent studying the issue and speaking with stakeholders, the Panel concluded that there is a systemic problem with GAAP and called for an &lt;em&gt;independent&lt;/em&gt; standard-setting authority&amp;nbsp;to address the unique needs of private companies. Among other issues, the current GAAP is not attuned to the needs of private company financial statement prepares and users and, in fact, private companies are increasingly taking GAAP exceptions.&lt;br /&gt;

Though both presentations were on different topics, there were common themes: the FCC's USF &amp;amp; ICC reform order and strategically addressing the changing environment.&lt;br /&gt;

Moss Adams partner, Gregg Amend, attended the annual meeting of the North Dakota Association of Telecommunications Cooperatives. Gregg's presentation on &lt;a href="http://www.mossadams.com/mossadams/media/Documents/webcasts%20and%20presentations/Finance-Best-Practices-NDATC-120611.pdf" target="_blank"&gt;Finance Best Practices&lt;/a&gt; presented strategies gleaned from diverse rural telcos around the country on how they are managing their businesses facing an uncertain future. Executive management and directors that Moss Adams talked with during 2011 all voiced similar sentiments: combining strategic planning and creativity with a focus on streamlining operations and cost structure will be key to creating long-term success going forward. Telcos who are embracing these themes improve their chances to be well able to deal with the industry's changing landscape.&lt;br /&gt;
