What is Shares?

A company's capital is divided into small equal units of a finite number. Each unit is known as a share. In simple terms, a share is a percentage of ownership in a company or a financial asset.

What are the different types of shares?

Broadly, there are two – equity shares and preference shares.

Equity shares: Equity shares are also referred to as ordinary shares. They are one of the most common kinds of shares. These stocks are documents that give investors ownership rights of the company. Equity shareholders bear the highest risk. Owners of these shares have the right to vote on various company matters. Equity shares are also transferable, and the dividend paid is a proportion of profit. One thing to note, equity shareholders are not entitled to a fixed dividend. The liability of an equity shareholder is limited to the amount of their investment. However, there are no preferential rights in holding.

Equity shares are classified as per the type of share capital.

Authorized share capital: This is the maximum amount of capital a company can issue. It can be increased from time to time. For this, a company needs to conform to some formalities and also pay required fees to legal entities.

Issued share capital: This is the portion of authorized capital which a company offers to its investors.

Subscribed share capital: This refers to the portion of issued capital upon which investors accept and agree.

Paid-up capital: This refers to the portion of the subscribed capital for which the investors pay. Since most companies accept the entire subscription amount at one go, issued, subscribed, and paid capital are the same thing.

There are a few other types of shares.

Right share: These are the kind of shares a company issue to its existing investors. Such stocks are issued to protect the ownership rights of existing shareholders.

Bonus share: Sometimes, companies may issue shares to their shareholders as a dividend. Such stocks are called bonus shares.

Sweat equity share: When employees or directors perform their role exceptionally well, sweat equity shares are issued to reward them.

Preference shares: In our discussion on what are types of shares, we will now we will look at preference shares. When a company is liquidated, the shareholders who hold preference shares are paid off first. They also have the right to receive profits of the company before the ordinary shareholders.

Cumulative and non-cumulative preference shares: In the case of cumulative preference share, when the company does not declare dividends for a particular year, it is carried forward and accumulated. When the company makes profits in the future, these accumulated dividends are paid first. In case of non-cumulative preference shares, dividends do not get accumulated, which means when there are no future profits, no dividends are paid.

Participating and non-participating preference shares: Participating shareholders have the right to participate in remaining profits after the dividend has been paid out to equity shareholders. So, in years where the company has made more profits, these shareholders are entitled to get dividends over and above the fixed dividend. Holders of non-participating preference shares do not have a right to participate in the profits after the equity shareholders have been paid. So, in case a company makes any surplus profit, they will not get any additional dividends. They will only receive their fixed share of dividends every year.

Convertible and non- convertible preference shares: Here, the shareholders have an option or right to convert these shares into ordinary equity shares. For this, specific terms and conditions need to be met. Non-convertible preference shares do not have a right to be converted into equity shares.

Redeemable and Irredeemable preference shares: Redeemable preference shares can be claimed or repurchased by the issuing company. This can happen at a predetermined price and at a predetermined time. These do not have a maturity date which means these types of shares are perpetual. So, companies are not bound to pay any amount after a fixed period.

Merits of Equity Shares Capital:

ES (equity shares) does not create a sense of obligation and accountability to pay a rate of dividend that is fixed.
ES can be circulated even without establishing any extra charges over the assets of an enterprise.
It is a perpetual source of funding, and the enterprise has to pay back; exceptional case – under liquidation.
Equity shareholders are the authentic owners of the enterprise who possess the voting rights.

Demerits of Equity Shares Capital:

The enterprise cannot take either the credit or an advantage if trading on equity when only equity shares are issued.
There is a risk, or a liability overcapitalization as equity capital cannot be reclaimed.
The management can face hindrances by the equity shareholders by guidance and systematizing themselves.
When the firm earns more profits, then, higher dividends have to be paid which leads to raising in the value of the shares in the marketplace and its edges to speculation as well.

Viruman - Mass Entertainer

Viruman is a 2022 Indian Tamil-language masala film written and directed by M. Muthaiah. Produced by Jyothika and Suriya under 2D Entertainment, it stars Karthi and debutante Aditi Shankar. The music is composed by Yuvan Shankar Raja and cinematography is handled by Selvakumar S. K.

With Viruman, director Muthaiya is back with yet another action drama set in south Tamil Nadu. This time, he chooses to centre his plot around the relationship between a father and his son. The film begins with a boy chasing his father, Muthupandi (Prakash Raj), a tahsildar, with a knife in hand. We learn that the man is responsible for the death of his wife (Saranya Ponvannan), which is why the son is in a murderous rage, and doesn't even want to live with him. And years later, as a young man, Viruman (Karthi, who effortlessly steps into a role that's more like a Paruthiveeran Lite ) is keen on making his father pay.

On the surface, the story of Viruman does possess the tension needed for an emotional drama, but Muthaiya's generic writing never lets the film from being anything more than something that's barely watchable. The screenplay is not only formulaic, but also lazily written; it is so much a screenplay of convenience that we are able to predict plot developments even when they are a mile away.

Every time a conflict shows promise of lending some edge to this familiar tale, Muthiah resolves it in the next few scenes. Take the initial scenes with the female lead, Thaenu (Aditi Shankar, making a confident debut). She is shown as someone who is affectionate towards Muthupandi, even though he is a man who is hard to like. We think this equation between them would pose a challenge to Viruman, who has fallen for her and wants to marry her, but in just a couple of scenes, we see the character shifting her allegiance, thanks to a convenient plot development. A subplot involving friction between Viruman and a MLA (GM Sundar) is also resolved in a similarly easy manner. The less said about the antagonist (RK Suresh) the better.

The portions that work are mainly due to the actors, who infuse one-dimensionally written characters with flesh and blood. Like Prakash Raj, who makes us see past Muniyandi's negative qualities and turns him into someone who could be given a chance at redemption, especially in the final portions. Raj Kiran and Karunas lend respectability to purely functional roles while Soori manages to crack a few one-liners that hit their spot and make us smile.

SuperStar 'Thalaivar' Rajinikanth’s Film Gets a Grand Opening on Day 1

Annaatthe, starring Rajinikanth, was released on November 4 to coincide with Diwali. Early in the morning, Thalaivar’s devoted followers flocked to the theatres to catch a sight of him. Annaatthe appears to be receiving mixed reviews from critics and audiences, while setting the box office on fire with its opening day earnings. Annaatthe is a family film directed by Siruthai Siva.

Annaatthe was released in over 1000 theatres throughout the world on Day 1 and had a huge opening weekend. The film collected nearly Rs 35 on day 1, setting an all-time record. After the second wave of the new coronavirus pandemic, this is the first big-budget film to hit theatres.

It will be interesting to see if Annaatthe can keep its footing in terms of collection throughout the weekend, given the lacklustre response.

Ronaldo has a combined social media audience of around 500 million followers, so when he speaks, it has an impact. The 36-year-old Portugal captain is a fitness fanatic and made clear what he thought of the Coca-Cola bottle set out in front of him as he spoke to the media on Monday before his country's opening match against Hungary. They seem to reserve the right now to speak and behave in ways that are consistent with what they think, what they feel, what their values are," said Professor Simon Chadwick, the director of the Centre for the Eurasian Sport Industry at Emlyon Business School in France.

Ronaldo has been happy to endorse sugary soft drinks in the past -- in fact he did promotional work for Coca-Cola in China in the mid-2000s and has worked for their rivals Pepsi.

But Chadwick told AFP the Portuguese superstar was saying, very publicly: "As an individual I have the personal right to move on from whatever I did in the past.

"I am entitled to change my opinion, I am entitled to shift my values, I am entitled to object to products that are not consistent with what I am or what I am trying to represent."

The reach of social media gives such protests more power than ever before.

"I call it side-swipe activism," Chadwick said. "Whether you are online or you are in the physical world, if there is something in front of you that you don't like or isn't aligned with your own values, you just move it out of the way."

Headache for sponsors

Some reports suggested Ronaldo's gesture caused Coca Cola's share price to fall by 4 billion dollars at one point, but many analysts said the footballer might not have been responsible.

Gregori Volokhine, President of Meeschaert Financial Services in New York, said the drinks giant's shares finished 0.25 percent down, in line with the overall dip in the Dow Jones that day.

"With a market value of 235 billion dollars, that corresponds to just over 500 million dollars. We wouldn't even have noticed if there hadn't been this controversy," Volokhine said.

So what is the impact for brands when top sports stars reject the products of the sponsors who pay tens of millions of dollars to be associated with an event such as Euro 2020?

"It is too early to say," said Bertrand Chovet, head of Brand Finance France.

"Product placement could, though, be more nuanced these days. But the players benefit from these sponsors so they are acting in a slightly contradictory way."

Coca-Cola and Heineken did not respond to AFP's request for comment, but UEFA's tournament director Martin Kallen said: "The revenues of the sponsors are important for the tournament and for European football."

Chadwick believes such protests are a serious headache for sponsors.

"This poses a big challenge because the two extremes are probably the only way forward for sponsors. Either you take away all the logos or you vigorously enforce the contractual rights associated with a sponsorship deal," he said.

Arsenal manager Mikel Arteta said Thomas Partey was not rushed back from a thigh problem this season as he backed the Ghanan midfielder to put his injury woes behind him and hit top gear.

Partey joined Arsenal on transfer deadline day for 50 million euros ($59.76 million) but injuries have limited him to just 16 appearances this season.

Partey injured his thigh in November but returned for the 2-0 defeat by Tottenham Hotspur in December, a game in which he pulled up shortly before halftime with a recurrence of the problem. He was sidelined until January.

"He ticked every box to be able to play," Arteta said. "After every injury there is a risk for a period, whether it is five days, a week... three weeks depending on the load that the player is exposed to.

"But it was a really specific action where he just overstretched the area going to the floor and got his foot trapped," Arteta added. "Before the game you cannot know that would have been the way.

History and significance

International Women’s Day has been celebrated for over a century now. But while many people think of it as a feminist cause, its roots lie in the labour movement. It was first organised in 1911 by the early 20th century Marxist from Germany Clara Zetkin.

Zetkin was born in 1857 in Germany’s Wiederau. She trained as a teacher, and was associated with the Social Democratic Party (SPD) - one of the two major political parties in the country today. She was a part of both the labour movement and the women’s movement.

In the 1880s, when anti-socialist laws were enforced by German leader Otto von Bismarck, Zetkin went into a self-imposed exile in Switzerland and France. During this time, she wrote and distributed proscribed literature, and met leading socialists of the time. Zetkin also played a significant role in the formation of the Socialist International.

Upon her return to Germany, she became the editor of Die Gleichheit (‘Equality’) -SPD’s newspaper for women from 1892 to 1917. In the SPD, Zetkin was closely associated with the far-left thinker and revolutionary Rosa Luxemburg. In 1910 three years after she became a co-founder of the International Socialist Women’s Congress Zetkin proposed at a conference that Women’s Day be celebrated in every country on February 28.

The conference comprised 100 women from 17 countries, with unions, socialist parties, working women’s clubs and female legislators unanimously approving the suggestion. Women’s Day was observed for the first time in 1911.

Two years later, in 1913, the date was changed to March 8, and it continues to be celebrated as such every year.
