(July 12): Kimlun Corp Bhd (KL:KIMLUN) is forming a joint venture company (JVco) with Singapore-listed Astaka Holdings Ltd’s (AHL) indirect 50.99%-owned unit Astaka Capital Sdn Bhd (ACSB) to develop a residential serviced apartment project in Johor Bahru.

The Johor-based construction company said its wholly-owned subsidiary Kii Amber Sdn Bhd has entered into a binding term sheet with AHL’s units, including ACSB, Astaka Padu Sdn Bhd (APSB) and Seaview Holdings Sdn Bhd — a company linked to AHL’s controlling shareholder Datuk Daing A Malek Daing A Rahaman — to form the JVco, according to its filing on Friday.

The Arden residential apartment has a gross development value (GDV) of RM600 million, comprising 600 premium serviced residence units in a skyscraper building

ACSB and Kii Amber will form the JVco on a ratio of 51:49 respectively, to undertake the project.

In a joint statement on Friday, the companies said that the project is related to phase three of Arden @ One Bukit Senyum, which is slated to launch in the fourth quarter of 2024, with construction expected to be completed within 48 months.

Under the agreement, ACSB will subscribe to 509,900 shares in the JVco at an issue price of RM1 per share, while Kii Amber will subscribe to 490,000 shares.

The JVco has also proposed to acquire a parcel of land measuring 1.662 acres in Johor Bahru for RM61.5 million or RM77 per sq ft to be developed for the residential serviced apartment project.

For the purchase of the land, the JVco entered into a sale and purchase agreement with APSB (registered proprietor of the land) and Seaview (beneficial owner of the land).

Kimlun, whose share price has risen 85% year to date, said the JVco shares subscription will be satisfied wholly in cash from internally generated funds, while the land acquisition will be funded by external borrowings from third parties, including banks, loans or capital injections from each shareholder of the JVco.

Shares of Kimlun finished 10 sen or 7.46% higher at RM1.44 on Friday, giving the group a market capitalisation of RM508.87 million

Cheapest bank

At the other end of the spectrum is Affin Bank Bhd, which is trading at 0.355 times its book value, making it the cheapest local banking stock.

While the bank had acquired Hwang-DBS Investment Bhd to give it a platform to carve a niche in investment banking, some reckon that its return on equity (ROE) – a measure of a bank’s profitability – is still at the low-end, and therefore, can be run more efficiently.

CIMB Research in a report this week notes that Affin Bank’s recurring ROE for calender year 2018 stood at 5.4%, while smaller rival Alliance Bank (M) Bhd was at 10.7%.

Its cost-to-income ratio, which is a measure of efficiency, stood at 63.6% for the first half of the year versus the sector’s average of 47.2%.

Trailing behind all its peers, it makes sense for the bank, which is majority controlled by Armed Forces fund Lembaga Tabung Angkatan Tentera, to be taken over by a larger counterpart.

Interestingly, a major player in any corporate exercise involving Affin Bank is Quek.

Affin Bank’s second-largest shareholder is Bank of East Asia Ltd (BEA), where the tycoon has a strategic 14% stake.

Hong Kong-listed BEA, in turn, has a sizeable 23.5% stake in the government-linked bank.

From that point of view, a merger between HLB and Affin Bank will be easy to facilitate.

However, some reckon that a fit between Affin Bank and GLC banks like Maybank and CIMB Group Holdings Bhd

would be better,

Affin Bank does have a captive market in terms of the Armed Forces sector, which makes it a compelling proposition to any suitor.

is easily one of the most expensive banks in this part of the world, and possibly beyond.

The bank, which is 22.8%-owned by tycoon Tan Sri Teh Hong Piow, is trading at 2.45 times its book value.

Except for Bank Central Asia, which ranks third in South-East Asia by market capitalisation, banks in the South-East region generally command valuations of between 0.7 times and 1.9 times their book value.

Across the Asian region, Public Bank’s valuation dwarfs even that of the Industrial and Commercial Bank of China Ltd’s, the world’s biggest bank by asset size, which has a P/BV of 0.91 times.

In the West, banks such as HSBC plc, Standard Chartered plc, Citigroup Inc and Bank of America are all trading between 0.52 times and 1.25 times their P/BV.

The top five country breakdown is as follows: the United States (579 companies), China/Hong Kong (232), Japan (218), the United Kingdom (94) and South Korea (66).

In total, the Global 2000 companies, which come from 61 countries, account for US$39 trillion (RM140 trillion) in revenue, US$3 trillion (RM10.8 trillion) in profits, US$162 trillion (RM582 trillion) in assets and US$48 trillion (RM172.5 trillion) in market value in 2015. Total market value grew 9% year-on-year, the most among the four metrics.
