Thinking of selling your business? With the modern day legalities and procedures involved with selling a business, attain our reputable and trusted service.

Many owner-mangers traditionally treat their businesses as a large part of their pension pot. For many years, there were ready-made buyers and a deal could be agreed formally.

Sadly, the present business environment makes this much more difficult to achieve. Teamwork between the business’s accountant and solicitors, as well as the appointment of a specialist broker experienced in selling that type of business, has become key to a successful sale.

Experienced Solicitors To Sell Your Business

Here at Jobsons Solicitors, we have 45 years’ experience in successfully selling businesses. We work closely with company’s accountants and with specialist brokers ensuring that all parties are kept fully informed as to progress and that expectations are properly managed. The professional team should be instructed immediately when a decision in principle to sell has been taken.

On 26 February 2013, we held a joint seminar with Diverco Company Brokers based in Worcester, with whom we have worked with since the late 1970’s.

Prepare For Sale

It is never too soon to start planning for your businesses eventual sale. In companies where there is more than one family involved, and invariably where is an outside equity, a Shareholders Agreement is required. This in turn refers to the Business Plan and the proposed exit route.

Employee shares can be potential problem. It is imperative that employees cooperate and are not able to block the sale. Suitable incentives, in the form of EMI or other share options, or profit related bonuses may be appropriate so potential problems can be avoided.

We recommend clients to instruct us to carry out a ‘legal audit’ of a client business before sale (in many ways similar to the buyers due diligence) so that any problems can be identified and resolved and the due diligence during the sale made correspondingly easier.

Share Sale Or Asset Sale?

The share sale has many advantages, including potentially lower tax rate, but these days an asset sale may be appropriate in particular circumstances and this is a decision to be made before the business is marketed.

So if you’re thinking of selling your business, attain the experience and expertise of us here at Jobsons Solicitors. Call Tim Jobson on 01785 711 568.

Do you know what a Trust is and why they're important? No? Then read this post and find out all you need to know about Trusts and the help that is available

Just like a will, a trust is there to give you peace of mind that after you’ve gone, you’re loved ones will still be protected and provided for. However they thought of setting up a trust can seem quite a daunting task so we have put some information together to help make the process more straightforward.

What is a Trust?

A trust is a binding arrangement where a person leaves either money or property ‘upon trust’ to another person who is the ‘trustee’. The trustees will then be responsible for using the trust fund and ensuring the individual(s), called the beneficiaries, benefit from it. These arrangements can be made in the form of a trust deed, or as part of your will, meaning the trust will start after your death.

Why Should I Set Up a Trust?

Setting up a trust means you can leave money or property to a family member without them having to worry about dealing with the responsibility of looking after it. It may be that you have a son or daughter with learning difficulties and you want to ensure that they will be provided for, but someone else will be in charge of looking after that money. Or it may be that you want a family member to have your property or sum of money but not until they’re aged 18 or 21. A trust also allows you to dictate what that money should be spent on or what should happen to your house. For example you might want to leave them a sum of money for them to buy their first house with.

Who Can I Appoint as a Trustee?

It’s your decision who you would like to be your trustee; it may be a family member or friend, or maybe a professional such as your accountant or solicitor. It needs to be someone who will be able to deal with the responsibility and the work involved. A trustee will be expected to manage the assets of the trust by maintaining the property or investing the money, ensuring they make payments to the beneficiaries and making sure they pay any tax due.

We are a team of highly qualified and experienced solicitors in Stafford and have extensive knowledge when it comes to both trusts and wills. We understand the importance of ensuring a trust is set up correctly. We can help you set up a trust as well as offering expert advice to trustees at any stage. We can also act as professional trustees. If you would like any more information don’t hesitate to get in touch.

Deciding what will happen after you die seems like a conversation we would all like to avoid but making a will is really very important, read on to find out why

No one likes discussing what’s going to happen when they die and deciding who is entitled to what is often a difficult decision we would rather avoid. But making a will means you will have peace of mind that your estate will be passed on to your loved ones. If you die without a will, it may mean your assets are distributed according to the law and not your wishes.

Why Should I Make A Will?

- You can decide exactly how your assets will be shared out between your family
- If you’re living with your partner but you aren’t married they won’t necessarily be entitled to anything if you die however a will can ensure your partner is provided for
- If you’re divorced or separated or have children from other marriages you need specialist advice to ensure that everybody’s interest are provided for.
- You can make sure you and your family don’t end up paying more inheritance tax than necessary
- You can protect your assets for the benefit of your spouse and/or children by utilising protective trusts in your Will.

Making a will is the best way to ensure your loved ones will be properly provided for when you die. So however young you are or however young you feel, its best to make a will and have that peace of mind that everything is in order.

How Do I Make A Will?

When it comes to wills, it’s important not to cut corners by using an online will writing service or will packs that are difficult to fill out accurately and often do not cater for your specific family circumstance. It’s always advisable to seek advice of a professional solicitor like the team at Jobsons Solicitors who have a wealth of experience in devising wills in Staffordshire.

Solicitors can give you expert, legal advice on complicated matters like Inheritance Tax as well as ensuring there are no errors in the will.

Don’t Forget To Keep It Updated

You’ve gone through the trouble of writing a will so it’s important not to forget about it for years, make sure you keep it updated and alter it if your circumstances change. For example if you get married, divorced, have more children or move house.

We understand how daunting making a will may sound, but our team will guide you through this very important decision . Make sure you have a say in what happens to your assets and, if you have children under 18, who will look after them, giving you the reassurance that everything is taken care of and your family will be cared for.

Trying to run a business whilst making sure you stay within business law is not always an easy task; making sure you do everything to the letter, ensuring all those T’s are crossed and the I’s dotted can be very time consuming. Here at Jobsons Solicitors we specialise in all aspects of business law and our solicitors in Wolverhampton can provide excellent company secretarial facilities for your business.

What is a Company Secretary?

A Company Secretary is basically an officer who is responsible for ensuring your company complies with all the relevant legal obligations and corporate legislation. Company secretarial facilities can include:

- Organising meetings and recording the minutes of meetings

- Keeping statutory record books

- Drafting and execution of agreements, contracts and resolutions

- Preparation and filing of Companies Annual Return

- If you are part of a partnership company with other shareholders then shareholder agreements are vital, something that a company secretary can take care of

Company secretarial facilities are ideal for businesses who don’t want to be burdened with administrative and legal responsibilities. Using the service leaves you free to focus your efforts on the development and smooth running of your business, safe in the knowledge that all your legal and statutory obligations are being met.

Here at Jobsons Solicitors, our company secretarial facilities can vary from the simple provision of a Registered Office to full secretarial administration service for your business. We will create a secretarial package specifically tailored to the needs and requirements of your business.

Aside from our company secretarial facilities we can aid you with all aspects of your business including commercial law, company sales, wills, trusts and probates. If you would like any information on any of our services then get in touch with one of our solicitors by clicking here.
