				<content:encoded><![CDATA[<p>MCA vide Circular dated 17th August, 2020 clarifies that the Companies which are unable to hold their AGM for the Financial Year ended on 31st March, 2020, despite availing the relaxations provided in the General Circular 20/2020 i.e. Relaxations in respect of holding of AGM through Video Conferencing(VC) or Other Audio Visual means (OAVM)  shall file application in e-Form GNL-1 for seeking extension of time in holding of AGM with the concerned Registrar of Companies on or before <strong>29th September, 2020.</strong></p>
<p>Further, MCA has advised Registrar of Companies to consider all such applications (filed in Form No. GNL-1) liberally in view of the hardships faced by the stakeholders and to grant extension for the period as applied for (<strong>upto 3 months</strong>) in such applications.</p>

				<content:encoded><![CDATA[<p>MCA vide General Circular dated 17th June, 2020 has introduced Scheme for relaxation of time for filing forms related to creation or modification of charge i.e CHG-1 and CHG-9 under the Companies Act, 2013(the “Act”). The salient features of the scheme are as follows:</p>

<td width="300">Date of creation and modification of charge falls on any date between 1-Mar-20 to 30-Sep-20 (both dates inclusive).</td>
</tr>
<tr>
<td width="143"><strong>Relaxation of time</strong></td>
<td width="282">The period beginning from 1-Mar-20 and ending on 30-Sep-20  shall not be reckoned for the purpose of counting the number of days under section 77 or section 78 of the Act i.e 120 days from creation/modification.</td>
<td width="300">The period beginning from the date of creation/ modification of charge to 30-Sep-20 shall not be reckoned for the purpose of counting of days under section 77 or section 78 of the Act i.e 120 days from creation/modification.</td>
</tr>
<tr>
<td width="143"><strong>Applicable Fees</strong></td>
<td width="282">1. If the form is filed on or before 30-Sep-20, the fees payable as on 29-Feb-20 shall be charged.</p>
<p>2.  If the form is filed thereafter, the fees shall be charged after adding the number of days beginning from 01-Oct-20 and ending on the date of filing plus the time period lapsed from the date of the creation of charge till 29-Feb-20.</td>
<td width="300">1. If the form is filed before 30-Sep-20, normal fees shall be payable.</p>
<p>2. If the form is filed thereafter, the first day after the date of creation/modification of charge shall be reckoned as 01-Oct-20 and the number of days till the date of filing of the form shall be counted for the purposes of payment of fees.</td>
</tr>
<tr>
<td width="143"><strong>Non- Applicability</strong></td>
<td colspan="2" width="582"><strong>The scheme is not applicable on:</strong></p>
<p>1. CHG-1 and CHG-9  already been filed before the date of issue of this Circular.</p>
<p>2. The timeline for filing the form has already expired under the Act prior to 1-Mar-20.</p>
<p>3. The timeline for filing the form expires at a future date, despite exclusion of the time provided i.e after 30-Sep-20</p>
<p>4. Filing of Form CHG-4 for satisfaction of charges</td>

				<content:encoded><![CDATA[<p>MCA vide “News and Important Updates” extends the timelines further for names reserved and resubmission of different forms of Companies and Limited Liability Partnerships falling between the period from  <strong>15<sup>th</sup> March, 2020 to 31<sup>st </sup>May, 2020</strong>.</p>
<p>The extension provided are as follows:</p>
<p><u>Companies:</u></p>
<ul>
<li>Filing of SPICe+ Part B after Name Reservation for new Company Incorporation- <strong>additional 20 days beyond 31<sup>st</sup> May 2020.</strong></li>
<li>Filing of INC-24 after Name Reservation for change in name of any existing Company-<strong>additional</strong> <strong>60 days beyond 31<sup>st</sup> May 2020</strong></li>
<li>Resubmission of e-Forms- <strong>additional 15 days beyond 31<sup>st</sup> May 2020.</strong> However, for SRNs already marked under NTBR, extension would be provided on case to case basis.</li>
</ul>
<p><u>Limited Liability Partnership:</u></p>
<ul>
<li>Filing of FiLLiP/Form 5 be filed within 90 days of name reservation- <strong>additional 20 days beyond 31st May 2020.</strong></li>
<li>Resubmission of e-Forms- <strong>additional 15 days beyond 31st May 2020.</strong> However, for SRNs already marked under NTBR, extension would be provided on case to case basis.</li>
<li>Filing e-Verification Report (for both Normal as well as Resubmission filing) in IEPF-5 falls between 15th March 2020 to 31st May 2020- <strong>till 30th September, 2020. </strong>However, for SRNs already marked under ‘Pending for Rejection u/r 7(3)’ and ‘Pending for Rejection u/r 7(7)’, extension would be provided on case to case basis.</li>

				<content:encoded><![CDATA[<p>MCA vide circular dated 11th May, 2020 clarifies that inability to dispatch the notice by Listed Companies to their shareholders through registered post or speed post or courier would not be viewed as violation of section 62(2) of the Act provided that they comply with the Circular issued by SEBI on 6th May, 2020.</p>
<p>Further, SEBI vide circular SEBI/HO/CFD/DIL2/CIR/P/2020/78 dated 6th May, 2020 has provided one time relaxations from strict enforcement of certain regulations of SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018 pertaining to Rights Issue opening <strong>upto July 31, 2020.</strong></p>
<p><strong>Some of the key points of relaxations provided are as follows:</strong></p>
<ol>
<li>Abridged letter of offer, application form and other issue material to shareholders may be served by electronic transmission as provided under Regulation 77(2) of the ICDR Regulation  and failure to adhere to modes of dispatch through registered post or speed post or courier services will not be treated as non-compliance.</li>
<li>Issuer company shall take adequate steps to reach out its shareholders through means such as ordinary post or SMS or audio-visual advertisement on television or digital advertisement, etc</li>
<li>The issue related advertisement shall contain additional details specifying  the manner in which the shareholders who have not been served notice may apply for the same electronically</li>
<li>An application for a rights issue shall be made only through ASBA facility(Applications Supported by Blocked Amount) as provided under Regulation 76 of the ICDR Regulations</li>

<p>Further, other than ordinary business, only those items of special business, which are considered to be unavoidable shall be transacted at such meeting. Also, procedures have been provided specifying the manner of dispatch of Financial Statements, Issue of Public Notice, Registration of e-Mail Ids, Distribution of Dividend etc.</p>

<p>Every Director appointed as an Independent Director in a Company on the date of commencement of the Companies (Appointment and Qualification of Directors) Fifth Amendment Rules, 2019 i.e. 1<sup>st</sup> December, 2019 can apply online for inclusion of his name in the Data Bank of Independent Directors <strong>within 7 months</strong> from 1st December, 2019.</p>
<p>Earlier, the time period provided for the same was <strong>within 5 months</strong> from 1<sup>st</sup> December, 2019.</p>
