Today via press release, AT&amp;amp;T announced that they have reached a deal with Deutsche Telekom to purchase T-Mobile USA for $39 billion â&quot; $25 billion in cash and $14 billion in stock giving Deutsche Telekom an 8% stake in AT&amp;amp;T.  According to AT&amp;amp;Tâs press release, they look to expand their LTE footprint with T-Mobileâs AWS 1700MHz band along with their own 700MHz band.  &lt;/p&gt; &lt;p&gt;Now donât go crying just yet T-Mobile fans.  Just because AT&amp;amp;T gobbled up Centennial and regurgitated their own sub-par offerings doesnât mean come Monday morning your own network and customer service is going to go from A+ to bouncing off Hellâs gates.  The buyout that AT&amp;amp;T is pursuing will effectively create a GSM monopoly in the U.S. (far from the âcompetitionâ AT&amp;amp;T boasts in their lengthy press release).  As such, expect heavy government scrutiny over the next 12 months (the estimated time it will take to cut through all of the red tape) along with plenty of questions from concerned consumers and politicians alike.&lt;/p&gt; &lt;p&gt;Itâs kind of ironic.  Several years back, AT&amp;amp;T was forcefully broken up by the government because they were too big and stifling competition.  Over the last few years, AT&amp;amp;T has been picking up a ton of small companies here and there, slowly but surely growing back into the giant they once were.  Could we be approaching another instance in which government intervention is needed?&lt;/p&gt; &lt;p&gt;T-Mobile fans: What do you think? The U.S. is one of the few countries in the world where a large majority of consumers can choose from five or more wireless providers in their local market. For example, in 18 of the top 20 U.S. local markets, there are five or more providers. Local market competition is escalating among larger carriers, low-cost carriers and several regional wireless players with nationwide service plans. This intense competition is only increasing with the build-out of new 4G networks and the emergence of new market entrants.&lt;/p&gt; &lt;p&gt;The competitiveness of the market has directly benefited consumers. Expansion of AT&amp;amp;Tâs 4G LTE network is an important foundation for the next wave of innovation and growth in mobile broadband, ensuring the U.S. continues to lead the world in wireless technology and availability. It makes T-Mobile USA, currently a German-owned U.S. telecom network, part of a U.S.-based company.&lt;/p&gt; &lt;p&gt;An impressive, combined workforce&lt;/p&gt; &lt;p&gt;Bringing AT&amp;amp;T and T-Mobile USA together will create an impressive workforce that is best positioned to compete in todayâs global economy. Post-closing, AT&amp;amp;T intends to tap into the significant knowledge and expertise held by employees of both AT&amp;amp;T and T-Mobile USA to succeed. AT&amp;amp;T is the only major U.S. wireless company with a union workforce, offering leading wages, benefits, training and development for employees. The combined company will continue to have a strong employee and operations base in the Seattle area.&lt;/p&gt; &lt;p&gt;Consistent with AT&amp;amp;Tâs track record of value-enhancing acquisitions&lt;/p&gt; &lt;p&gt;AT&amp;amp;T has a strong track record of executing value-enhancing acquisitions and expects to create substantial value for shareholders through large, straightforward synergies with a run rate of more than $3 billion, three years after closing onward (excluding integration costs). The value of the synergies is expected to exceed the purchase price of $39 billion. Revenue synergies come from opportunities to increase smartphone penetration and data average revenue per user, with cost savings coming from network efficiencies, subscriber and support savings, reduced churn and avoided capital and spectrum expenditures.&lt;/p&gt; &lt;p&gt;The transaction will enhance margin potential and improve the companyâs long-term revenue growth potential as it benefits from a more robust mobile broadband platform for new services.&lt;/p&gt; &lt;p&gt;Additional financial information&lt;/p&gt; &lt;p&gt;The $39 billion purchase price will include a cash payment of $25 billion with the balance to be paid using AT&amp;amp;T common stock, subject to adjustment. AT&amp;amp;T has the right to increase the cash portion of the purchase price by up to $4.2 billion with a corresponding reduction in the stock component, so long as Deutsche Telekom receives at least a 5 percent equity ownership interest in AT&amp;amp;T.&lt;/p&gt; &lt;p&gt;The number of AT&amp;amp;T shares issued will be based on the AT&amp;amp;T share price during the 30-day period prior to closing, subject to a 7.5 percent collar; there is a one-year lock-up period during which Deutsche Telekom cannot sell shares.&lt;/p&gt; &lt;p&gt;The cash portion of the purchase price will be financed with new debt and cash on AT&amp;amp;Tâs balance sheet. AT&amp;amp;T has an 18-month commitment for a one-year unsecured bridge term facility underwritten by J.P. Morgan for $20 billion. AT&amp;amp;T assumes no debt from T-Mobile USA or Deutsche Telekom and continues to have a strong balance sheet.&lt;/p&gt; &lt;p&gt;The transaction is expected to be earnings (excluding non-cash amortization and integration costs) accretive in the third year after closing. Pro-forma for 2010, this transaction increases AT&amp;amp;Tâs total wireless revenues from $58.5 billion to nearly $80 billion, and increases the percentage of AT&amp;amp;Tâs total revenues from wireless, wireline data and managed services to approximately 80 percent.&lt;/p&gt; &lt;p&gt;This transaction will allow for sufficient cash flow to support AT&amp;amp;Tâs dividend. AT&amp;amp;T has increased its dividend for 27 consecutive years, a matter decided by AT&amp;amp;Tâs Board of Directors.&lt;/p&gt; &lt;p&gt;Conditions&lt;/p&gt; &lt;p&gt;The acquisition is subject to regulatory approvals, a reverse breakup fee in certain circumstances, and other customary regulatory and other closing conditions. According to reports from the Independent, Apple is waiting on clearer standards as well as waiting for their own NFC technology to mature before they make their move.  Appleâs NFC technology would unsurprisingly revolve around iTunes for the exchange of cash.&lt;/p&gt; &lt;p&gt;Similar rumors pegged the iPad 2 as debuting with NFC technologies as well.  Though as weâve all seen, such rumors never quite came to fruition, as the iPad 2 is NFC-less.  With projected sales of NFC payments slated to hit â¬110bn by 2015, itâs definitely in every mobile manufacturer and cellular providersâ best interests to get a grip on this technology sooner rather than later. Furthermore, the Best Buy manager also re-iterated that Verizonâs LTE plans will cost the same as their current 3G plans. &lt;/p&gt; &lt;p&gt;Weâve heard both ways concerning Verizonâs LTE data plans being more expensive/the same as their current plans. CES was full of dozens upon dozens of tablets from various manufacturers across the globe.  While most were nothing special, certain devices caught our attention.  One such device is the Motorola XOOM tablet.  Boasting a dual-core 1GHz Nvidia Tegra 2 processor, 1GB of RAM, 1200 x 800 10.1â³ display, 1080p video playback and output, and Android 3.0.  Clearly, this tablet means business.  It certainly looks nice with its sleek edges and weighted, yet pleasant feel.  But is it really $800 good?  For that, we need more space, more words, and a little more of your time.  Hop on past for the full reviewâ¦&lt;/p&gt; Physical Design &lt;p&gt;Thereâs no denying that the Motorola XOOM is a sleek device.  The cold, dark metals bring a sense of strength and power.  At first, the added weight (730g vs. iPadâs 601g) was a slight turn off.  But over the course of 24 hours we actually came to enjoy it.  &lt;/p&gt; &lt;p&gt;When we say that XOOM is sleek, we mean it.  There arenât many openings in the sides of the device.  Starting at the top and moving clockwise we have a sole SIM card slot and headphone jack.  Moving to the right side reveals a sparse, barren wasteland of black that seems to go on for miles, eventually leading to the next corner.  Down below is where the action happens â&quot; it is here youâll find the XOOMâs microUSB and miniHDMI ports as well as contacts for a dock accessory.  Swing âround to the left and final side, a pair of volume up/down buttons signal that the end of the journey is near.  If you consider the back in your voyage, youâll find the XOOMâs 5-megapixel rear-camera w/ flash and two speaker cutouts.  The speaker, for those who care, is loud â&quot; as in really loud. Itâs one of the higher resolution screens on the market (higher than iPad 2), features decent viewing angles, and most importantly, is a joy to gaze at.  &lt;/p&gt; &lt;p&gt;Overall, the hardware itself is nice.  Itâs sleek, one of the most powerful tablets on the market, and has a nice, weighty feel to it.&lt;/p&gt; Performance &lt;p&gt;If you had any doubts about single-core 1GHz tablets of 2010, you can be sure that the tablets of 2011 and beyond are completely different machines.  Dual-core (now) and quad-core (later) are quickly relegating the typical desktop PC into much smaller parts of our lives.  The Motorola XOOM is a perfect example of how a tablet should be hardware wise â&quot; 1GHz dual-core processor.  &lt;/p&gt; &lt;p&gt;And yet, with all of that power system slow downs, lag, and other stutter problems were seen throughout the OS numerous times.  Even something as simple as scrolling to the bottom of an email list (with no other apps running) served up rather copious amounts of lag and choppy scrolling.  From a bleeding edge tablet with bleeding edge hardware, this is worrisome and disappointing.  A first generation iPad with half the memory and cores manages to operate more smoothly through a variety of similar instances without any noticeable lag.  &lt;/p&gt; &lt;p&gt;The only thing we can lay blame on is Android 3.0 not being perfectly optimized for this tablet.  Hopefully future iterations of 3.x can improve upon this apparent speed issue.&lt;/p&gt; &lt;p&gt;With that opening story, youâd think that everything about the XOOM was slow.  But itâs not.  More times than not, transitions from screen to screen and app to app were smooth and lightening quick, adding a bit of disbelief and confusion regarding the lag we had been seeing.  How could something so powerful perform so well in one instance, and then something as simple as a scrolling list of text get so out of hand?  Moving on, the camera and video capture/playback was notable for itâs 720p nature, though not immediately apparent.  Video/photo buffs: you wonât be giving up your dedicated gear anytime soon.&lt;/p&gt; Android 3.0 &amp;amp; Apps &lt;p&gt;&lt;img src=&quot;http://gadgetsteria.com/wp-content/uploads/2011/03/honeycomb-300x175.png&quot; alt=&quot;&quot; title=&quot;honeycomb&quot; width=&quot;300&quot; height=&quot;175&quot; class=&quot;alignleft size-medium wp-image-49184&quot; /&gt;It certainly goes to say that a hardware device is only as good as the software that it runs (or vice versa).  With that said, I love Android 3.0.  It finally looks polished.  The designers really put in a lot of wrench time getting everything to look nicer, mesh more seamlessly, and just work better overall.  &lt;/p&gt; &lt;p&gt;However, the new shiny paint and eye candy donât come without one serious drawback â&quot; lack of apps.  This is more of a problem with tablets and their higher resolutions in general than it is with Android 3.0 not working with an older app.  Nevertheless, thereâs something very frustrating and disappointing in the fact that there are only a laughable 16 &lt;b&gt;total&lt;/b&gt; tablet apps in the Android market.  Today.  In 2011.  If this were the first Android tablet, I could understand that.  At the very least though, the Samsung Galaxy Tab should have gotten developers and Googlesâ collective efforts on track.  As it stands now, the hardware and software of Android are top notch.  The lack of 3rd party software at launch is not.&lt;/p&gt; &lt;p&gt;Building on that last paragraph of disdain, we must stress how at this stage in the game, the XOOM excels at web browsing and a few select apps.  Thatâs it.&lt;/p&gt; Music Player and Gallery &lt;p&gt;Perhaps not deserving of its own section to some, many Android and non-Android consumers alike will agree that the stodgy gallery and media player was in dire need of a re-design.  Android 3.0 delivers with a new media player that is simply gorgeous.  Scrolling through your library can now be done via a Cover Flow-esque method that in our eyes, blends in a bit of Windows 7â²s design flare to boot.  Listening to music and watching video is now more bearable that the respective apps have caught up.  &lt;/p&gt; Verizon 3G (and 4G) &lt;p&gt;Verizonâs network has been tested with every phone review, so thereâs no need to beat the skeletal remains of the poor horse.  With that said, we must admit we are excited for LTE capabilities in the XOOM.  We are not fans of Motorolaâs half-baked attempt to rush the XOOM to market with only 3G radios inside, and requiring users to ship said tablet back to them to swap in an LTE radio.  Even worse, the process takes an entire week from start to finish.  Motorola does regain some points though as the LTE upgrade is completely free of charge. &lt;/p&gt; Battery life &lt;p&gt;On a more positive note, battery life is one aspect of the XOOM that really left me surprised.  All too often a great piece of hardware is marred by abysmal runtime whilst away from a power outlet.  The first gen iPad uses a single core A4 processor running at ~1GHz.  The XOOM  uses a dual-core Tegra 2 processor by Nvidia also running at 1GHz.  Twice the cores twice the power consumption, right?  Wrong.  In fact itâs very wrong.  The last time we had the XOOM plugged in was yesterday at 4pm and with 95% battery remaining.  Today (the next day to us) roughly 19 hours later (and after a multi-hour gaming/web browsing session the night before) our XOOM is still showing 33%.  WiFi and 3G are on and the last 6 hours have been spent in a virtual wireless pit meaning both radios are crying out for some wireless lovinâ.  &lt;/p&gt; &lt;p&gt;Impressed and excited: Thatâs the Motorola XOOMâs battery life.  &lt;/p&gt; Conclusion: Should you buy it? &lt;p&gt;This is a hard decision for a number of reasons.  For starters, the XOOM costs $800 off contract, which to us is absurd.  $500 on contract is a bit more manageable, but then youâre left to deal with a cellular contract for the next two years â&quot; also not ideal.  Compare this to the iPadâs starting price of $499 for the 16GB iPad and you can see where this is going.  The iPad has over 12,000 iPad apps â&quot; exponentially more than Android.  Though at the same time, itâs understood that the same app explosion that happened for smartphone Android apps will happen for tablets too.  Time is the only question at this point.  &lt;/p&gt; &lt;p&gt;Another thing to consider is your preferences for either OS: Android or iOS.  Both are visually dynamic (Android 3.0 at least) and rich.  Android is more customizable and âin the usersâ handsâ  whereas the iPad is more of a hands off approach in the same category.  The iPad has more apps to entertain you for when the internet, movies, and music get boring.  &lt;/p&gt; &lt;p&gt;Accessories play a big roll in deciding larger electronic purchases such as this, and even more so if youâre opting for the VZW-subsidized XOOM.  Tablets look like theyâll stick around a bit longer than your typical smartphone (which is ~18 months), and as such accessories will play a deciding factor.  There will soon be two different physical models of iPad by the end of 2011.  Android tablets: dozens.  &lt;/p&gt; &lt;p&gt;Another thing to consider is the whole 4G/LTE mail-in thing.  It would have been much better for Motorola to hold off on shipping the XOOM until all the hardware was in place, as these buy it â&quot; ship it back for upgrades â&quot; return are far from ideal.  Motorola does do right however, and is making the LTE upgrade free.&lt;/p&gt; &lt;p&gt;In the end, we come away from our time with the XOOM on the fence.  It is hands down the best looking and performing Android tablet to date.  It showcases everything that is awesome within Android 3.0 and some things that are not.  The hardware itself is powerful, and yet lag and slow downs still crop up here and there more than they should, signaling to us a misstep somewhere in the hardware or software.  &lt;/p&gt; &lt;p&gt;So where does that leave us now?  On the fence, really.  If you want the honest truth: Wait.  There will be many more Android 3.0 tablets to launch this year, and all are pinning for your money.  In actuality, it all keeps coming back to apps.  The lack of 3rd party âthings to doâ really shortens the amount of time you can hold the XOOM before getting bored.  In 6 months, that story could be very different.  Of course, in 6 months weâll already be on to the next âbig thingâ.  Such is the way the consumer electronics world works.  &lt;/p&gt; Like &lt;ul&gt;&lt;li&gt;Higher resolution display than competitors&lt;/li&gt; &lt;/ul&gt;Donât Like &lt;ul&gt;&lt;li&gt;Lag and system slow downs despite uber fast processor&lt;/li&gt; &lt;/ul&gt;&lt;ul&gt;&lt;li&gt;high price (for 3G/4G version)&lt;/li&gt; &lt;/ul&gt;&lt;ul&gt;&lt;li&gt;Having to mail in XOOM to gain LTE support&lt;/li&gt; &lt;/ul&gt;&lt;p&gt;*If you have any specific questions, feel free to drop a line in the comments below and weâll do our best to accommodate youâ¦&lt;/p&gt; &lt;p&gt;**Yes, We left the shipping screen protector on. Â With an introduction of sales over the last year looking relatively strong and bragging about the number of iPad apps versus Honeycomb apps it seems Steve Jobs is in a great mood this morning. Â &lt;/p&gt; &lt;p&gt;An interesting note that autistic children even use the Â iPad and âWeâre not curing Autism, but itâs helping.â Â With the introduction of the iPad2 and its new Dual Core CPU â&quot; A5 which will improve the following:&lt;/p&gt; &lt;ul&gt;&lt;li&gt;2x faster CPU&lt;/li&gt; &lt;li&gt;9x faster graphics&lt;/li&gt; &lt;li&gt;Same low power as A4&lt;/li&gt; &lt;/ul&gt;&lt;p&gt;The size of the iPad will also be deminishing, making it 33% thinner and lighter while adding a front facing video camera it will be the first dual core tablet to ship in volume. Â A Gyroscope that is in the iPhone and iPod touch will also be included in the mix. Boasting both colors and availability on AT&amp;amp;T and Verizon what more could you ask for. Â Possibly 10 hours of battery life and over a month of standby time? Â Well that is included too. The iPad2 will also be able to hold a candle to the previous price standing at $499 (WiFi only @ 16GB) â&quot; $829 (WiFi + 3G @ 64GB). The shipping date of March 11th will make a lot of Apple fans excited and looking to empty their piggy banks to grab this exciting new device. Â An additional feature will be to output HDMI with one of Apple special new cables retailing at $39. Â Apple is also releasing a more magical âcoverâ for the iPad2 â&quot; A flap that will cover the front of the screen with the ability to turn it off when covered and turn the device on when lifted off and is held in place using magnets. Â The cases will retail from $39 â&quot; $69 based on if you choose poly or leather.&lt;/p&gt; Updates On iOS 4.3 &lt;p&gt;Scott Forstall came out and boasted the next release of iOS 4.3 touting increased Safari performance using the Nitro JavaScript engine. Â Accompanying this is iTunes home sharing â&quot; delivering all of your media over the air using your Apple TV as the output device. Â 4.3 will also allow for a personalÂ hot spotÂ unfortunately only for the iPhone 4. Â It will also support Photo Booth on the iPad2. Â FaceTime will also be added to iOS update giving the ability to FaceTime with an iPod, iPhone, Mac Â or iPad. Â Its looking like the release of iOS 4.3 will also be March 11th so mark your calendars.&lt;/p&gt; &lt;p&gt;iMovie will also be included in the bundle for iPad owners and will include all of the warm and fuzzies like Precision editor, multi-track audio and new themes. Â The price for this app which is available March 11th will be $4.99. Garageband will be the second piece of bundled software to hit the iPad. Â Boasting Touch instruments, guitar amps and effects, 8 track recording and mixing, 250+ loops and the ability to email an AAC copy of your song its possible to keep everyone up to date on what your working on. Â With the exact price as iMove as well as the same release date people will be clamoring to start up their own garage bands.&lt;/p&gt; &lt;p&gt;With a lot of focus on the iPad2 and the next iOS release it seems that Apple has closed the mouths of most nay sayers when comparing the next generation of the iPad to the coming soon products from the major labels. Â It looks as though the next wave of iPads will be in the consumers hands way before competitors like the Xoom will be able to hit a million sold. Â Whether or not it will surpass what is to come later this year will be for you to let us know. TRIM support, for those who arenât familiar with the term, is a system in which the SSD is maintained by efficiently removing garbage (ie: old data), so that id doesnât hamper the writing of new data.  In Windows, pre-TRIM SSDs slow down considerably as the drive fills.  &lt;/p&gt; &lt;p&gt;How bad has it been in OS X without TRIM?  Apparently not too bad according to this Bit-tech article in which they look at SSDs in the current generation MacBook Air.  Their findings were that SSD performance is more or less the same even after strenuous usage.  Part of this, they speculate, could be because OS Xâs use of HFS+ is more efficient at garbage collection, or, TRIM is supported in some type of fashion under the surface.&lt;/p&gt; &lt;p&gt;Whatever the case may be, gaining official TRIM support certainly canât hurt.  The only sour point we see at this time is that it appears that Apple is only supporting TRIM for in-house SSDs shipped with Apple hardware â&quot; not third party SSDs.  Though given how Apple operates their business, this move isnât entirely all too surprising.
