			<content:encoded><![CDATA[<p></p><p>Worldscreen&#8217;s Mansha Daswari <a href="http://worldscreen.com/articles/display/23212" target="_blank">reported yesterday</a> that Scripps Networks Interactive has &#8220;triumphed in the bidding war for Travel Channel, acquiring a 65-percent stake in a deal that values that lifestyle cable network at $975 million.&#8221;  This is probably good news for the Travel Channel brand, since Scripps knows how to build a great brand. They know how to reach the highly-prized 18-35 demographic, too. But this is probably bad news for independent producers and content suppliers, because the Scripps model is to retain copyrights and worldwide distribution rights to all media and all platforms for themselves.  That is to say, if you want to do a work-for-hire for the Travel Channel, call them.  But if you want a co-production partner or someone to acquire something you have already produced, you can go ahead and remove them from your rolodex.</p>

			<content:encoded><![CDATA[<p></p><p>As of this writing, we have 1,240 subscribers to the <a href="http://www.youtube.com/jansonmedia" target="_blank">JansonMedia Channel on YouTube</a>. Our channel itself has been viewed over 53,000 times, and our programs and trailers (over 300 titles at present) have achieved over five million views collectively.</p>
<p>Trailers of our programs are available on the channel. So are the programs themselves.<span id="more-1193"></span> Some of our producers wonder why we are showing our full programs. Their logic seems to be that if a full program is available on the web, then no one will buy the DVD.  We disagree. When programs air on traditional linear television channels (cable, satellite or broadcast), DVD sales only increase.  Why would the same not be true of programs &#8220;airing&#8221; on the web?</p>
<p>The next technology format, or platform, always causes fear and trepidation among content owners. When VCRs first appeared, the initial theory was that since consumers could tape programs &#8220;off the air,&#8221; they would never again need to buy them on VHS. This may have been the case for some Disney movies, but it was never the case for documentaries or special-interest content.  In fact, the opposite was true, because the television broadcasts quickly became a promotional platform for the packaged, pre-recorded content. Whether the television network or channel paid to license a program or acquired it for free, the effect was the same &#8212; additional publicity and awareness for the program. The same is true of the internet.</p>
<p>Viewers of<em></em> online <em>streaming </em>(not <em>downloadable</em>) content are very different from traditional linear television viewers. And neither<em> lean-back</em> linear TV viewers or<em> lean-forward</em> web viewers watch what they watch <em>instead</em> of buying DVDs. If the consumer who watches internet video is not a DVD consumer, the program has attracted another view, just as if it had aired on a linear TV channel. If that web viewer is also DVD consumer, he or she now knows about the program and they can surf over to our website or to amazon.com to buy it.</p>

			<content:encoded><![CDATA[<p></p><p>Q. Why do we ask our producers or program suppliers to contribute a Co-op Marketing Fee during the first year of distribution?</p>
<p>A. Because we want them to have <em>skin in the game.</em></p>
<p>The expression comes from legendary investor Warren Buffett, who coined the term to refer to a situation in which high-ranking insiders use their own money to buy stock in the company they are running.<span id="more-1163"></span> For us, it simply means we want our producers and program suppliers to have a <em>stake</em> in the business relationship with us. We want them to be <em>invested along with us,</em> in the distribution of their content.</p>
<p>If not, it&#8217;s just too easy for them to sign an agreement and then leave us hanging without the necessary tools to do the job. Too often, we have signed distribution agreements only to have the producers fail to deliver transcripts, music cues, or even the high-rez images we need to design promotional materials for their content. Too often we have signed distribution agreements only to have producers fail to deliver acceptable broadcast-quality videotape masters when we need them to service a deal.</p>
<p>With skin in the game, our producers become true partners. We don&#8217;t ask for much. We still make <a href="http://www.janson.com/media/2009/01/04/promotion-marketing-investment/">the majority investment in promotion and marketing</a>. But we no longer offer distribution<em> for free.</em> The content distribution business has become too expensive in recent years, the rights issues too complex. Too many independent distributors and producers have folded up their tents and gone home. It has been a buyer&#8217;s market for a decade, and it&#8217;s fast becoming a commodity business. We need great content to survive, and we need a lot of it, but more than that we need producers and content suppliers who are willing to be true partners.</p>

<p>One of the truest aphorisms around, but a lot of folks go through life thinking otherwise.</p>
<p>International program distribution is no different.</p>
<p>A lot of producers think they can do it all themselves, and keep the 30% commission for themselves. They think the distribution game is easy. How hard can it be compared to producing? It&#8217;s just <em>sales</em>, right?</p>
<blockquote><p>So our story begins with <em>that guy,</em> a talented and enterprising Producer with a really terrific new [special/series/documentary].<span id="more-1123"></span> We would like to handle the distribution for him and make some money for us both, but he decides he can do it all by himself.  So he spends a few hundred dollars to design and print a snazzy flyer, buys a round-trip plane ticket to Nice, France, and registers as a Participant for MIPTV or MIPCOM. He shows up with a Participant&#8217;s Badge and a MacBook and a shoulder bag full of four-color flyers and DVD screeners, ready to set the world on fire.  He schedules a few meetings in the Participants&#8217; Club or the Buyer&#8217;s Lounge and hey, what do you know, our Producer is doing business in Cannes!  On the Riviera!  How cool is this!</p>
<p>Our Producer scatters his flyers around the Palais des Festivals in all the right places and hopes they&#8217;re seen by the executives who have budgets to spend. He even spends a few hours putting the flyers in all the buyers&#8217; mailboxes in the Buyer&#8217;s Lounge (not realizing that the buyers don&#8217;t even know they have mailboxes in the Buyer&#8217;s Lounge and wouldn&#8217;t go there to check them if they did know).  Because maybe by now our Producer realizes that <em>Sellers</em> at MIPTV and MIPCOM need <em>a Stand to sell from </em>(complete with tables to sit <em>at</em> and a chairs to sit <em>on</em>).  That the <em>Buyers</em> roam the hallways of the Palais and cannot be found at their own network&#8217;s stands (because that is where their own network&#8217;s <em>Sellers</em> spend <em>their</em> days). Maybe our Producer even realizes by now that the <em>Buyers</em> don&#8217;t really want to meet with <em>Producers</em>&#8230; in fact,<em> nobody does. </em>The Buyers want to meet with Distributors they know and trust, and the Distributors want to meet with the Buyers they know have budgets and checkbooks, so as to make their obscenely expensive investment in renting a Stand at MIPTV or MIPCOM pay off.</p>
<p>So perhaps by now, a few thousand Euros later, our enterprising Producer with the really terrific new [series/special/documentary] has it figured out.  It wasn&#8217;t so easy after all&#8230; but no, wait, our Producer returns home to find a few emails in his inbox requesting screeners of his [series/special/documentary], and even an actual offer or two!  (&#8220;I <em>can</em> do it all by myself!&#8221;)</p>
<p>Well&#8230; in order to close those deals, our Producer realizes soon enough that he will need to spend $400 or $500 to talk to a professional consultant on the phone who will tell him if he is getting treated fairly or not (or he&#8217;ll spend hours on the web trying to figure it out on his own). He realizes he needs a lawyer at $600 an hour to evaluate the 20-page contracts (but he&#8217;ll try to do this himself too).  Then he realizes that he needs to spend a few thousand dollars to get music cue sheets and transcripts done (he&#8217;ll try to hire unpaid interns to do this too). Finally he realizes that he needs to bring back the editor and use the editing room again to get the textless material placed properly at the end of his texted masters, and maybe his audio tracks aren&#8217;t configured the right way, and oh yeah, he need to spend thousands more to get all of his episodes converted to PAL.  And what&#8217;s this about E&amp;O insurance?</p>
<p>Our story ends here&#8230;</p></blockquote>
<p>And so, this is why we do business the way we do.</p>
<p>This is why our fees are what they are, and why our contracts and our promotional and marketing expenses are structured the way they are. Because we have been doing this for two decades, and we know how to do it.</p>
<p>You can try the distribution game yourself.  Or you can probably find other distributors who will charge a lower commission than we do.  Some won&#8217;t charge you a Co-op Marketing Fee, and some won&#8217;t even recoup promotion and marketing expenses.  Many will never even ask you if you have all the deliverables they will need to service a deal.  Just remember&#8230;</p>

It is described by <a href="http://www.kidsafefilms.org/index.html" target="_blank">KidsSafeFilms.org</a> as &#8221;              smart, common sense legislation which gives parents the ability               to protect their kids while respecting the First Amendment.&#8221; <span id="more-1003"></span>The bill is co-authored by Congressman Heath Shuler (D, NC) and Congressman               Walter Jones (R, NC).  Consider supporting the grassroots organization <a href="http://www.kidsafefilms.org/index.html" target="_blank">KidsSafeFilms</a> if you are concerned about the disgusting level of violent images to which our children are routinely exposed on inflight movies.  Feature films are supposed to be &#8220;edited for family viewing&#8221; on publicly-viewable screens for inflight airline exhibition. Clearly, these editors don&#8217;t have children of their own.</p>

			<content:encoded><![CDATA[<p></p><p><strong>Producers and content suppliers will want to make a careful comparison between the Deliverables for a Distribution Agreement and the Deliverables for a Content Management Agreement.</strong><span id="more-829"></span></p>
<p>The Deliverables for a Distribution Agreement are described in another post. Read it <a href="http://www.janson.com/media/2009/01/03/deliverables/">here</a>. <em>They will require a substantial investment on the part of the content supplier.</em></p>
<p>For a Content Management Agreement, the supplier need only provide us with the following marketing and promotional tools:</p>
<ul>
<li>Copyable DVD-R of the entire Program (if a special), or of two representative episodes (if a series), or of the Rough Cut (if a projects in production).</li>
<li>MPEG4 file of Program Trailer (or of a 5-minute “Show Open” if a trailer does not exist). The file should be encoded at a data rate of 2000KBPS (2MBPS) and a full window size (640 x 480).</li>
<li>MPEG4 file of the completed program or three representative episodes (if a series). The file should be encoded at a data rate of 2000KBPS (2MBPS) and a full window size (640 x 480).</li>
<li>400-word description of the Program or Series.</li>
<li>50-word synopsis of the Program or Series.</li>
<li>Episode List (if a series).</li>
<li>List of awards and review quotes, if available.</li>
<li>One JPEG image file (minimum 300 dpi, 5” x 7”) of your “Key Art” (eg. title treatment graphic). The file should be a Photoshop file with all layers intact.</li>
<li>8.5 x 11” flyer: 200 copies for market and followup distribution. Flyers must include our contact information and a Janson Media logo (available for download from our <a href="http://www.janson.com/wp/logos/">Pressroom</a>). [Our graphic design team is available to design and print a flyer if none exists, at an additional cost.]</li>

			<content:encoded><![CDATA[<p></p><p>Producers or content creators who are <em>only</em> interested in having us release their title on DVD in North America, (and not entering into a distribution agreement for overall rights licensing) would sign an exclusive DVD License &amp; Publishing Agreement with us.<span id="more-523"></span> Our agreement is industry-standard.  We become the exclusive manufacturer of the DVD (we do not buy DVDs at wholesale). Our royalty rates are in the standard 10%-15% range. We report quarterly, and our license terms range from 5 to 7 years. We sometimes pay a conservative advance guarantee vs. royalties. We must have EST rights as well, as this sector (electronic downloads) is a growing part of our business.</p>

			<content:encoded><![CDATA[<p></p><p>There are, inevitably, some costs associated with the servicing of license agreements in the global content distribution business. Such as&#8230;<span id="more-515"></span></p>
<p><strong>Videotape Master Duplication<br />
</strong>Producers/suppliers must provide us with both NTSC and PAL masters for our Videotape Master Archive (see our <a href="http://www.janson.com/media/2009/01/03/videotape-masters/">Videotape Masters</a> post). We always ask our clients  to pay for videotape dubs/clones, but we don&#8217;t always win the negotiation on this point. Sometimes they will contribute to the cost but not pay all of it. Therefore,  when we must pay for dubs/clones, these costs are then deducted from royalties. We will never ask our clients to pay for conversions &#8212; as a distributor, we are expected to have both NTSC and PAL masters in our archives from which to make dubs or clones.</p>
<p><strong>Document Processing</strong><br />
More often than not, there are a variety of  international governmental withholding tax forms, consulate certifications, notarized copyright applications, and so on,which we need to complete when shipping masters into another country. We deduct $50 per hour plus fees paid, if any.</p>
<p><strong>Shipping &amp; Customs</strong><br />
Pricing for the international shipping of masters varies depending on destination, weight, shipping method, delivery time, etc. (Fortunately, transcripts, press kits, and music cues sheets are now usually delivered digitally via the internet.  Soon we hope program files will be delivered that way too.)</p>

			<content:encoded><![CDATA[<p></p><p>Licensors entering into <strong>distribution agreement</strong> with Janson Media must deliver the following videotape masters to us at the<span id="more-508"></span> commencement of the term of the agreement. Along with the other <a href="http://www.janson.com/media/2009/01/03/deliverables/">deliverables</a>, this is an <strong>investment</strong> that professional producers will make in their content if they expect to maximize their royalties, just as we will invest in the promotion and marketing of their content under the terms of a distribution agreement.</p>
<p>A first-generation protection master of the Program (or of every episode of the series) recorded on new Digibetacam videotape stock, properly labeled, and meeting the following specifications:</p>
<p style="padding-left: 30px;">The master must be seamless (no commercials or commercial blacks). The master should be texted (including any “lower-third” text/graphics) and should include, at the end of the tape after thirty seconds of black, textless cover shots of any material that is texted. The masters should have international audio tracks with audio track assignments as follows:</p>
<ol>
<li>Channel 1:  Full audio mix (full mix stereo left)</li>
<li>Channel 2:  Full audio mix (full mix stereo right)</li>
<li>Channel 3:  Full Mix Minus Narration (all music, natural sound and sound effects including synch-sound on-camera dialogue/on-camera interviews (this track lacks only the off-camera narration and any voiceover translation of on-camera foreign language interviews).</li>
<li>Channel 4:  Music &amp; Effects Only (Clean M&amp;E or True M&amp;E). This track includes only music and sound effect audio elements.  Effects include synchronous natural sound; nonsynchronous ambient audio recorded separately from video; and any other nonsynchronous contrived audio, either prerecorded, studio, or post sound effects, that is incorporated within the final full-mix track.  M&amp;E should be at Full Mix Levels and not Dip Mix Levels.  There should be no additional voices mixed on this track.</li>
</ol>
<p>The master(s) remain in our facility and will be used for duplication only, and remain(s) the property of the producer/supplier, and as such, will not leave our facility during the term of the distribution agreement.</p>

			<content:encoded><![CDATA[<p></p><p>Pursuant to signing a <a href="http://www.janson.com/media/distribution-agreement/">Distribution Agreement</a>, producers/content partners must supply us with the following <strong>deliverables</strong>, in <em>addition to <a href="http://www.janson.com/media/2009/01/03/videotape-masters/">broadcast-quality videotape masters</a>.</em> <strong> This is an investment that professional producers will make in their content </strong>if they expect to maximize their royalties, just as we will invest in the promotion and marketing of their content under the terms of a distribution agreement.<span id="more-504"></span></p>
<p>All items to be delivered either via FTP file transfer, or via a portable firewire hard drive (which will be returned). Smaller files can be delivered on discs, USB drives, or by e-mail.</p>
<ul>
<li>For specials (one-offs), <strong>25 DVDs</strong> of the complete Program. (If the Program has already been packaged for DVD release, the DVD copies should be of the fully-packaged version.)  For a series, 50 DVDs of three representative episodes, with all 3 episodes on one DVD.</li>
<li>A full-quality (640 x 480 pixel) <strong>MPEG4 file of the trailer</strong> of the Program, not longer than 5 minutes, at a minimum data rate of 2,000KBPS (or 2MBPS).</li>
<li>Full-quality (640 x 480 pixel) <strong>MPEG4 file(s) of the complete Program </strong>(or all of the episodes in the series, if a series), at a minimum data rate of 2,000KBPS (or 2MBPS).</li>
<li>One <strong>&#8220;Key Art&#8221; image</strong> &#8212; title graphic of the program (JPEG, 300 dpi approx. 5&#8243; x 7&#8243;). (This can be the DVD front cover design if one exists; this is the one image that will be used again and again to promote the program). <em>Photoshop files must have all separate layers.</em></li>
<li>A selection of no less than five (5) and no more than ten (10) <strong>high-resolution JPEG images</strong> from the Program, and in minimum dimensions of 5” x 7,” and at minimum resolutions of 300 dpi, with captions, and with rights cleared for publicity use.</li>
<li>A <strong>description</strong> of the Program, approximately 400 words.</li>
<li>A <strong>synopsis</strong> of the Program, approximately 50 words.</li>
<li>The designs and elements of any <strong>existing promotional materials</strong>. <em>Photoshop files must have all separate layers intact</em>.</li>
<li>A <strong>music cue sheet</strong>, in customary form setting forth for each musical composition contained within the Program, the title, type of use, duration of use and the names of the composer, lyricist, publisher, copyright proprietor and performing rights society.</li>
<li>The<strong> credit list</strong>, including all copyright information, and a list of all supered shots, lower third titles/identification and text graphics for the program.</li>
<li>A complete <strong>time-coded transcript</strong>, including narration and dialogue on camera.</li>
<li>A certificate naming Janson Media as an additional insured to your <strong>Errors &amp; Omissions Insurance</strong> (E&amp;O) policy. Additional certificates will need to be issued for our sublicensees, when requested by us.</li>
