Kuala Lumpur/Malaysia, Neu-Isenburg/Germany - LSG Sky Chefs (through LSG Asia GmbH) and Brahim's...

Kuala Lumpur/Malaysia, Neu-Isenburg/Germany - LSG Sky Chefs (through LSG Asia GmbH) and Brahim's Holdings Berhad (Brahims) have signed a share sale agreement for the sale of LSG Sky Chefs' (LSG) minority stake in the joint venture company Brahim's - LSG Sky Chefs Holdings Sdn Bhd to Brahims. The agreement is subject to respective corporate approvals of both companies and the transaction is expected to be completed in the third quarter of 2012.

The joint venture company, Brahim's - LSG Sky Chefs Holdings Sdn Bhd, acquired in 2003 a 70 percent stake in LSG-Sky Chefs-Brahim's Sdn Bhd, a company engaged in airline catering services in Kuala Lumpur and Penang. Brahims is purchasing the LSG's stake in order to meet the national aspiration of 100 percent Malaysian ownership. The relationship between the two partners will continue within the framework of a technical assistance agreement, under which LSG Sky Chefs will continue to provide operational and management support for the two facilities.

"Our sincere thanks go to LSG Sky Chefs for their many valuable contributions to upgrading our airline catering activities here in Malaysia. Brahim's has also provided much valued Halal expertise to the current airline catering operations," says Datuk Ibrahim bin Haji Ahmad of Brahim's Group Executive Chairman. "We look forward to LSG's continued support within the framework of the new agreement."

"The Malaysian catering operations are state of the art and serve many of our worldwide customers," says HK Cheung, LSG Sky Chefs' RCOO Asia/Pacific. "In order to further meet and exceed airlines' and passenger's expectations we are proud and happy to stay on site with our established and in-depth expertise, thus providing the highest quality in food safety and service."

About Brahim's Holdings Berhad:
Brahim's Holdings Bhd is a catering, logistics and bonded warehouse operator listed on the Main Board of Malaysia's Bourse, Bursa Malaysia.

Neu-Isenburg – In 2011, LSG Sky Chefs was able to expand its portfolio with products and...

Neu-Isenburg – In 2011, LSG Sky Chefs was able to expand its portfolio with products and services that reached beyond its core airline catering business. Consolidated group revenues rose by 2.2 percent to 2,299 million Euros, adjusted for exchange rate by approximately 5 percent. The company’s operating profit amounted to 85 million Euros, which is an increase of 9 million Euros over the previous year’s figure. This improvement was mainly due to the differentiation in the portfolio offered to airlines, entering markets adjacent to the core business and rigid project and cost management initiatives.

"We started 2011 with a lot of optimism but it was dampened after just a few months in light of the political turmoil, natural disasters and economic uncertainties that the year eventually brought us," said CEO Walter Gehl. "Nevertheless, we were able to fully meet our expectations in terms of revenue and operating results, which is clear evidence of our company’s flexibility and strength."

Within the framework of the continuing consolidation within the catering industry, LSG Sky Chefs merged its activities in Switzerland with First Catering Produktion AG. In addition, a joint venture with Alpha in the UK, for which an application was submitted in February 2011, was approved by the British antitrust authorities just recently. Moreover, the company extended its network by establishing new catering facilities in Chicago, USA and Luanda, Angola. And more and more airline customers are opting for the enhanced innovative and environmental-friendly equipment solutions and logistics services the company offers.

The targeted entry into adjacent markets, ones in which the core competencies of the com-pany can apply, took place according to plan. In early December, LSG Sky Chefs started catering a train connecting Paris and Venice. School catering in Hong Kong grew considerably and new projects in this area were launched in Sweden, India and Germany. In the fall, the company acquired Norris Food Services, a retailer based in the Northeast Coast of the United States, in order to strengthen its activities in the retail market.

For 2012, LSG Sky Chefs expects more consolidation in the industry. Accordingly, the company predicts moderate growth in its core airline catering business. Consequently, the diversification of the product portfolio for airline customers as well as for the adjacent markets will be actively pursued.

"The year 2012 is crucial for the development and restructuring of our company," added Walter Gehl. "We will continue to work diligently on standardizing and optimizing our processes in operations and administration to further improve the performance of our company in a sustainable manner. In parallel, we will focus on developing new market opportunities via collaboration with partners to build a solid foundation for the future in addition to our organic growth. In the meantime, we will stay on our present course so that we can continue to grow LSG Sky Chefs."

Neu-Isenburg, Germany - In 2010, LSG Sky Chefs retained its global leadership in the airline catering market, which has seen a return to moderate growth. Consolidated revenues went up by 7.0 percent to 2,249 million EUR, largely due to higher passenger numbers and greater demand in the premium cabin segment. The company's operating result amounted to 76 million EUR, 4 million EUR above the previous year's figure. The main influencers were higher capacity utilization due to greater volumes, synergies as a result of standardization and strict cost management.

"In 2010, our industry recovered at a rate faster than expected and reached stability globally", said CEO Walter Gehl. "LSG Sky Chefs was able to build on these favorable conditions by further developing its capacities and increasing flexibility. Based on our solid positioning in airline catering, we also started to explore new market opportunities by extending our airline service offerings and strategically evaluating adjacent markets."

The company continued its policy of focused regional expansion in Russia and China. In Turkey, a joint venture was established with a local partner to set up a preproduction facility. LSG Sky Chefs' creative potential in product design, process optimization and environmental awareness won considerable acclaim and awards.

For the financial year 2011, LSG Sky Chefs expects the current market trends to continue. The company is seeing to extend its existing customer relationships by selling additional products and services. Consistent standardization in production and administration aims at raising the level of quality and transparency within the company, while creating competitive cost structures.

"This year will undoubtedly test the feasibility of our plans and ideas and confront us once again with the unexpected. But we feel well positioned to cope with the uncertainty that has become a standard in our industry," says the company's CEO. "The state of our company will also be largely affected by the result of the union agreements in our two major markets, Germany and the United States, where we employ around half of our workforce. We are confident that we will reach reasonable agreements, which will be crucial in maintaining LSG Sky Chefs' competitiveness and market leadership."
