On October 29th Barry Minkow published a report claiming Herbalife, like Usana (see Rebuttal Report) was breaking Chinese law by illegally conducting MLM business within mainland China. Twenty seven pages of this 90 page report was an arid, repetitive attempt by über-anti-MLM zealot Robert FitzPatrick to convince the regulatory recipients listed on the report that Herbalife was a "Penny Stock, Pump & Dump, Ponzi Scheme". That list included the FBI and, of course, the SEC. On October 30th Minkow launched a web site called "Doomed by Design" where he attempted to make the same case, only with more colorful and dramatic pictures.

One day later, on November 1st of 2007, the SEC, which had already begun an investigation into insider trading a month earlier, notified Herbalife that they were expanding their investigation. The new issues they were looking into was the amount of product being personally consumed by Herbalife distributors. Within FitzPatrick's portion of Minkow's report he spent the bulk of his efforts on making a case that Herbalife was a pyramid scheme because not enough product was actually moving to bona-fide end user customers. In spite of crystal clear evidence to the contrary, Fitzpatrick is still touting a mythical "51%" of commissions coming from retail sales to non-participants as the FTC's established benchmark for legality. There could be no other reason for the SEC to be reviewing such internal consumption activity than to also be evaluating their status as a legal, legitimate network marketing company.

Well, today the SEC closed their investigation of Herbalife, and guess what? They found nothing requiring any "enforcement action". No evidence of an illegal pyramid scheme (apparently the FTC forgot to tell the SEC about that 51% deal), no concern about misbegotten revenue from China, no insider trading... nothing!

By the way, here's where Team Minkow supporters, such as head cheerleader Tracy Coenen and the Yahoo! board bashers, will try to claim that just because the SEC "does not intent to recommend any enforcement action be taken against the company" (the SEC's exact words) this doesn't mean that they didn't find any evidence of wrongdoing. Which leaves us to ponder why, after investigating Usana for ten months, and Herbalife for eight months, and in spite of actually finding signs of illegal activity, the SEC just, as one Team Minkow supporter has suggested, "didn't have the will" to take action.

This would be funnier if it wasn't for the mainstream media's full and unchallenged support of Minkow's original accusations, but complete silence when his targets are vindicated.

Wall Street Journal? Forbes? Anyone?

Usana Vindicated

Company has Minkow & Anti-MLM Zealots on the Ropes after Three Punch Combination

January 14th, 2008
For those of you not familiar with the attack waged by ex-felon Barry Minkow on Usana, and most recently Herbalife, and indirectly against the entire MLM industry, please check my Rebuttal Reports at http://www.marketwaveinc.com/articles.asp.

Minkow's 86 page report that declared, among other things, that Usana was an illegal pyramid, caused the SEC to begin an "informal inquiry" about 10 months ago, and was also the catalyst to two shareholder law suits against the company. Forbes, and the New Zealand based National Business Review, also reported that the FBI was investigating Usana.

On January 3rd Usana announced that one of the shareholder lawsuits had been dismissed with prejudice (meaning the complaint can't be refiled). Usana filed a motion to dismiss, but before a judge could even rule on it the plaintiff agreed to not challenge the motion and drop the case. The basis of this suit was that Usana was an unsustainable illegal pyramid.

On Friday, January 11th, Usana issued a press release announcing that the SEC had closed their investigation and found no evidence of wrong-doing. No accounting irregularities, no disclosure issues, and no evidence of illegally operating a pyramid scheme - all in direct contradiction to claims made by Minkow and his team of anti-MLM zealots.

Within an article* published by the Wall Street Journal after the SEC announcement, it was further revealed that, according to their sources, there is currently no FBI investigation. Allegedly the FBI had, upon first receiving Minkow's anti-Usana materials, indicated they would inquire about them. According to the article, Minkow now admits that the FBI subsequently told him they were leaving the investigation of Usana to the SEC, and were not going to pursue it.

Commentary:

Since everything Team Minkow claims is wrong and/or illegal about Usana could conceivably apply to all network marketing companies, I have always considered his attack not just on Usana, and more recently Herbalife, but the entire industry. Had any of his allegations gotten traction - such as, when most products are sold to distributors that makes the company an illegal pyramid - we might have had a major challenge ahead of us.

Usana's war is not over by any means, but this one SEC battle will most likely be the defining one. Virtually everything the remaining shareholder and "distributor" suits are accusing Usana of were surely part of what the SEC was looking at. Currently the judge in Usana's case against Minkow is mulling over Minkow's motion to dismiss, which may succeed. Not because the case had no merit, but because Usana is suing Minkow on stock manipulation issues rather than libel so the standard of proof is extremely high. But this SEC decision certainly can't help Minkow in his pursuit of a dismissal. And the "distributor" suit was a joke even before these latest developments. The two lead plaintiffs are an ex-Usana product customer, and a guy who is working with Minkow who openly admits he suffered only $500 in damages - and that's from refunds Usana refused to pay him on product he never returned!

Of course, the shorts, trolls, and general anti-Usana antagonists on Usana's Yahoo! stock board are already spinning their goofy, face saving theories (pay offs, incompetent or uncaring regulators, etc.). They're still not willing, or able, to accept the most obvious, logical reason for why the SEC could not find any evidence of Usana's MLM business model being illegal, or in any way wrong.

Because it's not.

M2C Global Officially Launches A.C.T. Energy Drink in 12 oz. Cans

April 21st M2C Global officially launched the release of the A.C.T. Energy Drink in 12 ounce cans at their 2nd Annual Spring Conference in Dallas, TX. Initially the cans were only available to those attending the conference. The sales that day were so overwhelming, that the schedule for the day had to be altered as the day went by. FDI Continues to Attack Usana

Usana Health Sciences (NASDAQ:USNA) has announced that the Securities & Exchange Commissions has begun an informal investigation into the company's business practices. The inquiry is related to the recent report issued by the Fraud Discovery Institute (FDI) regarding Usana, which was sent to the SEC, FBI and IRS. The Wall Street Journal published an article last month about the report which gave it additional credibility and exposure resulting in a 15% drop in Usana's share price the day the report was issued.

According to an Associated Press report, David Wentz, president of Usana, responded, "We believe that this is a routine inquiry made in response to a series of false and defamatory statements about our company that have appeared on the Internet and in the mass media."

Since then there have also been a number of class action law suits filed on behalf of Usana investors.

As was noted in MarketWave Alert #71 (3/15/07) the FDI is directed by Barry Minkow, who spent almost 7 1/2 years in prison after being convicted on 57 counts of fraud and conspiracy in the 1980s. Minkow has continued his attacks on Usana by issuing additional reports and posting anti-Usana videos on YouTube.

According to Minkow, Usana is in violation of SEC disclosure law and is an illegal pyramid scheme.

Usana has already filed a defamation lawsuit against the Fraud Discovery Institute, and has formally requested that the SEC investigate Barry Minkow. Minkow is a "short seller" who, just previous to publishing his negative report, was in a position to profit if Usana's stock price were to drop significantly.

Commentary:

Most network marketers are a fickly, flighty bunch who spook easily (sans the more sophisticated MarketWave Alert subscriber, of course). There are also far too many among us who seem to delight in the misfortunes of our competitors and tend to exploit their dilemmas with great glee. Often times the subject is deserving of their predicament and really was just "asking for it" (i.e. SeaSilver, The Tax People, Equinox, etc.). This is not one of them. Indeed, should a company like Usana ever be declared a pyramid scheme, we're all in trouble. It's best we root for them than hoot at them.

So before we all start planning our Usana-folk harvest, or if you are Usana-folk start searching for "safer" pastures, let's be clear, and fair, about this. The SEC "investigation" really is just an informal inquiry, which is a routine reaction to the allegations made by the FDI (and astonishingly given credence by the Wall Street Journal). Given that the FDI report is nothing more than deceptively well packaged baloney, which will, as you'll soon see, easily writher under scrutiny, there is little likelihood that any significant damage will be caused by it, to Usana or to network marketing in general. That is, unless WE let it!

Let's all just relax, and let it go where all baloney eventually goes after it's been consumed.

In the mean time, I have written a detailed 28 page rebuttal to the accusations made by Minkow and his FDI. Even if you are not a Usana distributor I'd recommend you check it out. Since, as I said, what the FDI has accused Usana of, and the WSJ and SEC has given at least some credibility to so far, very likely applies to your company as well! This rebuttal report is a great primer (if I do say so myself) on how to address common MLM objections/concerns such as: market saturation; pyramid schemes; overpriced products; and, 99% failure rates.
