「感動」，即使是彼得杜拉克也強調從人心深處的感動，是管理學要成功實踐的重要一環。我從事電子業以製造出讓人類生活便利而感動的產品為榮，但這在現今凡事追求績效的工業社會自是主流也再必然不過。但是基層和弱勢人民的心聲，隨著台灣的農田與綠地一起漸漸縮小消失，也唯有這些能以音樂當感動人心武器的人願意幫他們發聲（就如同文學家村上春樹也會永遠為雞蛋仗筆直言），更加令我感動。

EVERY so often someone asks me: “What’s your favorite country, other than your own?”

I’ve always had the same answer: Taiwan. “Taiwan? Why Taiwan?” people ask.

Very simple: Because Taiwan is a barren rock in a typhoon-laden sea with no natural resources to live off of — it even has to import sand and gravel from China for construction — yet it has the fourth-largest financial reserves in the world. Because rather than digging in the ground and mining whatever comes up, Taiwan has mined its 23 million people, their talent, energy and intelligence — men and women. I always tell my friends in Taiwan: “You’re the luckiest people in the world. How did you get so lucky? You have no oil, no iron ore, no forests, no diamonds, no gold, just a few small deposits of coal and natural gas — and because of that you developed the habits and culture of honing your people’s skills, which turns out to be the most valuable and only truly renewable resource in the world today. How did you get so lucky?”

That, at least, was my gut instinct. But now we have proof.

A team from the Organization for Economic Cooperation and Development, or O.E.C.D., has just come out with a fascinating little study mapping the correlation between performance on the Program for International Student Assessment, or PISA, exam — which every two years tests math, science and reading comprehension skills of 15-year-olds in 65 countries — and the total earnings on natural resources as a percentage of G.D.P. for each participating country. In short, how well do your high school kids do on math compared with how much oil you pump or how many diamonds you dig?

The results indicated that there was a “a significant negative relationship between the money countries extract from national resources and the knowledge and skills of their high school population,” said Andreas Schleicher, who oversees the PISA exams for the O.E.C.D. “This is a global pattern that holds across 65 countries that took part in the latest PISA assessment.” Oil and PISA don’t mix. As the Bible notes, added Schleicher, “Moses arduously led the Jews for 40 years through the desert — just to bring them to the only country in the Middle East that had no oil. But Moses may have gotten it right, after all. Today, Israel has one of the most innovative economies, and its population enjoys a standard of living most of the oil-rich countries in the region are not able to offer.”

So hold the oil, and pass the books. According to Schleicher, in the latest PISA results, students in Singapore, Finland, South Korea, Hong Kong and Japan stand out as having high PISA scores and few natural resources, while Qatar and Kazakhstan stand out as having the highest oil rents and the lowest PISA scores. (Saudi Arabia, Kuwait, Oman, Algeria, Bahrain, Iran and Syria stood out the same way in a similar 2007 Trends in International Mathematics and Science Study, or Timss, test, while, interestingly, students from Lebanon, Jordan and Turkey — also Middle East states with few natural resources — scored better.) Also lagging in recent PISA scores, though, were students in many of the resource-rich countries of Latin America, like Brazil, Mexico and Argentina. Africa was not tested. Canada, Australia and Norway, also countries with high levels of natural resources, still score well on PISA, in large part, argues Schleicher, because all three countries have established deliberate policies of saving and investing these resource rents, and not just consuming them.

Add it all up and the numbers say that if you really want to know how a country is going to do in the 21st century, don’t count its oil reserves or gold mines, count its highly effective teachers, involved parents and committed students. “Today’s learning outcomes at school,” says Schleicher, “are a powerful predictor for the wealth and social outcomes that countries will reap in the long run.”

Economists have long known about “Dutch disease,” which happens when a country becomes so dependent on exporting natural resources that its currency soars in value and, as a result, its domestic manufacturing gets crushed as cheap imports flood in and exports become too expensive. What the PISA team is revealing is a related disease: societies that get addicted to their natural resources seem to develop parents and young people who lose some of the instincts, habits and incentives for doing homework and honing skills.

By, contrast, says Schleicher, “in countries with little in the way of natural resources — Finland, Singapore or Japan — education has strong outcomes and a high status, at least in part because the public at large has understood that the country must live by its knowledge and skills and that these depend on the quality of education. … Every parent and child in these countries knows that skills will decide the life chances of the child and nothing else is going to rescue them, so they build a whole culture and education system around it.”

Or as my Indian-American friend K. R. Sridhar, the founder of the Silicon Valley fuel-cell company Bloom Energy, likes to say, “When you don’t have resources, you become resourceful.”

That’s why the foreign countries with the most companies listed on the Nasdaq are Israel, China/Hong Kong, Taiwan, India, South Korea and Singapore — none of which can live off natural resources.

But there is an important message for the industrialized world in this study, too. In these difficult economic times, it is tempting to buttress our own standards of living today by incurring even greater financial liabilities for the future. To be sure, there is a role for stimulus in a prolonged recession, but “the only sustainable way is to grow our way out by giving more people the knowledge and skills to compete, collaborate and connect in a way that drives our countries forward,” argues Schleicher.

In sum, says Schleicher, “knowledge and skills have become the global currency of 21st-century economies, but there is no central bank that prints this currency. Everyone has to decide on their own how much they will print.” Sure, it’s great to have oil, gas and diamonds; they can buy jobs. But they’ll weaken your society in the long run unless they’re used to build schools and a culture of lifelong learning. “The thing that will keep you moving forward,” says Schleicher, is always “what you bring to the table yourself.”

台大外文系畢業的梁旅珠，過去十幾年來因為喜愛日本，經常拎著行囊到日本觀光旅行，每年幾乎 1/4 的時間在日本度過。最後甚至在東京購屋置產，有了一個定居住所。並有二本著作《我和我的那些日本朋友們》、《日本夢幻名宿：溫泉、美食、建築的美好旅行》，描述在日本的見聞與感想。

大學畢業後梁旅珠曾主持台灣第一個國際旅遊電視節目「世界真奇妙」（後改名為「繞著地球跑」），後來成為台北市忠孝東路上知名百貨公司明曜百貨創辦人媳婦。而明曜百貨正是日本平價服飾優衣庫（UNIQLO）在台灣的旗艦店。因此她與優衣庫社長柳井正有多次深談機會，了解日本企業領導人對日本未來的憂心忡忡。

在《遠見》雜誌策劃日本 311 地震一周年之際，特邀梁旅珠撰寫她的日本印象，許多獨家的個人長期觀察，讓人對日本的現況有更深了解。

2011 年秋天的京都，意外的不像往年那般擁擠雜沓，有些觀光點甚至像淡季一樣冷清。走在年年排名第一的「紅葉名所」東福寺，難得看到通天橋上依舊擠滿了賞楓人潮，但耳邊只有遊客互喚拍照和保全指揮路線的聲音，卻聽不到過往楓葉季不絕於耳的讚嘆聲：「綺麗ね~~ 紅葉！」

少了日本女人那誇張上揚的軟調詠歎歌頌讚美，去年京都的楓葉季就這麼黯然落幕了。11 月底，向來是京都紅葉的高峰期；每年秋冬之際為期兩週的觀光大拜拜，讓和台北差不多大小的京都湧進驚人的觀光潮。但暖秋冷鋒遲遲不來，讓該帶進人潮加錢潮的楓葉無法轉紅，竟逕自在枝頭上焦枯了。

該冷不冷的殘秋熱烘烘，但日本近 20 年最強冷鋒卻在今年 1 月底 2 月初報到（最低溫零下 42 度），帶來六年以來最大雪量。全國各地因豪雪發生多起交通事故，連名古屋也下大雪，數百台汽車就在路上拋錨，造成交通大打結。

日本全境除了沖繩之外幾乎都在下雪，不少人在剷雪時摔死或被屋頂掉落的積雪擊斃；秋田的玉川溫泉有三人在山中祕湯旅館的岩盤浴帳棚內，被山坡滑落的積雪活活壓死。

日本的社會和經濟現況，就像這一波寒流一樣冷颼颼。持續低迷 20 年的景氣眼看又將會有第三個十年，而日本也被迫面對中國正式超越，成為全球第二大經濟體的事實。

30 年前在東京一碗拉麵要價 650 日圓，但就在這一兩年，低價連鎖餐廳已經相繼為荷包日薄的上班族，推出了一份 290 日圓的牛丼或拉麵。更慘的是，去年 3 月的東北震災和海嘯帶來了前所未有、更不知從何解決的核災，徹底震碎了日本人民對國家的信任和民族自信心。

2011 年 3 月的東北地震後，我曾於 6 月到東京一趟。使館區和洋人最愛的六本木到麻布十番一帶，以往夜間和週末時滿滿都是洋面孔和外國口音，當時卻全部消失了。一家熟識的 TEMPURA 店老闆告訴我，地震後有兩個月時間幾乎沒什麼客人，有一天甚至來客數掛零，是他開店幾十年來第一次碰到的情況。而我，則是他三個月來第一次進店的外國客人。

儘管一年後的現在，原本在日工作居住的外國人逐漸回籠，觀光客人數也緩步回升。但日本各地動輒 5 級以上的地震不斷，連研究機構都頻頻預言關東大地震即將來臨，使得觀光業依舊慘澹。連年不況加上地震核災打擊，即使不是災區的鄉下觀光景點狀況也很糟，商店街凋零頹敗，不少地方政府都快破產了。

日本第一傳奇落幕：產業虧損，政府無能

坐在京都的計程車上，原本不多話的司機聽說我來自台灣，臉上瞬時添了笑意，語氣中多了點親切和放鬆的感覺：「喔，原來台灣和中國都說『中國語』。」問他 311 震災後，生活和生意有受影響嗎？不料他卻沒頭沒腦的回我一句感慨：「再這樣下去，日本人就快變成中國人的奴僕了！」

日本的計程車司機是站在國家窗口看著外界的一群人。日本人普遍因外語能力不足而怯於接觸外國人，但計程車司機則由於業務需求，即使言語不通，也常被迫載著外國人趴趴走。

尤其在京都這樣的觀光大城，司機每天接觸到的國際觀光客很多，眼界和感受自是與一般從不接觸外來資訊的市井小民不同。他們的年齡層約從 40 到 70 歲，正是一生眼睜睜見證國家經濟和運勢從峰頂跌落谷底的一群人；曾經，他們和全世界的人一樣，相信過「日本第一」，以為從此日本將引領世界潮流。

80 年代末期，我在美東念研究所時，正是日本站在泡沫頂端，傲視全球不可一世的時代。1988 年到 1989 年，整個華爾街的金融從業人員都得學會拿筷子，把一片片生魚和著醬油和嗆鼻的芥末吞下肚。 那個時候的日本人，天價搶標梵谷名畫，甚至買下紐約的洛克斐勒中心；紐約第五大道的名店從早到晚擠滿了日本觀光客，每一家名店都必須「配備」通曉日語的店員。

當時，夜裡在東京的銀座或六本木街頭喝完酒要回家，必須把好幾張日圓萬元大鈔拿在手上揮舞，才搶得到計程車。現在呢？週末深夜，排班等著要接酒客的計程車多到從中央通八丁目排到四丁目交叉口，還轉彎一路延伸到築地。

全球不景氣加上日圓升值 重創產業

日本的產業有多慘？2 月 4 日出刊的週刊《ダイヤモンド》，就以「再見！傳說的 SONY」為封面做了專題報導。消費電子大廠 Panasonic 狀況也不佳，去年虧損遠高過預期，並預測至今年 3 月止，全年度虧損可能超過 100 億美元，將是該公司成立以來最嚴重的年度虧損。

不用學者專家分析，即使不懂經濟的一般民眾，看知名電器賣場 BIC CAMERA 有樂町店就知道 —— 以往多年來賣場一樓一半以上面積擺的都是電視機，最近一樓原本陳列電視螢幕的地方，已經全部換成了 iPhone、iPad 和蘋果相關產品。

全球需求減縮和強勢日圓重創日本產業，但日本的中央銀行卻沒有什麼作為。日本央行明明可以大量印鈔讓日幣貶值卻不做，讓中小企業經營艱困；現在又打算追加預算 8 兆紓困中小企業，繼續增加政府赤字。

對一個年度預算六成要靠借貸的國家來說，真讓人想不通日本政府的心態。問日本的上班族朋友，他覺得是日本政府抱美國大腿，不敢讓日圓對美金貶值。不過也有人認為，可能是由於社會上的「既得利益者」會因為日幣貶值使得財產大幅縮水，所以不願處置。

整個國家運作墨守成規，更不敢大刀闊斧除弊、拿既得利益者開刀，因而只能和稀泥成一團。既得利益者有誰？就是現今日本握有多數財產的中高齡者，當然包括了領導國家方向的官員政客和專家。

最近的人口研究報告顯示，日本目前有 1 億 2000 萬人，但 50 年後將只剩下 8000 多萬，而且會變成超高齡社會，超過 65 歲的人占 40% 以上。不過多數人想不到未來，因為現在的日本中青年世代日子已經很難熬。

根據估算，現在 55 歲以下的人，繳付的年金都將超過將來他們能領到手的金額，但儘管如此，多數守法的日本上班族還是乖乖繼續繳。2008 經濟危機房產泡沫後，美國許多家庭發現續繳房貸不划算，就兩手一攤把爛帳丟給銀行，日本人卻多半還是認分繳完，等於是付完高額貸款，手中房子的市價卻已經打了好幾折。

日本還有一項更奇怪的「經濟奇蹟」，那就是經濟明明已經慘趴了，失業率卻只有 4 趴多，跟各國數字相比顯得奇低。日本企業裡有四成是派遣員工，加上打工一族，看似大家有飯吃，實際上很多低薪冗員，有不少人的生活接近赤貧。

社會「格差」化嚴重，年輕人看不到未來

問題是，電視上雖常有節目教導大家如何過極度節約的生活，米其林的星星餐廳卻天天爆滿。過去十幾年，我每年加起來約有 1/4 的時間在日本，眼看著社會的「格差」化日益嚴重，不禁感慨，日本的年輕一代，前途和未來不知道在哪裡？

十幾年來，也因為這樣的經濟局勢，造就了日本第一名平價服飾 UNIQLO（優衣庫）。自從明曜百貨和 UNIQLO 敲定設立旗艦店後，我和社長柳井正先生有了幾次見面的機會。2011 年 6 月，我在 UNIQLO 總公司辦公室，第二次和他會面，趁機請教了他對於日本經濟和社會現況的看法。

當時柳井社長除了直言政客無能是一大禍源，日本年輕人在國際上沒有競爭力的現況，更令他憂心。由於優衣庫正在大舉進軍海外，柳井先生因而有許多機會接觸到來自全球各地剛投入職場的一代。「台灣的年輕人很有活力，也勇於向外發展和挑戰，」他感慨說道：「台灣有很多優秀人才，就像中國、韓國、新加坡一樣；日本的年輕人在工作事業上只求安定、完全沒有冒險精神，他們需要開拓視野，才有辦法跟上世界的腳步。」

去年 9 月 23 日優衣庫台北明曜旗艦店開幕當天，我把天下文化出版的新書《放膽去闖》拿給柳井正先生簽名，這是他與大前研一先生合寫給日本年輕人的書。簽名之前，他很慎重的在扉頁寫下「この囯を出よ」（走出日本），這是日文的書名，也正是他在書中對日本年輕一代的深深期許。

首相如餐廳定食 每月更換

讀完全書，對柳井社長的序言標題「不能再沉默」感觸很深。日本真的是一個全民沉默且忍耐力十足的國家，不論是地震、事故或停電等任何因素造成地鐵停擺，新聞鏡頭上，只會看到所有無法搭上車的民眾安靜的群集在地鐵票閘口等待，一等數小時，不見爭先恐後，沒有抱怨謾罵。

即使像 311 震災海嘯如此嚴重的天災過後，日本災民的自制守序也讓全世界大開眼界 ── 沒有爭奪物資，沒有趁火打劫，沒有呼天搶地，也沒有怨東怪西，最多只看到哽咽與拭淚。

但這樣高素質的人民，卻因聽話合作，姑息出一群無能政客與不負責任的企業家。有日本人用「月替定食」（每月替換的特餐）來形容近年頻頻更換的首相，許多人連新上任的首相野田佳彥叫什麼名字也懶得記，只用他曾經拿來自比的「泥鰍」稱呼他。

日本社會的世襲傳統傳子不傳賢，讓當今政界充斥學歷漂亮的公子哥兒，有著體面的家族從政史背景，卻看不到「政治家」的能力、魄力與熱情，最在行的似乎只有料亭密會和上銀座酒家。

而日本龐大企業體制背後，檯面上的企業領導者，像柳井正先生這樣的「資產家」，是真正大股東的並不多。除了股份早被稀釋的創業家族，就是大銀行交叉持股下的專業經理人，在股東分散無實際約束力的現實下，對經營者來說，官商勾結以自保和照顧員工（包括自己在內）的福利，往往比獲利還重要。因此日本的大商社，普遍沒有歐美企業的競爭進取活力，反而常有著類似共產主義的經營心態與模式。

看似國際化，實則封閉、僵化、無效率

我相信很多人跟我一樣，看著日本官僚和東電高層面對核災的應對無能，看著大王製紙和 OLYMPUS 這類大企業經營者的胡作非為，一定感到不解 —— 日本民眾的聲音在哪裡？媒體究竟有沒有正義與批判的能力？日本到底有沒有心懷社會責任感的領袖人物？

生活苦哈哈的人民期待改革，這一點，從去年底大阪巿長選舉可看出端倪。年輕的改革派前大阪府知事橋下徹，在執政和在野三黨聯手全面夾殺下，仍高票擊退尋求連任的前市長平松邦夫。

律師出身、言談犀利大膽的橋下不僅受年輕一代支持，也擁有不少中老年巿井小民和婆婆媽媽粉絲。最近有白天的談話節目在大阪街頭訪問 40 歲以上的人：「有困擾時最希望能向哪一位名人請教？」橋下名列第三，位於兩位知名藝人之後，是少數受到民眾信任喜愛的政治人物。如今的大阪府知事是橋下的心腹，關西政經中心大阪已成為橋下幫的天下。除了繼續進行他整合大阪府與大阪市為「大阪都」的計畫，表現積極的橋下正在推動總理民選，意圖打破日本官僚體系的積習和沈疴，而他本身也是最有實力問鼎中央的明日之星。

忍無可忍 年輕人該走出日本

橋下領導的「大阪維新會」將於今年 3 月舉辦「維新政治塾」，以「改變大阪，日本就會改變」為號召，仿坂本龍馬提出橋下版的「船中八策」，著手包括資產課稅和教育制度的改革，為整頓政府財政，更毫不留情的打算裁掉連續考績不佳的教員。此舉雖引起教育界反彈，卻受到多數民眾歡迎。他表示，日本島國領土狹小資源有限，唯有透過良好的「教育」，培養日本年輕一代的視野與競爭力，日本的未來才有希望。

因為「忍無可忍」，政壇終於出現了改革派新星；更因為「不得不說」，民間總算有像柳井社長和大前先生這樣的人發聲了。問題是，儘管他們一再呼籲：「日本已成三流國家，你們不能死守這裡，必須出去外面看看！」但當下的年輕族群，真正接收到這個訊息的人，比例上似乎很少。 雖然電視節目有很多深入淺出的解說，告訴年輕人他們未來一輩子要面對的，不光是必須供養快速老化的龐大人口，還有滾雪球般的天文財政赤字，但多數人並沒有危機意識。 雖然嘴裡說著現在的政治人物無法信任，一般民眾還是覺得這些「國家大事」離自己的生活太遠，不關心也不想了解，天真的認為國家政府終究會負責解決。

他們無法想像，存在銀行裡帳面上的 100 萬，其實早被政府借去花掉了 70 萬；他們也無法相信，每個月乖乖在繳的年金，這一輩退休者只是延遲領取年紀，將來可能根本拿不到。日本人多半是上班族，認為匯率是財務相關人員或社長級以上的人才需要關心的事，因而當日幣飆高，年輕人第一個反應只有衝出國去度假，或是跑到便宜國家瞎拚。

社會封閉 外人融入難上加難

一位在日本工作 20 年的朋友說，當年負笈東瀛留學，以為日本是個多麼國際化的地方，如今才知道日本人被國家照顧得太好，國際化程度其實很差。常到日本遊玩的人應該可以感受到，如果不會講一點日文，即使在首善之都東京，連在觀光點用英文，碰壁的機率還是很高。

這些年我偶而會見到英文相當流利的日本人，但幾乎都是歸國日僑或在外遊學多年的年輕人，光靠國內的外語學習，鮮少有人有勇氣開口應對。加上日本文化規矩禁忌很多，一切有他們自己的遊戲規則，形成各類大大小小的封閉圈，外國人想要打進融入日本人的生活，真的是難上加難。

關於這一點，最近台灣的媒體應該頗有感觸。為了東京兩位台灣女留學生的命案，大批台灣媒體蜂擁至東京採訪，卻發現必須是日本警視廳「記者俱樂部」的會員，才有資格參加警方舉行的記者會，而日本各省廳幾乎都有各自的記者俱樂部。

其實，當 311 震災後，台灣民眾一片頌揚日本媒體的「自律能力」背後，正是因為爭鳴扒糞少，媒體與各界高層長期的「尊重友好」與利益瓜分下，姑息養奸的情況並不罕見，非主流的聲音也很難被聽到。

日本井然有序的社會，建構在一種綿密而相互約束的層層關係與潛規則上，那就是：認同團體、互助合作、長幼有序、上層負責。

全民「我慢」，國家機器疲態、醜態畢露

如何確保資源共享和社會安寧？聽上級的話，排隊就是了。大家照著年資排，總有一天輪到你；不合群強出頭的人，一定會被排擠打壓。對年輕人來說，最安全的人生正道就是進大公司，領薪水，排隊一輩子，看能否升到部長再退休。聽話和上層負責，成了日本社會僵化與無效率的元凶。

於是，擠進一流大學不是想要學習專業知識能力，而是為了拿到進入大企業的「入門通行證」，並建立學長學弟的關係，期望在畢業前由學長拉拔內定為大企業的員工。

大學生不進修只求儘快卡位大公司

為了爭取年資及早卡位，日本大學生並不流行出國進修，因為留學回來求職不見得加分，反而在進公司的時序年資上很吃虧。反正進了公司之後，一切從頭學起，一階一階排隊爬樓梯的漫漫人生將延續到退休，在學校學到什麼並不重要，因而形成了日本許多名校大學生終日玩樂酗酒的怪現象。

日本的考試制度，也極度欠缺效率與不合理，至今各大學還是個別招生考試，所以一個高中畢業生，為不同大學連考十幾個入學考試是稀鬆平常的事。也因為個別招考，不但各校不同，公立大學系統和私立大學考試科目內容也不一樣，所以一般考生只能選其中一個方向，否則連補習都不知該怎麼補。

多數家長很難掌握繁雜的考試內容、日期和選校策略，因而給了各類「塾」（補習班）很大的生存和利潤空間。家裡經濟狀況不允許的孩子，先不考慮學費，多半連報考私立大學都有困難。舉例來說，私立大學每考一個學部就要繳約3萬日圓的報考費，一個高中畢業生若計畫考三個私立大學共十個學部的話，光報名參加考試就要繳30萬，這還不包括一年動輒數百萬的補習費。

教育制度腐化嚴重損害國力 因為個別招生考試，選校失當的話可能落到無校可讀，所以在日本一再重考的狀況相當普遍，針對重考次數還有「 一浪」「二浪」「三浪」這樣的專有名詞。

名校一定最後考，先考的學校先放榜，已錄取但沒有把握考得上前幾志願的學生，只好繳高額費用保住名額，而這筆錢是無法退還的。在我這個「外人」眼裡，這些制度怎麼看都像是各校互相保障收入利益的暗默共識，光想到整個社會浪費在這上面的時間、人力、物力與金錢，要是在其他國家，而不是在全民「我慢」（忍耐）的日本，教育當局若不想辦法改革整合，早就被罵翻了！

日本的考季在每年的 1 ~ 3 月，4 月入學，與其他國家的教育系統不同，想出國留學在銜接上的確有困難，因此近來東京大學已在研擬要將入學時間改為秋天，與世界接軌，以強化日本年輕一代人才的國際競爭力。

日本政府也深切感受到陳腐的教育制度嚴重弱化國力，野田首相在 1 月 25 日的國家戰略會議中表示，東大的計畫是領導全面修正現行考試制度的大好機會，希望能廣納產業界的意見進行改革。雖然根據日本經濟新聞社針對 22 家名校的問卷調查，回覆的 18 家中有 16 家表示有意跟進，不過日本社會對改革一向僵固牛步，這項已討論多時的改革計畫，還不知道哪年哪月才能全面實現。

全世界正以前所未有的加速度劇變中，面對變化，笨重的國家機器疲態、醜態畢露。人們在 2008 年學到的教訓是：世界上沒有什麼「大公司」不會倒。2012 年，我們可能會學到的教訓是：世界上沒有什麼「大國家」不會倒！

IC 設計公司凌陽 (2401) 借款子公司恆通高科約 4 億元的借款，因為恆通高科於昨 (29) 日臨時董事會決議業務縮編，將退出研發 3G 手機晶片事業，凌陽評估借款恆通高科 4 億元恐難回收，故依照會計準則 34、35 號認列資產減損約 4 億元，對 EPS 影響約 0.67 元，將會反應在 2011 年的財報中顯現。

恆通高科原為凌陽旗下開發 3G 解決方案為主的廠商凌陽電通，研發方向為兩大領域，包括 3G WCDMA 手機晶片，以及 3G USB Dongle 數據卡晶片，但過去在研發 WCDMA 晶片投資金額龐大，對凌陽負擔也相當沈重，凌陽於 2009 年時將凌陽電通分割成立新公司恆通高科，並引進其它投資人入股（亞矽 | 聯電），凌陽對恆通的持股比例也降低，目前凌陽對恆通高科持股約 43% 左右的水準。

據了解，恆通高科原本有在談併購的可能性，但併購案並未談成，而年後也有一批研發 3G 手機晶片的開發人員離職，故恆通高科於昨 (29) 日臨時董事會決議業務縮編，將 3G 手機晶片的開發停止，只留下 3G USB Dongle 數據卡晶片事業，故在此情況下，凌陽對恆通高科約 4 億元的借款，凌陽評估恐無法收回，故先於去年財報中認列此筆資產減損。

凌陽去年前三季已認列恆通高科虧損 1.6 億元，故若以凌陽持股恆通高科 43% 的水準來看，恆通高科去年前三季虧損幅度約 3.72 億元。

凌陽去年前三季每股虧損 1.09 元，但第四季在本業淡季以及業外的轉投資虧損以及資產減損下，去年全年虧損幅度恐再擴大。

至於凌陽本業，該公司表示，主要占營收比重 8 成的 DVD 晶片產品線 Q1 為淡季，而占 2 成的 TV 和 STB 產品線，TV 也同樣是淡季氛圍，STB IC 仍在推廣新產品 HD 高清產品，但原本產品 SD STB IC 標清產品因與 HD 價差不大，故標清產品在市場上需求已弱，故動力趨於保守。法人預估，凌陽本季本業恐仍難脫離虧損窘境。

凌陽認列資產減損 4 億元

凌陽 (2401) 今日上午公告認列資產減損 4 億元，影響每股獲利約 0.67 元，凌陽 2005 年以來跨足 3G 手機晶片領域始終未有起色，因而旗下恆通高科決定進行縮編，凌陽表示，恆通高科目前仍有部分 3G 行動數據機晶片業務，暫無併回母公司等規劃。今日凌陽股價全場在平盤之上，未受影響。

凌陽跨足 3G 手機晶片多年，當時在 3G 手機晶片開發進度為國內廠商中居領先地位，甚至領先聯發科與威盛旗下威睿，恆通高科原本有意引進合作夥伴，持續搶攻 3G 手機晶片市場，不過農曆年前後，引進合作夥伴計畫破局，加上年後研發人員相繼去職，目前在 3G 行動通訊領域業務僅剩 3G 網卡相關 IC 。

凌陽指出，考量去年借予恆通 4 億元債款，回收機率低，因而認列 4 億元資產減損。凌陽去年第四季業內、業外表現均不理想，單季恐將持續虧損，全年也將面臨虧損窘境，為 2000 年上市來首度虧損。

上市來首見 凌陽去年難逃虧損

【經濟日報記者 陳碧珠／2 日電】多媒體 IC 設計公司凌陽（2401）昨日公告，因 34、35 號公報，提列旗下恆通科技資產減損 4 億元，將侵蝕每股獲利 0.67 元，將於去年財報認列。

凌陽去年第三季由盈轉虧，稅後淨損 5.49 億元，是 2000 年公司上市以來，單季虧損金額最高。法人預估，凌陽去年第四季營收繼續下滑，加上提列恆通 4 億元虧損，單季仍難轉盈，加上去年前三季已累虧 6.43 億元，去年全年恐難逃虧損，是上市來首次年度虧損。

凌陽昨日表示，隨著 IFRS 上路，公司目前正在評估業外轉投資的價值，事實上，去年第三季已先將錸德進行資產減損，昨日因應恆通高科營運不甚理想，該公司決定人員、業務全部縮編，母公司凌陽因此認列資產減損約 4 億元。

恆通高科是 2009 年 3 月從凌陽電通分割而出，目前仍以 PHS 手機基頻晶片、GPRS／EDGE 手機晶片為主，由於卡位 3G 手機晶片進度落後，公司決定縮編。

檢視李部長的國土規畫與住宅政策構想，應先釐清國土規畫不只是住宅問題，還包括就業機會、財政、交通、及環境永續等議題；而住宅政策應先釐清住宅作為居住而非投資為主的根本目標。

當前住宅問題包括北部都會區不合理高房價、高空屋率、資訊壟斷不透明、房地產稅制不公平、游資過度集中房地產、居住品質不佳、租屋市場質量不足且制度不健全及弱勢族群缺乏住宅補貼與照顧等。這些問題的叢生，關鍵就是住宅變成投資炒作的商品，只有少數二屋以上者得利，不但無殼者買不起房屋，大多數一殼者也換不起房屋，造成不公、焦慮、與失望的社會。李部長企圖透過國土規畫解決住宅問題明顯有其侷限。

李部長的政策構想除有關居住正義的爭論外，其背後亦是都市計畫學界長期討論「新市鎮開發」（分散發展）與「舊市區更新」（集中發展）孰優孰劣的爭論。最近時報翻譯出版一本哈佛教授撰寫的「城市的勝利」，即探討此議題，作者認為城市集中發展較有效率且環保永續。從「資源有效利用」與「節能減碳永續發展」的雙重角度來看，顯然舊市區再利用較符合此雙重目標，特別是當前雙北市仍有相當多的空餘屋資源未有效利用，尤其雙北市許多老舊房屋，居住環境不佳，舊市區更新政策應更受到內政部的重視。

都市更新的本意在於創造都市更好的居住環境，然而反觀台灣的都市更新在制度設計不良的情形之下，受到嚴重的扭曲，甚至成為社會問題的主角。建商看到都更的「免費奉送」建築容積，紛紛投入都更市場，在創價的過程中，造成了地主看到建商賺很大，也興起分更多的要求。然而就算有的地主分到了大房子，也不見得負擔得起高昂的居住成本，於是，原住戶只好賣掉房子，搬離居住多年的地方與回憶，造成「士紳化」及都更等於豪宅的現象。而不願如此的原住戶只好透過不斷的抗爭，期許保留自己的家園，社會糾紛事件不斷透過新聞放送渲染，都更的美好本意已不存在，只剩下被扭曲的結果。甚至都更因而與「黑道」、「賺大錢」、「抗爭」等連結在一起了。

都更推行效果不彰的癥結在於人與人之間的信任不足，建議可以透過第三部門，建立非營利專業組織（NGO）都更平台；另外，也要有一個好的協商機制，建議可以建立都更法院外仲裁（ADR）；至於對地主的協助，則可利用「代理實施者」的方式來達到自力更新的目標。

過去政府推動新市鎮失敗經驗慘痛，炒作地皮，就業機會不足，公共與交通設施等配套不到位，導致國外新市鎮或新社區的理想從未在台灣出現！凡此種種相關議題，期待與李部長的對話溝通。（張金鶚為政治大學地政系特聘教授，周佳音為長榮大學推教中心都市更新講師）

A French Telecom brand, Orange is one of the world’s largest mobile network carriers. The nature of the partnership with Intel is quite unique – Orange will be selling a co-branded version of Intel‘s Medfield reference design platform, effectively cutting out any branded device manufacturer and going direct to customers with Intel‘s platform.

As a recap, at CES Intel announced the Atom Z2460. The Z2460 SoC is the first incarnation of Medfield, although more versions are expected. Intel‘s new Mobile and Communications Group, under the leadership of Mike Bell (formerly of Apple and Palm), developed a consumer-class reference design for Medfield. Mike and his team wanted to be able to show potential customers that Medfield could be used in something that was smartphone sized, while delivering excellent performance and battery life. The result was the Medfield FFRD (Form Factor Reference Design).

Unlike other mobile reference designs, Intel‘s Medfield FFRD is not just indicative of what the underlying hardware can do but it’s also a polished phone that is apparently good enough to be sold directly to end users. Intel‘s customers are free to take the FFRD and tweak it in whatever way they see fit, or come up with an entirely new design of their own based on Intel silicon. Intel‘s belief is that by delivering a reference platform that can actually be used and sold, it allows its customers to focus more on software/differentiation, rather than building a reliable, well tested smartphone motherboard.

Lenovo‘s K800 is based on Intel‘s FFRD although with an obviously customized chassis and software stack. Motorola‘s devices on the other hand will likely be significant departures from Intel‘s reference design. The partnership with Orange is unique because Orange will be selling Intel‘s FFRD directly to its customers with Orange and Intel branding on the phone.

The device will be supported by Orange and it’s codenamed the Orange Santa Clara (homage to Intel‘s HQ in Santa Clara, CA).

The Santa Clara doesn’t use the same FFRD we saw at IDF and CES, but rather a newer, thinner version (pictured above). The outer dimensions remain unchanged, however the new FFRD is now a constant 9.99mm while the previous design varied between 9.99mm and 10.99mm in thickness. The new FFRD is also slightly lighter at 117g vs. 127g. Most of the remaining specs remain the same however. It has an Atom Z2460 SoC, 1GB of LPDDR2 memory and uses Intel‘s XMM 6260 HSPA+ (21/5.7Mbps) baseband. The display measures 4.03-inches and has a native resolution of 1024 x 600 with 1080p HDMI out. Hardware accelerated 1080p video encode and decode are both supported.

The Santa Clara will ship with Gingerbread although Orange and Intel are committing to an Ice Cream Sandwich upgrade “soon”. We’ve already seen ICS running on the Medfield FFRD, so the Gingerbread launch is likely more to do with timing than anything else.

The Orange partnership gives us insight into Intel‘s plans as a player in the phone space. First, it hints at Intel‘s desire to be a part of more vertically integrated plays. By selling Orange an entire reference design, Intel presumably avoids the trap of being simply a low margin SoC provider. By going direct to a carrier, Intel avoids one thing it has struggled with for most of Atom’s career: winning over device vendors. Granted with the Motorola announcement at CES, those days are now behind Intel, but as Intel‘s first major announcement of MWC I get the feeling that we won’t see any other Motorola-like announcements at the show. More device vendors are sure to come, but Intel going direct with a carrier offers a unique business opportunity for both parties.

Intel gets to quickly expand its potential market, while Orange gets to sell a very solid phone under its own brand. The value for Orange obviously depends on how good the reference platform is. Intel claims its Android stack is the most reliable in the industry and the FFRD should reflect that. We’ll find out in due time of course.

The second thing we can gather from Intel‘s Orange partnership (and previous announcements) is its current region focus. While I fully expect to see North American plays from Intel, it’s clear that the company sees initial opportunities in Europe and Asia. If i had to guess at why, I’d say it’s likely iPhone related. Although Intel needs marketshare, it also needs revenue to make its mobile business make sense. It’s possible Intel views the iPhone as less of a threat in Europe and Asia, and thus it makes sense to focus there first.

For end users whether or not this is a significant victory remains to be seen. Carriers are typically untrustworthy when it comes to being given control of the software stack on a smartphone (admittedly, neither are most device OEMs). Orange plans on delivering a stock Android experience with its own apps, games and widgets preloaded on the device.

The more tempting possibility is one that I’m not sure Intel is feeling risky enough to explore, at least not in 2012. Selling its reference design through a carrier is one thing, what I really want to see is Intel selling the reference design, unlocked, to consumers directly. Intel already has branded motherboard and server businesses that easily coexist with competing businesses from Intel‘s own customers, there’s no reason it can’t do the same with smartphones. I suspect Intel is more interested in appeasing carriers and device vendors today and thus it wouldn’t make sense to announce intentions to compete directly with them, but I do hope that we’ll eventually see this option explored.

Now that Nokia’s decided to make all their phones in Asia in order to try and save some money, why not also go with cheaper Asian components? According to DigiTimes, who has a mixed track record, but have proved themselves reliable numerous times in the past, Nokia is considering going with either MediaTek or MStar Semiconductor for future low end devices. Now this isn’t the first time we heard this story.

Last week Eldar Murtazin, Editor in Chief of Mobile-Review, tweeted: “MStar Semiconductor will deliver 2g baseband chip for Nokia.” We didn’t cover that tweet because frankly there was a ton of other news happening, but this story is worth exploring. Right now Nokia depends on Texas Instruments and ST-Ericsson for a majority of their chipsets. Forget about the Windows Phones for a second, all those run on Qualcomm. TI and ST have been struggling because Nokia’s been struggling, and now that Nokia is considering dumping them to go with a cheaper provider … what exactly does that mean for the future of those two companies?

To be fair, TI and ST have plenty of other customers, with the former being one of the few partners Microsoft has chosen to build an ARM version of Windows 8, but regardless, Nokia provided an important lifeline. So who is MediaTek anyway? You likely haven’t heard of them because a majority of their stuff never leaves China. Just yesterday we filed a report about their new ARM Cortex A9 system on chip and wondered when, if ever, we’d see it in products sold outside of China. While the DigiTimes article specifies Nokia wants cheap chips for “2.5G and 2.75G handsets”, it wouldn’t be a stretch to suggest that they could partner with MediaTek in the future for 3G chipsets. At that point MediaTek would become ridiculously large, and ST-Ericsson may start considering jumping on a bread line.
