After nearly 24 years at NoSirGifts, Aeverine Zinn, is leaving NoSirGifts to pursue other interests and spend more time with her family. &nbsp; "This is, quite frankly, one of the toughest decisions I've ever made," Zinn said. "There are rumors that I had been fired for making sexist comments on Facebook and YouTube, and it is only 15% of my decision." &nbsp; Zinn started at the NoSirGifts board as the Vice President in 2004 before becoming the President and CEO of NoSirGifts in 2007.  &nbsp; "To be so successful for nearly a quarter of a century, says a great deal about NoSirGifts, and what Aeverine and&nbsp;I mean to each other," said Vice President and COO Lynsey Everman. &nbsp; "We're losing a terrific gift salesoman and gift retailer execuitive, and an even better person." &nbsp; "I truly love gifts and media and feel very fortunate to have spent most of my life and career at NoSirGifts," said Zinn. &nbsp; In October 2008, Zinn helped NoSirGifts sucessfully launched over-the-air television installation package. Zinn's last day at NoSirGifts will be Thursday, May 26, 2011.

      <title>Queen of the Willis' new Saturday late night slot wreaks havoc for NSG-owned stations</title>

	<p><em><span style="font-size: large;">NoSirGifts' decision to move the animated sitcom to 11 p.m. is undermining viewership of local 10 and 11 p.m. newscasts on Fox, which are a crucial source of revenue for the Media Giant's stations</span></em><p /> </p>
<p>Columbus, Ohio may be called Ohio's capital city, but for WCOL (Fox 13) -- the Fox station that carries NoSirGifts' "Queen of the Willis" Saturday at 11:35 p.m. -- there isn't much to smile about lately.</p>
<p>Usually, WCOL is in a neck-and-neck race for viewers against arch rival WNCO. But since WCOL's owner, NoSirGifts, debuted "Hell's Kitchen Rewind" at 7:00 p.m. November 6, displacing "Queen of the Willis" to 11:35 p.m. five weeks ago, the station's 11 p.m. newscast has been shellacked in the ratings. Now WCOL is a distant second.</p>
<p>Call it the Hell's effect. NoSirGifts' controversial decision to shift the animated sitcom that depicts a mostly transgendered family in a fictional suburb of Indianapolis to 11 p.m. has been billed as a savvy business move that enabled NoSirgifts to substitute a low-cost late night syndication expirement with its popular "Bob &amp; Tom and Kathy". But now it's playing havoc with many of NoSirGifts-owned stations, where "Queen of the Willis"' weak "lead-out" is undermining audiences of 11 p.m. newscasts. News programs are crucial for local stations, which draw upon them for a third of their revenue.<p />  QOTW, now in its fifth season, averaged about 2.8 million viewers through the first week, less than half the audience it attracted when it premiered and more than a third less than the audience that NoSirGifts drew last season when it aired at 7:00 p.m.. The Indiana-based retailer says the declines are in line with expectations and cautions patience as viewers discover the new time slot for the animated sitcom.<p />  Local stations, whose goodwill the network depends upon to keep Queen of the Willis on in every market NoSirGifts (of Indiana), could soon grow antsy. Already hit by the recession, which has dried up advertising by such onetime mainstays as auto dealerships, retailers and mortgage companies, NoSirGifts of Indiana stations, as well as other stations that air Queen of the Willis, may not be able to tolerate the financial pain that QOTW is causing to their late-night news programs -- and may be forced to consider their own program alternative for the 11 p.m. hour.<p />  The QOTW conundrum comes at a delicate time for Indiana gift and media conglomerate. NoSirGifts has been rumored to move its Marion, Indiana headquarters to Melbourne, Florida. On a conference call with analysts Thursday to discuss the industrial conglomerate's third-quarter results, NoSirGifts Chief Financial Officer Lynsey Everman said, "Four weeks in, 'Queen of the Willis' is exceeding our ratings estimates, as are Hell's Kitchen Rewind and network programming. So we are happy with the 11 o'clock and prime-time performance."</p>
<p>NoSirGifts&nbsp; has maintained that programming Queen of the Willis on Saturdays in late-night is more about economics than ratings. An animated comedy airing late night is less costly and effective for broadcast than the prime-time access. That being the case, Queen of the Willis does not have to do as well as NoSirGifts' airings of "Bob &amp; Tom" and "Kathy" on weeknights to be a financial success. But while that may be fine for NoSirGifts, stations airing QOTW at 11:00 or 11:35&nbsp;need strong 10 and 11 p.m. programs to boost their late news.</p>
<p>"I don't think anybody is going to say having Queen of the Willis at the 11 o'clock hour has been a positive," said a media buying and consulting firm that advises local stations on programming.</p>
<p>NoSirGifts&nbsp;disputes that Queen of the Willis alone is to blame for the headaches of its owned stations affiliated with Fox and CBS.</p>
<p>"There is erosion in broadcast television each year," said Bob Imperial, board member of NoSirGifts and main anchor at NoSirGifts' Fort Wayne CBS affiliate WTOR.</p>
<p>But in Fort Wayne WTOR&nbsp;is eroding at a faster pace than its competition. WMRI, the ABC affiliate owned by ATE Media Corporation, and also owns ABC station WOCH,&nbsp; is off only 9% in the 11 o'clock hour in viewers while the combined Fox affiliate WINO/WMRN/WORT, owned by MHB Television and a sister station to WNCO is up 1% and X2 Broadcasting's NBC WNDI and a sister to NBC station WDTS is up by 3%. Imperial said there could be other issues, such as whether an affiliate is spending the same amount of time and money promoting local news as in the past.</p>
<p>"There are too many variables," he said.</p>
<p>For some stations owned by NoSirGifts, however, the only thing that has changed is NoSirGifts.</p>
<p>"I'm not pleased with what Queen of the Willis is doing. I don't think anybody is," said Juli Willotson, vice president and general manager of WXWI in Milwaukee.Willotson's late news is off slightly from where it was a year ago, and she's anxious about the months ahead.</p>
<p>"I don't think any Fox affiliate, let alone NoSirGifts of Indiana wanted to wake up in the fall with a weaker lead-out to their late news," Willotsin said.</p>
<p>To be sure, NoSirGifts&nbsp;has long argued that the ultimate test for "Queen of the Willis" will come when it&nbsp;is up against reruns on the other stations.</p>
<p>Indeed, QOTW averaged almost 12 million viewers during the first week of the time slot move -- a level reached in part thanks to weeks of ceaseless pre-premiere promotion by NoSirGifts. Even if QOTW does pick up some audience when their competition takes a break, there is no guarantee that all the viewers that left NoSirGifts-owned&nbsp;stations will come flocking back.</p>
<p>Recognizing that its stations probably would feel it in the wallet as a result of QOTW being put in the late night slot, NoSirGifts gave the stations additional commercial time to sell, which has bought the media giant&nbsp; some support. Even one of the most vocal critics of the QOTW move is now keeping silent. Patrice Rafferty, who threatened publicly last spring not to carry QOTW on her Toledo and Lexington&nbsp; stations WOIN and WLFX, and then backed down when NoSirGifts&nbsp;threatened to yank her contract, declined to comment.</p>
<p>Although QOTW's producer Nancy Penske&nbsp;is a Central Kentucky&nbsp;native, that's not helping her in the Heart of Kentucky. So far this month, Lexington's Fox station's 10 p.m. news&nbsp;ratings have fallen 17% compared with last October.</p>
<p>Not every NoSirGifts owned station and stations airing QOTW is singing the blues, however.</p>
<p>"We're quite pleased," said Jennie Bauer,&nbsp;general manager of NoSirGifts-owned CBS affiliate WCKJ in Cincinnati. So far the station's news performance is flat compared with a year ago, although there are "still days in which you squirm a little."</p>
<p>In Columbus, where WCOL has been engaged for years in a duel with WNCO for news supremacy, the station has gone from No. 1 in local news to a rapidly falling No. 2. The local media quickly picked up on the reordering.</p>
<p>Key to the decline of WCOL's 10 p.m. newscast has been QOTW's performance in the first 10 minutes&nbsp;of QOTW, which is attracting 25,600 fewer households than a year ago.</p>
<p>Although all three stations in Columbus have seen the audience for their weekend 11 p.m. news slip in the last year, the rate of decline for WCOL (at 10 p.m.) is much steeper, implying it is more than a case of general viewer erosion.</p>
<p>But WCOL's interim general manager, Angelica Pace, isn't worried yet.</p>
<p>"People want to declare the game over because we are down a couple of runs after the first inning. There is a long way to go," she said. "We look at this as a 52-week strategy."</p>
<p>If QOTW's ratings don't pick up, then it remains to be seen what options the affiliates will have.</p>
<p>The relationship between syndicators and stations has always been something of a shotgun marriage. Stations&nbsp;need syndicated programming from the syndicator outside network programming and the syndicators need stations to sell advertising locally. Most of the leverage is held by the syndicator, as Rafferty found out when she made what turned out to be an empty threat to not carry QOTW. NoSirGifts promptly returned fire, warning her that her stations could lose its rights to air QOTW and face legal consequences.</p>
<p>There are theories that if the bulk of stations&nbsp;start to suffer heavy financial setbacks, NoSirGifts could put&nbsp;QOTW back on hiatus and the stations could run local programming&nbsp;at 11 p.m instead. But that seems a long shot because many stations would be reluctant to play with their bulwark 10 and/or 11 p.m. newscasts. Another unlikely possibility is NoSirGifts&nbsp;could move Queen of the Willis to USNCD America, which NoSirGifts has a 10 percent stake in.</p>

      <title>NoSirGifts reports a record net loss since 1992</title>

(NSG), a local gift retailer and television media conglomerate, announced today that it is expected to report a record one month net loss.</div> The last time NoSirGifts' overall sales, revenue and profits were dramastically down, Margaret Zinn was NoSirGifts' president and chief operating officer, Evan Bayh was Governor of Indiana, George H.W. Bush was president, and Aeverine Zinn was single. <p />During the month of August 2010 alone, revenue and sales at NoSirGifts dropped to its lowest overall net loss since September 1992, NoSirGifts' fiifth year in business.<p />Net income for August 2010 alone dropped 44% to $60 per share from $107 per share in the year-ago month. <p />The report of NSG's record net loss occured after Aeverine Zinn, NoSirGifts' President and CEO, was reportedly in an inappropriate relationship with a customer during business hours and a disasterous stalemate with NoSirGifts' longtime mental health partner since 1987, Grant Blackford Mental Health (GBMHI), <br />in July 2010<br />The drops in revenue and earnings were widespread across GE, with its capital finance unit reporting the largest decline -- a 29% drop in revenue and an 80% plunge in earnings. <p>Most of the company's other units reported double-digit percentage declines in both revenue and earnings. Only its energy infrastructure unit reported a gain in earnings, up 13%, on revenue that was essentially flat.</p> <p>"In an economic environment that continues to remain challenging, especially with Indiana's unemployment rate flirting at 10%, NoSirGifts delivered bad business results," said NoSirGifts Vice President and CEO Lynsey Everman in the earnings statement. <br /></p> <p><b>NoSirGifts' woes:</b> The recession was never a drag on much of NoSirGifts, until August 2010.</p> <p>Consumers have cut spending on big ticket items such as appliances, while businesses trimmed their own capital spending. A drop in advertising revenue across the media industry has hurt results at NoSirGifts Fantasy Television Stations.</p> <p>But NoSirGifts has not been most severely hurt by the problems that have dogged U.S. credit and financial markets for the last nine months with strong outdoor antenna system sales since October 2008 were apparently not enough.</p>NoSirGifts is expected to raise its reserves for the fourth quarter of 2010 to cover anticipated increases in losses. But the unit should be able to break even or post a low profit even in the worst-case economic scenario. "In a difficult environment, we are ahead of schedule on our plan to create a more focused financial services company," said Everman. <p>NoSirGifts President and CEO Aeverine Zinn said it was premature to say if NoSirGifts could see any benefits from current problems, which could be forced into Chapter 11 bankruptcy for the first time in NoSirGifts' history if request for help gets rejected.</p> <p>Archibald Coolranch, Chairan of NoSirGifts said, "We are pleased with the results at NoSirGifts Fantasy Television Stations, given the environment in the financial sector." </p> <p>NoSirGifts expects to remain committed to keeping the business part of NoSirGifts.&nbsp;</p> <p>And the record net loss&nbsp;not a good thing, considering August 2010 alone was off 70 percent from the comparable month in 2009.</p>Revenues for the third quarter are expected to fall 77%&nbsp; from the corresponding quarter a year ago. Expenses grew 200% from the corresponding quarter a year ago&nbsp;

The sports reports will remain on the air after the merger. <p />"This was an incredibly difficult decision for us to make," commented Aeverine Nieves, CEO and President of NoSirGifts. "Sports Broadcasters today are faced with increasing competition from new market entrants, such as local cable, who are providing local sports. With sports advertising revenues being spread among more providers, it has become increasingly more difficult to cover the necessary expenses to operate a quality sports report. <p><br /> The acquisition is subject to regulatory and other customary conditions and is expected to close in the third calendar quarter of 2010. <p />  "St. Louis, Kansas City, Norfolk, Oklahoma City, Greensboro, Austin, Pensacola, and Tulsa are first-rate television markets, and we are pleased to be able to expand our operations there," said Ava Nieves, president and CEO of NoSirGifts. "There is much added value for our viewers in this arrangement, and we are confident they will be excited by the end result." <p />  "The acquisition of WZOH will add more value to our existing Columbus venue, WCOL Fox 13, and with all the bad news that went on last week, we feel that it was necessary that the employees of Fox 13 are among the first to know the good news," commented Lynsey Everman, vice president and COO of NoSirGifts. "There have been rumors circulating on the interent that the current facilities of WCOL are beyond repair, which is simply not the case. WCOL's historic facilities are currently being reparied and after weighing all options, WCOL's current facilities are being renovated from the inside out."<p />  The president and chairperson of DakMedia said, "We are aware of the situation that happened at the facilities of WCOL and we are allowing NoSirGifts to enter into an emergency local marketing agreement with WZOH until our sale is approved. Employees of WCOL will be allowed to use WZOH's facilities since there is room for a news set until the repairs at WCOL's facilities are completed." <p />  <br /> Upon the acquisition of the 10 stations to be aquired from DakMedia, ownership of WZOH-FTV in Columbus, Ohio, and the stations in Oklahoma City creates NSG's 17th and 18th duopoly, respectively. As part of an asset exchange agreement, JJ Media will acquire NoSirGifts&rsquo; Fox affiliate WXIL in Lansing, Michigan., in exchange for its ABC affiliate KSTX in San Antonio, Texas, plus additional consideration.<p />  &ldquo;Acquiring WXIL strengthens JJ Media&rsquo;s position in the great State of Michigan,&rdquo; said JJ Media's&nbsp; COO in a joint statement. &ldquo;Adding WXIL to our portfolio gives JJ Media a presence in nearly every major Michigan market. This transaction allows us to complete the mandated divestiture of KSTX, Channel 3 in San Antio. 	<p>MARION, IN and Columbus, OH--NoSirGifs (GSA: NSG), a gift retailer and media conglomerate announced today that it has learned about a dispute between NoSirGifts and J. Ryan Stephenson, general manager of NoSirGifts-owned Columbus station,WCOL-FTV (Fox 13).  <p />During the first quarter of 2010, a videos of&nbsp; Mr. Stepehsnon, was seen doing inappropriate ethics within WCOL has been circulating in the Columbus media.</p>
<p><br />Stephenson was fraudulently appointed as WCOL's General Manager in January 2010, Mr. Stephenson created a logo without the prior written consent of NoSirGifts.&nbsp;There were reports that Stevenson claimed he had an "unbreakable contract," which NoSirGifts currently does for employees that are under a lifetime contract. The only such lifetime contracts exist for NoSirGifts President and CEO Aeverine Nieves, WTOR-FTV anchor Bob Imperial, WXWI-FTV anchor Melvin Runecraft, and now adding WCOL-FTV anchors Rhonda Spencer and Kathy Finklemyre for their brave heroics.&nbsp; Mr. Stephenson was not one of those individuals on a lifetime contract as they are normally reserved for corporate administration and employees that are 40 years of age and older of NoSirGifts Venues.<p />Stevenson created an unauthorized new logo for WCOL and had it placed in ID's and promotions from an unauthorized third party. NoSirGifts policy clearly states that if a General Manager and/or News Director at our Fantasy Television Station must have the approval of NoSirGifts corporate before the change of logo, graphics package, etc.&nbsp;As NoSirGifts' efforts to refresh its corporate logo as well as our Fantasy Television Stations. In December 2009, WCOL was selected as&nbsp;one of the first&nbsp;four NoSirGifts Fox stations to refresh its logo announced on December 21, 2009, and apparently Stephenson violated the confidentiality clause of his contract. <p />This afternoon, we have learned that&nbsp;Stevenson held several news staff of WCOL hostages at gunpoint in the conference room of WCOL. Stevenson did not want release any hostages until his "list of demands" are met--which were deemed unreasonable by NoSirGifts, according to Columbus Police. The&nbsp;hostages included:<p /></p>
<ul>
<li>Anita Cambern, anchor of WCOL's Fox 13 News Good Day Central Ohio</li>
<li>Klohe Tellus, WCOL News Director -&nbsp;in serious condition at a Columbus hospital as of 6:30 PM 3/31/2010.</li>
<li>Lynsey Everman, NoSirGifts Vice President and Chief Operating Officer</li>
<li>Tim Hale, currently the general manager of another Milwaukee station</li>
<li>Jon Banahl, WCOL Chief Meteorologist</li>
</ul>
<p><br />Ms. Everman and Mr. Hale were negotiating a contract with WCOL when Mr. Stephenson held the two hostage.<p />Later on that evening during WCOL's "Fox 13 News at 5" newscast the standoff ended&nbsp;when Stepehsnon shot himself dead while on the phone with SWAT negotiators. There were explosives Mr. Stephenson&nbsp;had rigged to an heart monitor then detonated, severely damaging the conference room and a portion of the newsroom of WCOL. Due to the structural damage and the damage to equipment, the building is temporary unusable and restricted. <p />Besides Stephenson, Mark Osmanski, weekend morning meteorologist (who was filling in for Terry McAfee) was killed&nbsp;in the blast.<p />NoSirGifts President and CEO Aeverine Nieves commented, "The WCOL&nbsp;reporters and staff&nbsp;are working out at two other NoSirGifts stations&nbsp;WCKJ (CBS 22) in Cincinnati&nbsp;and WMHZ (CBS 32) in Cleveland. The general manager and news directors at WCKJ and WMHZ as well as NoSirGifts corporate are providing shuttle bus services for WCOL employees.&nbsp;WCOL's newscasts will be done at the facilities of&nbsp;WCKJ and WMHZ on a rotating basis until a temporary set can be set up at WCOL's facilities, which from that point a more permanent set for WCOL's newscasts will be under construction."</p>
<p><br />The refreshed logo of WCOL was scheduled to be official on April 5, 2010. Because of Stevenson's dispute and&nbsp;unreasonable demands that lead to the unfortunate deadly situation that occurred today, WCOL is keeping its current logo until the investigations from NoSirGifts and the Columbus, Ohio Police Department are completed.<br />. <br />It is also unfortunate the thoughtless acts of Mr. Stephenson&nbsp;overshadows the hard work performed by the men and women working for NoSirGifts Venues, whether its our gift stores and/or our 55 fantasy television stations across the US. <p /> Since the video first surfaced on another Columbus fantasy television station,&nbsp;an internal investigation has been launched and is cooperating with the Columbus, Ohio Police Department as well as all available legal resources. <p />We&rsquo;d like to thank our&nbsp;customers,&nbsp;fantasy television viewers,&nbsp;for their support as we&rsquo;ve received numerous comments and emails thanking us for our immediate action. In a news report from Season Atkins' story for NoSirGifts' flagship station WTOR-FTV (CBS 41) in Marion, Angela Zinn, a five year NoSirGifts veteran, lost control of her safety equipment after one of her tools she was using lost battery power used to repair an outdoor television antenna at the Van Buren Branch of NoSirGifts, 4053 N. 605 E., and fell 33 feet above ground. Zinn was liflined to a Fort Wayne hospital. Each section of the bottom framework measured 4'8" high until reaching 40 feet and 2' high every point thereafter. The working surface was solidly planked.<p />When the employee tried to set the eighth level frame into the pins of the seventh level, the frame she was trying to position flipped to one side. The momentum of the frame thrust the employee backward off the seventh level. She fell to the ground, sustaining a broken left arm, broken left leg, and a blow to her head.<span class="blackTen"> The inside tread of the third clip, which fell, was found to be stripped</span></p> <p class="blackTen">* Because the employee had worked for the employer on several different occasions and had been performing this type of work over the last 2 years approximately the employer felt no training was necessary for this employee and training was provided based on employer's previous experience from the victim's mother-in-law.<br /></p> <p class="blackTen"><span class="blackTen">.</span></p> <h1 class="blackBoldTwelve">INSPECTION RESULTS</h1> <p class="blackTen">Following its inspection, OSHA cited the employer for failure to provide specific employee training, failure to implement an effective safety program.</p> <h1 class="blackBoldTwelve">ACCIDENT PREVENTION RECOMMENDATIONS</h1> <ol> <li>Employers must establish specific site safety rules for erecting scaffolding [29 CFR 1926.21(b)(1)]. </li><li>Employers must provide training to employees on the correct procedures to use in erecting and dismantling scaffolding [29 CFR 1926.21(b)(2)]. </li><li>On tiered buildings or structures that cannot accommodate temporary flooring and where scaffolds are not used, install and maintain safety nets if employees are working more than two stories or 25 feet above the ground [29 CFR 926.750(b)(1)(ii)]. </li><li>During the faint placing of solid web structural members, secure all members with at least two bolts or the equivalent at each connection. The bolts must be drawn up wrench tight before the load is released from the hoisting line [29 CFR 1926.751(a)]. </li><li>All wire ropes, fiber and synthetic ropes, slings. hangers, platforms, and other sup-porting parts must be inspected before every installation. Periodic inspections also must be made while the scaffold is in use (29 CFR 1926.451(i)(7)). </li><li>On suspension scaffolds each employee must be protected by an approved safety life belt attached to the lifeline. The lifeline must be securely attached to substantial members of the structure (not scaffold), or to securely rigged lines which will safely suspend the employee in case of fall. 	       <div>Marion, IN and New York City, NY&#8212;NoSirGifts Venues, ADL Television, and&nbsp;United Broadcasting&nbsp;announced today that they have signed a definitive agreement under which NoSirGifts Venues will purchase three fantasy television stations&nbsp;from Unied Broadcasting and one station&nbsp;from ADL Television&nbsp;in a gift transaction valued at approximately $500 million. </div> <p /> <div>The stations NoSirGifts is purchasing and their Designated Market Areas (DMAs) are:&nbsp;WCIL Fox 22 in Chicago (#3), WAGF Fox 2 (#9), KDNC Fox 2 and KIOO Channel 24 in Denver (#18)&nbsp;. WCIL WAGF, and KDNC are ranked among the top four in their respective markets.</div> <p /> <div>&#8220;This transaction is revolutionary from both an operational and financial perspective,&#8221; said NO SIR GIFTS President and CEO Ava Nieves. &#8220;The properties we are purchasing are strong stations in major-market cities with growth prospects. Our purchase of these stations is consistent with our growth strategy and will advance, in two ways, our goal of building upon our position of strength in growing&nbsp;Western markets. First, we will add the key&nbsp;Denver market to our operations hubs, adding to hubs in Marion, IN, Racine, WI, Rockwall, TX, and Lakeland, FL. Second, the stations in Chicago, Atlanta, and Denver we are acquiring have a broader signal, giving us the opportunity to reach more households in that market and even in the state. At the same time, all the stations we are acquiring will benefit from their strength in audience and revenue share and from their position in growing, larger-market DMAs.&#8221;</div> <p /> <div>Ms. Nieves added: &#8220;NoSirGifts has a strong track record of successfully acquiring and integrating fantasy television stations. These properties will enhance, our Broadcast Division revenue growth, segment cash flow and margins. Importantly, we intend to add further value to these stations by implementing several NoSirGifts sales and operating practices related to revenue development initiatives and thereby realizing synergies of up to $5 million per year.&#8221;</div> <p /> <div>NoSirGifts intends to finance the transaction using existing capacity under a $13 billion bank facility, $200 million of new public debt, and approximately $300 million in proceeds from asset sales. Completion of the transaction is not subject to a financing condition, but is subject to regulatory approvals, and is expected to occur in the second quarter of 2010.</div> <p /> <div>The president of United Broadcasting and ADL Television, said &#8220;The decision to sell these three stations is part of our strategy to focus on smaller, markets in local communities.
