What things i need to care when working with developer on startup ?

Hi,

I am about to start a project for india, which is based on some local stuff and all. I am looking for developer which helps me to develop this project on partnership bases. I am discussing with two developement company.

I am working on UI, basic structures, flow, functionality issues, marketing both online -offline, content, sales and customer support.

The developer should work on coding, integration, development and design

Can you give me an Idea what kind of points i will need to discuss the things.

Like ..

How to decide the partenrship like 50 – 50 or some other ratios ?
How to divide the expenses between two of us ?
Is it anything we need to include for exit thing ?
What if he is running a software company, do we need to think on work place for this start up ?
do I need to give him a guideline, and the implications of not following guideline ?
What we do for domains and other IP’s ?

e-commerce portal – Sales Tax registration and office address

I plan to start an ecommerce portal where electronic gadgets accessories would be sold. Business would be started as sole proprietorship.

My question is do I need to register for sales tax/VAT right now even if the total sale is below 1lac in first year.

My second question is that I would be providing the full address on the portal and I wish to know if this has to be a commercial address or a residential address is also legally valid.

Partnership,LLP or private company?

Hi, Along with a friend of mine, we are planning to start a very small venture by putting in 50,000 INR each. We do not know whether it would be a success or not and also, there are chances that it might not work out and after trying out for 6 months if it does not take off then we might abandon it. On the other hand, if it gives us returns we would want to continue with it and maybe also hop on to other kinds of small businesses. The venture has got nothing to do with manufacturing or providing of any personal service. Rather, it is more of an assimilation kind of service with direct delivery of goods to end consumers. I have been reading up on the nature of the entity that can be formed and would need guidance on whether a partnership firm or an LLP or a private company should be formed. If we form an LLP, can we carry on different kinds of ventures under the same LLP concern? Private company has got greater compliance issues compared to an LLP and I think compared to a normal partnership firm an LLP would be better. However, it would be great if someone can guide us on this matter please.

I am into freelance web/software development along side my job. I have done fairly enough work like that and am getting quite a few projects. I want to take a stab at setting up my own company for the same. However, i still want to do this as a very basic startup, similar to a sole proprietorship business. The problem is that I work along with a friend of mine and if at all a company is set up for this work, it has to include both of us. What kind of registration should I go for that requires:

1. least legal and paperwork

2. winding up should be easy enough

3 there’s no fixed frequency of the earnings so I should not be liable to pay any taxes if I do not work for a very longer period

4. the taxes that are to be paid, should be only applicable if I have delivered a project and received some payment

Acquisition.. when is the right time

We are a profitable startup working in a high growth industry / area. During the slump of 2008-09 we suffered sever cash crunch and were looking for exit but at that time we could not.
We then rebuilt the business from scratch and are now profitable for past 2 years with healthy Y0Y growth.
We have now received an acquisition offer which may put the valuation of company to max 3 times revenue which we think is less.
The question is, should profit making startup look for exit at first possible opportunity and bargain for valuation? Especially since I know how tough it is to exit when times are bad ?

PHP Framework for content site

We need to select a PHP framework which can work with custom databases. CMS like Drupal and WordPress are ruled out as they have their pre-configured database structures.

Hello

Can I operate 2-3 websites or classes/services and ask students for all the 2-3 websites / classes/services to pay me under one name?

For example:

I have one a sole proprietorship frim – Universal Learning

I have 3 websites – 1)www.designtraning.com 2)www.learnphotography.com 3)www.guitarclasses.com

Now i have few students under each site. So can I collect fees from students under these 3 classes / sites as Universal Learning?

What is the average failure rate in an indian online payment gateways like BillDesk, CCAveune, EBS, HDFC..etc. Out of every 100 online transactions, how many of them fail? Is there any industry standard which have been derived based on the past data.
