The meat-eaters among you may truly believe that bacon makes everything better; and folks from Iron Chefs to everyday-Joe’s will pay up to $35 a pound for gourmet bacon cuts. However, these delectable pieces of smoked pig are highly processed with numerous toxic chemicals such as nitrites, sodium nitrate, and other products that cause cancer. In particular, your risk of pancreatic cancer increases two-fold after eating processed meats such as bacon and sausages, reports the British Journal of Cancer.  As little as one sausage or two slices of bacon can increase your risk factors for pancreatic cancer by 51 percent.

After more than three years of investigating the largest corporate bankruptcy in U.S. history, the Securities and Exchange Commission is reportedly dropping the case against Lehman Brothers.

“The staff has concluded its investigation and determined that charges will likely not be recommended,” reads an internal SEC memo, obtained by Bloomberg.

Gee, go figure.  Former bankers investigating bankers.  When I was a child, we called this a merry-go-round.

If true, this is ‘a travesty of a mockery of a sham of a mockery of a travesty of two mockeries of a sham,’ to quote Woody Allen’s Bananas.

In 2010, the court appointed examiner for Lehman’s bankruptcy concluded Lehman executives used “materially misleading” accounting gimmicks in the months prior to its September 2008 bankruptcy.

Specifically, Lehman “reverse engineered the firm’s net leverage ratio for public consumption” to the tune of $50 billion, according to Valukas. This refers to the now infamous accounting practice called a Repo 105, whereby Lehman offloaded some of its most toxic assets at the end of the quarter in order to temporarily reduced the leverage it disclosed in quarterly filings.

U.S. Securities and Exchange Commission investigators have concluded their probe of possible financial fraud at Lehman Brothers Holdings Inc. without recommending enforcement action against the firm or its former executives, according to an excerpt of an internal agency memo.

Lawmakers and investors have pressed the agency for more than three years to determine whether Lehman misrepresented its financial health before filing the biggest bankruptcy in U.S. history in September 2008.

Under a heading reading “Activity in Last Four Weeks,” the undated document reads, “The staff has concluded its investigation and determined that charges will likely not be recommended.”

SEC officials didn’t dispute the authenticity of the memo or its contents.

Pressure on the agency to punish any wrongdoing related to Lehman’s collapse escalated after Anton Valukas, the court- appointed bankruptcy examiner, found the firm misled investors with “accounting gimmicks” that disguised its leverage.

Senior SEC officials have been reluctant to formally close the matter even though investigators found a lack of evidence of wrongdoing, according to people with direct knowledge of the matter. The officials have weighed issuing a public report on their findings that would stop short of an enforcement action while highlighting the firm’s questionable conduct.

SEC Chairman Mary Schapiro said the case was still “under investigation and analysis” when she testified at a congressional hearing last month.

“Our staff has conducted an independent and extremely extensive investigation of all these issues,” Schapiro said in the April 25 hearing before the House Financial Services Committee. “They have searched through millions of pages of documents. We have taken testimony of all the key people including members of Lehman senior management, outside accountants.”

John Nester, an SEC spokesman, said the case remains under review.

“As the chairman said, it’s still under review and no final decision has been made,” Nester said in an e-mail.

I recently bought and dismantled a 14 ft. RV trailer for tiny house parts. I thought you avaricious do-it-yourselfers might find the story interesting.

It was a pretty moldy RV, with some appliances inside and an undamaged trailer frame. My goals were to get those two things out of it, and when all was done, I was about 80% successful in doing so.

Costs:

• Purchase price: $300
• Licensing: $23 (it had current tabs)
• Work gloves, dust masks: $10
• Sawzall demolition blade: $7
• Contractor trash bags (for loose debris and fiberglass): $12
• Diesel fuel for the project, towing it home and delivering recyclables: $55
• Local landfill fee (plywood, broken glass, fiberglass) $99

Working Interior

Labor:

• Towing home: 5 hours
• Teardown, recycling, cleanup: 13 hours
• Total costs/labor: $506 and 18 hours

Not bad.

Here’s what I ended up with:

• RV range/oven
• A small sink
• Hand pump faucet for fresh water
• Polyethylene fresh water tank
• A small 120v refrigerator
• 2 new 5 gal propane tanks
• 5 aluminum frame louver windows (others were broken during demolition)
• 2 leveling jacks
• Recycling of aluminum and copper: a check for $125!
• A 14 ft x 7 ft trailer frame (see notes below)

So, was it worth it?

It was messy work, especially tearing the floor structure off the frame. And the floor structure was the moldiest part. Hauling was hard work. All the recyclable landfill waste fit into my truck, but I have a fairly huge old Ford. The weight of all that wood/glass/etc. was 1660lbs.

Recycling the metals was a little more fun. I had 149lbs of ‘clean’

Aluminum and 41 lbs of ‘dirty’ aluminum (that I couldn’t get the screws/staples out of.)

And 15 lbs of copper pipe and wire. They weighed it all, then printed me a check. If you are going to reclaim metals, check with your local recycler first. Sort everything out before you pull up. If it is mixed, they may not take it OR they may give you the lowest rate possible.

The louver windows are going to my friend, Charlie, to use in his camper restoring project.

RV appliances are sometimes usable for tiny houses — sometimes not.

Many are not built for day-to-day use. The ones I got are OK though, but required a good bit of cleaning. I had to repaint the metal top of the range, because it had rust spots.

I am an electrician, and I chose to dispose of all old electrical outlets, switches, wire, light fixtures, etc. They just didn’t seem to be in great condition. There is definitely a safety concern with using old electrical equipment.

The trailer frame is OK. I realized that I will have to add quite a few things to make it usable for a tiny house: new fenders, more steel cross-members, and a complete rewiring. This won’t cost me much, because I am a welder, and have shop space to do it in. But for some, this may be a deal-killer. If you hired someone to do all the aforementioned improvements, it could cost as much as a new trailer frame. Still, if reclaiming materials is your goal, this might be acceptable.

Well, there you have it. A very moldy RV is getting reborn in various ways, notably as a tiny house foundation!

Clinton Goes Commando, Sells Diplomats as Shadow Warriors … Clinton, wearing pearls and a silver and black blouse, climbed the stage and began to speak. And soon it all made more sense. It happened again at the recent Tampa-based conference, “Building the Global SOF Partnership”.

The US military staged a mock drill [utilizing Special Forces] on US soil.

It wasn’t just the US, either. Some 90 nations supposedly participated in the drill, which aimed to “rescue” Tampa Mayor Bob Buckhorn, supposedly kidnapped by terrorists. There were helicopters overhead and a tactical assault showed up by water. Then, special ops teams invaded a “terrorist village” near the Convention Center and rescued the mayor, who said he was grateful.

The ongoing militarization of all phases of US society via Homeland Security searches and military training exercises surely should be of concern to those who are searching for a less warlike and aggressive United States.

But the pendulum continues to swing in the other direction. While the mock drill received a lot of attention in the alternative media, statements of the guest of honor, Hillary Clinton, are worthy of equivalent concern.

The Secretary of State seemed to inform the conference that the State Department now had the unilateral authority to declare a limited state of war via an expanding liaison with US Special Operations Forces. Here are some direct quotes:

“… We created a new Bureau of Conflict and Stabilization Operations that is working to put into practice lessons learned over the past decade and institutionalize a civilian surge capacity to deal with crises and hotspots.

Experts from this new bureau are working closely with Special Operations Forces around the world … Our diplomats also saw that the UN staff in the region could be useful partners. So they worked through our team in Washington and New York to obtain new authorities for the UN officials on the ground and then link them up directly with our Special Operations Forces to share expertise and improve coordination.”

The State Department and US Special Operations – a new, unelected, and unaccountable power in the world?  It is broader still …

We have to keep our international cooperation going and growing at every level. Next week I’ll be heading to Europe, and I’ll end up in Istanbul for the second meeting of the new Global Counterterrorism Forum, which we helped launch last year. Turkey and the United States serve as the founding co-chairs, and we’ve been joined by nearly 30 other nations.

Who has given Ms. Clinton the brief to do such things? She characterizes these conflicts as low level but there are no guarantees they will stay that way. And what are the criteria for her mandates? And who is she to consult with? Constitutionally, only the US Congress has the right to commit US troops to war.

US President Barack Obama, through surrogates such as Defense Secretary Leon Panetta, is now claiming that his administration can commit US forces based on international (UN) mandates and the like. Congress is to be consulted only secondarily. But Clinton seems to be taking it a step further. She apparently wants the personal power to do the deed.

There are voices raised generally against these sorts of declarations. At the highest level, libertarian/GOP Congressman Ron Paul (R-Tex) has used his presidential campaign to demand that the US bring home its troops and special agents from nearly 1,000 bases worldwide.

This would not suit Clinton, who is a globalist with a book to her credit, entitled, “It Takes a Village”.  She knows full well that there are plenty of questions about the so-called “war on terror” but gives credence to even its most questionable elements.

Pakistan-oriented “Opinion Maker” posted an article (“Clinton Bares All”) shortly after her speech. Here’s the conclusion:

Today the diplomatic meddlers have networks of NGOs (non-governmental organizations) to assist them with the process of spreading the “pork” locally and creating new false narratives which mirror the latest fashionable lies being peddled by Washington’s other sources.

You see the process most completely in the fate suffered by Libya, or Syria, or that visited upon the people of Iraq. At the end of the “smart” process is nothing but war and local devastation giving the US and NATO military a foot in the door.

Now Ms. Clinton has proclaimed the right to direct that “foot in the door.” The civilian and military conversation in the US is moving steadily in the wrong direction.

This should be of concern not only to US citizens who want a less warlike US but also to the world community at large.

Recall when Zero Hedge said two weeks ago that in the age of ZIRP, corporate balance sheets simply do not matter. The reason for that conclusion was of course the endless public debates over whether Chesapeake’s massively overleveraged capital structure would lead to its demise.

Our view was that while balance sheets certainly matter in a normal market, one not dominated by central planning and endless hunger for yield, in the new ZIRP normal, none of the old school metrics of solvency, viability or even profitability matter. One person who appears to have agreed with our assessment, and put his money where his mouth is, or $775MM more specifically, is none other than legendary corporate raider Carl Icahn, who minutes ago announced that funds controlled by Icahn have raised their stake in CHK to 7.56%, making him the second biggest holder of the stock, and in a letter just sent to the CHK Board, in rather angry tones, demanded 2 board seats for his own representatives and 2 for Chesapeake’s largest shareholder Southeastern Asset Management.

Below we chart just how it is that beginning on April 19 at a price of $18.03, Icahn’s funds accumulated over a period of 18 days, a total of 49.4 million shares of stock at what appears to be a Volume Weighted Average Cost of $15.70/share, meaning that as of the stock spike on this announcement he is currently in the money.

Ladies and Gentlemen:
 
The past several weeks have proved a difficult time for shareholders of Chesapeake Energy.  The basic function of a board is to oversee management and to hold it accountable.  We believe the board has failed this duty in a dramatic fashion.  Rather than act as a source of stability and provide assurance to shareholders, this board has led the company through a highly publicized spate of corporate governance breakdowns while amassing an astounding $16 billion funding gap, which we believe has contributed to the share price decline of over 55% from the 52-week high.
 
We are not alone in criticizing this board.  Shareholders have filed lawsuits, withhold campaigns and have otherwise voiced disapproval and all three major proxy advisory firms (i.e., ISS, Glass, Lewis and Egan-Jones) have advised shareholders to withhold votes from directors at the 2012 annual meeting.  Chesapeake shareholders will benefit neither from a constant stream of negative news reflecting upon the companies troubled past, nor from a half hearted attempt by the board to make the minimum possible number of changes to skate by for one more year.  The board must not only find a way to eliminate the enormous funding gap, but also the more substantial creditability gap.
 
We recently had dinner with Aubrey McClendon to suggest a manner by which that credibility gap might be filled.  The company has publicly identified several actions including reduced spending and asset sales which will relieve some of the funding gap, yet the board still seems to miss the point.  We believe that a management team and a business plan without strong oversight and accountability is doomed to fail.  Accordingly, at that dinner we asked Aubrey to consider direct shareholder representation on the board. The next day we were informed that the board refused to even consider this request prior to the selection of a chairman of their choosing.  We believe that this response was completely disingenuous and illogical.  Why is appointing a new chairman, sometime out in the future, an excuse for putting off considering whether to have shareholders, the true owners of the company, have immediate representation on this very flawed board in this very fluid situation?
 
The board has recently announced that it is going to select a new Chairman and separate the Chairmanship and CEO roles. While this is certainly a step in the right direction, appointing a new Chairman in the manner that Chesapeake is doing, does not exactly elevate corporate governance to the “gold standard” as the board would have shareholders believe, instead it is woefully inadequate in both process and substance. Having the current board select a new chairman without shareholder approval and without allowing for shareholder representation is akin to asking the fox, who has plundered the hen house, to choose another fox to assist it in standing guard over the remaining hens.
 
To engender any meaningful credibility among shareholders, corporate governance reforms cannot, in our view, be led by directors whose irresponsible actions have brought this company to the edge of the proverbial cliff.  Accordingly, we propose that at least 4 of the current directors (other than Louis Simpson) should be immediately replaced by two persons designated by us and two persons designated by another large shareholder such as Southeastern Asset Management, the company’s largest shareholder.  In our opinion, only when these changes are effectuated will the board be truly independent and more importantly will investors come to believe that promises made will be promises kept; when a capital plan is agreed upon it will be maintained, not diverged from as it has in the past.
 
We believe that shareholder representation on boards, even in a minority capacity, is an extremely powerful tool to instill accountability in a company.  This has proven to be the case in numerous companies on which we had minority board representation, including Motorola, Biogen, Genzyme, and Hain Celestial to name a few.  Moreover, as my past record has demonstrated, I work assiduously to increase the value of stocks in which my companies have invested, which has led to gains of billions of dollars for ALL shareholders, not just my firm. Over the last few years, our actions have led to an increase in aggregate market value of approximately $55 billion for shareholders at well over a dozen companies where we have played an activist role. These companies had a market value of under $20 billion when we first invested.  We would like the opportunity to do the same at Chesapeake.
 
We believe that Chesapeake has collected some of the best oil and gas assets in the world.  However, we believe that the low stock price today does not reflect the value of those assets; rather the stock price suffers because of the enormous risk associated with an ever changing business strategy, enormous capital funding gap, poor governance, and unchecked risk taking.  While the company has recently recognized that their strategy of exponential capital expenditure growth is not sustainable, they still seem unable to distinguish between having cash in the bank as opposed to the projected proceeds of a series of ever more complicated and risky on and off balance sheet financial transactions and the hope of higher commodity prices.  Now is the time for Chesapeake to focus only on what is important.  What is important is that this pernicious funding gap, which we believe this board has created, must be filled. The board must bite the bullet, come up with a realistic plan and stick to it. In our opinion, shareholder representation, especially on this board, is needed to make this happen. A new chairman alone, appointed by this board, will not accomplish this objective.
 
As I am sure you are aware, this is not our first investment in Chesapeake stock.  In late 2010, we acquired a substantial position in the company and met with management at that time to discuss the maximization of shareholder value.  In part, we believe, due to our presence, the company sold non-core assets, closed their funding gap and announced that they were through spending money on land.   Shareholders rewarded the company for this newfound responsibility, and the stock rallied.  However, without shareholder representatives on the board (a major concern for us at the time) the promises made in 2010 proved hollow, and the company quickly abandoned their new strategy and not only accelerated land acquisitions but also capital spending on non-core assets.  Recognizing this fundamental problem with the board, we sold our position.  That decision turned out to be particularly prescient.  The company’s stock price has plummeted by nearly 60% since that time and the board has watched the current events unfold without, in our opinion, any attempts to demand accountability.  Now more than ever, the company needs the stewardship of a strong board – a board that can instill confidence in the shareholder base and restore accountability and credibility.  If our suggested changes are not made at the board level immediately, we fear the company will be severely hamstrung in its attempt to regain its footing.  It seems to us that the board has been quick to insulate themselves from accountability to shareholders and has expressed no interest in demanding accountability from management.  A new plan and good intentions are insufficient to close the gap between asset value and stock price.  We must have a board whose primary concern is enhancing the value of shareholders, a board that has the strength to hold management accountable, and the willingness to be held accountable themselves.  In our view, only a board that has these attributes can enhance the value of this company.
 
We, as one of your largest shareholders, wish only the best for this great company and do not wish to bring about any additional distractions, however, we believe that without a strong board to demand accountability there is a significant chance that the value destruction shareholders have seen in the past few weeks may become irreparable.  We cannot stand idly by and allow this to happen. Therefore, if you continue to arbitrarily refuse the request we have made for shareholder representation, we, as activists, will immediately take whatever “actions” we feel are necessary to protect the value of this company.  As you are well aware, this is an extremely time sensitive issue, especially in light of the fact that you have refused to postpone the meeting that is coming up shortly. Therefore, we hope and expect to hear from you in the next few days.

I’ve recently taken a new job position that has landed me in the middle of farm country.  While there are a lot of work hours involved, I’m getting settled in and should be back to my usual 3-4 articles per day soon.  Please pardon the lack of updates as I transition into this new role!  It should only be for a few more days!

Please, continue sending article links, questions, and your awesome emails (well, most of the time… I love the hate mail, as well) and I will try to respond to all of them!  There are a few emails sitting in my inbox right now that I promise I’ll respond to, just give me a few more days!

On a positive note, and as I said, this move has landed me in farm country.  I’m excited about some of the conversations I’ve had with wheat, corn, and alfalfa farmers in this region regarding genetically modified crops, Big Ag, Monsanto, and more.  I’m also excited to get involved in local politics.  I was a State Delegate from Oklahoma County, and noticed that some of the less populated farm counties had poor turn-outs at the State Convention.  By living up here, I can get the troops rallied for liberty-oriented causes and try to spark a fire in the hearts of the patriots around here while breaking them away from their Faux News Channel.

I am deep behind the lines in Republican Neocon Territory!  Wish me luck!

China can now bypass Wall Street when buying U.S. government debt and go straight to the U.S. Treasury, in what is the Treasury’s first-ever direct relationship with a foreign government, according to documents viewed by Reuters.

The relationship means the People’s Bank of China buys U.S. debt using a different method than any other central bank in the world.

The other central banks, including the Bank of Japan, which has a large appetite for Treasuries, place orders for U.S. debt with major Wall Street banks designated by the government as primary dealers. Those dealers then bid on their behalf at Treasury auctions.

China, which holds $1.17 trillion in U.S. Treasuries, still buys some Treasuries through primary dealers, but since June 2011, that route hasn’t been necessary.

The documents viewed by Reuters show the U.S. Treasury Department has given the People’s Bank of China a direct computer link to its auction system, which the Chinese first used to buy two-year notes in late June 2011.

China can now participate in auctions without placing bids through primary dealers. If it wants to sell, however, it still has to go through the market.

The change was not announced publicly or in any message to primary dealers.

A new series this Fall from NBC looks like an exciting must watch for preppers (and we think some non-preppers may just be swayed into at least putting something away for an emergency).

While we can’t speak for the quality of the show, it looks quite interesting, especially the collapse of the power grid, which is something we’ve detailed in numerous posts and videos over the years.

Like Jericho, this one may prove to be pure Doomer entertainment at its best.

Facebook Inc. took eight years to stage one of the most anticipated initial public offerings ever. The anticlimax came Friday, as Wall Street bankers struggled to prevent the newly minted stock from ending its first day with a loss.

Who would have thought when I started this blog that an article would land in both the Social Networking AND Federal Reserve & Bankers categories?

The stock had been widely predicted to soar on its first day. Instead, up until the closing moments of the trading session, Facebook’s underwriters battled to keep the stock from slipping below its offering price of $38 a share. Such a stumble would have been a significant embarrassment, particularly for a prominent new issue like Facebook, the most heavily traded IPO of all time.

In the end, the bankers succeeded. When trading on Nasdaq ended at 4 p.m., the social network’s stock was up just a hair, 0.6%, at $38.23.

Facebook was also hurt by investors’ high expectations of a healthy first-day pop in the price, according to people familiar with the matter. When that pop didn’t happen, it prompted a selloff, these people said.

That’s when Facebook’s underwriters had to step in to support the company’s share price, people familiar with the matter said. In particular, lead underwriter Morgan Stanley MS was assigned to be the deal’s “stabilization agent”—meaning it was the firm’s job to keep the shares above the offering price, these people said. In that role, Morgan Stanley was forced to buy Facebook shares as the price slid toward $38 in order to prevent the price from crossing into negative territory, according to these people.

Morgan Stanley, which led the platoon of 11 Wall Street banks that arranged the listing, had to dip into an emergency reserve of around 63 million Facebook shares—worth more than $2.3 billion at the offer price—to boost the price and create a floor around $38 a share, according to people close to the situation. In successful IPOs, the reserve, known as the “overallotment” or “green shoe,” is used by underwriters to meet soaring demand but in this case, it was used to prop up Facebook’s ailing share price.

The process is common in IPOs and works like this: The underwriters have the extra shares available to either sell or buy for a period after the IPO. If demand is strong, they sell them like all the other shares. But if the stock price falls, they can buy them back, effectively creating a floor for the price.

Facebook’s price began falling almost immediately after shares began trading. It is unclear exactly when Morgan Stanley stepped in, but traders said that the price movements throughout the day, with the shares occasionally touching the IPO price but never crossing below it, suggested the firm was active throughout much of the session.

People have been misinformed about the tragedy at Fukushima and its consequences. There is a continuing cover up, the reactors have not been stabilized, and radiation continues to be released. The Japanese College of Intravenous Therapy (JCIT) has recently released a video for people wishing to learn more about how to protect themselves from contamination by taking large doses of vitamin C.

Japanese Government Minimizes Danger; Ignores Vitamin C

In the fall of 2011, JCIT presented a study that Fukushima workers had abnormality gene expression, which may be avoided using dietary antioxidants, especially vitamin C. The data was presented in Japan, Taiwan, and Korea. The JCIT sent letters to the government urging the government to tell the people how they may protect themselves from radiation. To date, the recommendation has been ignored by Japanese government and TEPCO (Tokyo Electric Power Company).

Linus Pauling gained the Nobel Peace Prize in part based on his calculations of the number of deaths from nuclear weapons fallout.[1] He was supported by physicist and father of the Soviet bomb Andrei Sakharov, who also later received the Nobel Prize for peace.[2] These and other scientists estimated that there would be an extra 10,000 deaths worldwide for each megaton nuclear test in the atmosphere. A nuclear reactor can contain much more radioactive material than a nuclear weapon. Fukushima had six reactors, plus stored additional radioactive material and nuclear waste.

How Radiation Damages Cells

Ionizing radiation acts to damage living tissue by forming free radicals. Essentially, electrons are ripped from molecules. Removing an electron from an atom or molecule turns it into an ion, hence the term ionizing radiation. X-rays, gamma rays, alpha- and beta-radiation are all ionizing.

Most of the damage occurs from ionizing radiation generating free radicals in water, as water molecules are by far the most abundant in the body. While avoiding unnecessary exposure to ionizing radiation is clearly preferable, people affected by Fukushima do not have the luxury of avoiding contamination.

Antioxidants: Free-Radical Scavengers

Free-radical scavengers, as the name suggests, mop up the damaging radicals produced by radiation. The more common term for free radical scavenger is antioxidant. Antioxidants replace the electrons stripped from molecules by ionizing radiation. Antioxidants have long been used in the treatment of radiation poisoning.[3-7] Most of the harm from ionizing radiation occurs from free radical damage which may be quenched by the free electrons antioxidants provide. Fortunately, safe antioxidants are widely available as nutritional supplements. Vitamin C is the prime example.

Why Vitamin C?

Vitamin C is of particular importance and should be included at high intakes for anyone trying to minimize radiation poisoning. High dose vitamin C provides continual antioxidant flow through the body. It is absorbed from the gut and helps to replenish the other antioxidants. When it is used up, it is excreted in the urine. Importantly, it can chelate, or grab onto, radioactive heavy metal atoms and help eliminate them from the body. Large dynamic flow doses of vitamin C (about 3,000 mg, taken 4 times a day for a total of 12,000 mg) would exemplify antioxidant treatment. Higher doses have been used by Dr. Atsuo Yanagisawa and colleagues. [8,9]

Shortly after the disaster, Dr. Damien Downing described how supplements can help protect against radioactive fallout.[10] OMNS issued an update on the response to Fukushima in Japan.[11] Recently, Dr. Gert Schuitemaker has provided a review of vitamin C as a radio-protectant for Fukushima contamination.[12]

Persons living in the areas affected by radioactive contamination can take antioxidant supplements, especially high doses of vitamin C, to counteract the negative consequences of long-term low dose radiation exposure, as well as to protect the health of coming generations.[12,13] People who have a possible internal or external radiation exposure should take antioxidant supplements to maintain an optimal antioxidant reserve. Because of the enormous size and oceanic spread of Fukushima contamination, this literally applies to everyone.
