										<content:encoded><![CDATA[<p>THOUSAND OAKS, Calif. and SALT LAKE CITY, Utah – August 10, 2026 – Teledyne Technologies Incorporated (NYSE:TDY) (“Teledyne”) and Varex Imaging Corporation (NASDAQ:VREX) (“Varex”) jointly announced today that they have entered into a definitive agreement under which Teledyne will acquire all of the outstanding common shares of Varex for $18.90 per share payable in cash.  The aggregate value for the transaction is approximately $1.1 billion, taking into account Varex’s equity awards and net debt as of April 3, 2026.  The transaction was unanimously approved by the Boards of Directors of Teledyne and Varex.</p>
<p>&nbsp;</p>
<p>For decades, Varex has pioneered the development of X-ray sources and digital X-ray detectors, and also provides high-voltage interconnects and imaging software to global OEM manufacturers.  Varex’s X-ray tubes, flat panel and photon counting detectors, and connect and control accessories are used in medical diagnostic imaging, non-destructive inspection, security and vehicle inspection systems, and analysis and measurement applications.</p>
<p>&nbsp;</p>
<p>“Teledyne entered the healthcare market with the acquisition of Teledyne DALSA in 2011, which was beginning to develop low-dose, high-resolution CMOS-based X-ray detectors.  Nearly ten years ago, we expanded our presence with the acquisition of Teledyne e2v in 2017, a long-term supplier of magnetrons to cancer radiotherapy OEMs. Nevertheless, while Teledyne and Varex serve similar customers with related technologies, our products are uniquely complementary with minimal overlap,” said Robert Mehrabian, Executive Chairman of Teledyne.  “For example, while Teledyne produces X-ray detectors, we do not provide detectors suited for high-radiation environments such as oncology, as does Varex.  In addition, only Varex provides new advanced photon counting detectors for healthcare and industrial inspection.  Finally, while Teledyne produces various vacuum electronics, like magnetrons, we have never produced X-ray tubes for radiography, fluoroscopy or computed tomography applications.”</p>

<p>&nbsp;</p>
<p><strong>Q3FY26 Summary</strong></p>
<ul>
<li>Revenues $211 million</li>
<li>GAAP gross margin 36% | Non-GAAP gross margin* 37%</li>
<li>GAAP operating margin 11% | Non-GAAP operating margin* 12%</li>
<li>GAAP net income $0.37 per diluted share | Non-GAAP net income* $0.31 per diluted share</li>
<li>Cash flow from operations of $21 million</li>
</ul>
<p><strong> </strong></p>
<p>&#8220;Third-quarter product sales before the IEEPA-related customer reimbursement adjustment were approximately $217 million, reflecting strong growth in Industrial and continued expansion in cargo and vehicle inspection systems,” said Sunny Sanyal, Chief Executive Officer. “The quarter also included the recovery of tariffs that had increased our product costs in prior periods. We generated $21 million of operating cash flow and enter the fourth quarter with continued momentum.”</p>
<p>&nbsp;</p>
<p>During the quarter, Varex received refunds totaling $17 million from U.S. Customs related to previously paid IEEPA tariffs. The Company recorded a corresponding $7 million reduction to revenues reflecting an accrual for expected customer reimbursements of previously billed IEEPA tariffs. Together, these items resulted in higher third-quarter gross profit by approximately $10 million.</p>
<p>&nbsp;</p>
<p>Third quarter revenues were up 4% year-over-year. Third quarter Medical revenue was $134 million and Industrial revenue was $77 million. Non-GAAP gross margin increased to 37% from 34% in the prior-year quarter, and non-GAAP EPS was $0.31 compared to $0.13 in the third quarter of fiscal year 2025.</p>

<p><strong>Balance Sheet &amp; Cash Flow</strong></p>
<p>Cash, cash equivalents, and marketable securities were $99 million as of the end of the third quarter, compared to $155 million at the end of fiscal year 2025. The change in cash primarily reflects the Company&#8217;s debt redemption and refinancing completed in March, as well as increased working capital associated with inventory.</p>

<p>The challenge is familiar to anyone inspecting multi-material parts. A steel spring inside a polymer housing — like the everyday auto-injector pen used in the talk — produces strong beam-hardening artifacts that bury the features you need to detect and measure. The conventional fix, heavy copper beam filtration, reduces those artifacts but throws away flux: more dose, longer scans, and still some residual artifacts.</p>
<p>TrueSpectrum takes a different route. Using dual-energy acquisition on a photon-counting detector, it reaches cleaner interiors <em>and</em> surfaces from a single scan — with no physical filter in the beam.</p>
<h3>What the talk covered</h3>
<p>The problem: Multi-material parts create beam-hardening artifacts that block both detection and measurement in CT.</p>
<p>Two paths, one scan: VMI tuned for interior volume; TrueSpectrum Express (TSx) for exterior surface quality — from the same acquisition.</p>

It gives users two complementary paths from a single acquisition: a VMI (virtual monoenergetic imaging) route tuned for the best interior-volume quality, and TrueSpectrum Express (TSx), a streamlined route that excels at exterior surface quality — without material decomposition, calibration materials, or a separate VMI step. <p>&#8220;Demand remained solid in the second quarter, with continued momentum across both our Medical and Industrial businesses driven by global CT, cargo systems and photon counting detectors,&#8221; said Sunny Sanyal, Chief Executive Officer. Sanyal added, &#8220;As we move into the second half of fiscal 2026, we are encouraged by favorable demand trends across both Medical and Industrial segments. We believe these dynamics position us well to grow revenue year-over-year in the second half of fiscal 2026.&#8221;</p>

<p>Varex’s second quarter revenue of $216 million was up 1% year-over-year. Medical segment revenue was $156 million, while Industrial segment revenue was $60 million. Non-GAAP gross margin was 34% in the quarter compared to 36% in the second quarter of fiscal year 2025, and non-GAAP EPS decreased to $0.21 in the quarter from $0.31 in the second quarter of fiscal year 2025.</p>

<p><strong>Balance Sheet &amp; Cash Flow</strong></p>
<p>Cash outflows from operations was $2 million in the second quarter of fiscal year 2026. Cash, cash equivalents, and marketable securities was $88 million as of the end of the second quarter, compared to $155 million at the end of fiscal year 2025. The change in cash primarily reflects the Company&#8217;s debt redemption and refinancing completed in March, as well as increased working capital associated with inventory to support anticipated demand and future shipments.</p>
<p><strong> </strong></p>
<p><strong>Outlook</strong></p>
<p>For the second half of fiscal 2026, revenue is expected to be up approximately 3% compared to the second half of fiscal 2025. As a result, full fiscal year 2026 revenue is expected to be in the range of $860 million to $880 million and non-GAAP EPS to be in the range of $0.80 to $1.00.</p>

<p>Guidance for the third quarter of fiscal year 2026 is as follows:</p>

When high-speed electrons target material, they produce X-ray radiation used for imaging across a variety of applications including the internal structures of the human body. This process happens inside a protective housing that contains the electron beam and shields operators from unwanted radiation exposure.</p>
<p class="p1"><b>What is an X-ray tube and why is it important in medical imaging?</b></p>
<p class="p1">An X-ray tube serves as the heart of every X-ray imaging system, converting electrical energy into X-ray radiation for medical diagnosis. Without this component, doctors could not see inside the human body and identify fractures, infections, or other medical conditions.</p>
<p class="p1">Medical X-ray tubes function as the radiation source in diagnostic imaging equipment. They enable healthcare professionals to capture images of bones, organs, and soft tissues without invasive procedures. From routine static X-rays to complex applications in computed tomography scanners, these devices make modern medical diagnosis possible.</p>
<p class="p1">The importance extends beyond basic radiography. X-ray tubes power mammography systems for breast cancer screening, dental imaging for oral health assessment, and fluoroscopy for real-time, interventional medical procedures. Each application requires specific tube designs optimized for imaging needs and patient safety requirements.</p>
<p class="p1"><b>How does an X-ray tube produce X-rays?</b></p>
<p class="p1">X-ray production occurs through a controlled process of electron acceleration and collision. The tube heats a filament cathode to release electrons, accelerates them across a vacuum using high voltage, and directs them toward a metal target where X-rays form upon impact.</p>
<p class="p1">The process begins when electrical current heats the cathode filament, typically made of tungsten. This heating causes <b>thermionic emission</b>, releasing free electrons into the vacuum chamber. The number of electrons released determines the X-ray beam intensity.</p>
<p class="p1">High voltage, usually between 40 and 150 kilovolts, accelerates these electrons toward the anode target at tremendous speeds. When the high-energy electrons strike the target material, they interact with the metal’s atoms. This interaction converts approximately 1% of the energy from all the electrons into X-rays, while the remaining 99% becomes heat.</p>
<p class="p1">Two types of X-rays form during this process: characteristic X-rays from electron interactions with electrons of the target’s inner atomic shells, and bremsstrahlung radiation from electron deceleration near atomic nuclei. The combination creates the X-ray spectrum used for medical imaging.</p>
<p class="p1"><b>What are the main components inside an X-ray tube?</b></p>
<p class="p1">An X-ray tube contains four primary components: cathode assembly, rotating target assembly or anode, vacuum chamber, and protective housing. Each component plays a specific role in X-ray generation and safe operation.</p>
<p class="p1">The <b>cathode assembly</b> includes the filament and focusing cup. The tungsten filament produces electrons when heated, while the focusing cup shapes and directs the electron beam toward the target. Most modern tubes use dual filaments for different focal spot sizes.</p>
<p class="p1">The anode serves as the target for electron bombardment. Rotating anodes distribute heat across a larger surface area, allowing higher power operation than stationary anodes. The target material, typically tungsten or tungsten–rhenium alloy, provides optimal X-ray production characteristics owing to its high-density melting temperature.</p>
<p class="p1">The vacuum chamber eliminates air molecules that would interfere with electron travel. The chamber, made of glass or metal, maintains the vacuum while allowing X-rays to exit through designated windows. The protective housing shields operators from radiation and provides electrical insulation.</p>
<p class="p1">Additional components include the rotor and stator assembly for anode rotation, high-voltage connections, and cooling systems. These elements work together to ensure reliable X-ray production and safe operation.</p>
<p class="p1"><b>Why do X-ray tubes need to be replaced and how long do they last?</b></p>
<p class="p1">X-ray tubes require replacement due to gradual wear from heat stress, target and filament material erosion, and vacuum degradation. Most diagnostic X-ray tubes last 100,000 to 200,000 exposures, or 3–7 years, depending on usage patterns and maintenance quality.</p>
<p class="p1">Heat damage represents the primary cause of tube failure. Each X-ray exposure generates significant heat at the anode target, causing thermal stress and eventual cracking. Heavy usage, inadequate cooling, or excessive technique factors accelerate this wear process. Another primary contributor to X-ray tube failure can be the evaporation of the tungsten filament.</p>
<p class="p1">Vacuum loss occurs when the tube envelope develops microscopic leaks or when getter materials become saturated. Air molecules entering the vacuum interfere with electron flow, causing arcing and unstable X-ray output. Filament degradation also reduces electron emission over time.</p>
<p class="p1">Signs indicating tube replacement include increased exposure times, reduced X-ray output, image quality deterioration, unusual noises during operation, or frequent error messages. Regular maintenance and proper technique selection help maximize tube lifespan.</p>
