Arnstein & Lehr Miami Partner Ronald R. Fieldstone is a scheduled panelist at the 3rd Annual Invest in America Summit & Exhibition to be held March 15-18 in Shanghai, China. Mr. Fieldstone’s panel will discuss U.S. taxation and securities law. The Summit will be the largest American investment conference and exhibition in China for 2013. The event welcomes U.S. investment projects, Regional Centers, real estate brokerage firms, franchises, PE and VC companies, financial services, attorneys, CPAs, international trade agencies, government officials, and colleges to participate in exhibition and presentations. Arnstein & Lehr’s Miami office was acknowledged in a December 15 article in The Florida Bar regarding their involvement, since 2009, with KidSide organization, a Miami-Dade not-for-profit that raises funds for Family Court Services, with a $2,500 sponsorship of the organization’s 2012 softball tournament fundraiser. In addition to a $2,500 sponsorship of the organization’s softball tournament, Arnstein & Lehr also was a $400 sponsor of the group’s judicial luncheon. Miami Partner Ronald R. Fieldstone and Office Administrator John Santarone led a team of Arnstein employees at the November 11 softball tournament. The mission of KidSide is to provide services for those children most victimized by family conflicts.

Arnstein & Lehr Miami Partner Ronald R. Fieldstone was quoted in a November 5 article in the National Law Journal, titled “Visa program’s side effects include investments—and legal work.” The article is an interview with Mr. Fieldstone, where he answers questions regarding the legal work surrounding an EB-5 deal. Mr. Fieldstone comments that the firm does the preparation of private placement memoranda and security work for the EB-5 deals, as well as the ancillary work that comes from it, such as real estate and corporate law issues. He also comments that 70 percent of the foreign investment money in EB-5 cases comes from China, in addition to South Korea, Canada and Great Britain.

Arnstein & Lehr Miami Partner Ronald R. Fieldstone wrote an article, “EB-5 Program Infuses Foreign Capital Into U.S.,” for REBusiness Online on September 11. In the article, Mr. Fieldstone discusses how the the EB-5 program has generated a unique opportunity for real estate developers and operators. He states, “The program provides needed capital, job creation and the migration of wealthy foreigners to the U.S. To date more than $3 billion of capital has been funded under the program.”

Additionally, Mr. Fieldstone provides three main factors in the evaluation process to meet the competitive demand for investor capital. He also gives examples of various ways the program is being utilized.

The EB-5 program is administered by the United States Citizenship and Immigration Services, which is intended to stimulate foreign investment and to create jobs at the same time. The program allows qualifying US-based companies to raise capital from foreign investors. Investors can invest either $500,000 or $1 million as direct investors in small businesses or through an “EB-5 regional center” and receive a green card upon approval of their investment application. Businesses must formally apply to USCIS to approve qualifying direct investments or to attain regional center designation.  Mr. Fieldstone and Miami Partner Randy Sidlosca recently launched the web blog www.eb5arnstein.com to promote Arnstein & Lehr’s EB-5 experience.

The state of the housing market and U.S. policy took center stage recently at the Florida Atlantic Builders Association’s Inaugural Trustees Roundtable Luncheon sponsored by Arnstein & Lehr LLP and attended by Miami Partners Michael B. Denberg (pictured far left) and Ronald R. Fieldstone (pictured near left). The March 30 event featured special guest speakers Florida Congresswoman and Democratic National Committee Chair Debbie Wasserman Schultz and James Tobin, vice president and chief lobbyist for the National Association of Home Builders. The pair took turns discussing the issues impacting the housing market, how President Obama’s administration is dealing with the challenges and the long term influence on South Florida. During the event, Mr. Fieldstone also gave a brief presentation on the EB-5 program and how it is spurring commercial real estate growth throughout the U.S. FABA is part of the Builders Association of South Florida and is a membership group for builders throughout Miami-Dade, Broward and Palm Beach counties.

Fieldstone wrote an article for the March 23 issue of the Business Insider, titled “How Foreign Investors Can Get A Green Card In Exchange For $1 Million.” The article discusses the EB-5 program, also known as the Green Card Immigrant Investor Program, which has so far resulted in the creation or maintenance of 65,000 jobs and $3.1 billion invested in the U.S. economy. Arnstein & Lehr LLP’s Ronald R. Fieldstone, a partner in the Miami office specializing in corporate/securities and taxation law, was a guest speaker at the Second Annual Invest in America Summit and Exhibition held in Shanghai, China, in February.

Mr. Fieldstone led an in-depth presentation on marketing concerns and compliance with U.S. Securities Laws regarding non-public solicitation. In his discussion he gave insights into the marketing concerns and compliance with U.S. Securities Laws regarding non-public solicitation. He also explained broker/dealer/finder issues, methodology to comply with U.S. Securities Laws, concerns over the 1940 investment company act and foreign regulations regarding the sale of EB-5 programs.

During his lecture, Mr. Fieldstone also engaged audience members with a detailed explanation of immigration tax and EB-5 planning, executive relocations and corporate expansion to the U.S. and corporate issues for new residents.

Mr. Fieldstone has published numerous articles and has been a lecturer in the fields of real estate, corporate, tax law and franchise law since 1975.
