The Reserved List: Corentin’s Legal Corner Part 2

Hi All – I’ve been very lax and not posted another monster legal opinion from our legal friend, Corentin. Here it is, in all its unedited glory!

Finally, regarding the reserve list. A few new elements have been drawn to my attention regarding the first opinion I sent to you.

My opinion was about the English common law, and I did not know at that time whether it was different from the US common law when it came to that area of torts, contracts and equity.

I had opened my opinion with the following:

As an introductory point I would like to stress that this statement is not a contract on its own since no one could have given consideration to make it binding, and that the doctrine of estoppel only apply for a variation of contract and will not be applicable in this case.

Well I was informed that in many jurisdictions of the United States, promissory estoppel is indeed an alternative to consideration as a basis for enforcing a promise. It is also sometimes called detrimental reliance.

A promise which the promisor should reasonably expect to induce action or forbearance of a definite and substantial character on the part of the promisee and which does induce such action or forbearance is binding if injustice can be avoided only by enforcement of the promise.

So this opens a whole new way for Wizard to be made contractually liable for the statement. I am not an expert, at all, in US Law, but this seems to be an acknowledged distinction between the UK and the US common law.

Then, and just for the sake of discussing international private law, I can hear you asking: but, Corentin (with your extraordinary accent) what is the law applicable to the contract and or tort? I am glad you asked Stue, I am glad you asked.
Let’s divide this in two part, first if you sue on contract, then if you sue on tort.

A: Contract

If you were to sue Wizard in England in contract , the first question would be to know whether England has jurisdiction. Then, the law applicable.

1 Jurisdiction

We look at REGULATION (EU) No 1215/2012 OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL of 12 December 2012. Art 8 tells us that subject to art 18 (1), the
jurisdiction of the courts of each Member State shall be determined by the law of that Member State.

1. A consumer may bring proceedings against the other party to a contract either in the courts of the Member State in which that party is domiciled or, regardless of the domicile of the other party, in the courts for the place where the consumer is domiciled.

You are a consumer for the purpose of the text, so yay! You can sue Wizard in England.

2 The Law

We look at REGULATION (EC) No 593/2008 OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL.

First,

Article 2
Universal application
Any law specified by this Regulation shall be applied whether or
not it is the law of a Member State.

Just to let you know that the Regulation may well tell us that the US law should be applied. It does not matter whether the judge is English, he may have to apply the law from a foreign country.

Article 4
Applicable law in the absence of choice

1. To the extent that the law applicable to the contract has not
been chosen in accordance with Article 3 and without prejudice
to Articles 5 to 8, the law governing the contract shall be
determined as follows:

We are suing Wizard on the contract, assuming that the statement regarding the reserved list was indeed a contract. You are one collector that rely on this statement to protect the value of your cards.

I am not detailing the list of possible contracts, although this is pretty cool to explain, I think this pretty boring for a normal person. Let’s skip to Article 6, mentioned in Article 4.

Article 6
Consumer contracts
1. Without prejudice to Articles 5 and 7, a contract concluded
by a natural person for a purpose which can be regarded as being
outside his trade or profession (the consumer) with another
person acting in the exercise of his trade or profession (the
professional) shall be governed by the law of the country where
the consumer has his habitual residence, provided that the
professional:

(a) pursues his commercial or professional activities in the
country where the consumer has his habitual residence, or
(b) by any means, directs such activities to that country or to
several countries including that country,

and the contract falls within the scope of such activities

You are still a consumer, a natural person, Wizard is directing his activity to England. So the applicable law would be English Law. And I explained that, according to my opinion, such a statement would not create a binding contract with Wizard. So, sad face, as you would put it.

BUT WAIT, there’s more!

B: Tort

If you were to sue Wizard in England in tort, the first question would be to know whether England has jurisdiction. Then, the law applicable.

1 Jurisdiction

Again, we look at REGULATION (EU) No 1215/2012 OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL of 12 December 2012. You are still a consumer for the purpose of the text, so you can sue Wizard in England.

2 The Law

We turn to REGULATION (EC) No 864/2007 OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL of 11 July 2007 on the law applicable to non-contractual obligations (Rome II)

Article 4
General rule
1. Unless otherwise provided for in this Regulation, the law
applicable to a non-contractual obligation arising out of a
tort/delict shall be the law of the country in which the damage
occurs irrespective of the country in which the event giving rise
to the damage occurred and irrespective of the country or coun-
tries in which the indirect consequences of that event occur.

In short, applicable law is the English law, as your damage occurs in England for you the consumer. You do not live in the US, and there is no manifestly closer connection to the US in such a case.

Therefore, it is my opinion that we would apply tort law, and I stand by my first opinion on the subject.

It would be slightly different if we were to look at the position of a professional company, like starcity game but in Europe (let’s say MkM). But I suspect I may have to look in German international private law for that one, and I am not bored enough to do it. Yet.

Hello! StuP here.

A few listeners have been in contact regarding the Esper Mentor list I mentioned on Episode 75 (or was it 76?). Credit goes to Patrick Chapin, Tom Martell and Matt Sperling who derived the original list.

Their list originally played a Misty Rainforest over the second Marsh Flats and
I got the list below that Rich Shay played on an MTGO daily. Chapin himself mentioned the fetchland swap on his Top Level Podcast.

The other swap I made is cutting the Misdirection in the board for another Cabal Therapy. I love the synergy of Therapy, Probe and Mentor, and I couldn’t really visualise the matches where I’d board in the Misdirection (maybe I should go back and listen to Chapin’s reasoning for it’s inclusion).

The deck is a lot of fun to play! Much more fun in fact than I’ve found with other good stuff decks like Deathblade. The sheer quantity of card draw is completely bonkers, and against everything apart from Lands or chalice decks, I think you’ve got a good chance of being competitive in game 1. Even against storm, I was able to disrupt them enough to get a mentor on the table and apply pressure. Admittedly this is a very small sample size though (1 match!).

Changes

I hated the main deck Tasigur as I found it was weak to karakas and didn’t really give me any value. There were often times where my opponent would just let me have a useless spell pierce, or another card of very little consequence in the situation. We’ve been saying it on the podcast for a while that we don’t like Tasigur for Legacy, and I think this has finally cemented it for me. I would recommend swapping him out for a Gurmag Angler. Admittedly, I haven’t tested this, but I think it seems reasonable. I’ll see if the extra mana to delve is significant.

Main deck, the only other change I might consider is trimming one of the Painful Truths. I loved the card, and it was pretty good at drawing lots of gas, but I feel that three copies in the 75 may be one too many.

In the sideboard, the Notion Thief is probably a bit too cute. I’d probably recommend another Containment priest or Flusterstorm. You should be out-drawing most decks in the format, and passing the turn with four mana up, trying to “get” your opponent is probably quite optimistic. If you do manage it, let us know on the podcast

An Opinion on the Reserved List

In Episode 51 we briefly discussed the reserved list, and mentioned that we weren’t really qualified to make a comment on the legality of it or otherwise.

Corentin Dolivet, one of our lovely listeners, is training to be a solicitor, and emailed in his own view of the reserved list.

He’s requested that it should be taken ‘with a pinch of salt’, but it certainly offers a view that we weren’t able to give on the cast.

Thanks very much to Corentin, for taking the time to send us this:

In common law, misstatements and misrepresentation represent an important part of contracts and torts.
Before we examine the condition of misstatements and misrepresentations, let’s just focus on the potential parties in this problem.
Wizards has produced a statement whereby they undertake not to reprint cards from the reserved list. It was a public statement likely to come to the attention of: past consumers already owners of the listed cards, present consumers investing into eternal formats, resellers dealing with second hand market.

As an introductory point I would like to stress that this statement is not a contract on its own since no one could have given consideration to make it binding, and that the doctrine of estoppel only apply for a variation of contract and will not be applicable in this case.

TORT:

An action in tort has to be considered from the point of view of all the “parties” without contractual relationship with Wizards, i.e. past consumers that previously purchased cards now on the reserved list, and maybe pure second hand dealer shop or in regards that part of their business.
An action for negligent misstatement in tort arises where Party A has (1)carelessly made a (2) statement to Party B, where the (3) relationship between the parties is such that Party A owes Party B a duty of care.
To put it another way, responsibility for negligent misstatements is imposed only if they were made in circumstances that made it reasonable to rely on them.
I will not consider pure deceit, as it would imply malice from Wizards, which seems unreasonable and very hard to prove.
2 and 1 : We do have a statement, and one could argue that because Wizards have been adamant they would not go back on their promise, doing so now would imply the first statement has been made carelessly, given its financial consequences.
Problem is, statement must be a statement of fact to potentially be considered a misrepresentation. The essence of this tort is to protect persons reasonably acting upon an expert’s advise, not to bind companies or to create contract where there is no consideration, or never to be able to depart from their shared intention. So I highly doubt this could be actionable. A statement of intention will be important when we will considerer the misrepresentation and the contract.

3 : As for the special relationship two of the most important things to consider when determining whether a special relationship exists are:
Has Wizards “voluntarily assumed responsibility” for the recipient acting on this statement?
Is it fair, just and reasonable for the person to whom a statement has been made to rely on that statement?
It could be argue that such a relationship does exist indeed considering the fact that this statement was precisely made to protect long time players;
So it is not absolutely crazy to consider suing Wizards in tort, although case law does not recognize misstatement of intention for the moment. I did not discuss the extent of the damages to consider, as I will discuss it in the next part.

CONTRACT

A misrepresentation is a (2) false statement of fact or law which (3) induces the representee to enter a (1) contract. Where a statement made during the course of negotiations is classed as a representation rather than a term an action for misrepresentation may be availablewhere the statement turns out to be untrue. There are three types of misrepresentation: innocent misrepresentation, negligent misrepresentation and fraudulent misrepresentation. We will not consider the latest for the same reason we did not focus on deceit.

The affect of a finding of misrepresentation is the contract isvoidable ie the contract exists but may be set aside by the representee. The remedy available depends on the type of misrepresentation, but generally consists of rescission and or damages.

1 : So first, we need contracts. We can consider, limitations aside, all the contracts made between consumers and retailers (the definition is any contract, not a contract made with the representor) for magic cards on that basis i.e. assuming some cards never to be reprinted and taking the eternal format into account on that basis, but most importantly contracts made between players themselves, on the basis that a cards on the restricted list would never be printed again and setting the price accordingly, or finally contracts between second hand dealers and players.
2 : Then we need false statement of fact or law. Case law tells us that a statement of opinion may amount to an actionable misrep where the representor was in a position to know the facts. But, and more precisely, a statement as to future intent can not amount to a misrep unless the representor had no intention of carrying out the stated intent.

That’s a tough one, as Wizards did stick to their statement for many years. If we look at the case from which this rule was discovered, we can tell that the false intention must have been known from the very start i.e. they never wanted to stop printing the reserved cards.
Should Wizards decide to change their policy, o one could argue that they did by malice, or recklessly.
As for (3) and damages, I think we can accept the fact that the price of those staples is in part caused by this policy, and that the potential loss for big second hand dealers like Starcity would be within the scope of the foreseeable loss a representee can claim for.

CONCLUSION:
As I understand common law (in UK at least) and the current case law, there would be no real problem for Wizards should they change their policy; although I can understand that cases of companies suing for financial losses would not be absolutely meritless.

Well guys and gals, its been over a year since we’ve been giving you some (sometimes :)) high quality legacy suggestions, deck techs, guest speakers, random monsters, card spotlights, set reviews and rambling off topic stories. So thank you everyone for the support/emails/listening! Stu P. was so excited by this, that he decided to celebrate by getting married (to Heather, from episode 1). Soooo we’re going to have a few weeks off so he can get married, and then settle in to his new life without having to rack his brain for this weeks monster of the week. So congrats to them both, and we’ll see you all soon!
